1Q 2016 NOTES FROM THE BOARD The IFTA, Inc. Board of Trustees (Board) held its First Quarter 2016 meeting on February 8 9 in Las Vegas, NV. All Board members were in attendance as well as several guests as the meeting was in conjunction with the IFTA/IRP Audit Workshop. Before the meeting was open to the public, the Board met and voted for officers for 2016. The result is as follows: Mr. Stuart Zion (CO), President; Mr. Chuck Ulm (MD) First Vice President, and Mr. Stephen Nutter (VA) Second Vice President. The meeting was opened and called to order. Self introductions were made. Mr. Zion welcomed Mr. David Helton (FL), to the Board. Mr. Helton was elected as a Southeast Region representative at last year s Annual Business Meeting. The Board then voted on and approved: the Fourth Quarter 2015 meeting minutes as amended and the minutes of the Board Actions by Email as written. The Committee and Jurisdiction Liaisons were appointed. A list of those appointments follows. Committee reports contained in this agenda included the reports of the Audit Committee, Agreement Procedures Committee, Clearinghouse Advisory Committee, Dispute Resolution Committee, Information Technology Advisory Committee, and the Law Enforcement Committee. Quarterly reports were offered by members of the IFTA, Inc. staff for Funds Netting, the IFTA, Inc. Clearinghouse, and the financial report. Tom King (IFTA, Inc.), Webmaster, gave a demonstration of a modernized IFTA, Inc. website. The work will continue and a review will be given at the Annual Business Meeting. In the meantime, IFTA, Inc. will survey its members and stakeholders regarding content of the current website. Updates were given on behalf of the Electronic Credentials Working Group, the Industry Advisory Committee, and Quarterly Regional Board calls. Seven 2015 IFTA ballots are currently out for vote by membership. Voting on these ballots will close on March 24, 2016. Ballot submissions for 2016 are being accepted through April 22. The Board discussed a possible ballot drafted by the jurisdictions of Illinois and Nevada. This ballot proposes verbiage throughout the Agreement to specify that only the votes that are actually cast be counted towards the final disposition of the vote. By doing this, the intent is to have the voting results representative of those jurisdictions that actually voted. Page 3

The Board discussed a request submitted by the IFTA Attorneys Steering Section Committee to meet again in 2016. It was approved that the committee could meet in late October 2016 in Chandler, Arizona. IFTA, Inc. will work to obtain the hotel location and contract for this event. Other items discussed by the Board included the timing of election of Board officials as well as a review of the suggestions and proposals received from membership for IFTA related projects. The costs related to these projects could be funded from the JPM investment portfolio. Several suggestions and proposals were fielded from various member jurisdictions and the Board reviewed each of them. Each of the jurisdictions submitting a suggestion or proposal will be contacted. The Program Compliance Review Committee (PCRC) reviewed the agenda for their upcoming meeting in early March at the IFTA, Inc. offices. The PCRC was very appreciative of the Board s support to permit this meeting. The primary focus of the meeting will be to review IFTA FTFBP 3 2014 to ensure that the Review Guide and worksheets are updated to meet the requirements. The committee will also be working to streamline the review process so that the time committed to reviews would not become a burden to any one individual or jurisdiction. During a review of the technology committees, the Board approved the nomination of Mr. Ron Hester (ON) as Chair of the Clearinghouse Advisory Committee (CAC). Discussion was also held regarding the future of the ITAC and whether it should remain as a standing committee or be changed to a special committee. The Board Liaisons will connect with the committee to discuss this possibility. The Board also discussed the Strategic Plan at length. They also approved the audited financial report received from Lumbard & Associates. It was also decided that a ninety (90) day window be provided to membership for change to the Annual Report data submitted before the reports are final. IFTA, Inc. will work to implement this. Concluding the business discussions, the Board adjourned the First Quarter 2016 Board meeting on February 9 th. Sponsorship Opportunities are available for the 2016 IFTA Annual Business Meeting.
