CITY OF CORONADO SECOND AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT FOR LEGAL SERVICES This Second Amendment to the Professional Services Agreement (hereinafter "AMENDMENT"), dated April, 2013, is entered into this day of June 2013, by and between the CITY of Coronado, a California municipal corporation, (hereinafter "CITY") and Kane Ballmer & Berkman ( CONSULTANT ) (collectively PARTIES ). WHEREAS, the CITY requires legal services of independent special counsel to analyze litigation claims pertaining to AB 26 and AB 1484; and WHEREAS, the CITY has determined that CONSULTANT is qualified by experience and ability to perform the services desired by CITY, and CONSULTANT is willing to perform such services; and WHEREAS, an amendment is needed to more accurately reflect compensation necessary to accomplish the scope of services CONSULTANT provides to the CITY; and WHEREAS, CONSULTANT will conduct all the work as described and detailed in this AMENDMENT to be provided to the CITY. NOW, THEREFORE, the PARTIES hereby mutually covenant and agree to the following AMENDMENT to the April, 2013 Professional Services Agreement: 3. COMPENSATION. 3.1. Total Amount. CITY shall compensate and reimburse CONSULTANT for all fees for services rendered and costs billed to the CITY in accordance with any terms negotiated and incorporated herein as part of Exhibit B Price and Expense Proposal.
