The 2015-2016 Toastmasters Founder s District Council met on at 9:20 a.m. with District Director, Pan Kao, DTM, presiding. The District Council meeting was held at the Knott s Berry Farm Resort Hotel, 7675 Crescent Avenue, Buena Park, CA. Kim Dvorak, CC, assembled the audience and introduced Pan Kao, DTM, District Director. DISTRICT COUNCIL District Director, Pan Kao, DTM, welcomed all of the meeting attendees to the District Council Business Meeting and thanked everyone for their participation. Pan noted we had a tight meeting schedule and requested everyone s assistance in finishing on time. Pan introduced District Administration Manager, Linda Denton, ACG, ALB and Parliamentarian, Raymond Brooks, DTM, PID. CREDENTIALS COMMITTEE REPORT Pan Kao requested Linda Denton provide the Credentials Committee Report. Linda reported that we have a quorum and may conduct District Business. The detailed information was read and displayed onto the room projection screen. District Director, Pan Kao appointed the Timers. Timer, Francis Stein, DTM Assistant Timer, Edith Arson-Berg, DTM ADOPTION OF BUSINESS MEETING AGENDA (Page 2 in the business meeting packet) District Director, Pan Kao asked if there were any corrections or questions regarding the agenda in the Business Meeting Packet. Without objection the agenda was adopted as published. ADOPTION OF BUSINESS MEETING GROUND RULES (Page 3 in the business meeting packet) District Director, Pan Kao asked if there were any questions or clarifications on the business meeting ground rules, hearing none, the District Director then called our attention to Rule V (5), Discussion or Debate: items D and G. D. No person may speak longer than 1.5 minutes at one time, except by General Consent or 2/3 vote of the delegates. G: Debate on any main motion will be limited to 10 minutes, except by General Consent or 2/3 vote of the delegates. Without objection the business meeting ground rules were adopted. ADOPTION OF CONSENT AGENDA (Page 5 in the business meeting packet) District Director, Pan Kao stated that on April 23, the Founder s District emailed the Consent Agenda and related business documents to all voting members. There was one correction and one request to remove the Operations Manual from the Consent Agenda. 2015 Fall Conference 2015-2016 Mid-Year Audit Report - Correct to mid-year, not year-end. 2016 Founder s District Operations Manual Removed from Consent Agenda 2016-2017 Club Alignment Proposal Reports by District Officers The 2016 Founder s District Operations Manual was removed from the Consent Agenda and returned to the Committee for further revision. District Director, Pan Kao asked if anyone wished!2

to remove any other item(s) from the Consent Agenda for further discussion? Hearing no objection, the Consent Agenda was adopted as amended. NEW BUSINESS District Director, Pan Kao, welcomed Nominating Committee Chair, DTM, PDG, Bob Hudack and thanked him and the committee members for each officer put forward. Pan noted that the candidates nominated for one position and not elected to the office may be nominated from the floor for subsequent elections. Program Quality Director South o Dan Cossack, DTM, was nominated for Program Quality Director South. o With no objections, a single vote was cast for Dan Cossack, DTM, he was declared Program Quality Director South Elect. Program Quality Director North o Diane Beale, DTM, was nominated for Program Quality Director North o There were two nominations from the floor: John Robinson, CC, CL, Club #3836 (Anaheim Breakfast), nominated Karen Lucas, DTM, Club #1010248 (CalTech Toastmasters), Karen accepted. o Lou Ann Fredericks, DTM, had a Point of Order question as to why there was no second from the floor. District Director, Pan Kao conferred with Parliamentarian, Raymond Brooks to confirm a second was not needed. Pam Lue, ACB, Club #7849 (True North), nominated Glenn Yasukochi, DTM, Club #7849 (True North), Glen accepted. o It was confirmed that both candidates signed a release and were willing to serve. o Each candidate had 2 minutes to speak. o Nominations were closed. o The vote was called. o Election results. 257 votes and 1 invalid Diane Beale, DTM, received 92 votes Karen Lucas, DTM, received 145 votes Glenn Yasukochi, DTM received 20 votes o Karen Lucas, DTM, was declared Program Quality Director North Elect. Club Growth Director South Election o Diana Dee, DTM, was nominated for Program Quality Director South. o With no objections, a single vote was cast for Diana Dee, DTM, she was declared Club Growth Director South Elect. Club Growth Director North Election o Two candidates were nominated for Club Growth Director South: Jill Briscoe, DTM and Chris Collins, DTM.!4

o Each candidate had 2 minutes to speak. o Nominations were closed. o The vote was called. o Election results. 250 votes and 0 invalid Jill Briscoe, DTM, received 148 votes Chris Collins, DTM, received 102 votes o Jill Briscoe, DTM, was declared Club North Director North Elect. Division A Director Election o Jeffrey Lee, ACB, ALB, was nominated for Division A Director. o With no objections, a single vote was cast for Jeffrey Lee, ACB, ALB, he was declared Division A Director Elect. Division B Director Election o Two candidates were nominated for Division B Director: Rose Abbott, CC, ALB and Victoria Brennan, CC, CL. o Each candidate had 2 minutes to speak. o Nominations were closed. o The vote was called. o Election results. 250 votes and 1 invalid Rose Abbott, CC, ALB, received 123 votes Victoria Brennan, CC, CL, received 127 votes o Victoria Brennan, CC, CC, was declared Division B Director Elect. Division C Director Election o Randy Kleinman, ACS, CL, was nominated for Division C Director o With no objections, a single vote was cast for Randy Kleinman, ACS, CL, he was declared Division C Director Elect. Division D Director Election o Two candidates were nominated for Division B Director: Tim Hollenbeck, ACB, CL and Gloria Miller, CC, CL. o Each candidate had 2 minutes to speak. o Nominations were closed. o The vote was called. o Election results.!5

236 votes and 1 invalid Tim Hollenbeck, ACB, CL, received 189 votes Gloria Miller, CC, CL, received 47 votes o Tim Hollenbeck, ALB, CL was declared Division D Director Elect. Elections Proposal - District Director, Pan Kao, DTM o Pan proposed due to time limitations, that if there were no objections, we would move forward with the Districts that were uncontested. There was an objection that if a candidates did not win, then the candidate would not be eligible to run for another office. o Pan decided to move forward with Division Reports, instead. Division E Director Election o Mark Lucas, CC, ALB, was nominated for Division E Director. o With no objections, a single vote cast for Mark Lucas, CC, ALB, he was declared Division E Director Elect. Division F Director Election o Christine Brady, ALB, CL, was nominated for Division F Director. o With no objections, a single vote was cast for Christine Brady, ALB, CL, she was declared Division F Director Elect. Division G Director Election o Three candidates were nominated for Division G Director: Raymond McCullough, ACB, ALB, Ann Shimizu, ACB, ALB, and Clifford Shimizu, ACS, CL. o Each candidate had 2 minutes to speak. o Nominations were closed. o The vote was called. o Election results. 232 votes and 0 invalid Raymond McCullough, ACB, ALB, received 57 votes Ann Shimizu, ACB, ALB, received 59 votes Clifford Shimizu, ACS, CL, received 116 votes o Clifford Shimizu needed 51% of the vote to avoid a run-off vote with Ann Shimizu. After a short meeting between the candidates and Division Director, Pan Kao, Ann Shimizu withdrew her name. o Clifford Shimizu, ACS, CL was declared Division G Director Elect. Division H Director Election o No candidate from the Nominating Committee.!6

o Floor nomination: o Tony Espinas, CC, Club #979692 (Cal Poly Pomona), nominated Jack Mercica, DTM, Club #979692 (Cal Poly Pomona), Jack accepted. o Jack Mercica, DTM, was declared Division H Director Elect. Division I Director Election o Lori Shapiro, DTM, was nominated for Division I Director. o With no objections, a single vote was cast for Lori Shapiro, DTM, she was declared Division C Director Elect. Division J Director Election o Vijay Chidambaram, DTM, was nominated for Division J Director. o With no objections, a single vote was cast for Vijay Chidambaram, DTM, he was declared Division J Director Elect. BUSINESS REPORTS District Director, Pan Kao, District Club Alignment Report Bob Hudack, DTM, PDG, Alignment Committee Chair Bob shared there was too much change to finalize the alignment now. On page 14 of the business packet are the details of the club alignment. o Border between Founder s District and District 100. o Divisions B, D, E, and H are in the North. o Divisions A, C, F, G, I, and J are in the South. The target is to have all divisions with 22-24 clubs. District Finance Manager Report - Ursula Bell, DTM, Assistant Finance Manager The reports are as of end of March. Many marketing expenses come after March and many incentives come in May and June. Talk-Up Toastmasters Pizza Parties has been very successful and it is expected they will be repeated for the upcoming membership contests. Under Education and Training, Spring Conference expenses are not recorded. The $9000 is an underspend. Should be a wash in June. The $8000 for PR is an underspend. Most of that is now social media, which is free. Available funds as of 03/31/2016 are $148,383.41. Public Relations Manager Report - Jill Briscoe, DTM We are doing pretty well.!7

We have photographers here taking pictures. They will also be at the District Contest. All the pictures from the Division Contests are up on the web. Facebook is good. Working on momentum for Instagram. Club Growth Director Report - Dan Cossack, DTM 14 clubs started so far. 6 clubs have just finished demo meetings. We could see 6 more in May. The demos in May could charter by June. 5 clubs are waiting for approvals. Talk-Up Toastmasters: o 28 clubs qualified for the Pizza Party prize! (Previous record was 20 clubs.) o Founder s District achieved 450 new members! The same prize will now apply for the next member drive, Beat the Clock. Add five new members during May and June and receive a pizza party for your club. Program Quality Report - Siri Payakapan, DTM Our diverse and dynamic team focuses on members and growth. Successful LACE 900 attendees! Credit to Deborah Reisdorph, ACB. Successful Media Training for Area Directors and Division Directors with interactive brainstorming 6 past District Governors facilitated. Contests and Training credit goes to Jim Rainey, DTM. District Programs: 54 clubs are distinguished. Highest since 2011. District Conference was a success with a record 268 online registrations. Coming up: o May 14 Train the Trainers o June 11 LACE South LACE at Chapman University o June 25 LACE North at Azusa Pacific University o June 18 Area and Division Director Trainings o August 31 Awards Night District Director Report - Pan Kao, DTM We are in a great position to be very good. Meaning there is still work to be done. Dan Rex reiterated the mission of the District: We build new clubs and support all clubs in achieving excellence. There are currently 212 clubs. We need to reach 235 to be distinguished. We will accomplish that. Special thanks to Norm Stein, DTM, who is chartering 3 new clubs now. Special recognition to the following:!8

o o Division G Director Marie-Noelle Palermo Division G is the first division to reach President s Distinguished. 5 clubs got a perfect 10 in DCP: A2, #231, Newport Center Toastmasters Club C2, #9331, Achievers Toastmasters Club F4, #316, Articulates Club G2, #3944816, South Orange County Toastmasters G3, #86, Saddleback Sunrise Speakers Club Division A Report - Director Vijay Chidambaram, DTM Division A is strong. 700 active members and three new clubs. Last Tuesday, AAA Costa Mesa was started. 9 out of 32 are President s Distinguished. It s not how you start. It s how you finish. Division B Report - Director Michelle Bender, DTM Division B is doing very well. We have one new club: HCP in Arcadia. We have a photography club starting May 21 that needs new members and we hope to Charter them in June. We want our Division to be Distinguished. We have a new club coach, Nora Jackson. We had highest percentage of officers trained in the District at 81%. Our Division Contest was successful. One of our clubs celebrated their 70 th anniversary and one their 75th anniversary this year. We are on track to be President s Distinguished. Division C Director Report - Director Jonclaud Pinto, DTM My motto: Service, Partnership and Success. We have great Area Directors working the DCP. Achievers Club is recognized as President s Distinguished. Area Directors met their goals of visits and also trained their replacements. We have four leads for new clubs. We hope to get at least three done by end of June. Our contests were so smooth. Toastmasters has amazing volunteers! I have a whole new view of Toastmasters after taking a leadership role. Friendly people who are willing to help and grow the Division. I now see everyone as friends. Great support. Thank you!!9

Division D Report - Director Anna Shcherbak, ACB, ALB We may not have it all together, but together we have it all. We have had a great year. We are growing from 27 clubs to 30. Most of our leaders did great work. Division E Report - Director Lionnel Yamentou, ACS, ALS Not available, counting voting ballots. Division F Report - Director David Moore, DTM I ve been juggling as Division Director. Trying to keep all balls in the air. Leading, getting all officers trained, contests, visits, it all takes time! We had 60% of our officers trained. Contests are near and dear to me. They were very successful: Area on March 19 and Division on April 9. At the start of the year, we got three new clubs right away. We lost a few clubs. Two more clubs need to get dues in. Several leads coming in. Had a demo meeting. We are looking to finish this year strong. Area Directors, please stand and be recognized. These are the people you will count on to make you a success. Division G Report - Director Marie-Noelle Palermo, ACB, ALB Not available, counting ballots. Division H Report - Director Timofey Tima Ovcharenko, ACS, ALB Our mission is to build leaders! We had 12 new members in one day! Several clubs were recognized. LACE North will be in Azusa, which is in Division H. 9 people applied for the 5 Area Director positions. My team was willing to show up to be the Toastmasters Mission: Where leaders are made. Candidates, International Director, Region 10 Pan Kao, DTM Pan Kao introduced the following candidates to present their campaign speeches. o Michael Osur, DTM, Past District Governor - District 12 o Charley Patton, DTM, Past District Governor - District 5 o Marlow Wilkerson, DTM, Past District Governor - District 1!10

DTM Recognition - Norm Stein, DTM Norm Stein, DTM introduced the following individuals for achieving their Distinguished Toastmaster award.
