NOTICE OF ANNUAL MEETING Dear Homeowner: This letter is to inform you that the annual meeting of the Orono Oaks Association Inc. (the Association ) will take place on Tuesday, October 24, 2017 at 7:30 pm at 1350 Orono Oaks Dr. Orono MN 55356 for the purpose of: (1) Election of a president to serve as the head of the association, (2) fixation of the annual assessment in accordance with the provisions set forth in Section 7, Paragraph C of the Declaration of Covenants, and (3) taxation of a special assessment upon the owners of Lots 1, 2, 3, 4, 5, 7, 8, 11, and 12 pursuant to Section 7, Paragraph D of the Declaration of Covenants. RECORD DATE: Monday September 18, 2017 is the Record Date. Homeowners who took title after this date will not be entitled to vote at this meeting. Only Members In Good Standing may cast a vote. A Member in Good Standing is defined at Section 6, Article D of the Declarations of Covenants. As a record owner or co-owner of the fee title to any property who: (1) has fully paid all installments due for assessments made or levied against the Member and his or her property, together with all interest, costs, attorney s fees, penalties, and other expenses if any, properly chargeable to the Member and his or her property; and (2) has not been declared by the Board, within ten (10) days prior to the meeting, to be in breach, default, or violation of any provision of the Declaration of Covenants or Conditions and Restrictions. Member shall be entitled to the assigned vote for each property to which he/she holds title with respect to all decisions to be voted upon by the Association membership. Members desiring to serve as president may choose to submit a Candidate Information Form and will be given the opportunity to speak at the meeting, and copies of all candidate biographical statements will be available to the Members for review. Any owner wishing to be elected as President must be present in person at the meeting. If you cannot attend the meeting, please assign your vote via proxy to the Interim President of the Association, David J.S. Madgett, or to a Member of your choice. The proxy holder must also be a Member in Good Standing, and the proxy holder must attend the meeting in order to vote on your behalf. Proxies must be returned to Madgett Law, LLC 619 S. 10 th St. Minneapolis, MN 55404 at least three (3) business days prior to the Annual Meeting (no later than Thursday, October 19, 2017 by 5:00 p.m.) in order to be honored. IF YOU DO NOT SUBMIT A TIMELY PROXY, YOUR VOTE WILL NOT BE COUNTED UNLESS YOU APPEAR IN PERSON AT THE MEETING. This annual assessment will be used to cover the costs of insurance, social events, and limited emergency maintenance for Outlot A and/or the Common Driveway of Lots 9, 10, and 13. The interim board recommends setting an Annual Assessment of $200.00 for the remainder of 2017. This assessment may be paid in two monthly installments.
