APPROVE THE USE OF THE STANISLAUS COUNTY PUBLIC WORKS CNG FUELING STATION BY THE ClTY OF TURLOCK FOR FUELING ClTY CNG VEHICLES; 4. APPROVE THE AGREEMENT WITH THE CITY OF TURLOCK TO FUEL THEIR CNG VEHICLES AT STANISLAUS COUNTY PUBLIC WORKS CNG FUELING STATION; AND, 5. AUTHORIZE THE DIRECTOR OF PUBLIC WORKS TO EXECUTE THE AGREEMENTS ON BEHALF OF THE COUNTY. DISCUSSION: The Public Works Department contacted the City of Turlock to initiate an agreement to allow County vehicles to fuel at Turlock's CNG facility. Subsequent to preparing the agreement, the City of Turlock requested a reciprocal agreement whereby City of Turlock vehicles could fuel at the County's CNG facility at Morgan Road. The attached agreements define the responsibilities and obligations of each agency. The agreements have been reviewed and approved as to form by County Counsel. POLICY ISSUES: This action is consistent with the Board's policy of providing a safe, healthy community. STAFFING IMPACT: There is no staffing impact associated with this item. a Click Here to Return to Agenda EXHIBIT I GENERAL CITY OF TURLOCK COMPRESSED NATURAL GAS FUELING AGREEMENT 1. This Agreement, between the City of Turlock (City), a political subdivision of the State of California, and County of Stanislaus (Customer), is for the supply of compressed natural gas (CNG) for fueling motor vehicles. 2. Customer agrees to purchase and City agrees to provide a supply of CNG pursuant to the terms of this Agreement. The cost of fuel shall include City's operating costs and applicable taxes. The price per gallon equivalent, as of the date of this Agreement, will be sixty-six cents (.66) in addition to NGVI (the PG&E fuel cost). Customer agrees that City's operating cost may be adjusted quarterly. When the City's operating cost is adjusted, City will notify Customer in writing at least 30 days prior to the effective date of the new cost. 3. Customer agrees to provide a written list of all vehicles, including make, model, year, odometer reading, vehicle identification number, and license number, which will be using CNG. The Customer agrees to notify City if any of the vehicles are taken out of service, no longer fueled by CNG, or other vehicles converted to CNG. 4. This Agreement includes Exhibit A (Certificate of Training and lnstruction for Fueling Natural Gas Vehicles). Exhibit A is incorporated into and made a part of this Agreement. FUELING LOCATION 5. City will provide fueling facilities at 1001 S. Walnut Road, Turlock, California. 6. Customer access time shall be mutually arranged. 7. Fueling will be accomplished by using the CNG dispensing system. Customer will be provided one (1) card key per vehicle which will be used to initiate fueling. Customer will be held responsible for the safe keeping of the card key and will be charged for replacement of said card key if it is lost or stolen. it shall be the responsibility of the Customer to notify City immediately if said card key is lost or stolen. 8. Training certification will be required for each individual who may fuel a natural gas vehicle. Each operator shall be responsible for completing a Certificate of Training and lnstruction for Fueling Natural Gas Vehicles. No person is permitted to fuel a vehicle with CNG until the City has issued a signed Certificate of Training and lnstruction for Fueling Natural Gas Vehicles to that individual. Each person completing such training must be re-certified in training every three (3) years. Contract No. 04-1 52

Customer accepts all risks related to the operation and fueling of Customer's motor vehicles at City's CNG fueling station, and agrees to hold City and its employees, officers, agents and representatives harmless form any and all damages resulting from ingress, egress, and fueling with CNG at the City facility or any other damage or injury whether to persons or property as a result of or in direct relationship to the fueling of Customer's motor vehicles with CNG, excepting only such damage or injury caused by the sole negligence or willful misconduct of City. 14. Customer agrees to accept financial responsibility for any damage caused to City's property due to negligence or willful misconduct of Customer's employees, agents, officers or representatives, including any of Customer's contract bus operators, during ingress, egress or fueling of motor vehicles with CNG. 3 Contract No. 04-152

If this Agreement is assigned, it shall be binding on the party to which it is assigned. Assignment of this Agreement shall not release the assigning party form any of its obligations under this Agreement unless such a release is agreed to in writing by the other party and the assuming party, AMENDMENT 16. This Agreement may be modified, amended, changed, added to or subtracted from by the mutual consent of the parties hereto if such amendment or change is in written form and executed with the same formalities as this Agreement and attached to the original Agreement to maintain continuity. ENTIRE AGREEMENT 17. This Agreement supersedes any and all other agreements, either oral or in writing, between any of the parties herein with respect to the subject matter hereof and contains all the agreements between the parties with respect to such matter. Each party acknowledges that no representations, inducements, promises or agreements, oral or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein, and that no other agreement, statement or promise not contained in this Agreement shall be valid or binding. ADVICE OF ATTORNEY 18. Each party warrants and represents that in executing this Agreement, it has received independent legal advice from its attorneys or the cpportunity to seek such advice. CONSTRUCTION 19. Headings or captions to the provisions of this Agreement are solely for the convenience of the parties, are not part of this Agreement, and shall not be used to interpret or determine the validity of this Agreement. Any ambiguity in this Agreement shall not be construed against the drafter, but rather the terms and provisions hereof shall be given a reasonable interpretation as if both parties had in fact drafted this Agreement. GOVERNING LAW AND VENUE 20. This Agreement shall be deemed to be made under, and shall be governed by and construed in accordance with, the laws of the State of California. Click Here to Return to Agenda EXHIBIT A CERTIFICATE OF TRAINING AND INSTRUCTION FOR FUELING NATURAL GAS VEHICLES INSTRUCTIONS: One form is to be completed for each individual who may fuel a natural gas vehicle at the City facility. Each individual shall receive instruction and training prior to fueling a motor vehicle at the City's facility. No person may fuel a natural gas vehicle at the City facility unless a form has been signed by both the person desiring to fuel a vehicle and an authorized City representative. HOW TO SAFELY FILL NATURAL GAS VEHICLES The following procedures shall be followed: 1 No smoking or open flame shall be allowed within 50 feet of the fueling area. 2. All cell phones/communication radios turned off. 3. Cylinders not in compliance with DOT or ASME regulations shall not be fueled. 4. Vehicle must be shut off. 5. The vehicle hand or emergency brake must be set. 6. Remove protective cap on vehicle refueling receptacle (if applicable). 7. Remove fueling device from dispenser. 8. Inspect fueling hose and connector prior to making connection. 9. Make connection and ensure connector is locked in place. 10. Open refueling valve. 11. Shut off refueling valve on fueling device after flow stops registering on dispenser. 12. Place refueling device back on dispenser. (Continued on next page)

County will bill Customer at the applicable rate(s) for the total compressed natural gas service during that billing period. Fuel supplied to any contract bus that is authorized by Customer to fuel at County's CNG fueling station will be included in the total amount of compressed natural gas billed to Customer for that period. The billing period shall be from the first day of the month through the last day of the month. County shall send a monthly invoice to Customer addressed as follows: CITY OF TURLOCK ADMINISTRATIVE SERVICES : FINANCE OFFICE Payment for that invoice must be received by County within thirty days of the date of mailing. Either party must designate by written notice any change of address to which formal communications should be sent. Formal communications shall be deemed effective when received. LIABILITY 13. Customer accepts all risks related to the operation and fueling of Customer's motor vehicles at County's CNG fueling station, and agrees to hold County and its employees, officers, agents and representatives harmless form any and all damages resulting from ingress, egress, and fueling with CNG at the County facility or any other damage or injury whether to persons or property as a result of or in direct relationship to the fueling of Customer's motor vehicles with CNG, excepting only such damage or injury caused by the sole negligence or willful misconduct of County.

Customer agrees to accept financial responsibility for any damage caused to County's property due to negligence or willful misconduct of Customer's employees, agents, officers or representatives, including any of Customer's contract bus operators, during ingress, egress or fueling of motor vehicles with CNG. ASSIGNMENT 15. This Agreement may not be assigned by either party without the written consent of the other. If this Agreement is assigned, it shall be binding on the party to which it is assigned. Assignment of this Agreement shall not release the assigning party form any of its obligations under this Agreement unless such a release is agreed to in writing by the other party and the assuming party, AMENDMENT 16. This Agreement may be modified, amended, changed, added to or subtracted from by the mutual consent of the parties hereto if such amendment or change is in written form and executed with.the same formalities as this Agreement and attached to the original Agreement to maintain continuity. ENTIRE AGREEMENT 17. This Agreement supersedes any and all other agreements, either oral or in writing, between any of the parties herein with respect to the subject matter hereof and contains all the agreements between the parties with respect to such matter. Each party acknowledges that no representations, inducements, promises or agreements, oral or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein, and that no other agreement, statement or promise not contained in this Agreement shall be valid or binding. ADVICE OF ATTORNEY 18. Each party warrants and represents that in executing this Agreement, it has received independent legal advice from its attorneys or the opportunity to seek such advice. CONSTRUCTION 19. Headings or captions to the provisions of this Agreement are solely for the convenience of the parties, are not part of this Agreement, and shall not be used to interpret or determine the validity of this Agreement. ,Click Here to Return to Agenda ' EXHIBIT A CERTIFICATE OF TRAINING AND INSTRUCTION FOR FUELING NATURAL GAS VEHICLES INSTRUCTIONS: One form is to be completed for each individual who may fuel a natural gas vehicle at the County facility. Each individual shall receive instruction and training prior to fueling a motor vehicle at the County's facility. No person may fuel a natural gas vehicle at the County facility unless a form has been signed by both the person desiring to fuel a vehicle and an authorized County representative. HOW TO SAFELY FILL NATURAL GAS VEHICLES The following procedures shall be followed: 1 No smoking or open flame shall be allowed within 50 feet of the fueling area. 2. All cell phones/communication radios turned off. 3. Cylinders not in compliance with DOT or ASME regulations shall not be fueled. 4. Vehicle must be shut off. 5. The vehicle hand or emergency brake must be set. 6. Remove protective cap on vehicle refueling receptacle (if applicable). 7. Remove fueling device from dispenser. 8. inspect fueling hose and connector prior to making connection. 9. Make connection and ensure connector is locked in place. 10. Open refueling valve.
