Chairman s Chat Welcome to the first Newsletter of 2012 and may I take this opportunity of wishing you all a very Happy and Healthy New Year. To get the year off to a good start the Committee has resolved a framework of events for 2012 based on previous Club activities together with additional suggestions all of which are included in this publication. This will be discussed at the Annual General Meeting on 31 st January together with any proposals from all members, so if you have any thoughts about venues/activities/events please make them known to any Committee Member or bring them along to the AGM and they will be greatly appreciated. Following this we will be in a position to establish the 2012 Calendar of Club Events for publication in the February Newsletter. As already mentioned the AGM will be held at the Welcome Tavern at 8:30pm 31 st January and your attendance together with any ideas or suggestions you may have regarding the organisation and running of the Club is very important. Regarding Committee service, this year we sadly lose two valued Members in the shape of Mike Newton and Bill Bradshaw who have, over the years, given their time and effort for the good continuance of the Club and we all owe them a sincere thanks for their past and much appreciated service. Committee replacements are therefore required and I am pleased to note that we have nominations from Club Members, Michael Hart and Godfrey Dennis who together are prepared to stand for election at the AGM. Please be aware that any other Club Member is eligible for Committee service and that service would be of great value to the Club, so should you have nominations for any Committee position, please forward that information to any Committee Member or make your presentation at the AGM. Also attached to this publication is an updated proposal of the Clubs Constitution which would replace the 2008 version. It has been thought necessary to make some adjustments and additions at this time in order to ease the organisation and running of the Club but to maintain the basic principals as set out at the Clubs 1980 foundation. PLEASE ATTEND THE AGM - YOUR VOTE COUNTS From the feedback everybody appeared to enjoy the Christmas Dinner and Awards Night at the Ley Inn Clayton le Woods. It is suggested that the same venue should be considered for next years bash provided we can co ordinate our presentation section at a different time to the competitive live music (?) in the adjacent room. AND FINALLY It was a delight to see such a wonderful turn out for the Cold Turkey Run on the 27 th and to welcome a new Member, John Collinson with his beautifully restored MGA. I had to leave prior to the off as we were driving over to Goathland for a midweek break and yes Julie it was room 23 SUPERB. AND FINALLY, FINALLY Just in case you thought I had lost all interest in waste of space greenery I am reliably informed that our many windmills and solar panels failed to produce enough useable energy during the Christmas period to cook the proverbial turkey! Happy New Year Mr Hulne! BILL R. Secretary s Scrawls Our annual dinner at the Ley Inn was reasonably well attended, members and their guests enjoying a sumptuous dinner and good companionship. It was also time for our annual presentations, and this year it fell to yours truly to present the annual awards, a great honour bestowed in recognition of serving ten years on the committee, or so the chairman said (though I think it was because it was the closest they could get to local celebrity Bill Beaumont, who wasn t available). Janet and I also had the honour of being awarded with the Sam Bennett trophy as Enthusiasts of the Year, which is now gracing our sideboard. This was a complete surprise, as I thought that we as a committee had decided to present it to somebody else, but we are very thrilled. As Bill has mentioned, we had a good turnout of cars for the Cold Turkey Run on 27 th December, 14 in all, including new member John Collinson whose MGA is shown on the front page that makes 5 MGA s in the club now, three running whilst we await first sight of the Sharples version and Howard Sturrock s extended restoration. The route took us through some pleasant countryside in very decent weather for a change (remember last year, and the year before?), and onto the White Crow at Worthington where 26 of us enjoyed a pleasant lunch in very convivial company. For those who took the time to fill in the crossword in last month s edition, the solution has been added later in this one. Bill B. Page 3

The committee would like to suggest that the membership fee should remain at 15.00 per year, renewable in October. Note. Proposed Draft of constitution 2012, to replace Constitution 2008 Proposal for additions to constitution are presented in italics below, changes to existing constitution in italics and bold type 1. The title shall be: Preston & District MG Enthusiasts Club hereinafter referred to as the club. 2. The club shall be a non-profit making organisation whose objects are outlined as follows in paragraph 3. 3. The objects of the club are to promote a common interest in the upkeep, preservation, restoration, and use of MG motor cars, to provide social events that foster friendship and enjoyment among its members, and to engage in activities that support the club and the interests of its members. 4. The club shall be non-political, non-sectarian. 5. The subscription fee shall be renewable annually and shall cover the member s family. This fee to be decided by the membership at the Annual General Meeting. (was AGM) 6. The management and control of the club shall be vested in the committee. The committee shall consist of: - a) a chairman, b) a secretary, c) a treasurer d) minimum of four other members. 7. Members of the committee shall be elected at the Annual General Meeting to serve for a period of one year. 8. The committee shall (have the possibility to) elect a member of the committee to the position of Vice Chairman. 9. Four members of the committee shall constitute a quorum, with at least one being the chairman, vice chairman, treasurer, or secretary. 10. In the case of a tied vote the chairman (or if the chairman is not present the vice chairman or secretary or treasurer, chairing the meeting) will have the casting vote. 11. Club meetings shall be held monthly according to a programme arranged by the committee. 12. The committee shall have the possibility of co-opting members to form any subcommittee, and shall prescribe the function of any such sub-committee. 13. The Annual General Meeting (AGM) shall be held annually on a date to be decided by the committee, the said AGM to be held no later than 15 months after the previous one. 14. Any Special General Meeting (SGM) that is required from the membership shall be convened within 30 days of the receipt of a request in writing to the secretary from any ten members of the club. (was committee) 15. Notice of the AGM or any SGM will be given by the committee. The notice shall include an agenda and be given to all members not less than 21 clear days before the AGM. 16. No alteration of the constitution may be made except at the AGM, or at a SGM called for this purpose. 17. The treasurer shall keep an account of all income and expenditure and shall submit accounts duly audited at the AGM. The banking account shall be in the name of the club. Signatory to the account shall be the treasurer, though other specified committee members as decided by the committee can act as signatories for withdrawals. Page 5

18. An auditor not being a member of the committee shall be appointed to audit the accounts and books of the club. 19. Any assets remaining on dissolution of the club after satisfying any outstanding debts and liabilities shall be shared between all fully paid-up members. 20. Any matter not provided for in the constitution shall be dealt with by the committee, whose decision shall be final. 21. Any request for alteration to the constitution must be received in writing by the secretary a minimum of 30days before the Annual General Meeting to be eligible for consideration.
