City of Biddeford Finance Committee Meeting Minutes January 17, 2017 The meeting was called to order at 5:00 pm by Council President John McCurry. Present: Chair, Council President John McCurry, Mayor Alan Casavant, Councilor Marc Lessard, Councilor Steven St. Cyr, City Manager Jim Bennett and Finance Director Mike Wilson. Motion by Councilor Lessard to approve the minutes of 1/3/17, seconded by Mayor Casavant, unanimous. Motion carried, 4-0. The expenditure warrant was available for review and signature. General Assistance Program Software Jerry Gerlach gave an overview of the software program. Councilor Lessard asked about the cost. Jerry responded $4,000 a year and the implementation would be $7,500. Motion by Councilor Lessard to approve the amount of $8,500 for the software, seconded by Councilor St. Cyr. Discussion: Councilor McCurry asked how much time the software would save. Jerry noted it would save a lot of time and explained. Vote: Unanimous. Motion carried 4-0. New Procurement Standards under the Uniform Guidance Mike Wilson explained and noted Staff is on top of the requirements. Councilor McCurry noted he had asked for the information. Use of FY2016 Surplus for Capital Projects Mike Wilson explained and gave an overview of the surplus amount and the capital projects from FY2016 surplus already approved by Council. Councilor McCurry reiterated his point the City should not be funding the library capital projects. FY2016 Fund Balance Ratio Mike Wilson noted the ratio for FY2016 was at 11.38% and the preferred target by our Ordinance is 12½%. Approval for Parking Control Vehicle Carl Marcotte gave an overview, including the bids. Arundel Ford met the specs they needed. Councilor Lessard asked about purchasing with cash. The City Manager explained we couldn t do that given the upcoming budget. Councilor McCurry agreed we should pay cash and use the parking fines to pay for it. Motion by Councilor Lessard to accept the purchase of the vehicle, seconded by Councilor St. Cyr, unanimous 2

AMENDMENT NO. 4 TO AGREEMENT BETWEEN CITY OF BIDDEFORD AND WRIGHT-PIERCE FOR INFOSWMM MODEL OF THE HORRIGAN COURT COLLECTION SYSTEM 40

AMENDMENT NO. 4 TO AGREEMENT BETWEEN CITY OF BIDDEFORD AND WRIGHT-PIERCE FOR INFOSWMM MODEL OF THE HORRIGAN COURT COLLECTION SYSTEM This Amendment made the day of, 20, by and between the City of Biddeford, (hereinafter called CLIENT), and WRIGHT-PIERCE (hereinafter called ENGINEER). WHEREAS, an Agreement was entered on February 15, 2011 between CLIENT and ENGINEER, which Agreement is entitled "Diamond National Area CSO Storage Facilities Evaluation", hereinafter referred to as AGREEMENT, and WHEREAS, the CLIENT is requesting additional services associated with addressing comments received from the Maine Department of Environmental Protection (MaineDEP) on December 28, 2016 related to the CLIENT s 2015 CSO Master Plan Update. NOW, THEREFORE, in consideration of said AGREEMENT and other good and valuable considerations, it is hereby agreed and acknowledged by and between CLIENT and ENGINEER to amend the AGREEMENT as follows: 1. The AGREEMENT shall be amended to include this Amendment, a copy of which shall be attached thereto and made a part thereof. 2. The ENGINEER will provide services to address select comments from the MaineDEP December 28, 2016 letter as follows: a. MaineDEP #2 ENGINEER will update the existing sewer mapping with cross connections and areas to be separated based on markups provided by the CLIENT. b. MaineDEP #3 ENGINEER will collect all existing SSES activity data from the CLIENT, review the data with respect to past SSES activity, and recommend future SSES activities. ENGINEER will prepare a SSES activity summary and future recommended plan for submittal to the MaineDEP and for implementation in 2017 and 2018. This task does not include the performance of actual SSES field activities. c. MaineDEP #4/#6 ENGINEER will update the InfoSWMM hydrologic/hydraulic model for use in confirming that the existing sewers downstream of the point of flow diversion at Center Street will have sufficient capacity to convey combined flows to the WWTF without creating SSOs or other hydraulic capacity issues. InfoSWMM modeling tasks will include: 1. Assisting the CLIENT with meter location selection and coordinating meter locations with the CLIENT s contracted metering consultant. 2. Review the meter data collected by the metering consultant on a monthly basis to ensure that appropriate meter data is being collected. 3. Provide additional detail to the InfoSWMM model to cover the existing sewer trunk line from the intersection of Main Street and Center Street to the WWTF on Water Street. 4. Calibrate the model using the additional meter data. 5. Perform existing conditions model runs for up to three design storms (5-year, S4, and 25-year). 6. Perform alternative analysis model runs for the Center Street flow diversion for the same design storms. 7. Perform alternative analysis model runs for the Elm Street pump station addition for the same design storms. 8. Generate a summary memorandum of the InfoSWMM model update for review by CLIENT staff and for submittal to the MaineDEP. 3. The time charge budget for completing modeling Tasks is as follows: Task a Mapping Assistance $500 Task b SSES Reporting and Planning $4,700 Task c1 Metering Assistance $400 Task c2 Review Meter Data $1,800 Task c3 Update InfoSWMM Model $2,700 Task c4 Model Calibration $2,300 Task c5 Existing Conditions Model Runs $1,000 Task c6 Center Street Model Runs $1,000 Task c7 Elm Street PS Model Runs $1,000 Task c8 Summary Memorandum $3,300 Subtotal $18,700 Non-Labor $500 Total $19,200 4. The AGREEMENT shall be amended to establish the ENGINEER S liability for the items covered in this AMENDMENT as follows: The ENGINEER shall be, and shall remain, liable in accordance with applicable law for all damages to the CLIENT caused by the ENGINEER S negligent performance of any of the services furnished under this AMENDMENT, except for error, omissions or other deficiencies to the extent attributable to the CLIENT, CLIENT-furnished data or any third party. 5. The AGREEMENT shall be amended to define the procedure for Termination of the AMENDMENT as follows: A. Termination: The obligation to provide further services under this AMENDMENT may be terminated: 1. b. by ENGINEER: 1) upon seven days written notice if CLIENT demands that ENGINEER furnish or perform services contrary to ENGINEER s responsibilities as a licensed professional; or 2) upon seven days written notice if the ENGINEER s services for the Project are delayed or suspended for more than 90 days for reasons beyond ENGINEER s control, or as the result of the presence at the Site of undisclosed Constituents of Concern. 3) ENGINEER shall have no liability to CLIENT on account of such termination. c. Notwithstanding the foregoing, this AMENDMENT will not terminate if the party receiving such notice begins, within seven days of receipt of such notice, to correct its substantial failure to perform and proceeds diligently to cure such failure within no more than 30 days of receipt thereof; provided, however, that if and to the extent such substantial failure cannot be reasonably cured within such 30 day period, and if such party has diligently attempted to cure the same and thereafter continues diligently to cure the same, then the cure period provided for herein shall extend up to, but in no case more than, 60 days after the date of receipt of the notice. 2. For convenience, by CLIENT effective upon ENGINEER s receipt of notice from CLIENT. B. Effective Date of Termination: The terminating party under Paragraph 6.06.B may set the effective date of termination at a time up to 30 days later than otherwise provided to allow ENGINEER to demobilize personnel and equipment from the Site, to complete tasks whose value would otherwise be lost, to prepare notes as to the status of completed and uncompleted tasks, and to assemble Project materials in orderly files. C. Payments Upon Termination: 1. In the event of any termination, ENGINEER will be entitled to invoice CLIENT and to receive full payment for all services performed or furnished in accordance with this AMENDMENT and all Reimbursable Expenses incurred through the effective date of termination. Upon making such payment, CLIENT shall have the limited right to the use of Documents, at CLIENT s sole risk. 2. In the event of termination by CLIENT for convenience or by ENGINEER for cause, ENGINEER shall be entitled, in addition to invoicing for those items identified, to invoice CLIENT and receive payment of a reasonable amount for services and expenses directly attributable to termination, both before and after the effective date of termination, such as reassignment of personnel, costs of terminating contracts with ENGINEER s Consultants, and other related close-out costs, using methods and rates for Additional Services as set forth. 3 01/25/17 J:\ENG\ME\Biddeford\12223-DiamondMatchLot\12223B - InfoSWMM Model\Agreement\Amendment No. 4\Amendment No. 4.doc 43

8. The AGREEMENT shall be amended to establish the Access to Records pertaining to this AMENDMENT as follows: The CLIENT, DEP, Maine Municipal Bond Bank and the Comptroller General of the United States, or any of their authorized representatives, shall have the right to access to any pertinent books, documents, papers, or other records of the ENGINEER S which are pertinent to this project in order to make audits, examinations, excerpts, and transcripts. 9. The AGREEMENT shall be amended to establish a procedure to cover Changes in Scope and Additional Services as follows: During ENGINEER's work on the project it may become apparent to either CLIENT or ENGINEER that Additional Services not included in the basic Scope of Services are desired. ENGINEER will undertake to provide such Additional Services upon CLIENT s written authorization. 10. The AGREEMENT shall be amended to establish Dispute Resolution pertaining to items covered in this AMENDMENT as follows: Dispute Resolution A. CLIENT and ENGINEER agree to negotiate all disputes between them in good faith for a period of 30 days from the date of notice prior to invoking other procedures, or exercising their rights at law. B. If the parties fail to resolve a dispute through negotiation, then either or both may invoke other procedures or may exercise their rights at law.
