California State Chapter GENERAL MEMBERSHIP MEETING MINUTES Sheraton Grand Sacramento, California Monday, June 5, 2006 8:15 Breakfast honoring the Chapter Excellence Awards winners. Chapters were introduced and congratulated by President, Jean Tietgen, the Leadership Team and the membership. Gold Chapter Awards: Contra Costa, Delta, El Dorado, San Diego, Santa Clara, Santa Cruz, Solano, South Orange County, Southern Alameda County, Wine Country, and Tri- Cities Chapters. Silver Chapter Awards: Bakersfield, Coastal West Orange County, Long Beach, Placer County, San Francisco, Southwest Los Angeles, Tri-County, and Victor Valley. Recruitment Award: Tri- Cities Chapter Top Ten of Class Awards: Class A- West Valley Chapter, Class B-Verdugo Hills, Class C- San Fernando Valley, Class D- Monterey Peninsula, and Class D- Contra Costa. Napa Valley had 81.1 % Retention and Long Beach had 80.5 % Retention, Call to order at 8:45 a.m. by President, Jean Tietgen. Jean Tietgen thanked the Leadership Team, members and our Sponsors for their support this year. President, Jean Tietgen introduced the head table: Mike Riley, Treasurer; Jeri Jorgenson, Secretary; Bobbie Nelson, President-Elect; Denise Aquila, Parliamentarian. Governors and District Vice President were introduced. Governors: James Nevans, Jamie Saltman, Barbara Safran, Linda Ellen Anderson, and Cathy Scharetg.

District Vice-Presidents: Pat Douglas; Tanya Manley; Cecily Tippery; Edith Broyles, Dana Haycock, Linda Yentsch, Jennifer Rodgers, Denise Smith, Candis Darby, and Christine Thoulion. Past State Presidents: Carol Luckenbach, Betty Taisch, and Judy Myers. All Local Chapter Presidents were asked to stand to be acknowledged and introduce themselves and their Chapters. Silver Sponsors OnLine ED and First American Title were also acknowledged for their support along with Platinum Sponsors, Orange County

Association of REALTORS, Star Real Estate, and Coastal West Orange County WCR Chapter. Hospitality Sponsors were recognized; Avalar Real Estate & Mortgage Network, Southern Alameda County WCR Chapter, Central Escrow, and First American Title Company. SPECIAL SESSION OF THE GENERAL MEMBERSHIP MEETING CALLED TO ORDER BY PRESIDENT JEAN TIETGEN AT 10:22. Parliamentarian, Denise Aquila read rules of the day. President Jean Tietgen restated the time limit of 1 minute to speak or to comment on issues being discussed. Credentials Chair, Sherri Souza, reported that we have 125 national members in attendance and that we have a quorum. President, Jean Tietgen announced that the Bylaws amendment was noticed to our membership as required by our State Chapter Bylaws. Bylaws Chair- Barbara Safran made the following motion. MOTION to accept the proposed Bylaws Amendment regarding Election of Officers: ARTICLE IX-ELECTION OF OFFICERS Section 1: The election of officers shall be held at the Annual Election Meeting of the State Chapter, which shall be held prior to or in conjunction with FALL MEETING of the CALIFONRIA ASSOCIATION OF REALTORS. Section 2: (A) Election of officers shall be by Viva Voice or roll call vote or written ballot if there are two or more nominees for an office.a majority shall elect. When there are more than two nominees for any office except the offices of State Governor and District-Vice-President, and there is no majority on the first ballot, the top two candidates will run off against each other and all other candidates are eliminated. State Governors and District Vice-Presidents shall be elected by plurality vote. (B) Voting by proxy shall not be permitted. Section 3: (A) The voting delegates shall be all members of the Governing Board. (B) The Local Chapter Delegate shall be the President in good standing of the Local Chapter or another member, who shall be an Active member in good standing of the same Local Chapter, designated in writing by the Local Chapter President.

(C) Each Governing Board member shall be entitled to cast one vote, with the exception of the Local Chapter Delegates, who shall be entitled to cast one vote for the Chapter s first 30 Active members two votes for 31-60 Active members, three votes for 61-90 Active members, and so forth, adding one vote for each 30 Active-member increment. Votes must be cast for a single candidate and may not be split. (D) The number of Active members in good standing of a Local Chapter shall be determined on August 1 st of that year according to the records of the national WCR Office. (E) Members at large may caucus prior to the election meeting and select one member as their delegate to cast one vote. (F) No person may cast more than one ballot (G) All voting delegated must be full-fee registrants of the meeting. Section 4: (A) A Credentials Committee shall be appointed by the President with approval of the Governing Board. (B) Delegates shall check in at the convention prior to the Annual Election Meeting to be credentialed by the committee as voting delegates. Betty Taisch made a motion to amend the motion made by the Bylaws chair: MOTION: To postpone the vote on the proposed Bylaws Amendment and have a town hall forum at our October State meeting for further discussion. Motion was seconded by Jean Kulemin. After discussion had been heard, Barbara Lymberis made a Motion to Call for the Question. Motion Passed. Vote was taken on the amendment to the original Motion. Amendment Failed. Discussion continued on the original motion brought before the body from Bylaws Chair, Barbara Safran. A Motion to Call for the Question was made by Linda Ellen Anderson. Motion Passed.

Tellers were selected by President, Jean Tietgen. The tellers were Tracy Stallings, Nita Lyons, and Cecily Tippery. Vote was conducted by a show of ballots for and/or against. MOTION TO AMEND THE BYLAWS PASSED with the necessary two-thirds vote. Platinum Sponsor- American Home Shield, Jeremy Kelly and Eric Caruso addressed the members. Announcement of the Long Beach Night out on the Queen Mary on Sunday October 15 th at our State Meeting. President, Jean Tietgen gave a report from Nominating Chair, Carol Luckenbach and announced the slate of officers for 2007 by the Nominating Committee. President-Elect- Jeri Jorgenson Secretary- Mike Riley Treasurer- Barbara Safran and James Nevans Governors: Cecily Tippery, Denise Smith, Barbara Lymberis, Vicky Campbell, Diane Dee Lee District-Vice-Presidents: Heather Ozur, Marvelene Weyer, Jennifer Walker, Kerry Grantham, Edith Broyles, Jennifer Rodgers, Sherri Souza, Pam Thompson, Theresa Berenger, LaRay Spencer. President, Jean Tietgen asked the membership if there were any members who wanted to declare themselves as a candidate for any State officer for 2007. Candis Darby declared her intention to run from the floor as a candidate for District Vice- President for 2007. GOVERNING BOARD MEETING Called to order by President Jean Tietgen at 10:30 a.m. Roll Call of the Governing Board by Secretary, Jeri Jorgenson. A Quorum was established. Secretary, Jeri Jorgenson, presented the January 23, 2006 and January 24, 2006 minutes. The minutes were posted on the website and copies provided in writing to the members. MINUTES WERE APPROVED. Treasurer- Mike Riley gave the Treasurer s report. As of 4/30/06, the balances are $137,375.31 in the Washington Mutual Checking Account and $22,696.07 in the Citigroup Smith Barney Money Fund. Total assets: $160,071.38. Additionally,

$13,375.50 was reimbursed by National for State Dues; $2,500 was received in May for Hospitality Sponsor; and $2,500 was received in May for Installation Sponsor. President- Elect, Bobbie Nelson, gave a membership report. As of March 31, 2006 we had 2,646 members with 603 new members since the first of the year. We had 706 members who did not renew. As of June 5, 2006 we have 2,963 National members. The challenge at the Local, State, and National level remains the retention of members. Standing Committee Reports: By-Laws, Barbara Safran. No action items. Education Awards, Diane Dee Lee Reported that Education reimbursement money is available. No action items. Education and Programs, Barbara Lymberis. No action items. Finance and Budget, Pam Thompson. Reported that she and Treasurer, Mike Riley are researching moving funds from the checking account to an interest-baring account. No action items. Membership, Diane Schultz. No action items. Nominating, Carol Luckenbach. No action items. Strategic Planning, Judy Meyers. MOTION- To authorize establishment of $10,000 to a strategic planning fund from reserve savings account or budget augmentation for the purpose of creating a 3-year strategic plan. MOTION PASSED. Judy Meyers- MOTION to create a budget item of $3,000 annually for an ongoing reserve account for strategic planning beginning in 2007 to develop future plans and implications. MOTION PASSED. Ways and Means, Feleciai Favroth. No action items. National Focus, Emily Link. A report on her behalf was given by Jean Tietgen.
