Northern Districts Darts Association Constitution Affiliated to Darts SA and Darts Australia

1. Title The name of the Association shall be the Northern Districts Darts Association Incorporated. 2. Club Mission and Purpose The aims of the club shall be: a) To improve and develop the amenities, conditions and facilities of premises where the game of darts is played. b) To provide, establish and maintain facilities, buildings and staff for recreational and social purposes and in particular for the playing of the game of darts. c) To collaborate and co-operate with other bodies with objects similar to the above mentioned objects for the purpose of advancing the interests of the Association. d) To apply for and hold such licence or licences including any licence pursuant to the Licensing Act 1967 (as amended) as may be necessary or expedient for the conduct of the Association activity. e) The Association shall be a non-profit organisation. 3. Membership The Association shall have the following classes of membership: a) Honorary Life Members elected within clause four hereof. b) Ordinary members who shall be persons registered with the Northern Districts Darts Association. c) Junior Members who shall be persons registered with the Northern Districts Darts Association under the age of 18 years. d) Associate Members bestowed by the Committee of Management when and as required. e) Immediately on the election of a new member the registrar shall forward or hand to such member a copy of the Constitution and Rules for the time being in force. 4. Honorary Life Members shall only be members of not less than five years standing who shall in the opinion of the Committee of Management have rendered special services to the Association provided however that such election shall not take effect unless

and until the same is confirmed at the Annual General Meeting following the date of such election. 5. Players Each club shall register its players with the Association and ensure that its players abide by the rules of the Association and contribute prescribed fees. 6. Voting Each Honorary Life Member and Ordinary Member shall be entitled to one vote at any properly constituted meeting of the Association. Junior Members and Associate members shall not be entitled to vote. 7. Committee of Management The affairs of the Association shall be managed by a Committee of Management, which shall consist of the following officers: President Vice President Secretary Treasurer/Registrar Two year appointment One year appointment Two year appointment Two year appointment SUB COMMITTEE Minutes Secretary Men s Match Secretary Ladies Match Secretary Two Committee Members Six Committee Members One year appointment One year appointment One year appointment Two year appointment One year appointment 7.1 In the event of a casual vacancy occurring in the Committee of Management, such a vacancy may be filled by an appointment by the Committee of Management and such person appointed shall hold office until the next Annual General Meeting.

7.2 The Committee of management shall have the power to: a) Manage the affairs of the Association. b) Manage and control all matters in connection with competitions and provide prizes in connection therewith. c) Hold inquiries into and make decisions in connection with all disputes, protests and all other matters referred to it, and where necessary, penalise member clubs by means of fines or a loss of match or individual points or both. d) Create, regulate and control divisions and zones of the Association and determine which clubs and teams shall play in such divisions and zones. e) Deal with correspondence of the Association. f) Open and conduct a bank account. g) Pass all accounts for payment. h) Elect Honorary Life Members, subject to no.4. i) Purchase, take or lease or in exchange, hire or otherwise acquire and hold any real or personal property of the Association for the sole benefit of the Association. j) Sell, exchange, lease, let, mortgage, pledge, hire, dispose of, turn to account or otherwise deal with all or any part of the real or personal property of the Association for the sole benefit of the Association. k) Raise or borrow money for the sole purpose of the Association and secure a repayment thereof in such manner as the Committee of Management thinks fit. l) Conduct appeals for funds and to accept donations whether of real or personal estate and devises, and bequest for the sole benefit of the Association. m) Appoint and apply staff to the centre and the same to dismiss or suspend. n) Make the rule for the better conduct and regulation of the affairs of the Association. o) Affiliate with or grant affiliation to or collaborate with any Associations or body (not being an Association or body formed for the purpose securing pecuniary profits to its members from its transactions). The objects of which are too concordant with those of the Association, but such affiliation shall not take effect unless and until the same is confirmed at a General Meeting.

p) Do all other things being necessary for the good order and management of the Association. 8. Committee Meetings 8.1 The committee of Management shall meet at least once every calendar month. 8.2 A quorum for such meetings shall consist of not less than 40% of the Committee of management. 8.3 Any officer or Committee member missing three consecutive meetings with or without an apology may be dismissed at the discretion of the Committee of Management. 8.4 The minutes of all resolutions and proceedings of the Committee shall be entered by the Minutes Secretary in the books kept for that purpose. 9. Officers and Duties 9.1 President a) Shall preside over the meetings of the Association and of the Committee of Management and shall have a deliberate and casting vote. b) To satisfy themselves as to the accuracy of any minutes to be presented to the meeting for confirmation. c) To introduce guest speakers and to arrange for votes of thanks to them. d) To protect free speech and to ensure that debates are conducted in the correct manner, and in particular to see that the motions and amendments are respectfully worded, unambiguous and otherwise in order. 9.2 Vice President The Vice President shall deputise for the President when and if required. 9.3 Secretary The Secretaries duties shall be to conduct correspondence in accordance with directions received from the committee and to attend

to all clerical duties of the Association other than those within the province of the Treasurer, the Minutes Secretary, and the Match Secretaries and shall perform any other duties directed by the Committee. 9.4 Treasurer/Registrar The Treasurer duties shall be: a) To receive all monies paid to the Association and issue receipts. b) To pay all monies received into the Association Bank Account within reasonable time upon explanation to the Committee. c) To submit statements of accounts at the Annual General Meeting or if required at a Special General Meeting. d) To submit a brief financial statement at each Committee meeting. e) To correctly keep proper books of accounts. f) To verify and sign the annual statement of accounts. g) To produce such books, papers and documents to the auditors as they are required. h) To act as the Public Officer within the meaning of the Association Incorporation Act 1956 as amended and shall attend to the filing of all necessary documents of the said Act. i) To carry out such other duties as may from time to time be directed by the Committee. j) To promptly pay all accounts after such documents have been passed by the Committee. Cheques to be signed by any two of the following: President Treasurer Secretary. 9.5 Match Secretary a) The Match Secretary shall, subject to the directions of the Committee, be responsible for the arranging of all matches and competitions and for the recording of the results thereof. b) To work together and to arrange such special club competitions that are mixed Men s and Ladies. c) To carry out such other duties as may from time to time be directed by the Committee.

9.6 Minutes Secretary The Minutes Secretary shall record all motions and put forward at meetings and the results thereof, have a record of each meeting signed by the chairman thereof and read the minutes of the previous meeting when called to do so. All minutes signed by the chairman shall be deemed to be a correct record of the proceedings of the meeting. 10. Finances 10.1 The Associations financial year will commence on the 1 st day of July and end on the succeeding 30 th June to which day the accounts of the Association shall be balanced by the Treasurer of the Association. 10.2 The accounts shall, as soon as practical after the end of the financial year, be audited by the Auditors who shall be appointed at each Annual General Meeting. 10.3 The Committee of Management shall ensure that proper accounts are kept in respect of. a) The assets and liabilities of the Association b) All sums received and expended by the Association and the manner in which such receipts and expenditure take place. 10.4 The income of property and funds of the Association shall be used and applied solely toward the promotion of the objects of the Association and no part thereof shall be paid or transferred directly or indirectly by way of dividend bonus or otherwise by way of pecuniary profit by members provided that remuneration may be paid in good faith to officers and servants of the Association or other persons in return for service actually rendered to the Association. 10.5 The Association may fix from year to year at the Annual General Meeting the subscription to be paid by member clubs for registered players, and such subscriptions are due and payable before the start of play of the coming season. 11. General Meetings The general meetings of the Association shall be: a) Annual General Meeting shall be held each year in July or August.

b) Special General Meetings may at any time be called by the Committee for any special purpose and they shall do so upon their own motion or by 5% of members of the Association stating the purpose for which the meeting is called. 12. Annual General Meeting 12.1 a) Confirm minutes of the previous Annual General Meeting and any subsequent Special General Meetings. b) Receive reports from all officers and Committee of Management. c) Elect the officers and the Committee of Management. d) Deal with any resolution, which may duly be submitted to the meeting. e) Appoint an auditor or auditors. A vacancy occurring in the office of the auditors during the year shall be filled by an appointment by the Committee of Management. f) To attend to any other business appearing on the agenda. 12.2 Any member who has any business to raise at an Annual General Meeting must give notice in writing to the Secretary not less than fourteen (14) days before the date of the venue. 12.3 Nominations for all Committee positions shall be delivered to the Secretary on the special forms provided for such purpose no later than seven (7) days prior to the Annual General Meeting. 12.4 Notice of the Annual General Meeting of the Association shall be forwarded to all Secretaries of the clubs and/or Team Captains at least twenty-one (21) days prior to the date fixed for the meeting. 12.5 The quorum at all general meetings shall be not less than 10% of membership of the financial members of the Association. In the event of a quorum not being present the meeting is to be adjourned. A further meeting shall be called fifteen (15) minutes from the time of the adjournment and the members present shall constitute a quorum.

13. Dissolution 13.1 The Association shall not be dissolved unless a poll of all registered members be taken and the dissolution be approved by 75% of the members voting. 13.2 No such poll shall be taken except after one (1) calendar months notice in writing to all member clubs of the intention to take such poll. The poll shall be taken in such manner as the Committee of Management determines. 13.3 On dissolution all property of the Association whether real or personal remaining after payment of all debts and legal liabilities shall be transferred to such similar other body formed for promoting objects similar to the objects of the Association or charitable objects at the meeting of which the motion of dissolution was carried shall approve. 14. Alterations to the Constitution 14.1 This constitution may be altered, amended or repealed at any properly constituted Annual General Meeting of the Association provided that notice setting out the proposed alteration, amended or repeal to the constitution has been forwarded in writing to all team captains prior to the Annual General Meeting and distributed to all members attending the Annual General Meeting. 14.2 No motion of alteration, amendment or repeal of this constitution shall be carried without the consent of 75% of those present and entitled to vote at such an Annual General Meeting or Special General Meeting. 15. Playing Rules 15.1 a) Local competitions to be played under the Northern Districts Playing Rules. b) Any competition being conducted by the Northern Districts Darts Association carrying Darts Federation of Australia and or South Australian Darts Council ranking points shall be as directed by the Darts Federation of Australia.
