Amber Patterson, Secretary Those in attendance noted in red. Agenda items will include: 1. Approval of resolution to amend our bylaws to now include Cedar County in the NE- IA district and Amendment No. Two to the Bylaws (to be voted on by House of Delegates August 11). Notice must be sent out to members 30 days in advance of the District Convention. Discussion surrounding resolution. After discussion, motion by Hutzel to approve; seconded by Hambeck. Carried unanimously. Approved resolution is attached to these minutes. Discussion ensued surrounding Amendment No. Two. Such has been approved by the board of trustees of the Illinois-Eastern Iowa District and its House of Delegates. After discussion, motion by Waldren; seconded by Hambeck. Carried unanimously. Amendment No. Two is attached to these minutes. Jan will notify district membership through an electronic Constant Contact message. 2. Further discussion and approval of a membership "sale" for August & September--no $25 district fee to new members enrolled in these two months. Discussion continued from previous GoToMeeting about proposed idea for a membership sale to complete the 2017-18 administrative year. The sale would mean that any individual joining a club in the NE-IA District from August 1 September 30, 2018 would not be charged the $25 district new member add fee. This would be a one-time sale. Concern was raised that this would be expected again in coming years. Previous membership data shows: o 16 members added in August 2017; 17 in September 2017; and 121 in October 2017.
o 10 members added in August 2016; 9 in September 2016; and 61 in October 2016. While there was be a slight decrease in district revenue with this sale, the overall goal is to take in more members at the end of the administrative year, rather than waiting until the start of the new administrative year to, hopefully, avoid the typical membership drop at year-end. Lively discussion ensued with Hutzel making the motion to give this a try. Seconded by Waldren. Carried unanimously. 3. Any updates on district awards. Committee has had a meeting and has scheduled another to make the final selections. Note that this is the first year for these awards under our new system which may be the reason that there aren t a lot of applications. Jim Dane will finalize selections with the committee and report back to all BOT. 4. District Convention update Online registration is going well, although not at the level anticipated around 150 registered thus far. Minimum goal is 300, although Committee is shooting for 10% of membership, or around 500. Program line-up and planning is good. All keynoters and break-out presenters are confirmed. Committee continues to hone in on the details. There will be a Board of Trustees meeting on Thursday, August 10, 2-5 PM. Current LT s will meet Friday, August 11, 8:45 AM, Jan presiding. LG-elects will meet Friday, August 11, 10:15 AM, Sue presiding. We have a candidate for Region I to replace Steve Hambeck Don Fritz. DISTRICT BYLAWS 2018 RESOLUTION Whereas the (hereinafter referred to as the District) adopted its bylaws effective August 6, 2016, to be effective October 1, 2016; Whereas, the Board of Trustees (hereinafter referred to as the Trustees) wish to amend said bylaws; Whereas the Trustees wish to open Kiwanis clubs in the Iowa county adjacent to Johnson County, Iowa; Whereas the Trustees wish to exclude Cedar County from the list of Iowa county exceptions in its bylaws; Whereas the Trustees acknowledge that Cedar County, Iowa is a county included in the territory of the Illinois-Eastern Iowa District; Whereas the Trustees of the Illinois-Eastern Iowa District have agreed to moving Cedar County from its territory to the territory of the ; Now, therefore, be it Resolved, that the Trustees, on behalf of its members: 1) support the objective of opening Kiwanis clubs in Cedar County, the Iowa county adjacent to Johnson County; 2) support the Governor and district new club openers in their efforts to open new Kiwanis Clubs in Cedar County; 3) wishes to include Cedar County within the territory of the ; 4) urges the full adoption of the above-stated resolutions and the subsequent changes to the District s bylaws which shall result in the approval of Amendment Number Two to the District s bylaws; and
Be it further resolved that the Board of Trustees 1) make the necessary changes to the District bylaws to effect the above-stated changes; 2) obtain the necessary approvals from Kiwanis International; and 3) post such changes as Amendment Number Two to the District s bylaws on the District s web site: www.ne-ia.kiwanisone.org Move to accept above resolution: Floyd Hutzel, Region IV Trustee Second to the motion: Steve Hambeck, Region I Trustee Motion carried unanimously. PURPOSE AND STRUCTURE Section 2. The territorial limits of this district shall be confined to the States of Nebraska and Iowa, except the following Nebraska counties: Sioux, Dawes, Sheridan, Box Butte, Scotts Bluff, Morrill, Garden, Banner, Kimball, Cheyenne and Deuel; and, except the following Iowa counties: Allamakee, Clayton, Delaware, Dubuque, Jones, Jackson, Cedar, Clinton, Scott, Muscatine, Louisa, Henry, Des Moines and Lee. Neither the district name nor territorial limits shall be changed unless permission shall first have been obtained from the Kiwanis International Board of Trustees.
