PIRATES PROPERTY OWNERS ASSOCIATION, INC. MINUTES OF THE BOARD OF DIRECTORS MEETING The meeting of the Board of Directors of the Pirates Property Owners Association, Inc. ( PPOA ) was held on September 8, 2007. The meeting was held at the Galveston Country Club. President, Marty Baker called the meeting to order at 9:00 a.m. Directors Marty Baker, Peter Doyle, Ron Pearrow, Nichi Dunphy, Dick Kuriger, Suzanne Robinson, Sidney McClendon, Jerry Mohn, Jeri Kinnear, and Gary Greene were in attendance and a quorum was established. Susan Gonzales, CKM Property Management was also present. Minutes from the previous meetings had been sent via email for review. Upon Motion duly made by Gary Greene and seconded by Peter Doyle; the following resolution was presented. Resolved that, the Board approved the Minutes of August 11, 2007, as presented. Gary Greene gave the financial report. Upon Motion duly made by Gary Greene and seconded by Nichi Dunphy; the following resolution was unanimously adopted. Resolved that, the Board accepted the financial report, as presented. Seaweed Discussion was held concerning seaweed cleaning. Susan Gonzales was instructed to notify Minter Services to stop cleaning the beaches of seaweed. Jerry Mohn as requested that the /City of Galveston clean the seaweed from the beaches. Emergency Planning Committee/Bike Trails Sidney McClendon stated that John Sullivan recommended to the City of Galveston that they should build sidewalks/bike trails. Security Clyde Batten stated that he would switch his patrolling to days since it was stated that no one has seen him. Susan Gonzales asked if that was when the crimes were occurring. Clyde stated no. The Board agreed that Clyde should set his hours of patrolling based on his experience as to when crimes occur. Architectural Review Committee/Deed Restriction Report Peter Doyle stated that the committee will be review several plans after the meeting. Violations of the restrictions will be reviewed at a later date to determine action for longterm noncompliance issues. City of Galveston Brandon Wade stated he has completed stripping and replaced signs on Marian Blvd. Brandon stated that the City would do this through out the Pirates Community. Golf Cart and children at play signs will be provided by the City of Galveston. The speed limit sign in yellow is a suggested speed limit.

Trash service as also discussed. Last month Brandon had stated a letter would be mailed to property owners concerning the trash service. Brandon stated he would send the letter out this week. All homeowners must have garbage service per City of Galveston Code. If you have a private (IESI) service as of December 15, 2006 after December 15, 2008 you must go to the City trash service. New owners must go with the City. Once you go with the City, you can disassemble the trash bin, and the city will pick up the old trash bin. Nichi Dunphy asked about the landscaping on FM 3005. Brandon Wade stated that TexDot maintains the median along FM 3005. To landscape at the intersection the PPOA has to work with Brandon Wade and TexDot. Once the landscaping is installed TexDot will no longer maintain the median and the PPOA will be required to maintain it forever. Jerry Mohn asked about a flashing light at 12 Mile Road. Brandon stated he would look into what can be placed at that location. Brandon Wade stated the drainage study would be completed in two three months. This study will tell us how to handle the drainage issues. Once the plan is completed it will be presented to the PPOA Board. The City of Galveston has considered changing the trash pick up day to Tuesday, but has found the preference to be Monday. Discussion was held concerning the PPOA s involvement in a lawsuit between the City of Galveston and Laffites Cove Nature Society. Several Board members stated concerns that a vote had not been taken from the Board members. Discussion was held that it might have been an email vote. This information will be verified. Marty Baker and Sidney McClendon stated that the purpose of joining in with Laffites Cove Nature Society was to assure that when the plane was enlarged that the future of the Eckert Bayou was protected. The concerns were to limit size of plant, limit the amount of affluent, prevent operations from discharging into Eckert Bayou, overflow doe not go to Lake Como and have adequate sized pipes. Concerns were stated that the PPOA was holding up the resolution. Marty Baker stated that Mary Carter the attorney representing LCNS, presented a proposal that was unacceptable. Brandon Wade could not state the City of Galveston s position on the affluent question. Brandon stated that it was not a lawsuit but an Administrative Proceeding concerning requested outfall location, a permit and notice that was sent to the PPOA and the LCNS. The Administration wants to come up with an agreement working on all affluent be irrigated. The level of expectation for the City is to flow through with the plan. The outfall line for the Pirates Community will be built this year.

Marty Baker stated the Board of Directors need to ratify that we are involved in the LCNS and City of Galveston Administrative Proceeding. Upon motion duly made by Peter Doyle and seconded by Sidney McClendon, the following resolution was adopted. Gary Greene & Nichi Dunphy abstained. RESOLVED THAT, the Board approved to ratify the joining of the LCNS and City Administrative Proceeding and that the settlement process be accelerated. Brandon Wade state in November the voters will have the opportunity to vote on a tax Industrial Develop Corp for funding streets, sewers and beach project. This is not a new tax, just extending it to a perpetual tax citywide. Palm Beach will be getting sewer paid 100% from sales tax. The City is putting in another storage facility behind MUD 1 building in 5 7 years. Marina Blvd will have a new lift station. Piping on Stewart Road and 12 Mile Road for improvements will be installed. Coastal Beach & Bay Foundation and FOGISP Jeri Kinnear stated the CBBF did a project with Bay Harbor and Terramar for restoration of a bird island. Funds from the US Fish and Wildlife in the amount of $50,000 were split between the two communities. They used the dredge to build the island. The dredge material is to be placed outside Pocket Park #4 near Terramar. The project for Pirates Beach and Palm Beach will receive a refund from the County, since FEMA covered 100% after Katrina. It has been a 90/100 split. Jeri Kinnear stated that due to her many commitments she was resigning from the Board, but would stay on the Architectural Review Committee. Jeri Kinnear stated her replacement would need to come from Pirates Beach West and that she recommended Bob Robinson. Bob Robinson was introduced and stated he was a full time resident, Treasurer for the FOGISP. Upon motion duly made by Jerry Mohn and seconded by Sidney McClendon, the following resolution was adopted by unanimous vote. RESOLVED THAT, the Board accepted the resignation from Jeri Kinnear and appointed Bob Robinson to full the term held by Jeri Kinnear and represent Pirates Beach West. Beach Committee and WGIPOA Jerry Mohn stated that a total of $18 million passed at the legislation session, the largest yet. Projects are due July 1 st. The Holman study was granted a $45,000 Grant with $15,000 match coming from private funds. Artist Boat a charitable organization is involved in a school project to raise beach plants, with 8 th graders and disadvantaged children. They raise the plants and will plant them as well. These projects will start in the Spring. They would get plants from Texas A & M (Jim Webb). Susan Gonzales stated that perhaps LCNS could use this program. Jerry Mohn stated that the Beach & Bay Foundation also has a program. Discussion was held concerning the PPOA and LCNS need to take advantage of these projects for canal dredging and building berms.

Dick Kuriger stated we need no wake signs on buoys in the cut between Pirates Cove and Eckert Bayou. Susan and Dick will work on this project. Communications/Newsletter/Website Ron Pearrow stated that Laffites Cove POA and Laffites Cove Nature Society have been added to the Website. This will allow for the financial reports and minutes to be seen by property owners. We will need to also put up a page for Pirates Landing Townhomes. Dean Callendar stated he needs ads for the Directory. Currently the ads obtained will not cover the cost of the Directory. Marty Baker stated he would obtain ads from Waterman s, Gary Green Realty, Moody Bank, Texas First Bank and Greer, Hertz & Adams law firm. Nichi Dunphy will follow up on the Galveston Country Club Ad. Sidney McClendon will follow up on the Shiner Mosely Ad. Susan Gonzales will follow up on the Builder ads and Pirates Beach Maintenance. Upon motion duly made by Jerry Mohn and seconded by Nichi Dunphy, the following resolution was adopted by unanimous vote. RESOLVED THAT, the Board approved to fund the Directory if there was a shortfall. Beautification Committee Nichi Dunphy stated with all of the rain and catch up work, Rob Minter has done an excellent job. Ron Pearrow agreed. Nichi stated the drought resistant plants drowned from all the rain and it s been a real catch up. Pirates Beach West property owner will be paying for and installing a fountain at the pond by the entrance. Once the pond is installed the Association will maintain the pond. Nichi stated that miniature Oleanders were planted and additional planting will occur this Fall. In Pirates Beach West we are experimenting with a Mexican Oleander that is disease resistant. The plant has a yellow trumpet flower. Discussion was held on the trash pick up service for the property owners. Brandon Wade stated that new owners do not have the option; they must use the City of Galveston. Brandon Wade will be sending out a letter concerning trash service by the City of Galveston. There are also property owners who do not have trash service and will need to be identified. Membership/Social/Annual Meeting/4 th of July/Easter Suzanne Robinson asked if the Board was interested in changing the 4 th of July celebration to either Labor Day or Memorial Day. Suzanne stated that these holidays were both during the weekend where 4 th of July was rotating. The Board stated too many property owners enjoy the 4 th of July parade and that we should just consider having it on the week end and not try to have it on July 4 th.

Marquette Discussion was held on the letter concerning Marquette and the Boards position, hereto attached as exhibit A. This letter was emailed to the Board for review and approval prior to mailing to the property owners. The Board all agreed with the content of the letter and for it to be mailed. The Galveston City Council will meet with Marquette on November 29, 2007. Discussion was held concerning the pedestrian easement in Section 13 that goes into Section 9. Upon motion duly made by Sidney McClendon and seconded by Jerry Mohn, the following resolution was adopted by unanimous vote. RESOLVED THAT, the Board approved that the property owners of Section 13 can install a concrete sidewalk on the pedestrian easement. Susan Gonzales will contact the owner whose driveway encroaches into the easement. Jerry Mohn stated that the American Beach & Shore Preservation Conference to be held October 22 24, 2007 at the Galveston Island Convention Center.
