Attending: Mayor Les Peterson Vice Mayor John Crane Mike Farrar Robert Gearhart Glenn Miller Gene Orrico Melissa Price Absent: Gary Neiss, Town Administrator; Michael Wright, Town Attorney; Jim Keen, Town Accountant/ Assistant Clerk; Kandace French, Town Clerk/Treasurer; Mayor Peterson opened the meeting at 5:00 p.m. The Pledge of Allegiance was led by Peggy Pedigrew Stewart. Mayor Peterson requested a Moment of Silence in honor of Mayor David Schwan, who passed away on April 6, 2016. Mayor Peterson announced the consent agenda items and asked if there were any changes or request to discuss matters on the Consent Agenda. There being no comments or questions, Mayor Peterson asked for a motion to approve the Consent Agenda. Council Member Miller made a motion to approve Consent Agenda Items # 1 through #7. There was a second by Council Member Orrico. The motion was carried unanimously. REGULAR AGENDA: ITEM #11 Presentation of the Spirit of Carefree Award. The Spirit of Carefree Award, sponsored by Sanderson Lincoln, is awarded annually to an individual who demonstrates broad community involvement and initiative to help make Carefree a better community for its residents. The recipient of the 2015 Spirit of Carefree award will be announced and the award will be presented to the recipient. Mayor Peterson took Agenda Item # 11 out of order. Mayor Peterson spoke regarding the development and requirements for awarding the Spirit of Carefree award. Mayor Peterson announced the recipient of the 2015 Spirit of Carefree award to Harry Vardakis. Artist, Peggy Pedigrew Steward provided the presentation and explanation of the Spirit of Carefree award, the history, Hope Indian heritage; both past and present and the Indian spirits recognized in the handmade award. Mr. Vardakis was thanked for all he has done for the Town of Carefree. ITEM#S Call to the Public. There were no requests to speak. ITEM#9 Current Events. Vice Mayor Crane requested an update on the status of the bike lane construction and introduced Gary Neiss Gary Neiss provided an update regarding the status of the bike lane construction. Vice Mayor Crane announced the planned remodeling of the Sasha's grocery store, additions of a Starbucks, outdoor grills and seating, salad bar and anticipated completion date. Page 12

Gina Kaegi provided an update regarding Ray Villafane and the dates for his sand sculpture works. She also announced the operation of a Kona Shaved Ice mobile unit near the splash pad to operate May 14th through the summer. Councilmember Price gave an update on the Gateway project. Councilmember Price provided an update of the product and steel work. She described the timeline for the footings. Mayor Peterson announced election packets are available for candidates the upcommg councilmember election. ITEM #10 Review, discussion and possible action to approve Ordinance 2016-03 related to the Transaction Privilege Tax and adopting the 2012-2014 amendments to the Tax Code of the Town of Carefree by reference; establishing effective dates; providing for severability and providing penalties for violations. (Second reading). Mayor Peterson announced the agenda item and introduced Gary Neiss and Kandace French Gary Neiss provided an overview of the Ordinance and reminded the Council of the presentation of Al Holler at the April meeting. There being no further discussion, Mayor Peterson asked for a motion. Council Member Orrico made a motion to approve Agenda Items # 10. There was a second by Council Member Price. The motion was carried unanimously. ITEM #12 Review, discussion, and possible action to consider approving the rental of space for future Town Council, Planning and Zoning and related meetings. Mayor Peterson announced the agenda item and introduced Gary Neiss. Gary Neiss provided an update to the status of a current and possible temporary locations for the Town Council, Planning and Zoning and related meetings, including prices. He explained the future option of the location at 33 Easy Street, the current positive cash flow, and the need for a temporary location until that property is available. Mr. Neiss reminded the Council of the challenges presented by each of the locations being explored. He outlined the needs and requirements that a location needs to address. Mr. Neiss then presented information regarding the selected location at the Holland Center at the Foothills Community Foundation. He gave a background on the location and its connection to the Town of Carefree and the compatibility of the AN system. He requested that the Council approve the rental of the space. There was additional discussion by the Council and Council Member Orrico explained the use of the same facility by the Kiwanis. Page I 3

Council Member Farrar asked for explanation for the one-year contract and asked why the option was not extended for a longer period. Gary Neiss and Kandace French responded to Council Member Farrar's inquiries. There were additional comments and discussion by the Council. Council Member Orrico made a motion to approve Agenda Item # 12. There was a second by Council Member Miller. The motion was carried unanimously. ITEM #13 Review, discussion and possible action regarding tentative adoption of the Town of Carefree Budget for Fiscal Year 2016-17 and calling for a special meeting and public hearing on June 7, 2016. Mayor Peterson announced the agenda item. He asked Gary Neiss to provide an update on the upcoming fiscal year-end budget to date and gave a brief history of the steps taken up to the meeting that night. Gary Neiss provided the Council with an explanation of the forms provided and the required budget being published. He went over the summary and line item budget and the transparency process. He explained the bottom line numbers and the expenditure limit versus line items amounts. Council Member Price made a motion to adopt the Town of Carefree Budget for the Fiscal Year 2016-2017 and setting a special meeting and public hearing for June 7, 2016 at 4:45 p.m. There was a second by Council Member Farrar. The motion was carried unanimously. ITEM #14 Town Council updates as follows: 1. Administrative 2. Town Center Identification/ Architectural 3. Liberty/BMS sewer costs 4. Land Use/Planning Mayor Peterson announced the agenda item and asked Mr. Neiss if there were any additional administrative updates. The matter of the Gateways having already been addressed earlier in the agenda, Mayor Peterson then provided an update regarding the Liberty Utilities and Black Mountain Sewer case. He explained the new rates, and addition of a brewery rate, and closure of the Boulders' plant. Mayor Peterson asked Mr. Neiss if there was an update under the Land Use and Planning relative to building heights. Gary Neiss explained that the matter of building heights would be addressed at the May Planning and Zoning. He announced a public hearing to clarify building heights under residential in Page l4

addition to commercial areas. He explained that the matter of raising commercial building heights back to 30 feet would be addressed. There were questions by Council Member Price which were answered by Mr. Neiss. ITEM #15 Adjournment. Mayor Peterson announced the agenda item and asked for a motion. Council Member Miller made a motion to adjourn. There was a second by Council Member Orrico. The motion was carried unanimously.
