Additionally, Columbia is requesting waiver of the Commission s capacity release regulations as they pertain to the negotiated rate agreements, submitted herein, as further discussed below. Order No. 714 states that Negotiated rate agreements need not be divided, but can be filed as entire documents. The tariff records include two (2) Rate Schedule FTS service agreements (collectively, Agreements ). Columbia has elected to file the Agreements included herein as whole documents in PDF format.

Statement of Nature, Basis and Reasons On October 31, 1996, in Docket No. RP96-390, 3 the Commission approved Section VII.46 of the General Terms and Conditions of Columbia s Tariff, which authorized Columbia to enter into negotiated rate agreements with its customers. Columbia is submitting for filing the referenced negotiated rate Agreements, included as Appendix A. Columbia advises that no undisclosed agreements, etc., are linked to the Agreements. 4 Furthermore, the Agreements in the instant filing do not contain any provision that is either non-conforming or a material deviation from the applicable Form of Service Agreement in Columbia s Tariff. 5 Agreements Columbia hereby submits the Agreements, as more fully described below: Columbia is filing Nytis Exploration Company, LLC ( Nytis ) Contract No. 183408 as a Rate Schedule FTS ( FTS ) negotiated rate service agreement because Nytis has elected to pay a fixed negotiated rate of $0.59 per Dth per Day. Nytis will pay all other maximum applicable demand charges, commodity rates and surcharges set forth in Columbia s Tariff. Contract No. 183408 is included in Appendix A as tariff record 3.1. Columbia is filing Nytis Contract No. 183409 as a Rate Schedule FTS ( FTS ) negotiated rate service agreement because Nytis has elected to pay a fixed negotiated rate of $0.59 per Dth per 3 Columbia Gas Transmission Corporation, 77 FERC 61,093 (1996), order on compliance filing, 78 FERC 61,263, reh g, 81 FERC 61,206 (1997). 4 The Agreements provide all the information required by Section VII.46 of Columbia s Tariff, including: (1) the exact legal name of the Shipper; (2) the negotiated rate; (3) the applicable rate schedule; (4) the receipt and delivery points; and (5) the contract quantities. 5 Specifically, Section VIII.1 Service Agreement Forms, FTS, NTS, NTS-S, TPS, SST, OPT, ITS and GTS. 2

Day. Nytis will pay all other maximum applicable demand charges, commodity rates and surcharges set forth in Columbia s Tariff. Contract No. 183409 is included in Appendix A as tariff record 3.6. To conform with Order No. 714, Columbia is submitting the Agreements individually and in their entirety as tariff records. Additionally, a revised Table of Contents is submitted herein at Appendix A to reflect the housing of tariff records in Columbia s Tariff. Columbia is requesting that the Commission approve the tariff section and Agreements (Appendix A tariff records 3.1 and 3.6), to be effective December 1, 2016. Request for Waiver and Effective Date EXCO Resources (PA) LLC ( EXCO ) has agreed to permanently release to Nytis two negotiated rate agreements that are priced above Columbia s maximum recourse rate with remaining terms greater than one year. 6 As a result, the Agreements submitted herein reflect negotiated rates above the applicable maximum rate. Accordingly, Columbia is seeking waiver of Commission regulations 284.8(b)(2) and 284.8(e) in order to effectuate the permanent release of these agreements at the same above-maximum negotiated rate that EXCO is currently paying as well as to waive the requirement that these releases be posted for bid, consistent with Commission precedent. 7 Columbia respectfully requests that the Commission grant all waivers of its regulations necessary to accept this filing, including waiver of sections 284.8(b)(2) and 284.8(e), and accept the tariff sections included as Appendix A to be effective December 1, 2016. 8 6 Columbia originally filed the EXCO FTS Contract No. 10233 with the Commission as a negotiated rate agreement in, Docket No. RP09-863-000 (September 15, 2009) (unpublished Director s Letter Order). Distrigas of Massachusetts LLC, 135 FERC 61,028, at P 19 (2011), cited in, e.g.,mmgs, 154 FERC 61,018 at P 9. Therefore, Columbia specifies the scope of the waiver to EXCO s permanent releases to Nytis, and requests the waivers to be effective for 30 days from December 1, 2016. 3

Other Filings Which May Affect This Proceeding There are no other filings before the Commission that may significantly affect the changes proposed herein. Contents of Filing In accordance with Section 154.7 of the Commission s Regulations, Columbia Gas is submitting the following via its electronic tariff filing: 1. This transmittal letter; 2. A clean version of the tariff section and tariff records (Appendix A); and 3. A marked version of the tariff section (Appendix B). Service Agreement No. 183408 Revision No. 0 FTS SERVICE AGREEMENT THIS AGREEMENT, made and entered into this ~ day of Nov erh. b e y, 2016, by and between COLUMBIA GAS TRANSMISSION, LLC ("Transporter") and NYTIS EXPLORATION COMPANY LLC ("Shipper"). WITNESSETH: That in consideration of the mutual covenants herein contained, the parties hereto agree as follows: Section 1. Service to be Rendered. Transporter shall perfonn and Shipper shall receive service in accordance with the provisions of the effective Rate Schedule and applicable General Terms and Conditions oftransporter's FERC Gas Tariff, Third Revised Volume No. 1 (Tariff), on file with the Federal Energy Regulatory Commission (Commission), as the same may be amended or superseded in accordance with the rules and regulations of the Commission. The maximum obligation of Transporter to deliver gas hereunder to or for Shipper, the designation of the points of delivery at which Transporter shall deliver or cause gas to be delivered to or for Shipper, and the points of receipt at which Shipper shall deliver or cause gas to be delivered, are specified in Appendix A, as the same may be amended from time to time by agreement between Shipper and Transporter, or in accordance with the rules and regulations of the Commission. Service hereunder shall be provided subject to the provisions of Part 284.223 of Subpart G of the Commission's regulations. Shipper warrants that service hereunder is being provided on behalf of Shipper. Section 2. Term. Service under this Agreement shall commence as of December 1, 2016, and shall continue in full force and effect until March 31, 2020. Pre-granted abandonment shall apply upon termination of this Agreement, subject to any right of first refusal Shipper may have under the Commission's regulations and Transporter's Tariff. Section 3. Rates. Shipper, having been apprised of the availability of a maximum Recourse rate for the service described herein, has elected to pay a negotiated rate of $0.59 per Dth per Day. This negotiated rate will be fixed for the primary tenn of this Agreement, regardless of the monthly demand charge rate for recourse rate shippers set forth in Transporter's tariff, as it may change from time to time. Customer will pay all other maximum applicable demand charges, commodity rates and surcharges set forth in Columbia's tariff, as it may change from time to time. Section 4. Notices. Notices to Transporter under this Agreement shall be addressed to it at 5151 San Felipe, Suite 2500, Houston, TX 77056, Attention: Director, Commercial Services and notices to Shipper shall be addressed to it at: 2480 Fortune Drive, Suite 300, Lexington, KY 40509, Attention: Richard Finucane, until changed by either party by written notice.
