TENDER NO. 1544 Lucknow-Rupayan R10 Background: TENDER FORM Specified Undertaking of Unit Trust of India (hereinafter referred to as SUUTI) is a Statutory Authority, which came into existence with effect from 1 st February, 2003 on passing of The Unit Trust of India (Transfer of Undertaking and Repeal) Act 2002, which was Gazetted by the Central Government on 18 th December, 2002. As per the provisions of the Repeal Act, the Trust has been bifurcated in to two entities namely (i) the Administrator of the Specified Undertaking of the Unit Trust of India and (ii). UTI Trustee Company Private Limited. Further as per the provisions of the Repeal Act, the Management of the Schemes and the premises which were held by erstwhile Unit Trust of India stood transferred to and vested with the Administrator of the Specified Undertaking of the Unit Trust of India, with effect from 1st February 2003. We being, the Central and State Government /the Departments of Central Govt./State Govt./and the Corporations created by statute are exempted from payment of Tender Deposit and accordingly in support thereof we have enclosed the following documents. The Envelope marked as I containing the documents and DD/Bankers Cheque will be superscribed as Tender for purchase of residential flats at Rupayan - Lucknow. (d) The following are essential conditions to be followed for the tender sent by post, failing which the tender may not be opened and not considered or may be treated invalid: i. Tender should be sent by Speed Post or Registered Post or by depositing in the Tender Box only. Tenders sent through any other means may not be considered at all. ii. Tender should be sent only to the address mentioned in Page 2. If not addressed properly, the same shall not be considered. iii. Acknowledgement will be given to Department of Post only for tender sent by Speed Post and Registered Post. iv. Tender should be superscribed as Tender for purchase of residential flat at Rupayan-Lucknow. (The tenderer has to necessarily superscribe the envelope, failing which the tender may not be considered and may remain unopened or may be accidentally opened before due date rendering it invalid.) v. UTI ITSL/ SUUTI takes no responsibility for any tender not reaching in time. vi. UTI ITSL/ SUUTI takes no responsibility for tender not reaching at all. vii. UTI ITSL/ SUUTI takes no responsibility for tenders received in torn, opened or mutilated conditions. Such tenders will not be accepted at all. viii. In case of tenders sent by post, the role of UTI ITSL is limited and restricted to put in the appropriate tender box if the aforesaid tenders are received in time as stipulated in the conditions laid out. It is, therefore, advised that prospective tenderers / bidders should deposit the tender directly in the tender box to avoid any delay in submission of the tender or to avoid any tearing / accidental opening while sending by post. e. I/We understand that SUUTI reserves the right to reject all / any applications without assigning any reasons whatsoever at any stage. (f) Procedure of opening the tenders for both the cases (where tender form is purchased or downloaded): i) First Envelope No. I will be opened. ii) After opening Envelope No. I the Envelope No. III will be opened to check if the tender deposit / exemption letter/ document has been enclosed. In case the tender deposit / exemption letter/document as per Clause 1(b) above is not enclosed the said tender will be considered as invalid and in such case the envelope No. II containing the price bid will not be opened. iii) If someone has not put the required tender deposit in a separate envelope and have placed everything in one envelope, then the bid would be considered valid only if the required tender deposit or the documents as per Clause 1(b) is available with the tender form. 2.(a) The purchase price payable by me/us to you for purchase of the above mentioned premises on as-is-where-is basis and condition and on as is what is basis and on no complaint basis shall be a lump sum of `. (Rupees ) NET to you, payable by a Banker s cheque / Bank draft, payable at Mumbai. [Please note that where there is a discrepancy, if any, in the amount quoted in figures and amount quoted in words, the amount quoted in words shall be considered correct.] The purchase price will be payable as specified in sub-clauses (b) and (d) hereunder: (b) The Earnest Money Deposit (EMD) payable by me/us to you shall be 10% of the amount offered by me / us for purchase of the premises minus the Tender deposit paid by me/ us together with this tender. The said amount shall be payable to you by me/us by a Banker s cheque / Bank draft payable in Mumbai within 15 days from the date of receipt of your intimation to me/us, in writing that my/our Tender for the premises has been accepted. Within one week of my / our paying to you EMD as aforesaid, I / We will co-operate with you and will sign all forms and applications for obtaining the NOC of the Society and all other formalities to the sale and transfer of the above mentioned shares and premises by you to me/ us as contemplated herein. (c) I / We agree that, if for any reason I / We fail to pay, or otherwise commit a default in paying to you the Earnest Money Deposit strictly in the manner and within the time specified above, the Tender deposit, referred to in Clause (1 (a)) above and paid by me/ us along with this Tender form, shall stand forfeited and neither party shall have any claim against the other of any sort or nature whatsoever; (d) The balance of the purchase-price, i.e. the price quoted by me/ us for the said premises in this Tender (after adjusting the EMD i.e. 10% of the offered amount) shall be payable by me/us to you by a Banker s cheque / Bank draft payable in Mumbai within eight weeks from the date of payment of EMD as per clause 2(b) above. (e) If for any reason whatsoever the sale is not completed within the period stipulated hereinafter by making payment of balance price to you then you shall be entitled to terminate/ revoke the sale and the sale shall stand cancelled on your forwarding to me/us your cheque for the amount received by you from me/us without any interest whatsoever along with notice revoking the sale and in that event I/We shall not be entitled to any right of specific performance or any right or interest whatsoever in the premises or any part thereof. 3. I/We am/ are aware that this offer is open for acceptance for a period of 100 (one hundred) days from the date of opening of the tender and shall not be withdrawn by me/us and will lapse after that date unless you accept this offer before that date or the date that may be mutually agreed by you and me/us. I/We am/are aware that in case I/we withdraw my/our offer, the Tender Deposit paid by me/ us shall be forfeited. 4. If my/ our offer (Tender) is not accepted by you within the time specified above or is rejected, the Tender deposit remitted herewith shall be refunded to me/us, by returning the original instrument submitted by me/us along with the tender. (a) (b) OR We are aware that in the event of being an unsuccessful bidder, who had jointly submitted the Tender form, the refund of the Tender deposit shall be made to us vide a DD/ pay order/ Bankers cheque issued in favour of the first name indicated in the Tender form (in case the Tender form has been filled jointly). I / We am / are aware of the facts that upon issue of Gazette Notification dated 18/12/2002, the subject premises is transferred to and vested with the Administrator of the Specified Undertaking of the Unit Trust of India in terms of Unit Trust of India (Transfer of Undertaking and Repeal) Act, 2002 from 01/02/2003. 6. I / We am / are aware that a Tender without the Tender Deposit in the form of the Bank Draft / Banker s cheque will be considered as invalid. 7. 8. I/ We am/ are aware that the Tender should be deposited in the Tender Box as per the schedule and address mentioned on page no. 1. The tenders shall be opened in the presence of the prospective tenderers who wish to be present at the time of opening of tenders. 9. a) In case I/ we wish to be present for opening of the tenders, I/we shall identify the Tender submitted by me/ us at the time of opening of the tenders on the date, time and address as mentioned in the schedule on page no. 1 of this document. b) If on any date appearing in the tender is declared a holiday the next working day will be automatically considered in its place. 10. I understand that this entire tender form with all terms and conditions are available for downloading at website www.suutiproperty.com and www.utiitsl.com. 11. I / We confirm having fully inspected the property and photocopies of available documents and have made all enquiries from the Society, Municipal and other local authorities concerned. I/We are aware that besides the documents mentioned on page no. 1 of this tender document, no other documents are available for the premises and I/We have filled in the tender keeping the above in mind. I/We shall not ask for any other documents. I/We are aware that if my / our offer (Tender) is accepted, I / We shall pay, within time, i.e. 15 days from the date of receipt of Letter of Acceptance of my offer the Earnest Money Deposit (EMD) as mentioned in Clause 2(b) hereinabove. (f) The draft sale deed furnished along with this tender shall be finalised within 2 weeks from the date of payment of EMD, and register within 6 weeks thereafter. (g) The sale shall be completed within a period of eight weeks from the date I / We pay to you the EMD as aforesaid (time being of the essence of contract) and at the time of such completion of sale, I / We shall pay to the Administrator by Banker s cheque / Bank draft payable in Mumbai the balance of the agreed purchase price and against such payment and simultaneously therewith, the Administrator of the Specified Undertaking of the Unit Trust of India shall execute the Sale Deed in favour of myself / us and shall simultaneously therewith hand over to me / us vacant possession of the above mentioned premises as also all the available documents in respect of the above mentioned premises. I /We agree to that if for any reason, I/We fail to pay or otherwise commit a default in paying to you the balance amount payable and / or default in completing the transaction strictly in the manner and within the time specified herein, the EMD shall stand forfeited by you and the contract shall stand terminated and neither party shall have any claim against the other of any sort or nature whatsoever. All the legal formalities to be complied by the respective parties shall be completed before the Date of Completion of sale. The Transfer Fees or transfer premium and any other charges or contributions or outgo and all other expenses whatsoever it may be and whatever name it is called and which is demanded by and/or payable for transfer of the above mentioned premises to Society or to any entity /authorities, person etc. whosoever it may be shall be borne and paid by me/us alone. I am / we are aware that the sale is subject to permission / N.O.C. or consent if any required to be obtained for the same. The stamp-duty and registration charges, payable in respect of the transaction through this Tender and/or Sale Deed and/or other documents shall be borne and paid by me/us alone. I am / we are aware that Administrator will not pay any brokerage in the transaction to me or any of my agent or representative. I am / We are, aware that SUUTI reserves the right to levy interest on delayed payment as per their discretion. Any extension in time for completing the sale formalities will be at the sole discretion of SUUTI. 12. I / We am / are aware that the bid is a lump sum bid for the sale of the premises on as-iswhere-is basis and as is what is basis and as is where is condition and no complaint basis. 13. I/ we am/ are aware that the Administrator is not bound to accept the highest or any Tender and will not be required to give any reason for rejecting any Tender. I/ we are also aware that in case my/our offer is not as per the price decided by the Administrator, the Administrator may reject my/ our offer even if I/ we are the highest bidders. If there is a tie to the bid (at or above the reserved price), then the bidders to the tie will be called for an open bidding and the highest bidder will be decided after the open bidding between such bidders to the tie, keeping the minimum base price as the price quoted by the bidders in the earlier sealed bids. 14. In all disputes and/or differences arising out of or relating to or concerning this offer and the contract, if any, between myself/ ourselves and the Administrator concerning and/or relating thereto and/or relating to the above mentioned premises Civil Courts in Mumbai shall have exclusive jurisdiction. 15. The Prospective tenderers can take inspection of all the available documents pertaining to the said property from the website www.suutiproperty.com. The Tenderer can verify himself about permission / N.O.C. / consent if any to be obtained from any person / persons or Government or Semi-Government or local authorities for completion of sale or about any negative covenant including user of the property or covenant running with lands or by restrictive covenant relating to the property. The Tenderer can make all enquiries with all concerned persons and all authorities and the Tenderer should submit the tender only after satisfying himself about the rights of the Administrator and possibility of the completion of sale. The Tenderer shall not be entitled to raise any objection or requisition or dispute whatsoever after the tender is deposited. 16. I/ we am/ are aware that contents mentioned in the brief/ photographs/ layout drawings/ specifications etc., if any enclosed with this Tender form, are for the reference of the Tenderers and these are not to be taken as precise details. 17. I/We am/ are aware that the furniture, fixtures and electrical fittings installed in the premises will remain unchanged as during the time of inspection (except for computers/office records). 18. I/ we am/ are aware that wherever the car parking (whether covered / under stilts or open) is available as per records, the same would be as per the measurement at site and would be incorporated in the sale deed before execution of the sale deed. 19. The form which the bidder chooses to fill in (either obtained from the site or downloaded from the web site) should not be changed or corrected in any manner. It is to be clarified that only the conditions as appearing in the original will be treated as valid. For checking, the form used by the bidder, will be confirmed with the original available with UTIITSL, UTI Tower, Gn Block, Bandra-Kurla Complex, Bandra (East), Mumbai - 400051. If there are any changes / corrections the form will be considered invalid. 20. By submitting this bid the purchaser indemnifies SUUTI/ UTIITSL for any of the consequences arising out of non availability of any of the requisite permissions/noc /any other statutory permission whatsoever required for completing sale transaction pertaining to the premises. The purchaser also indemnifies SUUTI for any of the consequences arising out of non compliance of any of the conditions laid by the statute for bidder or their representatives/ officials in carrying out completion of sale transaction pertaining to the premises. 21. OR We, the partners of M/s, a partnership firm (Registered under the Indian Partnership Act) have signed the Tender document on behalf of our firm duly witnessed. In absence of Shri, I being the Power of Attorney Holder have signed the Tender document towards fulfillment of the Tender conditions on behalf of our firm. OR I, being the authorised signatory of M/s., a Corporation (A Certificate of his authorization/ delegation of powers has to be furnished) have signed the Tender Documents with my Official Seal and the Tender is duly forwarded on the Official Letterhead of our Corporation. 22. I/We have signed all the pages of the tender documents having confirmed/ accepted the terms and conditions as stated therein. 23. We are aware that all the payments are to be made in favour of The Administrator of the Specified Undertaking of the Unit Trust of India by Demand draft / Bank Pay Order/ Banker s cheque payable at Mumbai only. 25. If at any time the performance in whole or in part by either party of any obligation of the terms and conditions of this tender is prevented or delayed by (a) restriction on the sale of the property imposed by any statutory authority and / or by reason of any delay in obtaining requisite permission/n.o.c. from the concerned authority and or (b) any Government or order of authorized official and or (c) due to any Force Majeure Event, provided notice of the happenings of any such event is given by either party to the other within 21 days from the date of occurrence thereof, the agreement shall be terminated and neither party shall have any claim for damages or any relief against the other in respect of the non-performance of this agreement. Each party shall bear its costs and losses arising out of and or on account of such force majeure. 26. The advertisement released in this context will form part of the Contract. Any modification, amendments, changes, corrigendum s will be available only at the website www.suutiproperty.com and www.utiitsl.com.
