DA-4470A RESOLUTION NO. 25099 WHEREAS, on recommendation of Management, there was presented for approval, First Amendment to Contract No. DA-4470 with Birdi and Associates, Inc., to provide Computer Aided Dispatch System maintenance and repair services at Los Angeles International Airport and LAfOntario International Airport by extending the term for one (1) year through June 20, 2014, and by increasing the contract authority by $1,120,000 for a total not to exceed $4,480,000. WHEREAS, the CAD System and its sub-systems are used by LAWA Airport Police Division LA/Ontario for facilitating incident responses and communicating with officers in the field. WHEREAS, this action, as a continuing administrative and personnel related activity, is exempt from the requirements of the California Environmental Quality Act (CEQA) pursuant to Article II Section 2(f) of the Los Angeles City CEQA Guidelines; and WHEREAS, Birdi and Associates, Inc. is required by contract to comply with the provisions of the Service Contractor Worker Retention and/or Living Wage Ordinance; and WHEREAS, Procurement Services Division reviewed the file at the time of the original RFP and confirmed that Birdi and ASSOCiates,Inc. conducted an extensive Good Faith Effort outreach that determined that Hubb Systems, Data 911, an Other Business Enterprise, was the only possible subcontractor because of their proprietary knowledge of the system. Therefore Birdi and Associates, Inc. committed to 0% combined MinoritylWomen Business Enterprise levels of participation and has achieved 0% participation to date; and WHEREAS, Birdi and Associates, Inc. is required by contract to comply with the provisions of the Affirmative Action Program; and WHEREAS, Birdi and Associates, Certificate No. 0002162248; and Inc. has been assiqned Business Tax Registration WHEREAS, Birdi and Associates, Inc. is required by contract to comply with the provisions of the Child Support Obligations Ordinance; and WHEREAS, Birdi and Associates, Inc. has approved insurance documents, in the terms and amounts required, on file with LAWA; and 1 World Way los Angeles ceurorno 90045-5803 Mail I?O. Resolution No. 25099-2- WHEREAS, Birdi and Associates, Inc. has submitted the Contractor Responsibility Program Pledge of Compliance, and will comply with the provisions of said program; and WHEREAS, Birdi and Associates, Inc. has been determined by the Public Works, Office of Contract Compliance, to be in compliance with the provisions of the Equal Benefits Ordinance; and WHEREAS, Birdi and Associates, Inc. will be required to comply with the provisions of the First Source Hiring Program for all non-trade LAX jobs; and WHEREAS, Birdi and Associates, Inc. must submit the Bidder Contributions City Ethics Commission Form 55, and comply with its provisions; and WHEREAS, actions taken on this item by the Board of Airport Commissioners will become final pursuant to the provisions of Los Angeles City Charter Section 373; NOW, THEREFORE, BE IT RESOLVED that the Board of Airport Commissioners determined that this action is exempt from the California Environmental Quality Act requirements; adopted the Staff Report; found that the work can be performed more economically or feasibly by an independent contractor than by City employees; further found that this contract is exempt from competitive bidding under City Charter Section 371(e) (10) since competitive bidding for this work would be undesirable, impractical or impossible; approved the First Amendment to Contract No. DA-4470 with Birdi and Associates, Inc. for Computer Aided Dispatch maintenance and repair services at Los Angeles International Airport and LAfOntario International Airport by extending the term for one (1) year through June 20, 2014, and by increasing the contract authority by $1,120,000 for a total not to exceed $4.480,000; and authorized the Executive Director to execute the First Amendment to Contract No. DA- 4470 with Birdi and Associates, Inc. upon approval as to form by the City Attorney and upon approval by the City Council. 000 I hereby certify that this Resolution No. 25099 is true and correct, as adopted by the Board of Airport Commissioners at its Regular Meeting held on Tuesday, May 7,2013. TO PROVIDE MAINTENANCE AND REPAIR SERVICES FOR THE COMPUTER AIDED DISPATCH SYSTEM FOR THE DEPARTMENT OF AIRPORTS FOR THE CITY OF LOS ANGELES This FIRST AMENDMENT TO CONTRACT NO. DA 4470 ("First Amendment") is made and entered into this day of, 2013, by and between the CITY OF LOS ANGELES, a municipal corporation, acting by order of and through its Board of Airport Commissioners of the Department of Airports also known as Los Angeles World Airports or LAWA (hereinafter referred to as "City"), and BIRDI & ASSOCIATES, INC. (hereinafter referred to as "Contractor"). RECITALS WHEREAS, City and Contractor previously entered into Contract No. DA 4470 commencing on June 21, 2010 ("Contract") for maintenance and repair services for the computer aided dispatch system; and WHEREAS, City and Contractor, by mutual agreement, desire to amend certain provisions of the Contract, as set forth in this First Amendment; NOW, THEREFORE, the parties hereto, for and in consideration of the terms, covenants and conditions herein contained, City and Lessee do hereby mutually agree that the Contract shall BE AMENDED AS FOLLOWS: AMENDMENTS Section 1. Section 1.1 of the Contract is hereby deleted and replaced in lieu thereof with the following: "The term of this Contract shall commence on the date of execution of the Contract by the Executive Director and shall terminate four (4) years therefrom, unless earlier terminated pursuant to the terms hereinafter set forth. City shall have the option to terminate this Contract, without cause, upon giving Contractor a thirty (30) day advance written notice." Section 2. The first sentence of Section 4.1 of the Contract is hereby deleted and replaced in lieu thereof with the following: "The compensation to Contractor shall not exceed Four Million Four Hundred Eighty Thousand Dollars ($4,480,000) for the term of the Contract." Section 3.
