The order of business at the Monthly/General Meeting 4 Attachment 3: Fee Calculator 5 CLAUSE A: NAME The controlling body for male hockey in Orange and district shall be known as Orange Hockey Incorporated (Men s Sub-Committee), hereafter referred to as "the Association". The Association shall trade as "Orange Men s Hockey Association". CLAUSE B: ASSOCIATION COLOURS The official Association colours shall be tangerine, white and black. Representative teams only shall use these colours. Official use of these colours and uniform design for Orange representative teams shall be registered with Hockey NSW CLAUSE C: POWERS The powers of the Association shall be to undertake such actions whether solely or in conjunction with other persons, as the Association may at its discretion consider incidental or conducive to the Association or the objects of the incorporated body. CLAUSE D: OBJECTIVES The objectives of the Sub-Committee shall be: a. To develop and direct Hockey in Orange in accordance with Hockey NSW; b. To select and manage representative teams in the Orange area; c. To promote hockey and provide a structured opportunity for everyone who wants to participate in all aspects of hockey. CLAUSE E: CHILD PROTECTION Protecting children from abuse is a responsibility that we must all undertake. Through the implementation of strategies that assist in preventing child abuse from occurring, Orange Hockey has undertaken a pro-active role in relation to child protection and intervention. These strategies will help to foster a safe and positive environment for children and young people to participate in physical activities. Orange Hockey is committed to ensuring that the safety, welfare and wellbeing of children and young people, is maintained at all times during their participation in activities run by Orange Hockey and its member bodies. Orange Hockey aims to promote a safe environment for all children and to assist all committee members, officials, coaches, members and volunteers to recognise child abuse and neglect, and to follow the appropriate notification procedures when reporting alleged abuse. CLAUSE F: MEMBERSHIP Members of the Men's Association shall consist of the following:. Playing Members: players who have undertaken the appropriate registration process according to HNSW, Orange Hockey Inc and the Association, within the appropriate time frame. They will remain members until the next due date for registration processes to be completed, unless they have been declared unfinancial by either the Association, Orange Hockey Inc, or HNSW. 2. Honorary Life Members (also known as Life Members): Honorary life members, may be admitted for their meritorious services to the Association, provided that the person has been: a. An officer of the Association or Junior Committee for a period of ten (0) years, and/ or b. An Office Bearer for a period of ten (0) years, or a person who has given ten (0) years distinguished service to this Association. The follow conditions must occur with respect to consideration for life membership: c. Nomination for Life Membership must be made in writing, by a member, club or Executive committee member, and should be received by the Secretary at least twenty-eight (28) days before the date of the Annual General Meeting. d. A life member must be elected by secret ballot at an Annual General Meeting, as indicated by votes of at least seventy-five percent (75%) majority in favour, of those persons attending the AGM and eligible to vote. e. The Association must confirm that the new life member will meet the qualifications stipulated in F.2 (a) or (b) above. f. A life member of this Association shall enjoy the same rights and privileges as that of an ordinary delegate of an affiliated club. g. Life Members of the association will have HNSW fees, insurance and other levies paid for by the association. 3. Associate members (also including non playing officials): Any person acting in an official capacity for this association eg Office bearer, coach, manager, umpire etc needs to be a member of Orange Hockey Inc. Such persons can obtain membership) by undertaking the following processes: a. Be nominated and seconded by 2 (two) financial members of the association. b. Be accepted via a vote to accept the nominated person as an associate member or non playing official, by show of hands unless a secret ballot is requested by the majority of the voting members present at the meeting. c. Register as a non playing official with HNSW and Orange Hockey Inc according to the appropriate processes stipulated for season that the membership applies to. This may include a registration cost due to both HNSW and OHI; d. Pay a membership fee to the Association Hon. Treasurer. Membership to be calculated by the Hon. Treasurer, and supported by the members of the association as demonstrated with a vote and acceptance of two thirds majority. This membership fee will be same for all associate members within the confines of the 2 month registration period. 4. Patrons: elected at the AGM. Other players registered with Hockey NSW Any player from another association or OHI sub-committee who wishes to be considered for a position in an Orange Men s Representative team must apply in writing, and must pay any fees or costs that are stipulated by the Executive Committee at the time. These fees or costs may include any costs relating to participation in the representative team, and may include costs associated with levies currently applied to locally affiliated players. This player must be a financial member of HNSW and must gain written clearance from their own association to play. Such permission to play will be voted on at a formal meeting and carried by a majority vote of those eligible to vote at that meeting. If there are time constraints that restrict this occurring prior to the need to participate in a tournament (ie need to find a player at short notice due to a late withdrawal, injury etc) the Executive Committee will have the right to provide such permission, and will inform the members of this decision at the next meeting. CLAUSE G: NEW CLUBS Members of the Association may form new clubs under the following conditions: a. All members of the proposed club must be (or will become within the appropriately specified timeframes) registered members of the Association. b. If their proposed members are not yet registered members of the Association, they must seek a registered member to act of their behalf until such time as they officially meet this requirement. c. They must apply for Admission to the Association in writing to the Association Secretary at least 28 (twenty eight) prior to the commencement of the season in which they wish to participate, specifying the following: i. Club name ii. Colours and style of the uniform (remembering tangerine and black cannot be used in any combination) iii. Appropriate contacts (who must be registered members) for the club; d. Consent to admission can be granted by majority vote at any formal meeting of the Association (ie general meeting, special general meeting, AGM) CLAUSE H: AFFILIATIONS The Executive Committee has the power to affiliate with any body or other association deemed necessary. Any such affiliation should be ratified at the next formal meeting of the Association by a two-thirds majority of members who are eligible to vote at that meeting. NB An example of such affiliation should it be required might be to affiliate with another association in order to hold a competition - ie three men s teams from Orange and three men s teams from another association to be able to play a 6 team competition. CLAUSE I: OFFICE BEARERS. The office bearers of the Committee shall be: Patron(s); Chair; Vice Chair; Honorary Secretary; Honorary Treasurer; Publicity Officer; Registrar; Draw Secretary; Honorary Auditor; Honorary Solicitor; and Promotions and Development Officer. Provided that: a. All officers shall be nominated and elected by secret ballot at the Annual General Meeting, and that they hold office until the 30th September after the ensuing Annual General Meeting. b. Any vacancy occurring during the term of office shall be filled as a casual vacancy by the Committee. c. An Executive member who is absent from three (3) consecutive meetings without submitting an apology with reasonable excuses shall be deemed to have vacated office. 2. All committee members - should Be a positive member of the association and the hockey community Work together as a team with others in the committee and sub committees Have a good attitude and aim to improve Orange Hockey as a whole Distribute minutes (and/or information) to the Board and Subcommittee members as soon as possible Ensure that the association is operating harmoniously and try to limit dissatisfied members Be aware of any changes to the game or within the competition Have open communication at all times with fellow committee members If tasks become over bearing ask other committee members to help out. 3. Chair To chair the meetings, preserving order and maintaining respect. To accept responsibility for all the affairs of the Association. To maintain close co-operation with all other executives and ensure that the affairs of the Association are efficiently conducted. To co-ordinate the work of all executives. Represent the association at local, regional, state and national levels; Act as a liaison officer for the media at all association events and functions. Be well informed of all the association s events/activities. Have a good working knowledge of the constitution, rules and the duties of all office bearers and subcommittees. Be a supportive leader for all association members. Act as a facilitator for association activities. Ensure the planning and budgeting for the future is carried out in accordance with the Guidelines for Chair wishes of the members. Decide on small matters promptly. Make decisions with firmness. Explore all alternatives and encourage input from all committee members. Act upon the chosen decision. Lead without controlling. Involve club or group members in decisions that affect them. Stimulate balanced discussion. Time meetings to finish on time. Encourage focused discussion and keep meetings on track. Negotiate successfully between members. 4. Vice Chair To assist the President in his/her duties. To chair the meetings in the absence of the President. Keep informed with all matters within the committee and the sport 5. Honorary Secretary Be directly responsible to the President. To carry out efficiently, all secretarial duties for the Association. To keep proper records of all meetings and to maintain contact with affiliated bodies. To record o o o all appointments of Office Bearers and Members of the Committee; the names of Members of the Committee present at a Committee Meeting or General Meeting; and all proceedings at Committee Meetings and General Meetings. To prepare the Annual Report for presentation to the Annual General Meeting. The Secretary of the Association shall, as soon as practicable after being appointed as Secretary, lodge notice with the Association of his or her address. 6. Honorary Treasurer Primarily responsible for the financial affairs and control of the Association funds, and is directly responsible to the President. To keep proper books of account, which should be audited prior to the Annual General Meeting. To ensure payment of accounts due by the Association and be solely responsible for collecting all money due to the Association, and be empowered to notify clubs in writing of their un-financial status. To prepare budgets and estimates as required. To provide the Executive and/or the Association with the financial standing at all meetings and at interim periods if required. To act as Chair at any Finance Committee meetings, etc. To provide to the Treasurer or Public Officer of the incorporated body a full financial statement for the year of all accounts and investments held by this Association. To bank all monies intact into a recognised banking organisation with a branch in the City of Orange. To pay all expenditure as instructed and approved by the Association. The Treasurer does not have to accept monies owed to the Association while travelling to or from, or during participation in, Association matches. 7. Publicity Officer To convey the affairs of the Association to the general media in every way possible, to further the aims of the Association. Work in conjunction with the Publicity Officers of OHI Orange Hockey Inc Mens Sub Committee By Laws - Version 3 April 205 7

and the other sub-committees to promote OHI in a positive light and to further the aims of hockey collectively in NSW. Develop and implement a public relations plan that will better market and promote the association and its aims for the season and onwards. Write and issue regular media releases concerning upcoming events and association activities and achievements. Assist by passing on relevant information to be published in the OHI monthly newsletters. Develop and maintain a close working relationship with all local media personnel. Constantly promote the positive aspects of the association s activities. Keep the Secretary and Committee informed of all media activities. Create a positive general public awareness of the association and its activities. Publicise and promote all events, programs and competitions within the association s area. Pass on all relevant information to the OHI secretary to be placed on the Orange Hockey website. Ensuring the website information remains informative, is regularly assessed and all information is up to date. The Publicity Officer can also produce articles, stories, interviews and profiles etc for inclusion in local newsletters, social media sites and any other sources 8. Registrar To keep the following records of the Association: Full player registration showing grading and number of matches played. Compile a Best and Fairest point score. Compile club championship point score. Compile and display competition point score. Records names of members of all representative teams, including Managers and Coaches, and any information relative to these teams. Compile score cards with relevant information and deliver to a designated place prior to the commencement of matches. To be empowered to notify clubs or teams in writing of any penalties or loss of competition points which may occur. 9. Draw Secretary Compile a draw for all divisions and teams of this association into the allocated time periods to ensure as far as possible that all teams have fair and equitable games and time slots. To arrange suitable playing times for deferred games, if any. NB Generally games will not be deferred once the draw has been approved by the clubs at the beginning of the season. 0. Honorary Solicitor. Honorary Auditor To advise or represent the Association on any legal matters affecting the Association. To conduct an audit of all Association financial records, prior to the Annual General Meeting. This person should have adequate accounting qualifications and experience but need not be a registered auditor. 2. Promotions and Development Officer The development officer should aim to provide opportunities for participation in sport of all ages. They distribute information and organise sport-related projects, classes, programmes, coaching, club development and training for those who want to participate for fun and those who are interested in competing at all levels, from local to national and international. To submit to the Association items for consideration for the promotion and development of all aspects of the Association. coordinating, delivering and promoting relevant activities, classes and events, often within a specific community or to targeted groups; training, supporting, developing and managing coaches and volunteer staff; raising public awareness of health and fitness issues and promoting participation in sport maintaining records and producing written reports; attending local, regional and national meetings, seminars and conferences; liaising with clubs to develop best practice in coaching, youth development and issues such as safeguarding to manage clubs effectively; working in partnership with schools initiatives such as active schools, to encourage participation in sport and organise parental involvement; working with national governing bodies for specific sports in relation to clubs and events; managing resources and a budget and identifying potential opportunities for external funding; maintaining links with county, regional and national sporting representatives and organisations; working within specific guidelines, e.g. equal opportunities, health and safety, child protection; 3. Child Protection Officer To uphold the principles of child protection within the Association. This position may be filled for all sub committees of OHI at the OHI committee level. 4. Delegate to other organisations as required. NB People may be elected to more than one office bearer position provided that there is not a potential conflict in the roles of those positions. CLAUSE J: COMMITTEES. Executive Committee The Executive Committee shall consist of: Chair, Vice Chair, Secretary, Treasurer, and Registrar - elected until the ensuing Annual General Meeting. Subject to the general overriding authority of the members, the Executive shall generally act for the members during the periods between meetings. 2. Judiciary Committee The Judiciary Committee is a sub-committee of OHI Execution of the powers of the Judiciary committee will be according to processes set out in the Orange Hockey Inc Member Protection Policy. CLAUSE K: DELEGATION BY ASSOCIATION EXECUTIVE COMMITTEE TO ASSOCIATION SUB-COMMITTEE. The Association Executive Committee may, delegate to one or more SubCommittees such functions usually undertaken by any Association committee or office bearer, other than a. this power of delegation; and b. a function that is a duty imposed on the Committee by law. The following conditions must be observed a. The outline of the requirements, functions, limitations and reporting requirements of such delegation is made in writing; Such delegation to be accepted or ratified at a formal meeting (general or special meeting) by due process of a majority vote by such members attending that meeting who are entitled to vote. b. The sub-committee created consists of such member(s) of the Association as the Executive committee sees fit; (note it may be possible that a person who has the required expertise, but is not a member of the Association is duly assisted to become an associate member to be able to participate on the delegated committee) c. As per all committees of the Association the newly delegated sub-committee will report monthly to the general meeting, or more often to the Executive if required in the delegation outline. d. Any decisions made by this sub-committee that will impact on the Association should be accepted or ratified at a formal meeting (general or special meeting) by due process of a majority vote by such members attending that meeting who are entitled to vote. 2. The Sub Committee (while its delegation remains unrevoked) may exercise any function which has been delegated to it under the terms of the delegation. 3. The Delegation under this section may limit the sub-committee to certain functions, time periods, circumstances and conditions in the exercise of this delegated authority, and as set out in the delegation notification. 4. Notwithstanding the terms of any delegation to a new sub-committee made under this Rule, the Association Executive Committee may continue to exercise any function that has been delegated should that be required. 5. Any SubCommittee acting in the exercise of a delegation under this Rule, is subject to any action, rule, law, policy or protection as the Association which provided the delegation. That is all the same constraints that apply to the Association also apply to the delegated subcommittee. 6. The Association may revoke wholly or in part any delegation under this Rule. b. May come from the Executive Committee who may be required to act in a timely manner prior to a formal meeting, for the good of the Association; c. Should be accepted or ratified at a formal meeting (general or special meeting) by due process of a majority vote by such members attending that meeting who are entitled to vote. 7. A SubCommittee may meet and adjourn as it thinks proper. CLAUSE L: FINANCE To be read in conjunction with Clause I (6), Honorary Treasurers duties.. The income of the association and the property of the association wheresoever derived shall be applied towards the objectives of the incorporated body. 2. All cheques shall be signed con-jointly by two out of the three authorised signatories which shall be Chair, Secretary or Treasurer. 3. The association may set aside out of profits, amounts to the credit or investment or special fund accounts at a recognised banking or finance corporation to meet contingencies and for other purposes as it may think conductive to the objects of the association. 4. Affiliation Fees a. Shall be decided annually for member clubs. (See attachment Fees calculator) b. Shall be paid by the required date/s. c. The executive committee may prescribe any further levies to be paid by affiliated clubs to funds required for development or other expenditures. d. The Association pay all fees for life members. 5. Borrowing Powers: The executive may from time to time at its discretion raise or borrow or secure the payment of any sum or sums for the purpose of the association. Any such decision should be accepted or ratified at a formal meeting (general or special meeting) by due process of a majority vote by such members attending that meeting who are entitled to vote. 6. No dividends or any distribution whatsoever shall be made to members of the association. 7. Unfinancial clubs or members: Any club or member declared unfinancial shall not be permitted to take part in any activities of the Association until after again becoming financial. After suitable notice to the members, a list of all unfinancial clubs or members will be sent to HNSW via OHI. CLAUSE M: MEETINGS. Annual General Meetings The annual general meeting is to be held in September each season and notice be given to each affiliated club of the association and its sub-committees at least 28 days before such meeting, stating the hour, date and place of such meeting. The business of the annual general meeting shall be to receive and consider the following: a. The annual report, duly signed by the Chair and secretary. b. The statements of receipts and expenditure for the proceeding 2 month period and bank balances, signed by the treasurer, and duly audited by the Hon. Auditor. The 2 month period should be from st of September to the 3st of August, or a period as close to this as possible that still allows time to audit the accounts prior to the AGM. c. To elect Officer Bearers, members of the executive committee and elect necessary committees, provided that nominations of persons for election to office and other positions on the association as provided for in these by-laws shall be endorsed by the nominee at the relative annual meeting. Written nominations for these positions are to be received by the secretary prior to the meeting. Only where no written nominations, or insufficient number of nominations in the case of a committee are received for positions, can nominations then be accepted from the meeting. d. To consider notices of motion, of which notice in writing has been given to the Secretary not less than 4 days prior to such meeting. Written notice of the notices of motion is to be sent to the clubs not less than 7 days prior to the AGM. e. To consider any other business under these by-laws ought to be transacted at the Annual General Meeting. f. To elect delegates to other committees of sub-committees. g. The newly elected committees and Office Bearers will commence their duties immediately after the AGM is concluded. h. Handover of all documentation and equipment for newly elected positions should be undertaken within one month of the AGM. (Refer to attachment for recommended order of business for the AGM) 2. Executive Committee Meeting The executive committee shall meet as necessary, but must meet at least one month prior to the first monthly meeting of the new season. 3. Monthly/General Meeting Shall be held at least one a month during the playing season on a night to be determined at the start of the season. (Refer to attachment 2 for recommended order of business for the Monthly/General Meeting) 4. Special General Meeting Special General Meetings may be convened by either the Chair or the Secretary of the Association by resolution of the executive committee or members of the Association. Such meetings shall be called to deal with a specific issue/s. Each affiliated club shall be given at least 7 days notice of the meeting and the business to be discussed. Each club shall be entitled to only 2 delegates in attendance. 5. Voting Rights at Meetings a. Annual General Meeting: Each life member, patron, and financial member of this association shall have the right to one vote. Members are defined in Clause G. b. Executive Committee Meetings: Only members of the committee may be present at these meetings, but others may be invited at the request of the Executive but only the members of the committee may vote. The Chair may also use a casting vote in the event of tied voting. c. Monthly or General Meeting: Each affiliated club may have 2 delegates eligible to vote. Names of these delegates shall be noted on the attendance sheet, which will be regarded as the official record of attendance at the meeting. i. Each office bearer may have vote. ii. The Chair may have the right to vote on any matter or issue and where voting is equal they shall have in addition a casting vote which they may exercise. iii. iv. Each Life member may have one () vote. Voting shall be on a show of hands except for the election of office bearers, or on demand, when it shall be a secret ballot. d. Special General Meetings: All affiliated financial members present may speak and have the right to one vote. Members are defined in Clause F. NOTE: INDIVIDUALS MAY ONLY HAVE ONE VOTE, EVEN IF HOLDING MORE THAN ONE POSITION WITH THIS ASSOCIATION EXCEPT AS NOTED IN CLAUSE M.5 (C) II ABOVE REGARDING THE CHAIR S RIGHT TO AN ADDITIONAL CASTING VOTE. 6. Quorum for all Meetings Quorums for meetings are as follows a. AGM - any five (5) members of those entitled to vote constitute a quorum for the transaction of the business at this meeting; b. c. Monthly or General meeting - any five (5) members of those entitled to vote constitute a quorum for the transaction of the business at this meeting; d. Special General meeting - any five (5) members of those entitled to vote constitute a quorum for the transaction of the business at this meeting; CLAUSE P: INSURANCE HNSW via it s registration process provides insurance for all registered members. Registered players who wish to understand the scope of this insurance should refer this query and any question relating to claims directly to HNSW CLAUSE Q: INTERPRETATION OF THESE BY-LAWS Should any disputes arise as to the interpretation of these by-laws, the matter shall be referred to the executive committee, whose decision shall be final. CLAUSE R: ALTERATIONS TO THESE BY-LAWS Alterations to the By Laws can only occur if the following conditions are met - a. Actions to alter the By Laws can only occur at an Annual General Meeting or a Special General Meeting; b. Alterations (add, rescind or adopt) can only be made with the consent of two thirds (2/3) of the members present and voting; c. A minimum of fourteen (4) days written notice was given to the Association secretary; d. The Association secretary must give seven (7) days notice of the motion to alter the by-laws to all clubs of this Association, patrons, associate members/non playing officials and life members. CLAUSE S: WINDING UP THE ASSOCIATION The association may at any time be dissolved upon a resolution of a Special General Meeting held for that purpose. At which at least half (50%) of the members of the association and the executive/ management committee shall be personally present and voting. Such resolution must be passed by a seventy five percent (75%) majority of such persons present.
