THIS THIRD AMENDMENT to Agreement Number C-122532 of City of Los Angeles Contract is made and entered into by and between the City of Los Angeles ("City") and Managed Career Solutions, Inc. ("Contractor"). RECITALS WHEREAS, the City and Contractor have entered into an Agreement wherein Contractor shall provide certain services. Said Agreement was effective September 2, 2012, which together with all amendment(s) thereto shall hereinafter be referred to as the Agreement; and WHEREAS, PSC-6, Exhibit A, Standard Provisions for City Contracts, provides for amendments to the Agreement; and WHEREAS, the Agreement contemplates that modifications and closeout activities may be required after the time set forth in Section 201 of the Agreement; and WHEREAS, the City and SBWIB, Inc. entered into a third amendment of grant agreement, 13-WO-62, in distributing additional monies authorized to be expended and additional Six (6) months term of service for the purposes of re-employment and training services to dislocated workers; and WHEREAS, the City and Contractor are desirous of amending the Agreement as authorized by the City Council and the Mayor (refer to Council File Number 14-1414-S1 dated May 5, 2015), and Section 14.8 of the Los Angeles Administrative Code which authorizes the General Manager of EWDD to prepare and execute an amendment to the Agreement for the purpose of: (a) Adding an additional Six (6) months for a new ending date of September 30, 2015; (b) adding additional funds in the amount of Sixty-Nine Thousand One Hundred Ninety-Nine Dollars ($69,199) for a new total of Three Hundred Eighteen Thousand Five Hundred Ninety-Nine Dollars ($318,599); (c) adding additional customers to be served to the Agreement; (d) updating standard contract language; and (e) making such other changes as are required in connection with the foregoing, all as detailed elsewhere in this Amendment; and WHEREAS, this Amendment is necessary and proper to continue and/or complete certain activities authorized under the Agreement. follows: NOW, THEREFORE, the City and Contractor agree that the Agreement be amended effective April 1, 2015, as P: \Division Folder - WDD\FINAL DOCUMENTS \FY 14-15 \WIA 25% DW Addtl Asst- MCS C-122532-3.doc Page 1 of 4

AMENDMENT 1. Amend Section 201, Time of Performance, by deleting the current ending date of March 31, 2015, and replacing with the new ending date of September 30, 2015. This amendment adds an additional Six (6) months for a total term of Thirty-Seven (37) months. 2. Amend Section 301A, Compensation, by deleting the current total dollar amount of Two Hundred Forty-Nine Thousand Four Hundred Dollars ($249,400) and replacing with a new total dollar amount of Three Hundred Eighteen Thousand Five Hundred Ninety-Nine Dollars ($318,599). This amendment adds an additional Sixty-Nine Thousand One Hundred Ninety-Nine Dollars ($69,199) for a new total of Three Hundred Eighteen Thousand Five Hundred Ninety-Nine Dollars ($318,599). Funding allocation for the full term of this Agreement shall be as follows: 25% WIA Dislocated Worker Additional Assistance Fund (CFDA# 17.278) FUNDING ALLOCATION TABLE Original Amount Amendment I & II Amendment III Total Allocation Amount Amount $249,400 $0 $69,199 $318,599 Contractor shall submit to the City within thirty (30) days for approval a revised Budget/Expenditure Plan, in writing, detailing the allocation of the adjusted funds and the additional activities described in 3 below. 3. Amend Exhibit I, Scope of Work and Contractor Responsibility, by deleting its Subsection 4 of Section B, Program Responsibilities, in its entirety and replacing with the following: 4. Contractor is required to close-out funds appropriated within ten (10) days following the termination of this Agreement. 4. Amend Exhibit I, Scope of Work and Contractor Responsibility, by adding an additional Thirteen (13) customers to be served in the performance measure line number 5, New Enrolled Customers, of the Performance Measures and Customer Service Levels Table in Section E for a new "New Enrolled Customers" total of Fifty-Six (56). This amendment adds an additional Thirteen (13) new enrolled customers.
