5 Conditions of Participation CUSTOMBIKE SUMMER DAYS Participation at the CUSTOMBIKE SUMMER DAYS trade fair is governed by the General Ters and Conditions for Exhibtion and the following Conditions of Participation, as well as suppleentary organisatorial and technical exhibitor inforations/regulations supplied to the exhibitor prior to the event. 1. Rental prices in the exhibition halls Each 2 of stand or part of thereof Row stand (open to one side): 26, Corner stand (open to two sides): 28, End stand (open to three sides): 30, Block stand (open to four sides): 32, Outdoor area (type of stand in agreeent): 28, All prices are subject to the addition of VAT. The type of stand depends on the planned layout; exhibitors have no entitleent to a certain type of stand or size, however where possible the requests of exhibitors will be et. The stand rental fee covers: Rental of the stand area during ties of assebly, exhibition and disantling, the general electric ligthing of the exhibiton halls and general cleaning of circulation areas, as well as general security services. Resounding Coluns and Wall Portrusions are coponents of the assigned stand surface an do not reduce the rent. Liiting walls of the stand are not contained int the surface rented. 10. Payent ters 25 % of payent is due two weeks after receipt of the confiration of order. The residue is payable till 1st June 2018. Bills issued after the 1st June 2018, are due in full iedately. All payents ust quote the billing nuber. All invoices ust be paid in full to the exhibitor to finally reserve the space assigned. 11. Modifications The organizer reserves the right to ove, liit or change in their diension the area ordered by the exhibitor and ade available to the exhibitor. This does not entitle the exhibitor to withdraw fro the rental contract. 12. Co-exhibitors and representants of third party copanies Co-exhibitors are copanies which appear on the stand of the exhibitor with their own staff and exhibits. It ust be clear even without spatial divide that this exhibitor is independent. Sharing exhibitors will only be aditted, if the questions on the application for for sharing exhibitors have been fully copleted and the conditions for participation at the event are et. Sharing exhibitors are subject to the sae conditions as exhibitors. 13. Online exhibitor directory Each exhibitor receives a free standard entry in the exhibiton directory. The organizer, the Huber Verlag GbH & Co. KG, expressly state, that no third party has been ordered or authorised to produce exhibitor registers, in particular registers after the fair has been held. Any such offers ade to exhibitors are without the approval of the organizer. 14. Insurance Exhibitors are obliged to arrange for adequate insurance protection theselves. It is recoended to sign an exhibition policy to cover transports and risks associated with the exhibition. The organizers are responsible for the general third party liability risk of the event.

6 Conditions of Participation CUSTOMBIKE SUMMER DAYS They will sign a third party liability insurance policy for personal injury and daage for the event. 15. Design of the stand It is not peritted to stick on, nail into, paint or otherwise daage any floors, walls, coluns, installation and fire protection equipent as well as any other fixtures of the halls. Any daage is to be borne by the exhibitors and will be invoiced to the. Any coluns and installation, fire protection and escape equipent are part of the assigned stand area and ust be accessible at all ties. Besides, the technical guidelines of the fair center Mannhei ust be observed at all ties. 17. Place of jurisdiction Place of jurisdiction is Mannhei. However, the organizers are entilted to ake their clais at the court of justice in the place where the exhibitor is registered. Only geran law as well as geran versions of text are deterinative. 16. Rescission 5 of the general fair conditions will be suppleented as follows: The provision of 25 % of the rental as copensation for costs are to be read as a lup su copensation. 7 General trade fair and exhibition conditions 1. Registration The stand is ordered using the exhibitor contract. The exhibitor is bound to his registration for up to 8 days after the end of registration according to the participation conditions for the CUSTOMBIKE SUMMER DAYS, at the latest for up to 6 weeks before opening of the trade fair/exhibition unless it has been approved in the eantie. The exhibitor shall reain bound to registrations subitted later or after the registration deadline for 14 days. 2. Recognition With registration, the exhibitor accepts the General trade fair and exhibition conditions, the Participation conditions for the CUSTOMBIKE SUMMER DAYS and the House rules as binding onto hiself and any persons eployed by hi on the trade fair. The legal, occupational and coercial-law provisions, in particular for environental protection, fire protection, accident prevention, copany designation and price arking ust be observed. 3. Approval Approval of the exhibitors and the individual exhibition objects shall be deterined by the trade fair/exhibition anageent, if applicable under involveent of a trade fair/exhibition advisory council or the trade fair/exhibition coittee. The organiser has the right to liit the registered exhibits or change the registered area due to concept-related reasons. The organiser ay exclude individual exhibitors and providers fro participating due to technically justified reasons, in particular if the space available is not sufficient. If required to achieve the event purpose, he ay liit the event to specific exhibitor, provider and visitor groups. Exclusion of copetition ust neither be deanded nor proised. Receipt of the confiration of approval or invoice by the exhibitor shall coplete conclusion of the contract between the organiser and the exhibitor. The approval granted can be revoked when the prerequisites for issuing are not or no longer present. The trade fair/exhibition anageent has the right to issue an iediate terination of the contract in case of payent default in spite of two reinders. In this case, a fee at 25% of the stand fee shall be payable to cover the costs that already arose. Where justified coplaints or objections occur regarding the offered goods or the working ethod of the exhibitor, the trade fair/exhibition anageent shall have the right and authorisation to iediately take appropriate easures to reove these in general interest. In this case, the trade fair/exhibition anageent ay cancel existing contracts for subsequent trade fairs/exhibitions because essential prerequisites that underlie these contracts are no longer applicable. Exhibition of unregistered, unapproved or used goods is not peritted. 4. Changes force ajeure Unforeseen events that ake it ipossible to hold the trade fair/exhibition as planned and that are not due to the organiser s fault, shall entitle hi to cancel the trade fair/exhibition before opening. If the cancellation ust be declared ore than 6 weeks but no ore than 3 onths before the specified coenceent, 25% of the stand fee as a cost contribution. If the cancellation is declared in the last 6 weeks before coenceent, the cost contribution increases to 50%. The costs already incurred at the exhibitor s initiation shall be covered as well. If the trade fair/exhibition ust be closed due to force ajeure or authority order, the stand fee and all costs to be borne by the exhibitor shall be assued in full. to reschedule the trade fair/exhibition. Exhibitors who prove that this leads to schedule conflicts with another trade fair/exhibition that they have already booked bindingly ay clai to be released fro the contract. to shorten the trade fair/exhibition. The exhibitors cannot deand release fro the contract. The stand fee shall not be reduced. In any case, the exhibitor shall ake such severe decisions in interaction with the appointed coittees or trade fair or exhibitor councils and report the as early as possible. Daages clais are excluded for both parties in any case. 5. Withdrawal If the organiser perits withdrawal in an exception after binding registration, 25% of the fee are to be paid as cost copensation and any costs already incurred on the exhibitors initiation fro orders already placed shall be reibursed. The exhibitor is expressly granted the right to prove fro case to case that the organiser incurred no or a lesser daage. The application for withdrawal ust be subitted in writing. It shall only be legally validly agreed if the organiser also consents in writing. The trade fair/exhibition anageent ay ake release dependent on that the rented stand can be rented out otherwise. New renting corresponds to release fro the contract, but the initial exhibitor ay have to cover the difference between the actual fee and the fee achieved, plus the aounts resulting fro paragraph 1. If the stand cannot be rented out otherwise, the trade fair/exhibition anageent shall have the right to place another exhibitor on the unused stand in the interest of the overall appearance or to fill the stand otherwise. In this case, the render shall not have any clai to reduction of the stand fee. The resulting costs for decoration or filling of the stand not used shall be at the renter s expense. 6. Stand classification The stands are assigned by the trade fair/exhibition anageent according to aspects that are given by the concept and the trade fair and exhibition subject, with the date of receipt of the registration not being essential. Special wishes of the exhibitor shall be considered where possible. The stand assignent shall be disclosed in writing, usually at the sae tie as adission and disclosure of the hall and stand nuber. Coplaints ust be subitted within 8 days after receipt of the stand assignent. The exhibitor ust expect that technical reasons ay ake sall liitations to the assigned stand necessary. It ust not exceed 10 c each in width and depth and shall not entitle to any reduction of the stand fee. This shall not apply to stands expressly registered as prefabricated or syste stands. The stand ust only be relocated for andatory reasons. The trade fair/exhibition anageent ust provide the affected exhibitor with a stand/area that is as equivalent as possible. The exhibitor shall in this case have the right to withdraw fro the contract within 2 days of receipt of the notification about relocation without utual copensation. Withdrawal ust be declared in writing. This shall not apply if the stand is oved by a few etres in the sae hall. The trade fair/exhibition anageent reserves relocation of the eergency exits and passages for andatory reasons. Changes to the location, type or sizes of the stand ust be reported by the trade fair/exhibition anageent in writing without delay. 7. Sublease, co-exhibitors, provision of the stand to third parties, sale for third parties The exhibitor shall not have the right to wholly or partially sublease or otherwise transfer the stand assigned to hi, to swap it or to accept orders for other copanies without the consent of the trade fair/exhibition anageent. The inclusion of a co-exhibitor approved by the trade fair/exhibition anageent is subject to fees. In case of unapproved sublease or passing on of the stand, the exhibitor shall, provided that the trade fair/exhibition anageent does not deand clearing of the area occupied by the sublease - pay an additional 50% of the stand fee. For acceptance of orders, the order logs, unless dedicated ones are used, ust contain the address of the delivering copanies as well as the precise address of the stand owner. The order certificate ust show clearly with which exhibitor and for which copany the purchase contract was concluded. 8. Joint and several liability Where several exhibitors rent a stand together, each of the shall be liable as joint and several debtor. They shall designate a shared authorised person in their registration. The trade fair/exhibition anageent shall only negotiate with this person. Notifications of the representative naed in the registration shall be deeed notifications of the exhibitor or, in case of counity stands, exhibitors. 9. Rent and costs The stand rents and surcharges for corner, head and block stands, can be taken fro the participation conditions for the CUSTOMBIKE SUMMER DAYS. The costs for the supply systes produced on the application of the exhibitor, as well as other secondary services, such as the delivery of gas, water, power, etc., shall be disclosed to the exhibitors in advance upon request. 10. Payent conditions Due date: The invoice aounts are to be paid punctually at 50% within 30 days of the invoice date and the rest up to 6 weeks before coenceent of the event, unless soething different is agreed on in writing or results fro the participation conditions of the CUSTOMBIKE SUMMER DAYS. Invoices that are issued later than 6 weeks before opening shall be payable in full at once. Payent default: Default interest shall be charged fro the due date onwards. They are 3% above the base interest rate of the discount rate specified by the ECB. The trade fair/exhibition anageent ay dispose of stands not fully paid for otherwise after unsuccessful reinder and upon prior announceent. In this case, it ay refuse provision of the stand and issue of the exhibitor IDs (also see ite 5). Lien: The organiser shall have the lessor s lien in the trade fair/exhibition objects brought in for all obligations not et and the resulting costs. The organiser shall not be liable for daage and loss to the lien objects caused without fault and ay sell the freely upon written announceent. The prerequisite for this is that the objects brought in by the exhibitor are the exhibitor s unrestricted property.

8 11. Design and equipent of the stands For the entire duration of the event, the nae and address of the stand owner ust be applied to the stand in a anner that is recognisable for everyone. Equipent of the stands in the scope of consistent set-up that ay be specified by the organiser shall be the exhibitor s responsibility. The directives of the trade fair/exhibition anageent shall be observed in the interest of a good overall appearance. When stands are set up by the exhibitors, it ay be deanded that to-scale designs be subitted to the trade fair/exhibition anageent for approval before the work coences. Use of prefabricated or syste stands ust be expressly noted in the registration. The copanies charged with design or set-up ust be disclosed to the trade fair/ exhibition anageent. The stand borders ust not be exceeded in any case. Exceeding of the required set-up height shall require the express approval of the trade fair/exhibition anageent. The trade fair/exhibition anageent ay deand that trade fair/exhibition stands, the set-up of which is not approved or that do not coply with the exhibition conditions, be changed or reoved. If the exhibitor does not eet the written request within 24 hours, the trade fair/exhibition anageent ay perfor reoval or change at the exhibitor s expense. If the stand ust be closed for the sae reason, there shall be no clai to reiburseent of the stand fee. 12. Declaration of exhibitors at CUSTOMBIKE SUMMER DAYS that no plagiaris is used Exhibitors of the CUSTOMBIKE SUMMER DAYS represent that the exhibited products, goods, exhibition and sales objects do not violate any copyright. The sale, passing on and exhibition of plagiariss and forgeries of any kind are forbidden. Disclaier The exhibitors shall bear the sole responsibility under civil and criinal law for any products, goods or exhibition and ales objects offered to the for sale, passing on or exhibition. The organiser (Huber Verlag GbH & Co. KG) shall not assue any liability! 13. Advertiseent Advertising of any kind, in particular distribution of printed advertising atter and contact with visitors, is only peritted within the stand. Operating of speaker systes, usic/photo presentations and AV edia of any kind also for advertising purposes by the exhibitor shall require express consent and shall be registered in tie. The presentation of achines, acoustic devices, projectors and fashions, even for advertising purposes, ay be liited or revoked in the interest of aintaining an orderly trade fair/exhibition operation even after the consent has been granted. If the organiser operates a speaker syste, the trade fair/exhibition anageent reserves the right to use it for announceents. 14. Set-up The exhibitor is obligated to coplete the stand within the periods according to the participation conditions of the CUSTOMBIKE SUMMER DAYS. If set-up of the stand has not coenced by 12 PM on the day before the exhibition opens, the organiser ay dispose of the stand otherwise. The exhibitor shall be liable towards the trade fair/exhibition anageent for the agreed stand fee and any costs arising in addition to this in this case. Daages clais by the exhibitor shall be excluded in any case. Objections to the position, type or size of the stand ust be reported to the trade fair/exhibition anageent in writing before coenceent of own set-up, no later than on the day after the specified start of set-up. All aterials used for the set-up be flae-retardant. 15. Operation of the stand The exhibitor is occupy to operate the stand with the registered goods throughout the duration of the trade fair/ exhibition and, if the stand has not expressly been rented out as a representation stand, keep it occupied with qualified staff. The trade fair/exhibition anageent takes care of cleaning of the area, halls and aisles. Cleaning to the stands shall be the exhibitor s obligation and ust be perfored every day after the end of the trade fair/exhibition. The exhibitor ust avoid waste and sort garbage by recyclable aterials. Additional disposal costs are charged according to the originator principle. The exhibitor shall, if necessary, subit a GEMA registration on his own; the organiser shall be released fro any registration and liability for the individual stands. 16. Reoval No stand ust be cleared wholly or in part before terination of the trade fair/exhibition. Violating exhibitors ust pay a contractual penalty at the aount of half the stand fee. The trade fair/exhibition objects ust not be reoved after the end of the trade fair/exhibition unless the trade fair/exhibition anageent has asserted its lien. This notification ust be subitted to the representatives of the stand owner present in the stand. If the trade fair/exhibition objects are reoved anyway, this is deeed violation of the lien. The exhibitor shall be liable for any daage to the floor, walls, the rented or let aterial. The trade fair/exhibition area ust be returned in the condition as received no later than by the tie specified for the end of reoval. Any added aterial, foundations, excavations and daage ust be reoved ipeccably. Otherwise, the trade fair/exhibition anageent has the right to have such work perfored at the exhibitor s expense. Further clais to daages shall not be affected by this. Any stands not reoved or trade fair/exhibition objects not transported away after the date specified for the reoval shall be reoved by the trade fair/exhibition anageent at the exhibitor s expense and stored under exclusion of liability for loss and daage by the trade fair/exhibition carrier. 17. Connections General lighting shall be at the organiser s expense. Where the exhibitor desires any connections, these ust be disclosed at registration. Set-up and consuption shall be at the exhibitor s expense. The costs for ring lines shall be allocated proratedly. All installations up to the stand connection ust only be perfored by copanies approved by the trade fair/exhibition anageent. These shall be charged through ediation and with the consent of the trade fair/exhibition anageent and shall issue their invoice for installation and consuption directly under consideration of the reference rates disclosed by the trade fair/exhibition anageent. Connections and equipent that do not coply with the relevant provisions in particular the VDE and local EVU, or that have a consuption exceeding the one reported, ay be reoved or deactivation by the trade fair/exhibition anageent at the exhibitor s expense. The stand owner shall be liable for all daage caused by use of unreported connections not executed by the trade fair/exhibition installers. The trade fair/exhibition anageent shall not be liable for interruptions or power fluctuations of the power, water/sewage, gas and copressed air supply. 18. Guarding General guarding of the preises and halls shall be provided by the organiser without any liability for loss or daage. The exhibitor is responsible for observation and onitoring of the stand. This also applies during the set-up and deolition ties. Special guards are only peritted with approval of the trade fair/exhibition anageent. 19. Liability (1) The organiser is liable without liitation for wilful intent or gross negligence, for violation of life, body or health, according to the provisions of the product liability act and at the scope of a guarantee assued by the seller. (2) In case of slightly negligent violation of any obligation that is essential for achieving the purpose of the contract (cardinal obligation), liability of the exhibitor shall be liited in aount to the daage foreseeable and typical according to the type of the transaction in question. (3) There shall be no further liability of the exhibitor. (4) The above liitation of liability shall also apply to the personal liability of the eployees, representatives and bodies of the organiser. 20. Insurances It is urgently recoended to the exhibitors that they insure their trade fair/exhibition objects and liability at their own expense. 21. Photography Drawing Filing The coercial photography, drawing and filing within the trade fair/exhibition preises shall only be peritted to copanies/persons approved by the trade fair/ exhibition anageent. 22. House rules The trade fair/exhibition anageent exercises the house rights on the trade fair/exhibition preises. It ay pass house rules. The exhibitor and its eployees ust only enter the preises and hall one hour before the trade fair/exhibition coences. They ust have left the halls and preises no later than half an hour after the end of the trade fair/exhibition. Staying on the preises over night shall be forbidden. Furtherore, it is not peritted to drive into the trade fair hall with engines running or to start engines at the stands. 23. Forfeiture clause Clais of the exhibitors against the organiser that are not asserted in writing 2 weeks after the end of the trade fair/exhibition at the latest shall be forfeited. 24. Modifications Any agreeents deviating fro the general trade fair and exhibition conditions and the participation conditions of the CUSTOMBIKE SUMMER DAYS shall require written for to be valid. 25. Place of perforance and place of jurisdiction The place of perforance and place of jurisdiction shall be the organiser s registered office, even when clais are asserted by court dunning, unless the participation conditions of the CUSTOMBIKE SUMMER DAYS stipulate soething different. 26. No soking Soking in the trade fair halls is strictly prohibited. The non-sokers protection act does not perit any exceptions on public events. The organiser (Huber Verlag GbH & Co. KG) does not assue any liability at violations.

General Ters and Conditions of SVT Südwest Veranstaltungsservice und Technik GbH for water installations 1. The General Ters and Conditions of SVT shall apply to the order. General ters and conditions of the custoer shall not becoe a contractual object, even without the express objection of SVT. 2. The order is deeed accepted if SVT does not object to the order in writing within 10 days upon receipt of the order or begins to execute the order. 3. If such eters are peritted by SVT in exceptional cases, the custoer shall pay a reading and onitoring fee in the aount of 17.90. If the consuption is recorded by a eter, a prepayent is charged, which will be offset against the final invoice. 7. SVT reserves the right to charge bulk consuers their actual consuption instead of a flat rate for the water supplied. If SVT classifies a custoer as a bulk consuer, it ust be iediately notified. In this event, the custoer ust rent, in addition to any other ordered services, a water eter according to the ters overleaf and to pay a fee in the aount of 5.10 plus statutory VAT per cb of water (including wastewater fee as per 01/2018). If a standpipe is installed, its eter shall be referred to for the recording of the water consuption. 8. Providing other exhibitors with water is prohibited unless otherwise agreed on a case-by-case basis. In case of infringeent on the part of the custoer, SVT is entitled to switch off the connection without replaceent without any prior warning being required. 9. The custoer is not entitled to odify any installations created by SVT or have the odified by third parties. If any odifications becoe necessary and if such are technically possible, SVT will execute these at extra cost. The custoer shall have no clai to such odification, in particular if any neighbouring booths already set up would be affected. 10. SVT shall not be liable for water outages, pressure fluctuations and daages to the installations executed by SVT for which SVT is not responsible or for consequential daages resulting therefro, such as soiling and daages to the booth, the exhibits and failure of rented devices. Otherwise, SVT shall only be liable for wilful intent and gross negligence, even in the event of breaches of duty coitted by a legal representative or agent. The exclusion of liability shall not apply to injury of life, lib and health. 11. If the custoer does not find the water connection ordered on its booth, the installation deviates fro the order or the water supply is ipaired, SVT ust be iediately notified at their offices on the exhibition grounds. If the custoer fails to iediately notify SVT, it ay not derive any rights fro these circustances. The custoer is obligated to iediately check the installation upon oving into its booth and to notify SVT of any coplaints. 12. Any tapping points available on the open-air grounds are exclusively intended for taking saller quantities of water. 13. On the last day of the event, the entire water supply to the booths will be cut off one hour after the official opening ties. A tie extension ust be applied for at least 48 hours prior with SVT. 14. The custoer is obligated to constantly onitor the installations in its area, in particular check for leakages, and prevent unauthorised use. The custoer is obligated not to forward the user nae and password to any third parties and to only use the for its own purposes. SVT reserves the right to exclude users fro using the access point if it has been used in an unlawful and/or unethical anner by the user. Any reiburseent of costs for the unused period of use shall be excluded hereby. In order to prevent technical alfunctions, setting up the custoer s own WLAN is not peritted. In the event of an active third-party WLAN, SVT reserves the right to request that the operator iediately switch off the WLAN. Any invoices issued by SVT ust be paid iediately strictly net. Reinders shall be charged with 5.00 on a case-bycase basis. Any subsequent invoice odifications on account of a deviating invoicing address shall be charged with 20.00. The custoer ay, insofar as it is a copany, only offset undisputed or legally binding clais. The sae shall apply for any rights of refusal, in particular any right of retention. Such receivables ust be claied within a liitation period of one onth upon the end of the trade show. SVT shall not be liable for any failures of the internet connection and daages to the installations executed by SVT for which SVT is not responsible or for consequential daages resulting therefro. These transission rates are shared by all users. The actual transission rates are therefore relying on the internet provider, the nuber of users and their user behaviour.
