Siena College American Red Cross of Siena Constitution ARTICLE I. NAME The name of this organization shall be American Red Cross of Siena, which is a registered trademark of the American Red Cross. ARTICLE II. OBJECTIVES, PURPOSE, AND GOALS The American Red Cross of Siena has the following objectives, purposes and goals: 1. To unite Siena s campus in an effort spearheaded and led by Siena s student body. 2. To provide Red Cross services to the local community and students on the campus of Siena College, with club members delivering these services acting in accordance with the American Red Cross Code of Conduct. 3. To promote the value of service learning to all students at Siena ARTICLE III. MEMBERSHIP Membership and participation in the American Red Cross of Siena is open to all students at Siena College Associate members may include faculty, alumni, staff, and community members, such as liaisons with the American Red Cross chapter in Albany. Membership requirements : 1. Attendance at a minimum of sixty-six percent (66%) of the meetings. 2. Participating in the organization s activities and donation of time. a. A minimum of four (4) volunteer hours each semester. 3. Attendance at a minimum of one blood drive, aiding in registration, canteen, or donating, and one service or fundraising event. ARTICLE IV. EXECUTIVE BOARD The Executive Board must be comprised of students at Siena College who are taking at least six (12) semester hours during the fall and spring semesters of their tenure. The Executive Board shall be comprised of the following nine (9) members: 1. President 2. Vice President 3. Secretary 4. Treasurer 5. Blood Services Coordinator(s) 1

6. Service and Fundraising Coordinator(s) Section D. Section E. The Executive Board will be selected by the following process: 1. At general elections, which will be held at the end of the Fall Semester, officers will be nominated and voted upon by the members. The victor will be the majority of the vote. a. Officers newly elected are required to train during the Spring Semester. In the event of a vacancy in the Executive Board, the vacancy shall be filled in the following manner: 1. The position of the President will be filled within the immediate two (2) weeks following the vacancy by an election process which will be conducted by the American Red Cross of Siena Faculty Advisor and the Executive Board. This position is open to all students at Siena College, including current Executive Board members. 2. All other vacancies on the Executive Board will be filled within the immediate two (2) weeks following the vacancy by an Election process which will be conducted by the President and the American Red Cross of Siena Faculty Advisor. All other members of the Executive Board have the option of taking part in the election process. Should a member of the Executive Board not fulfill his/her assigned duties in a prompt, competent manner or fails to meet the required guidelines, the following procedures will be enacted: 1. Any officer not acting in accordance with the American Red Cross Code of Conduct or who does not meet or fulfill the standards or duties established for the office he/she holds, may be removed from office by a majority vote by the Executive Board and the American Red Cross of Siena Faculty Advisor. 2. In order to resign from the office, a formal written resignation must be approved by the American Red Cross of Siena Faculty Advisor. 3. In the event of resignation or impeachment, a new election will take place to fulfill the vacant position. ARTICLE V. DUTIES OF THE EXECUTIVE BOARD Each Executive Board member shall: 1. Be responsible for thoroughly training the newly selected student for his/her previous position within two (2) weeks immediately following the selection. The President shall: 1. Preside over all meetings of the Executive Board. 2

2. Be responsible for coordinating the selection process for the other Executive Board positions. 3. Be responsible for leading the Executive Board throughout the planning and the execution of the program. 4. Maintain a complete and up-to-date file which should include the a. Current American Red Cross of Siena Constitution b. Current copy of overall budget and individual budget for each office c. Current correspondence or records pertaining to the duties of this position. 5. Be responsible for maintaining contact between the Executive Board and the American Red Cross and the American Red Cross of Siena Faculty Advisor. 6. Delegate responsibilities of a chairperson to other members of the Executive Board in his/her absence, inability to serve, or at his/her call 7. Perform all other duties as they may arise pertaining to this position. 8. Attend club training each semester. 9. Held accountable for completing the request for Additional Allocations and attending as well as presenting at the Budget and Allocations Committee (BAC) meetings. Section D. The Vice President shall: 2. Obtain and maintain all supplies used in coordination with all events and the Executive Board. 3. Maintain a complete and up-to-date file which should include the a. Records of all Executive Board members monthly reports. b. Records of all registration materials. c. Any other correspondence or records pertaining to the duties of this position. 4. Perform all duties of the Executive Board President in his/her absence, inability to serve, or at his/her call. 5. Perform any such duties as may be assigned or that pertain to this position. The Secretary shall: 2. Responsible for all contact between members of the organization. a. Maintain current telephone and address directory consisting of all Executive Board members, members, participants, and advisors. 3. Keep full minutes of all Executive Board and General Red Cross Club meetings. a. Record all actions taken by the Executive Board. 3

4. Email all Executive Board members the minutes after every meeting and email all club members the minutes after every General Red Cross Club meetings. 5. Keep Attendance at all meetings and events. 6. Perform any such duties as may be assigned or that pertains to this office. 7. Responsible for all social media pertaining to the club. Section E. Section F. Section G. Treasurer shall: 2. Develop an overall budget for the entire program and keep close track of spending. 3. Current copy of individual budgets. a. Responsible for submitting receipts to the Student Activities. 4. Perform any such duties as may be assigned or that pertains to this office. 5. Attend club training each semester. 6. Held accountable for completing the request for Additional Allocations and attending as well as presenting at the Budget and Allocations Committee (BAC) meetings. The Fundraising and Service Coordinator(s) shall: 2. Be responsible for developing and executing a fundraising strategy. 3. Maintain a record of each participants fundraising progress. 4. Work hand-in-hand with participants to ensure that the appropriate funds are being raised. 5. Maintain a complete and up-to-date file while should include the a. Records and minutes of all Fundraising meetings. b. All monthly reports given to the Executive Board President and Vice President. c. Current copy of individual budget d. Any other correspondence or records pertaining to this position. 6. Perform any such duties as may be assigned or that pertain to this office. The Blood Services Coordinator(s) shall: 2. Attend coordination meetings with the Regional Red Cross Blood Drive Correspondent, American Red Cross Faculty Advisor, and the Executive Board President to plan blood drives. 3. Coordinate all volunteer opportunities pertaining to the blood drive and recruitment thereof. 4. Maintain a complete and up-to-date file while should include the a. Records and minutes of all Blood Drive meetings. 4

b. All monthly reports given to the Executive Board President and Vice President. c. Any other correspondence or records pertaining to this position. 5. Perform any such duties as may be assigned or that pertain to this office. ARTICLE VI. MEETINGS Section D. Executive Board meetings will be held in the following manner: 1. Club meetings will be held once every two weeks 2. The Executive Board will meet once every week 3. The time, date, and location of each meeting will be determined by the Executive Board at each Executive board meeting 4. Executive Board members must be excused by the President for any absences. a. Having an unexcused absent may result in consequences determined by the other Executive Board members In order for Executive Board meetings to be deemed official, a majority of the members plus (1) must be present. This number will denote a quorum. There shall be no absentee ballots cast by member of the Executive Board. The President of the Executive Board shall meet with the American Red Cross Faculty Advisor a minimum of once a month to discuss club business. ARTICLE VII. ADVISOR The American Red Cross of Siena shall be represented by Judy Dougherty an advisor/ moderator/ consultant, whose responsibility it is to insure the continuation of the purpose and the policies of this club/organization and to act as consultant in policy matters. ARTICLE VIII. AMENDMENTS This Constitution, with exception of Article I and Article II, may be amended by a two-thirds (2/3) majority vote of the Executive Board. All amendments must be approved by Student Senate. ARTICLE IX. RATIFICATION/ EFFECTIVE/ RENEWAL DATE Section A: Section B: Constitution is effective when ratified by the Student Senate Amendments are effective with the ratification of the Student Senate. Effective Date 1. This constitution is approved by members in the Fall of 2016. 2. This constitution is approved by the Student Senate in the Fall of 2016. 5

Section C: Renewal Date 1. This Constitution was reevaluated by members on the Executive Board in the Fall of 2019. 2. Student Senate Re-approval in the Fall of 2019. 6
