RESOLUTION NO. A RESOLUTION AUTHORIZING A TRANSPORT RIGHTS AGREEMENT WITH A&E TELEVISION NETWORKS, LLC. 1) The District operates a video headend that provides video service to retail service providers on the Douglas County Community Network. 2) The District previously entered into a Transport Rights Agreement (Agreement) with A&E Television Networks, LLC (AETV), for the purpose of receiving AETV content and transporting it to retail service providers. This Agreement has expired and a new Agreement is required to continue transporting AETV content. 3) Staff recommends that the District's General Manager be authorized to sign the attached Agreement and subsequent affiliate agreements with AETV. with AETV. 4) It is in the best interest of the District to enter into the attached Agreement District No. 1 of Douglas County, Washington, that the District s General Manager is authorized to sign the Agreement with AETV.

RESOLUTION NO. A RESOLUTION AUTHORIZING CHANGE ORDER NO. 83 TO CONTRACT 06-41-W, GENERATOR REBUILD AND UNIT REFURBISHMENT FOR THE WELLS HYDROELECTRIC PROJECT 1) Resolution 07-158 awarded Contract 06-41-W to Toshiba International Corporation (TIC) for $151,100,000.00. Resolution 15-056 approved assignment of Contract 06-41-W to Toshiba America Energy Systems Corporation (TAES). 2) The District has authorized a Notice to Proceed for the first five Units at a cost of $92,132,513.00. The award amount of the remaining five Units is $68,539,000.00. Change Orders No. 1 through 82 were previously authorized at a cost of $34,712,338.00 bringing the revised total for the Contract to $195,383,851.00, with $113,472,841.00 authorized to date. 3) Change Order No. 83 has been prepared to address the following changes to the Contract: 3rd Unit (Unit 2) - Rotor refurbishment, discharge ring base metal repairs, engineering, and other miscellaneous extra work. 4th Unit (Unit 3) - A new coupling deck, discharge ring grouting, and installation of a new auto-backwash filtration skid. 4) It is in the best interest of the District to execute Change Order No. 83 with a contract increase of $1,638,843.00. NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility District No. 1 of Douglas County, Washington, that the District is hereby authorized and directed to issue Change Order No. 83 to Contract 06-41-W in the amount of $1,638,843.00 making the revised total for the Contract $197,022,694.00 with $115,111,684.00 authorized to date.

RESOLUTION NO. A RESOLUTION AUTHORIZING ACCEPTANCE OF WORK AND FINAL PAYMENT TO LYDIG CONSTRUCTION, INC. UNDER CONTRACT 14-19-W, WELLS HATCHERY MODERNIZATION 1) By Resolution No. 15-069 dated April 13, 2015 the District awarded Contract 14-19-W, Wells Hatchery Modernization to Lydig Construction, Inc. 2) District staff report the Contractor has satisfactorily completed all requirements of Contract 14-19-W and has submitted a Request for Final Payment, Certificate and Release. 3) Staff recommends that the District accept the completed work and authorize final payment in the amount $2,261.38 and release of retainage bond upon receiving the required notifications from the State of Washington. The total cost of work under this contract is $37,866,185 plus sales tax. 4) It is in the best interests of the District to accept the work as complete and authorize final payment under Contract 14-19-W. District No. 1 of Douglas County, Washington, that the work under Contract 14-19-W, Wells Hatchery Modernization is hereby accepted as complete, and that final payment and release of retainage bond is authorized, contingent upon receipt by the District of all necessary releases by the State of Washington. This acceptance in no manner waives any claim the District may have against the Contract for failure to comply with the terms of the contract.

RESOLUTION NO. A RESOLUTION AUTHORIZING REQUEST FOR PROPOSALS 19-01-W, COMMUNICATION SYSTEM REPLACEMENT 1) The District s phone system has reached end of life and is no longer supported by the vendor as of June 2014. 2) District staff have utilized third party support contracts to continue the use of the system beyond the end date specified by the vendor. 3) Staff recommends the District issue Request for Proposal (RFP) 19-01-W, Communication System Replacement. 5:00 p.m. Pacific Time. Proposals are due on February 22, 2019 at District No. 1 of Douglas County, Washington, that RFP 19-01-W is hereby approved, and the District s Manager is hereby authorized and directed to issue a request for proposals to provide a communication system replacement.

RESOLUTION NO. A RESOLUTION AUTHORIZING APPROVAL OF LAND USE PERMIT 311-02, NORMAN AND KARL VORDAHL 1) The District has implemented a Land Use Policy which requires adjacent land owners wishing to use properties associated with the Wells Hydroelectric Project to obtain approval through a District issued permit. 2) District personnel recommend approval of the following permit: Norman and Karl Vordahl Wells Permit 311-02 The permit is for use of Project lands for existing boat dock, residential landscaping, compost pile, timber retaining wall and residential fencing. The permittee has provided proof of insurance coverage as required by the District s Land Use Policy. 3) It is in the best interests of the District to approve Wells Permit 311-02. District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to execute, in accordance with the District s Land Use Policy, Land Use Permit No. 311-02.

RESOLUTION NO. A RESOLUTION AUTHORIZING APPROVAL OF LAND USE PERMIT 651-02, SUSAN LYNCH 1) The District has implemented a Land Use Policy which requires adjacent land owners wishing to use properties associated with the Wells Hydroelectric Project to obtain approval through a District issued permit. 2) District personnel recommend approval of the following permit: Susan Lynch Wells Permit 651-02 The permit is for use of Project lands for existing residential landscaping. The permittee has provided proof of insurance coverage as required by the District s Land Use Policy. 3) It is in the best interests of the District to approve Wells Permit 651-02. District No. 1 of Douglas County, Washington, that the District s General Manager is hereby authorized and directed to execute, in accordance with the District s Land Use Policy, Land Use Permit No. 651-02.

RESOLUTION NO. A RESOLUTION AUTHORIZING THE DISTRICT TO PURCHASE POLLUTION LEGAL LIABILITY INSURANCE WITH BEAZLEY 1) The District s Pollution Legal Liability Policy with Chubb expired on December 15, 2018 and was extended through January 29, 2019. The District has exposure to pollution related events and desires to maintain coverage. 2) The District s broker of record Marsh USA, Inc. has secured a quote from Chubb for Pollution Liability Insurance with a $1,000,000 limit and $50,000 deductible. The quoted premium is $17,544.56 including surplus lines taxes and fees. 3) District staff has reviewed the quote and recommends the purchase of Pollution Legal Liability Insurance with Chubb. 4) It is in the best interest of the District to purchase Pollution Legal Liability Insurance with Chubb for the quoted premium of $17,544.56 plus surplus line taxes and fees, for the policy year December 15, 2018 to December 15, 2019. District No. 1 of Douglas County, Washington, that the District s Accounting Assistant/Insurance Administrator will secure Pollution Legal Liability Insurance coverage with Chubb.
