Annual General Meeting AGM Programme Thursday 24th May 17:00 Welcome by the Hon. Secretary of the Humber Branch, Captain Richard Coates, FNI Presidential address: Captain James Robinson, DSM FNI Irish Navy (Retired) Institute business: To confirm the minutes; To receive the annual report of Council; To adopt the audited accounts; To appoint auditors. Special resolutions: Clause 15 of the Constitution states: 15. The adoption of resolutions at General Meetings shall require a majority of two thirds of those present and voting if the resolution requires a change in the Constitution or By-Laws and a simple majority in other cases when in the case of equality of votes the Chairman shall be entitled to a second or casting vote. The Council shall make such provision as is appropriate for a postal ballot by members in the event of a fundamental change proposed in the Constitution or other matter affecting the Institute deemed to be sufficiently important by the Council. Due to the Charities Act 2006, we are required to revise the Institute s Articles of Association and Constitution, By-Laws and Branch By-Laws to implement a new governance structure (see article in January 2012 Seaways). These are available for download from the Institute s website www.nautinst.org with a Proxy voting form.
