ARTICLE I - ORGANIZATION The San Luis Obispo Duplicate Bridge Club (SLODBC), hereinafter referred to as the "Club", offers duplicate bridge to San Luis Obispo County, California, and functions under the auspices of the American contract Bridge League (ACBL), which is represented locally by ABCL Unit 540, hereinafter referred to as the "Unit". The Club SLODBC enjoys autonomy in its relationship with ACBL, and may alter or sever that association only by a majority vote of the membership at a regular meeting, or at a special meeting called for that purpose. The Club SLODBC does not contemplate pecuniary financial gain or profit to the members thereof and is organized for nonprofit purposes. Upon the dissolution of winding up of SLODBC the Club, its assets remaining after payment, or provision for payment of debts and liabilities of the Club, SLODBC shall be distributed to a nonprofit fund, foundation, or corporation which is organized exclusively for charitable purposes and which has established its tax exempt status under section 501 (c) (3) of the Internal Revenue Code. ARTICLE II - OBJECTIVES The objectives of the Club SLODBC are: 1. To preserve and promote the best interests of duplicate bridge and any modification thereof. 2. To cooperate with and assist the Unit in promoting and conducting special events as scheduled. 3. To encourage the highest standards of conduct and ethics by its members, to actively promote such standards and, when circumstances require, to accept the responsibility for enforcing such standards. 4. To cooperate with the ACBL Foundation, and to sponsor and conduct events to raise funds for national and local charities. 5. To further such other activities as are in keeping with this article. 07/17/07 1

ARTICLE III - MEMBERSHIP 1. Any person of good moral character who has attended twelve or more club-scheduled events in the previous twelve months who abides by the membership and ethical rules of the ACBL is a member of the SLODBC. No one shall be denied membership due to racial or religious affiliation. 2. Monetary dues are not required, but members are expected to participate in the Club SLODBC operation by serving on committees, the Board of Directors (Board), or in other capacities as required. 3. All members shall enjoy and possess all rights of membership equally with all other members. Membership in the ACBL is not required, but ACBL membership is encouraged. 4. The Board may bar an individual from play by a 2/3 vote. 5. To be a voting member of the SLODBC an individual must be a member of Unit 540 of the ACBL and have played in a game at SLODBC at least six times in the most recent calendar year. ARTICLE IV - MEMBERSHIP MEETINGS 1. The annual membership meeting shall be held in September. 3. 2. Notice of all annual membership meetings shall be announced at all regularly scheduled events two weeks prior to the event. 4. 3. 5. 4. A quorum for a membership meeting shall be twenty voting members. Voting proxies are not allowed at any membership meeting. 2. 5. Special meetings of the members may be called by a vote of the Board. Individual members may petition the Board for a special meeting by providing a written petition containing the signatures of 20 voting members of SLODBC. The Board shall schedule any meeting required by petition within 30 days after receipt of same a petition. The primary agenda item for such a meeting shall be identified by the petition. Other agenda items identified by the board may be brought before the members only after disposition of the primary item. 07/17/07 2

ARTICLE V - BOARD OF DIRECTORS 1. Number: The Board of Directors (Board) at full complement shall consist of a minimum of seven and a maximum of nine members 2. Board members shall serve a term of two years and can be re-elected indefinitely. 3. Board members shall be elected at the annual meeting in September. A board member must be a voting member of the SLODBC. 2. 4. Commencement of term: Directors Board members shall take office at the next meeting of the Board following their election. 3. 5. Vacancies: Vacancies shall be filled by election by the Board, and those so elected shall hold office for the balance of the unexpired term. 4.6. Powers and duties : The Board is empowered with complete authority to conduct Club SLODBC affairs. Specifically, the Board engages the services of game directors by contract. The Board retains the option to contract for any other services required for the Club operation of SLODBC. Duties may be assigned to Club SLODBC officers, members, or employees, but responsibility for Club SLODBC operations remains with the Board, including disciplining of a Club member, which must be in accordance with the ACBL Handbook of Rules and Regulations. 5. Qualifications: A director must have been a Club member for a period of a year before commencement of his/her term. 7. A member of the Board of Directors should demonstrate a commitment to furthering the game of bridge and supporting the activities of the SLODBC. 6. 8. Meetings of the Board: The Board shall meet monthly as established by their schedule. On demand of three members of the Board, the President, or substitute presiding officer, shall convene the Board to consider those items they judge to require attention. 7. 9. Quorum: A quorum for a Board meeting shall be four members. 8. 10. Club Manager: The Board shall may appoint a Club Manager who must be a member of the ACBL, and who shall attend all meetings of the Board or prepare a full written report. 07/17/07 3

. 11. Recall: The membership may recall the entire board by secret ballot by majority vote at any duly constituted membership meeting. ARTICLE VI - CLUB OFFICERS 1. Club SLODBC officers shall be a President, a Vice-President, a Secretary, and a Treasurer. 2. Officers shall be elected by the Board at the first meeting after each annual membership meeting. 3. Duties of the officers shall be those normal to the office, or as prescribed by the Board. 4. Any officer or director may be impeached by the Board by a 2/3 vote of the entire Board. ARTICLE VII - ELECTIONS At the annual meeting three or four three to five directors board members shall be elected for a two-year term, and shall continue in office until successors are dully duly elected. When the nominees, including nominations from the floor, exceed three or four three to five, ballots shall be provided for secret balloting and the three or four three to five nominees with the highest total shall be declared elected. Each voting member of SLODBC shall have one vote per board vacancy. ARTICLE VIII - COMMITTEES The president shall appoint committees to serve during his/her term of office, or at his/her pleasure, subject to approval by the Board, which may include but not limited to the following: 1. Membership: The duties of the Membership Committee shall be to actively pursue and encourage bridge players in the San Luis Obispo area, and assist players in arranging partnerships. 2. Hospitality Special Event Committee : The Hospitality Special Event Committee shall be responsible for arrangements for all special events. 07/17/07 4

3. Nominating: In July of each year the President of the Board shall may appoint a Nominating Committee of at least three persons, including one member of the Board, who shall: A. Prepare a list of nominees (who will accept a position on the Board) to cover the upcoming vacancies on the board. B. Place these names, along with any nominations from the floor, in nomination for election to the Board at the Annual Meeting. 4.. Hospitality Committee: The Hospitality Committee shall be responsible for organizing refreshments for all regularly scheduled games. 5. Goodwill Committee: The Goodwill Committee shall be responsible for cultivating members by sending out birthday, sympathy and get well cards and creating other recognition opportunities as necessary. 6. Facilities Committee: The Facilities Committee shall be responsible for managing the supplies of SLODBC and the setup and dismantling of the equipment for each game. ARTICLE IX AMENDMENT OF BY-LAWS Amendments to the By-Laws may be proposed by the Board, or by members of the Club SLODBC upon petition signed by at least ten twenty (20) members, and submitted to the Secretary at least twenty-one days in advance of the Annual Meeting, or any special meeting called for that purpose. It shall be the duty of the Secretary to incorporate the text of the proposed amendment in the notice of the meeting. A concurrence of 2/3 of all members present and voting shall be required to pass any amendment. The date of the approved articles shall show on each page. ARTICLE X PARLIAMENTARY PROCEDURE Parliamentary authority for membership and Board meetings shall be the latest edition of Robert s Rules of Order. Revised 7/17/2007 Revised 7/31/2018 07/17/07 5
