Originating Department SUBJECT: Department Head Presenter Approval Re: Bid 12-65K Third Extension of Agreement For City-Wide Electrical Maintenance Services COMMISSION PRIORITIES: Infrastructure EXPLANATION: (see next page for additional explanation) Formal sealed bids were received on December 20, 2012. Bay Area Electric, Boyd Brothers Service, Inc., and Windemuller Technical Services, Inc. submitted bids and all have been awarded contracts. These contracts are for electrical maintenance and repair of city-owned facilities, such as City Hall, Annex and Federal Building and are awarded to the contractor based on availability and quoted price at time of need. The initial term of all three contracts was one year, and it was renewed for two additional one year periods under mutual consent of the city and contractors. This renewal will be for six months. Boyd Brothers Service, Inc. declined the extension. During the third year of this contract the cost for all three agreements totaled $114,507. During the next six months of this contract we are anticipating the costs to be at $60,000.00. Funding is determined on a project by project basis. ADMINISTRATION'S RECOMMENDATION: Motion to approve the contracts with Bay Area Electric, Inc. and Windemuller Technical Services for the Mayor and City Auditor and Clerk to execute them. THIRD EXTENSION OF AGREEMENT FOR CITY-WIDE ELECTRICAL MAINTENANCE SERVICES THIS THIRD EXTENSION OF AGREEMENT FOR CITY-WIDE ELECTRICAL MAINTENANCE SERVICES, made and entered into this day of --------' 2016 by and between the CITY OF SARASOTA, FLORIDA, a municipal corporation, hereinafter referred to as "CITY," and BAY AREA ELECTRIC, INC., a Florida corporation, hereinafter referred to as "CONTRACTOR". WITNESSETH: WHEREAS, CITY and CONTRACTOR entered into an Agreement for City Wide Electrical Maintenance Services dated March 18, 2013, as well as a First Extension thereof dated February 18, 2014 and a Second Extension thereof dated Febrnary 4, 2015, hereinafter collectively referred to as the Agreement, by which CONTRACTOR provides city-wide electrical maintenance services for CITY on an as-needed basis pursuant to Invitation to Bid No. l2-65k; and WHEREAS, the Agreement, by its terms, is set to expire on March 17, 2016; and WHEREAS, CITY and CONTRACTOR desire to enter into this Third Extension so as to extend the term of the Agreement for an additional period of six ( 6) months. NOW, THEREFORE, IN CONSIDERATION OF THE FOREGOING AND THE MUTUAL COVENANTS CONTAINED HEREIN, IT IS AGREED AS FOLLOWS: 1. Section 4, Term, of the Agreement is hereby modified so as to extend the term thereof for an additional period of six (6) months. As modified, said Section 4 shall provide as follows: 4. Term: This Agreement commenced on March 18, 2013. The term of this Third Extension shall commence on March 18, 2016 and shall expire at 11:59 p.m. on September 17, 2016. This Agreement may not be renewed. 2. Except as expressly set forth herein, all of the tenns, covenants and conditions of the Agreement are hereby ratified and confirmed by CITY and CONTRACTOR and each, by the execution of this Third Extension of Agreement for City-Wide Electrical Maintenance Services, hereby signifies their intent to be bound thereby. 1 of 6
