MINUTES OF THE PORT OF WALLA WALLA COMMISSION MEETING Thursday, December 13, 2018 The meeting of the Port of Walla Walla Commission was called to order at 6:00 p.m. by Commission President Peter Swant at the Port of Walla Walla office, 310 A Street, Walla Walla, Washington. In attendance for the meeting were: Peter Swant, Commissioner Ron Dunning, Commissioner Mike Fredrickson, Commissioner Patrick Reay, Executive Director Paul Gerola, Economic Development Director Jennifer Skoglund, Airport Manager Noel Sanders, Executive Assistant Scott Pritcher, AuditorlTreasurer Jared Hawkins, Hawkins Law, PLLC Erik Benson, W/2 Rentals RL McFarland Vicki Hillhouse PLEDGE OF ALLEGIANCE Commissioner Swant led all in attendance in reciting the Pledge of Allegiance. DECLARATIONS REGARDING CONFLICTS OF INTEREST No conflicts of interest were declared. ADOPTION OF AGENDA Commissioner Fredrickson moved, and Commissioner Dunning seconded, to adopt the agenda as presented. Motion unanimously carried. PUBLIC COMMENTS There were no public comments made on items not on the agenda.
APPROVAL OF MINUTES Commissioner Dunning moved, and Commissioner Fredrickson seconded, to approve the minutes of the Port Commission meeting held on Wednesday, November 21,2018, as presented. Motion unanimously carried. FINANCIAL REPORTING Port AuditorrTreasurer Pritcher reviewed with Commissioners the Cash Balance Report for both the Port and the Airport and provided Accounts Receivable Aged Invoice Reports for both the Port and the Airport. PAYMENT OF BILLS The Port Commission reviewed Port and Airport Check History Report lists as provided by Port AuditorrTreasurer Pritcher. Said lists were audited and certified as required per RCW 42.24.080 and reimbursement claims were certified as required by RCW 42.24.090. Commissioners asked staff questions regarding certain bills. Commissioner Fredrickson moved, and Commissioner Dunning seconded, to approve for payment those Check History Report lists summarized in the December 13, 2018, Warrant Approval Document, which is incorporated and attached to these minutes. Motion unanimously carried. Commissioners signed the Warrant Approval Document. OLD BUSINESS A. Port of Walla Walla 1. 2019 Final Budget: Continuation of Public Hearing and Adoption of Final Budget Resolution No. 2018-09 Executive Director Reay briefed Commissioners on the changes incorporated into the final budget that reflects changes from the preliminary budget presented at the November 8,2019 & November 21, 2018, Commission meetings. At 6:40 p.m., Commissioner Swant announced the reopening of the November 21,2018, public hearing on the Port's 2019 Final Budget. An opportunity was given at the hearing for public comment; no public 2
comments were given. At 6:41 pm., Commissioner Swant closed the public hearing and reconvened the Port Commission meeting. Commissioner Dunning moved, and Commissioner Fredrickson seconded, that the Port accept as paid in full that amount which the Airport has to date repaid to the Port following the Port's 2015 contribution towards the Airport Equipment Storage Building (Maintenance Building) and authorize staff to adjust the accounting records accordingly. Motion unanimously carried. Commissioner Fredrickson moved, and Commissioner Dunning seconded, to adopt Resolution 2018-09 thereby approving the Port and Airport's 2019 budget. Motion unanimously carried. NEW BUSINESS A. Port of Walla Walla 1. 2019 Port Legislative Priorities Executive Director Reay reviewed with Commissioners the Port's proposed state and federal legislative priorities for 2019. Mr. Reay provided the Washington Public Ports Association's 2019 legislative priorities, the City of College Place's 2019 state and federal legislative priorities, and the City of Walla Walla's 2019 state and federal legislative priorities. The legislative priorities will give the Port's lobbyists direction and focus on the priorities for 2019. Commissioners provided comments and recommended changes to the order of the priorities and descriptions. 2. Washington State Department of Natural Resources (DNR) Special Use Lease - First Amendment (Lease No. 60-089285) Economic Development Director Gerola informed Commissioners that the Port has been working with Washington State Department of Natural Resources (DNR) to amend the area leased, as the design of the Wallula Dodd Water System (WOWS) has been expanded and refined. Mr. Gerola 3
reviewed with Commissioners the proposed terms and conditions of the first amendment to the lease. The lease amendment will allow for approximately 13.412 acres to accommodate the proposed public water system improvements. Commissioners asked a host of questions. Commissioner Fredrickson moved, and Commissioner Dunning seconded, to approve the Washington State Department of Natural Resources (DNR) Special Use Lease - First Amendment (Lease No. 60-089285) and authorize the Executive Director to execute said agreement. After further discussion, Commissioner Fredrickson moved, and Commissioner Dunning seconded, to amend the motion to include the words, "upon legal review." Motion unanimously carried. Commissioner Swant restated the amended motion, to approve the Washington State Department of Natural Resources (DNR) Special Use Lease - First Amendment (Lease No. 60-089285) and authorize the Executive Director to execute said agreement upon legal review. Motion unanimously carried. 3. Wallula Gap Industrial Park Road Name Executive Director Reay reviewed with Commissioners the Wallula Gap Industrial Park's planned road development. Commissioners discussed using the names of past Port Commissioners, Petersen and Nunn, for the names of the two new roads and to have the name Attalia East Rd apply to the continuation of the road. 4. 2019 Washington State Paid Family and Medical Leave Insurance Program Auditorrrreasurer Pritcher informed Commissioners that beginning January 1,1019, virtually all employers in Washington State are required to remit to the state.4% of employee wages to fund the new state Paid Family & Medical Leave Insurance plan. Employers who have less than 50 employees are not required to submit the employer's portion of the premium. The portion of the premium withheld from the employee is 4
