CONSTITUTION OF THE SOUTH CAROLINA FOOTBALL OFFICIALS ASSOCIATION- DISTRICT 11 ARTICLE I. NAME AND AFFILIATION This organization shall be known as the SOUTH CAROLINA FOOTBALL OFFICIALS ASSOCIATION-DISTRICT 11 and shall be affiliated with and a part of the SOUTH CAROLINA FOOTBALL OFFICIALS ASSOCIATION, and shall be officially known as SCFOA-DISTRICT 11 of the organization. ARTICLE II. PURPOSE The main purpose of this organization is to recruit, train and develop football officials. ARTICLE III. MEMBERSHIP Members shall be those football officials who are officially certified each year by the SOUTH CAROLINA FOOTBALL OFFICIALS ASSOCIATION and who reside in the South Carolina counties of Horry, Georgetown and Williamsburg, other than by exception as approved by the Board of Directors. ARTICLE IV. OFFICERS The officers of the SCFOA-DISTRICT 11 shall consist of a District Director, a Secretary-Treasurer, and five members forming a body known as the Board of Directors. The immediate Past Director shall serve as an Ex-Officio Officer for a period of three years. ARTICLE V. ELECTIONS The District Director shall be elected by a majority vote of the members present at a regularly called business meeting of the district. The District Director shall be elected for a term of three years, in accordance with the Constitution of the SOUTH CAROLINA FOOTBALL OFFICIALS ASSOCIATION. The Secretary-Treasurer shall be nominated by the District Director and approved by the Board of Directors and the term of office shall be one year. The Association shall elect members of the Board of Directors. The elected board positions shall be elected by a majority vote of the members present at a regularly called business meeting of the district. Board of Directors members are to serve for a period of two years. To be eligible for election a member must have been in good standing of the SOUTH CAROLINA FOOTBALL OFFICIALS ASSOCIATION for four years and a member in good standing of the SCFOA-District 11 for three years. There shall be a board member representing each field position: referee, umpire, linesman, line judge and back judge. In even number years the umpire and line judge shall be elected and in odd number years the referee, linesman and back judge shall be elected. The Booking Officer shall be appointed by the District Director with the unanimous approval of the Board of Directors. The Booking Officer is eligible for consecutive terms of one year each. For voting

purposes the office shall be an ex-officio member of the Board of Directors. ARTICLE VI. GENERAL The qualifications for membership, the duties of officers, and rules and regulations as may be necessary for the proper conduct of business affairs of the Association, shall be provided for in the by-laws. ARTICLE VII. LIMITATIONS This Association is not organized for profit. No part of its net earnings shall insure to the benefit of any private individual. No substantial part of its activities shall be the carrying on of propaganda or otherwise attempting to influence legislation. It shall not participate in or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. The SCFOA-DISTRICT 11 shall not accumulate, out of income, amounts that are unreasonable in amount or duration in order to carry out the specific purposes set forth herein. The SCFOA-District 11 will be operated exclusively for the specified purpose set forth herein and for the purposes which fall within the provisions of Section 501 (3) of the Internal Revenue Code, its Regulation as they are now stated herein, and as they may hereafter be amended. In the event of termination of dissolution of the Association; at its liquidation, no part of its assets, if any, shall be paid to or accrued to the benefit of any member or members thereof, but shall be designated to the non-profit organization of The Tara Hall Home For Boys in Georgetown County. ARTICLE VIII. AMENDMENTS The constitution may be amended at any business meeting by an affirmative vote of at least two thirds of the votes cast, provided that copies of the amendment shall have been mailed to each member at least thirty days prior to the business meeting at which the vote is to be taken.

BY-LAWS OF THE SOUTH CAROLINA FOOTBALL OFFICIALS ASSOCIATION- DISTRICT 11 ARTICLE I. THE DISTRICT DIRECTOR The District Director shall preside at all meetings of the Association and the Board of Directors. The District Director shall conduct all business in behalf of the Association and shall make every effort to further the policy adopted by the Association. ARTICLE II. THE SECRETARY-TREASURER The Secretary-Treasurer shall keep and publish the minutes of all annual, special, and Board meetings. The Secretary-Treasurer shall be responsible for the receipt and disbursement of all funds of the Association as directed by the Board and/or membership. The Secretary-Treasurer has full power of office, I.e., he may vote, make motions, and voice for or against items on the agenda. The Secretary- Treasurer shall present a full detailed financial statement to the membership at business meetings and whenever requested by the District Director. Membership dues for all members of District 11 Football Officials Association shall be $50.00 annually if paid prior to June 1 of each year. Any official that was a member of District 11 the previous year and does not pay his/her dues prior to June 1 will be assessed a late fee penalty equal to 50% of the current dues. Any official that was a member of District 11 the previous year and does not pay his/her dues prior to July 1 will not be eligible for membership, except by circumstances approved by the District 11 Board of Directors. The Membership Dues are to be made payable to the Secretary-Treasurer of District 11 Football officials Association. ARTICLE III. THE BOARD OF DIRECTORS Board members shall have full power of office, I.e., they may vote, make motions, or speak for or against items on the agenda. They must be present at all meeting of the Board to vote. Duties of the Board of Directors shall be to conduct the business of the Association when the full membership is not in business session. ARTICLE IV. THE BOOKING OFFICER The Booking Officer shall be in charge of booking all junior varsity, "B" team and junior high football games of schools that request the Association to book their games. The guidelines for booking procedures to include fees will be determined and approved by the Board of Directors ( Appendix A ). ARTICLE V. MEETINGS The annual business meeting shall be designated by the Board of Directors. The voting members shall be those members who were members in good standing the previous year and whose State Association dues are paid for the current year. Special and other business meetings may be called by the District Director and the Board of Directors.

ARTICLE VI. GENERAL RULES OF CONDUCT The general rules of conduct shall be the same as those of the SOUTH CAROLINA FOOTBALL OFFICIALS ASSOCIATION. Any officials that misses a scheduled game assignment without first informing the district director or the booking officer shall pay to District 11 a sum equal to the missed game fee. A second occurrence (within the same football season) by the same official will result in the suspension of said official from District 11. To obtain reinstatement to the district the said official must make an appeal before the Board of Directors of District 11 Football Officials Association. ARTICLE VII. RECOGNITION OF OFFICIALS Appropriate recognition will be made at the annual banquet to officials who contribute to the development and advancement of fellow officials. The Board of Directors will determine who will receive awards and to also give any appropriate award not aforementioned. (Appendix B).

APPENDIX A BOOKING REGULATIONS The Booking Regulations for District 11 Football Officials Association will follow the guidelines as set forth in the Current yearly Directory as published by the SOUTH CAROLINA FOOTBALL OFFICIALS ASSOCIATION.

APPENDIX B AWARDS and RECOGNITION OF DISTRICT 11 OFFICIALS Awards and Criteria * Recognition for 10, 15, 20 and 25 years of service. A certificate will be awarded to each officials who has completed the 10 th,, 15 th, or 20 th year of officiating. A plaque will be awarded to each official who has completed the 25 th year of officiating. * Highest rated official by position A plaque will be awarded to the highest rated official in his position. To be eligible for this award, the official must have gained this rating in the previous year while a member of District 11 Football Official's Association and must currently be an active member of District 11 Football Official's Association. * Recognition for state championship, North/South or Shrine Bowl game. This award will be presented to any official who officiated a state championship, North/South, and /or Shrine Bowl game the previous year. * Rookie of the Year A plaque will be awarded to the highest rated second year official listed in the current year's official's directory. To be eligible for this award, the official must have gained this rating in the previous year while a member of District 11 Football Official's Association and must currently be an active member of District 11 Football Official's Association. * Official of the Year A plaque will be awarded to an official in recognition of the overall contributions he has given the SCFOA-District 11 during the current year. * State Final, North/South or Shrine Bowl Rings District 11 Official's Association will pay 50% up to a maximum of $250.00 of the cost of any approved ring selected by a member of District 11 who has worked any of the following games: A) State Finals B) North/South Game C) Shrine Bowl Game

This award can only be received one time (regardless of how many times the official would otherwise qualify). The official receiving this award must be a current member of District 11 with a minimum of four consecutive years of service to District 11. This privilege is not retroactive and begins with the membership as of 2002. * Other Recognition The Board of Directors will determine who will receive awards and may give any appropriate award not aforementioned.
