PROPOSED AMENDMENTS TO THE BYLAWS OF UTAH STATE CHAPTER 1. Submitted by the Executive Board of Utah State Chapter (Page B- 1) Amend ARTICLE I, Section 5, subsection B, by striking out the words three years and inserting the words two years. B - Three thousand dollars ($3,000) will be allocated by Utah State Chapter to the hostess chapters convention account, payable over a period of three years. Submitted by the Executive Board of Utah State Chapter (Page B- 6) Amend ARTICLE V, Section 3, subsection A by inserting a new item 3. A. The Auditing Committee shall: 1. consist of three members appointed annually; 2. audit the books of the state treasurer at the end of the fiscal year. A. RATIONALE: The hostess chapters convention account is funded by Utah State Chapter monies and an annual audit is warranted. THE FOLLOWING TWO PROPOSED AMENDMENTS WILL BE CONSIDERED SERIATIM Each will be discussed separately but voted upon as one. 3. Submitted by the Executive Board of Utah State Chapter (Page B- 6) Amend ARTICLE V, Section 4, subsection A, by striking out item 1 and inserting a new item 1, by striking out subsection B and inserting a new subsection B, and by inserting a new subsection C. A. The Membership Committee shall: 1. consist of three past state presidents of Utah State Chapter with one appointed annually; 2. work to increase the membership and retention of members in the P.E.O. Sisterhood in Utah; 3. help each local chapter have an enthusiastic, actively participating, supportive and growing membership; 4. assist the organizer in forming new chapters in Utah. B. The chairman shall be the senior member in point of service. A. EXPLANATION: Would change the number of committee members from three past state presidents to three to five members, at least one of whom shall be a past state president; would specify that the committee members serve from one to three years at the discretion of the president; would specify that the president designates the chairman; and would add the responsibility of training the members of the committee to a past state president. NOTE: If this amendment is adopted, the subsequent subsection will be relettered to conform. 4. Submitted by the Executive Board of Utah State Chapter (Page B- 4) Amend ARTICLE IV, Section 1, by striking out subsection D and inserting a new subsection D. RATIONALE: Per Article V preamble, all standing committees consist of three members on rotating terms unless otherwise ordered. This amendment identifies that the term for the program file chairman shall be for one year. NOTE: If this amendment is adopted, the subsequent subsections will be relettered to conform. 3

Shall be appointed by the president. B. Under the direction of the secretary shall: 1. submit the printer s proof of the convention proceedings to the immediate past president for approval; 2. distribute a copy of the proceedings, bylaws and standing rules to those specified in the Constitution (Part II, Article VIII, Section 6). An electronic copy of proceedings will be provided to the Communications Team to be posted on the Utah State website. Upon request, hard copies will be made available for purchase from the secretary. EXPLANATION: Would eliminate the position of Convention Proceedings Coordinator and all assigned duties. 7. RATIONALE: Transferring the responsibility for the convention proceedings to the state secretary is consistent with her other assigned duties. Educational Loan Fund representative, the P.E.O. International Peace Scholarship representative, the P.E.O. Program for Continuing Education representative, the P.E.O. Scholar Award representative, and the P.E.O. Star Scholarship representative; would establish a new standing committee titled P.E.O. International Philanthropies Committee; and would reassign the duty to extend the state to the new committee. 10. International Philanthropies committee. RATIONALE: Provides a more coordinated effort and more efficient use of member resources in promoting the International philanthropies across the state. EDITORIAL RESOLUTION Resolved, That the 2018-2019 Executive Board of Utah State Chapter be authorized to correct article and section designations, punctuation and cross- references, and to make such other technical and conforming changes as may be necessary to reflect the intent of Utah State Chapter. 8
