ARTICLE I - NAME CONSTITUTION of the SANTA CRUZ LAWN BOWLING CLUB (adopted 1979) (amended 1984, 1985, 2008) This organization shall be called the Santa Cruz Lawn Bowling Club. ARTICLE II PURPOSE The purpose of the Club shall be an organization to foster and promote the game of lawn bowling as defined by the rules and regulations of the United States Lawn Bowls Association (USLBA) and World Bowls Association and to provide opportunities to play and enjoy bowling on the green and to socialize with its members. The club is organized exclusively for charitable, education, and scientific purposes under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code. Upon dissolution of this organization, assets shall be distributed for one or more exempt purposes with the meaning of section 501(c) 3 of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose ARTICLE III -MEMBERSHIP Membership is open to the general public without regard to race, religion, color, sex, national origin, disability, age, veteran status, creed, marital status, public assistance status, or sexual orientation There shall be six classes of membership: 1. Active Membership 2. Associate Membership 3. Honorary Membership 4. Junior Membership 5. Dual Membership 6. Family Membership Members of all six classes shall enjoy all the rights and privileges as defined in the By- Laws, Section 7. ARTICLE IV - GOVERNMENT 1

The government of the Club shall be vested in a Board of Directors consisting of seven (7) voting members who shall include the Officers of the Club as listed in Article V, plus the immediate Past President, and two (2) at large Directors, all to be elected at the Election meeting and in accordance with the By-Laws of the Club. Any member holding office in any other Lawn bowling club shall not be entitled to hold office in the Santa Cruz Lawn Bowling Club ARTICLE V- OFFICERS The Officers of the Club shall be: 1. President 2. Vice President 3. Secretary 4. Treasurer An Assistant Secretary appointed by the President shall serve in the absence of the duly elected Secretary. An Assistant Treasurer appointed by the President shall serve in the absence of the duly elected Treasurer Election of officers and directors will take place at the Annual Election meeting. ARTICLE VI MEETINGS Quarterly business meetings shall be held in January, April, July and October..Each member of the Club shall be notified of the date and location of the meeting place not less that one (1) week prior to the date set for the Annual Election meeting. Special Meetings of the club may be called by the President or at the written request of ten (10) voting members in good standing. Said special meetings shall be limited to the subject for which they are called and a notice stating the date, time, place and subject of the meeting shall be posted on the club s bulletin board and via e-mail notice one (1) week in advance. ARTICLE VII- QUORUM A quorum of twenty (20) percent of the voting membership shall be required at all meetings. ARTICLE VIII BY-LAWS The by-laws of the Club shall supplement this constitution and when approved by the membership, shall have full force and effect. 2

ARTICLE IX AMENDMENTS The constitution and/or by-laws of the Club shall be amended by a two-thirds (2/3) majority of the voting membership present at a Quarterly, Special or Annual meeting of the Club, provided that a notice specifying the purpose of the meeting and a copy of the proposed amendments have been mailed to each voting member of the Club at least one (1) week prior to the meeting date. Proposed amendments can be either submitted to the Secretary in writing by any voting member with the signatures of 10% of the voting members or initiated by a majority of the board and will be acted upon at the next quarterly meeting or sooner at a special meeting called by the President. Adopted at the regular Quarterly meeting of the Club, held on November 25, 1979 and amended at meetings held on October 30, 1984, March 5, 1985 and November 15, 2008 //s// Greg Fyvie, President Section I Duties of the Officers By Laws of the Santa Cruz Lawn Bowling Club The President shall preside at all meetings and shall assume all the usual duties and responsibilities as the executive officer of the club. The Vice-President shall assume all the duties of the President in the latter s absence or when requested to do so by the President. The Secretary shall maintain all the records of the Club, take and submit for approval, the minutes of all meetings, take care of all correspondence and other duties as the Board may prescribe. The Treasurer shall collect all dues and assessments, keep records of such and deposit all monies in a designated depository. The Treasurer shall also issue checks for all 3

expenditures authorized by the Club or Board of directors, a record of such to be reported verbally and to be incorporated quarterly in the minutes of the Club. Section 2 Tenure of Office The President and vice President shall serve one (1) year terms and may not serve more than two consecutive terms in the same offices. The Secretary and Treasurer shall serve one (1) year terms and shall not be limited to the number of terms they may serve. The Directors shall serve one (1) year terms and may not serve more that two consecutive terms in this office. All vacancies shall be filled by appointment of the President subject to approval by a majority vote of a quorum of the Board of Directors. Section 3 Board of Directors The Board of Directors shall consist of the seven (7) voting members as listed in Article IV of the constitution and shall meet at least once every two months at the Club House, the date and time to be set by the President. At the request of any two (2) members of the Board, the President will call a meeting of the Board to discuss the subject involved. A majority of the Board members shall constitute a quorum Members of the Board may participate in a meeting through use of conference telephone or similar communications equipment, so long as members participating in such meeting can hear one another. Directors shall serve without compensation but may be reimbursed for expenses incurred in the furtherance of the organization with documentation and prior approval of the President and/or the Board. Section 4 Committees All Committee chairmen shall be appointed by the President with the approval of the majority of the quorum of the Board, and shall be announced at the Election meeting. Chairmen of the various committees shall appoint such members as they require. 4

The names of all Committee chairmen and their committee members for the ensuing term shall be posted on the bulletin board. The standing committees to be appointed are:tournament /Games committee, Green Maintenance committee, Membership/ Instruction committee, Publicity committee, Hospitality /Clubhouse committee and Web/Technology committee. Additional committees, when required, may be authorized by President or the Board. The Tournament/Games Committee shall be responsible for arranging, scheduling and supervising all tournament competition, both inter club and intra-club tournaments.. The Green Maintenance Committee shall be responsible for maintaining close contact with the Parks and Recreation Department of the city of Santa Cruz in all matters concerning the use, care and maintenance of the bowling green. The Membership/Instruction Committee shall be responsible for instruction of new bowlers in the rules, conduct and proper method of bowling, decisions as to when a new member is ready to enter draw games and the collection of applicable fees as necessary. The Hospitality/Clubhouse Committee shall be responsible for arranging refreshments for all interclub tournaments, arranging refreshments for any other special activities such as birthdays parties, annual meetings and other special activities as directed by the Board and the care and maintenance of the clubhouse and equipment, fixtures and other appurtenances belonging to the Club. The Auditor- appointed by the President, shall be responsible for auditing the accounts of the treasurer prior to the Annual Meeting and at such other times as an audit may be required by the board Section 5 Nominating Committee In addition to the foregoing standing committees, the President shall, at the regular quarterly meeting in October of election years, appoint a nominating committee, consisting of three (3) members. Voting at the Election meeting shall be as the President shall proscribe, provided that where there is more than one (1) candidate for any office, or where there are more than two (2) candidates for the office of director, voting for such positions shall be by written ballot. Candidates receiving the highest number of votes for an office or Director s position shall be declared elected. Tie votes shall be resolved by additional, written, secret ballots. The nominating committee shall present, at the Election meeting, a slate of officers and directors for the consideration of the voting membership. 5

Section 6- Representative(s) to the Pacific Inter-Mountain division of the United States Lawn Bowls Association The President shall appoint a representative(s) of the club, and a substitute, to attend the meetings of the Pacific Inter-Mountain Division of the U.S.L.B. A. For P.I.M.D./U.S.L.B.A. meetings where tournament schedules are to be formulated, the Club s Tournament Chair shall represent the Club. Section 7 - Membership A. Types of Membership 1. Active Member: An Active member pays full annual dues; has full bowling and full voting privileges. 2. Associate Member: An associate member is a person who has interest in belonging to the club but chooses not to bowl. An associate member pays proportionate annual dues as defined by the Board; has voting privileges and no bowling privileges. 3. Honorary Member: An Honorary member has made significant contributions toward the improvement of lawn bowling. An Honorary member does not pay dues, has bowling privileges and is eligible to vote if an active member up until the time the recognition is approved. A member may nominate a potential honoree for consideration to the Board with supporting written documentation. The Board may then recommend such recognition to the membership at a regular meeting, after reviewing the nomination. A majority of the voting members present must approve the recognition. 4. Junior Membership: A Junior member is under the age of 25. A Junior member pays reduced dues, has bowling privileges September through June, and is non voting 5. Dual Membership: A person who paid USLBA dues elsewhere. A dual member pays reduced dues, has bowling privileges and is non-voting. 6. Family Membership. At the discretion of the Membership Chair B. Club membership shall be open to all applicants, providing they make out the necessary application provided by the Club and signed by a sponsoring member and filed with the Secretary for approval of the Board; they take the necessary instructions provided by the Membership/Instruction Committee; and they conform to the rules and Regulations of the Santa Cruz Lawn bowling Club and the applicable rules and regulations of the American Lawn bowls Association 6

C. Conduct: Members are expected to observe Santa Cruz Lawn Bowling Club code of conduct. D. Termination of Membership: Membership in the club may be terminated four months of delinquent dues. A written request for an extension of membership may be considered by the Board Section 8 Dues 1. The annual dues shall be determined each year at the October quarterly meeting. 2. To meet emergencies, special funds can be raised by levies decided upon by a twothirds (2/3) majority at any quarterly or Special meeting. 3. Any applicant for membership applying on or after July 1st shall be required to pay a maximum of one half (1/2) of the annual dues. 4. A portion of members' annual dues shall be set aside into a capital purchase fund, the portion of which to be determined by the board. (A capital purchase is defined as an item or group of similar items costing more that $300.00.) Section 9 Expulsion and Suspension 1. It shall be the duty of the Board to receive and act upon a written complaint of any Member. The Board by a majority vote shall have the power to suspend or expel any member whose conduct is detrimental to the best interests of the Club. The board shall determine the length of time that a member will be suspended or expelled. 2. Any member may be reprimanded or suspended for cause by majority vote of the Board. 3. Once the Board recommends temporary suspension or permanent expulsion, a vote to agree must be reached by a majority of a quorum vote of the general membership at the next general meeting. Section 10- Rules and Regulations All members are expected to be conversant with the rules and regulations of the Santa Cruz Lawn Bowling Club and the United States Lawn Bowls Association. 7

Section 11- Fiscal Year The fiscal year of the Club shall be from January 1 st to December 31str Section 12- Rules of Order The Club and its Board of directors meetings shall be governed by the Robert s Rules of Order, Revised. Any items not specified in the constitution or by-laws will be decided by a majority vote of the Board.
