The consolidation of the junior and senior committee requires an increase in the number of general committee members to provide the required support. Changes already applied by Consumer Affairs Victoria to the Incorporated Associations Act is such that entities the size of the KHCC no longer require their accounts to be audited. Nevertheless, a provision has been retained which allows the committee, if deemed appropriate, to have the accounts audited. Social member has been added to remove any ambiguity as to whether social members are eligible to vote at the AGM. Amended to reflect the Club no longer requires a Common Seal. The agenda of Committee Meetings has been updated to reflect the structure of the Club and the topics typically discussed under General Business. Updated to reference the Club s Selection Policy. Section 24 (a) / The reference to the Junior trophies for batting and bowling have been updated to award to provide the Committee flexibility in awarding trophies based on either average or aggregate. Varying participation rules have necessitated this change. Minor typographical corrections made to sections 2, 20 (a), 21, and 23.

THE KINGSTON HEATH CRICKET CLUB INCORPORATED CONSTITUTION 1. Name The Club shall be named the Kingston Heath Cricket Club Incorporated. 2. Objectives The objectives of the Club shall be to promote and encourage the game of cricket, and to foster a better acquaintance and social spirit amongst the members of the Club. 3. Executive and General Committee (a) The Executive of the Club shall be: President Senior Vice President Junior Vice President Secretary Treasurer (i) The General Committee, hereinafter referred to as the Committee, shall consist of the Executive of the Club as defined in Clause 3a and a maximum of four six other club members. (ii) As where in this Constitution the Executive is empowered to make a decision, at least three members of the Executive must agree. (e) All elected members of the Committee referred to in Clauses 3a and 3b shall, subject to this Constitution, hold office until the Annual General Meeting next after the date of his/her election. At this time they shall retire and may offer themselves for re-election. An Auditor shall be elected annually at the Annual General Meeting by the Committee as required. The position of Auditor does not carry the rights of Committee membership. Honorariums may be paid to any person should a two-thirds majority of the full Committee so decide. 4. Election of Executive and Committee (a) (i) The Executive and Committee of the Club shall be elected at the Annual General Meeting. Written nominations for Executive positions shall be received by the Secretary, not less than seven days prior to the Annual General Meeting. Nomination forms must be signed by the proposer and seconder, who shall be senior members, and by the nominee. (ii) If no nomination as described in 4a(i) is received for an Executive position, nomination/s will be accepted from the Annual General Meeting. Voting, if required, will be by secret ballot. When any position becomes vacant during the year, such position may be filled at a meeting of the d) Only senior members of the previous season are eligible to vote at Annual General Meetings and have equal voting rights. A senior member shall be defined as any financial member sixteen years of age or over, whether playing or non-playing, a Committee member, or a Life Member, or a Social member. 5. Management The Club shall be under the management and control of the Committee whose decisions shall be final and binding in all matters appertaining to the affairs of the Club. 1

6. Powers of the Committee (a) The Committee, without in any way limiting the generality of the powers conferred, may in addition to acting as specifically authorised by this Constitution, act in any manner it may consider conducive to the affairs of the Club or generally to the game of cricket. The Committee is empowered to borrow monies on behalf of the Club, and to enter into any financial agreement it considers necessary and appropriate provided no monies may be borrowed unless ratified at a Special General Meeting or an Annual General Meeting. Financial arrangements other than borrowing of monies shall require a two-thirds majority of the full The Committee shall reimburse to any club member any costs, fines, penalties or the like incurred by that member in acting reasonably as a Club officer or appointee or otherwise on behalf of the Club. 7. Suspended/Disqualified Players Any person disqualified and/or suspended by any other cricket competition shall be ineligible to play with the Club during the period of disqualification and/or suspensions. 8. Seal The Club does not have a Common Seal. (a) The Common Seal of the Club shall be kept in the custody of the Secretary. The Common Seal shall not be affixed to any instrument except by authority of the Committee and the affixing of the common seal shall be attested by the signatures of two members of the executive or one member of the executive and the Public Officer of the Club. 9. Annual General Meetings (a) The Annual General Meeting of the Club shall be held no later than the 30 th day of June each year. Not less than fourteen days notice in writing, or by electronic means approved by the Committee, shall be given to each senior member. The quorum for an Annual General Meeting shall be ten senior members. 10. Special General Meetings (a) A Special General Meeting shall be called within fourteen days of receiving a written requisition signed by at least 15 senior members, or may be called by the Committee at any time. The notice, in writing or by electronic means approved by the Committee, shall be sent to each senior member setting out the purpose of such meeting, which shall be held not less than five days or more than twenty-one days after the sending of such notice. The quorum required for a Special General Meeting shall be ten senior members. 11. Order of Business of Annual (and Special) General Meetings (a) At the Annual General Meeting the order of business shall be: 1. Apologies 2. Minutes 3. Correspondence 4. Executive Report 5. Treasurer s Report 6. Delegates Report 7. Submission of Constitution 8. Election of Committee 9. Election of Life Members 2

10. General Business (e) (f) At a Special General Meeting the order of business shall be: 1. Apologies 2. Notice of Motion This constituted order of business shall not be departed from Clause 11(a) and 11, except by a majority vote of those present. Except where otherwise stated, voting shall be by show of hands and written proxy. A proxy form, available from the Secretary, must be signed by the senior member assigning the proxy, nominating a specific senior member or the Chairman to vote on their behalf. The Chairperson shall not vote on any motion except when a vote is dead-locked and the Chairperson shall then exercise a casting vote. All meetings shall be presided over by the Club President, or in his/her absence, the Senior Vice President, or in his/her absence, the Junior Vice President, or in his/her absence, any one of the Executive, or in their absence, any member may be elected to the Chair. 12. Committee Meetings All meetings of the Committee shall be conducted with the following Rules of Committee: (a) (i) Committee Meetings shall be held regularly. (ii) Notice, not less than seven days in advance, shall be given to all members of the Committee for all Committee Meetings. Such notice shall include a summary of special items of business for such meeting. (iii) The Committee shall meet at least six times per year. (iv) Special Committee Meetings may be convened by the President or three members of the (v) Notice shall be given to members of the Committee of any Special Committee Meeting specifying the general nature of the business and no other business shall be transacted at such a Meeting. (vi) No business shall be transacted unless a quorum is present and if within one hour of the time appointed for the Meeting a quorum is not present, the Meeting shall stand adjourned to the same place and time in the following week. (vii) Any member absenting themselves from two consecutive meetings without an apology or three consecutive meetings with or without an apology, shall in the absence of satisfactory reason being furnished to the Committee, forfeit their membership of the (i) The Secretary shall carry out all directions given to him/her of the Meetings of the Committee and shall keep all minutes and records, books, documents and securities of the Club in his/her custody or under his/her control. (ii) The Secretary shall have the power to transact preliminary business and shall report same at the next subsequent Committee or General Meeting. (iii) The Secretary shall keep a register of all members of the Club in which shall be entered the full name, address and date of entry of the member. (iv) The register of members shall be available for inspection by members at the address of the Public Officer. (i) The Treasurer shall receive monies on behalf of the Club which shall be paid as soon as practicable into a bank account under the Club s name. (ii) The Treasurer shall pay from the Club s bank account all accounts approved for payment by the All cheques drawn on the General Account shall be signed by two members of the Executive. (iii) The Treasurer shall keep accounts and books of the Club and they shall be available for inspection by Club members. 3

(e) (f) (g) The Committee shall have the power to appoint a sub-committee for any desired purpose. The President shall ex officio be a member of all such sub-committees. The Committee shall appoint a Chairman and set out the sub-committee s roles, responsibilities and limitations. All meetings shall be presided over by the Club President, or in his/her absence, the Senior Vice President, or in his/her absence, the Junior Vice President, or in his/her absence, any one of the Executive, or in their absence, any member may be elected to the Chair. The quorum for all Committee Meetings shall be four members. The order of business at Committee Meetings shall be: 1. Minutes of previous meeting. 2. Apologies 3. Correspondence 4. Date of next meeting (h) (i) Sense of voting shall be by show of hands, except for decisions involving a Member or Members of the Committee, when a ballot may be held. The Chairperson shall not vote on any motion except when a vote is deadlocked and the Chairperson shall then exercise a casting vote. With regard to any matter not directly covered by these rules, all meetings of the Committee of the Kingston Heath Cricket Club Incorporated shall be conducted according to the generally accepted tenet of Conduct of Meetings. 13. Accounts (a) Statements of Income and Expenditure for the year ended 30 th April each year shall be submitted for adoption at each Annual General Meeting. In the event of the Club disbanding or cancellation of Incorporation, all outstanding accounts are to be finalised. Any credit balance or assets shall then be dispensed at the discretion of the Committee in accordance with the Act. 4

15. Funds The funds of the Club shall be derived from annual subscriptions, sponsorship, donations and other such sources as the Committee determines. 16. Club Colours The Club colours shall be red, black and white. 17. Cricket Season The cricket season is deemed to commence at the Annual General Meeting. 18. Club Coach The Committee may appoint one or more coaches and determine appropriate remuneration, conditions and responsibilities. 19. Election of Captains and Vice Captains (a) The Captain and Vice Captain of each team shall be elected by the Casual vacancies shall be filled by the Selection 20. Expulsion and Suspension of Members (a) Should it be deemed necessary and in the best interests of the Club, any member may be expelled, suspended or fined by the The Committee may publish, administer and enforce a Code of Conduct and/or other policies as deemed necessary. Any such Code must contain an appeal procedure against the Committee s disciplinary actions. 22. Amendments to and Interpretation of the Constitution (a) This Constitution shall not be altered or amended except at an Annual General Meeting or a Special General Meeting called for that purpose in accordance with Clause 10. Any proposed amendment to the Constitution (or Statement of Purpose) shall be in writing and shall be received by the Secretary not later than twenty-one days prior to the Annual General Meeting. A minimum of 75% of votes in favour is required to pass any amendment to the Constitution. Any dispute concerning the interpretation of the Constitution shall be referred to the Committee whose ruling shall be final and binding. However, should a dispute arise in the course of an Annual General Meeting or a Special General Meeting, the Chairperson s ruling shall be final and binding. 23. Senior Trophies (a) Batting and Bowling Average Trophies (i) To be eligible to win the batting average of any team in a season, a player must batted in at least five games in which the team participated, and achieve an aggregate of not less than 150 runs. 5

(ii) (iii) To be eligible to win the bowling average of any team in a season, a player must have played in not less than five games in which that team participated, and have bowled not less than fifty overs. Should the requirements of 23 (a) (i) or (ii) not be met, the Committee shall determine the batting and bowling average winner of a team. Club Champion Trophies (i) Awarded to the player in each of the men s 1 st XI and women s 1 st XI who gained the highest aggregate number of points in a season including finals, calculated as follows: Each run scored 1 point Each wicket taken 15 points Each catch taken 6 points Each run out or stumping 6 points Each run out unassisted 10 points (ii) The men s Club Champion trophy shall be named The Simon Edgeworth Perpetual Trophy. (e) (f) Best and Fairest Player Awarded to the player in each other senior team who gained the highest aggregate of points in the season, including finals, calculated as per above. Best Club pperson Awarded to a member or supporter of the Club selected by the Executive. Most Improved Player Trophy To be awarded to the player the Executive deems to be the most improved player for the current season, after receipt of nominations from both the men s and women s coaches (or 1 st XI captains if a coach is not appointed). Most Determined Player Trophy To be awarded to the player the Executive deems to be the most determined player for the current season, after receipt of nominations from both the men s and women s coaches (or 1 st XI captains if a coach is not appointed). 24. Junior Trophies (a) To be eligible to win the batting average award of a team in a season a player must play in no less than six games. To be eligible to win the bowling average award of a team in a season, a player must play in no less than six games. The Committee will determine qualifying levels for runs and wickets for each age group. 25. Life Membership (a) Any senior member of the Club may submit to the Committee a nomination for life membership of a current or former member, provided that such nomination shall be in writing and shall be received by the Secretary not less than one month before the Annual General Meeting. Only those members that have given at least ten years of particularly meritorious service to the Club shall be eligible for nomination. The Committee shall have the power to recommend to the Annual General Meeting the election of one or more life members each year, provided that such recommendations shall be approved by at least two-thirds majority of the At the Annual General Meeting, the motion to elect the nominee to Life Membership must obtain a 75% majority of those senior members voting to be successful. 6

(e) (f) A member elected as a Life Member shall be entitled to all the privileges of membership for life without the payment of any further subscriptions. A recipient of Life Membership shall receive recognition in a manner to be determined by the Committee of the time.
