Sacramento Soccer Alliance Constitution 1:01 Name 1:01:01 This organization shall be known as the Sacramento Soccer Alliance of Sacramento, California; also herein referred to as SSA. 1:02 Purpose 1:02:01 The purpose of SSA shall be to develop, administer, and promote an organized non-recreational soccer program for the youth within our designated area, primarily consisting of, but not limited to, players from Land Park Soccer Club ( LPSC ) and Greenhaven Soccer Club ( GHSC ). 1:02:02 Sacramento Soccer Alliance is not organized nor shall it be operated for pecuniary gain or profit, and it does not contemplate the distribution of gains, profits, or dividends to the members thereof; and is organized solely for nonprofit purposes. The property of SSA is irrevocably dedicated to a youth soccer program meeting the requirements for exemption provided by Section 214 of the California Revenue and Taxation Code, and no part of the net income or assets of this organization shall ever inure to the benefit of any persons. Upon the dissolution or winding up of SSA, its assets remaining after payment, or provision for payment, of all debts and liabilities of SSA, shall be distributed to a nonprofit fund, foundation, or corporation which is organized and operated exclusively for a youth soccer program meeting the requirements for exemption provided by Section 214 of the California Revenue and Taxation Code, and which has established its tax exempt status under Section 501 (c) (3) of the Internal Revenue Code or Section 23701 (d) of the Revenue and Taxation Code. If SSA holds any assets in trust, such assets shall be disposed of in such a manner as may be directed by decree of the superior court of the county in which SSA has its principal operations, upon petition therefore by the Attorney General or by any person concerned in the liquidation, in a process to which the Attorney General is party. 1:02:03 SSA goals are: A. To teach soccer to all youth in the area who are interested in playing in a non- recreational soccer program with focus on player development. B. To provide an environment in which players train and play with others having similar desire for maximizing their soccer potential, while also promoting that soccer should be an enjoyable experience. C. To promote moral and social awareness while developing positive sportsmanship and its lasting value for children in the community. 1:03 Affiliation 1:03:01 SSA shall be an affiliated branch of and comply with the authority of at least one of the following: the Sacramento Youth Soccer League (SYSL); the California Youth Soccer Association, Incorporated (CYSA); US Club Soccer; along with affiliation with the United States Soccer Federation (USSF) and the Federation Internationale de Football Association (FIFA). 1:04 Authorities 1:04:01 SSA shall be governed by its Constitution, By-Laws, and Policies and Operation Rules, in collaboration with those of GHSC, LPSC, SYSL, CYSA, US Club, and/or other leagues and recognized soccer governing agencies SSA is affiliated with. 1:04:02 The governing authority of SSA, whose powers shall be described in the By-Laws, shall be vested in the Executive Officers and Board Members of SSA. 1:04:03 The governing authority, hereinafter referred to as the Board of Directors, shall be vested in the Executive Officers and Board Members of SSA.
1:05 Membership 1:05:01 SSA is a recognized and registered nonprofit public benefit organization, and is not organized for the private gain or benefit of any individual. SSA is a joint venture between GHSC and LPSC to govern and organize youth non-recreational level teams. 1:05:02 Membership shall be by annual registration. Registration is open to all youth regardless of race, color, creed, or ability. 1:05:03 The registration fee for all players shall be determined annually by the current Board of Directors. 1:05:04 All members shall abide by the Constitution, By-Laws, and Policies and Operation Rules of SSA and all applicable rules and regulations of the other Clubs, Leagues and Associations with which SSA is affiliated. 1:06 Meetings 1:06:01 At minimum, regular bi-monthly meetings will be held during the calendar year by the Board of Directors. A meeting schedule will be managed by the President. Additional meetings may be held as required with minimum of 72 hours notice given to all serving on the Board. 1:06:02 A meeting can be held over the phone via conference call, via email, or via other electronic means. 1:07 Changes 1:07:01 The Constitution and By-Laws may be revised or amended by a two-thirds (2/3) vote of the voting members of the Board of Directors present at any regular meeting, provided these additions or revisions have been issued to each member of the Board of Directors at least seven (7) days before the Board Meeting. 1:07:02 The Policies and Operating Rules may be revised, amended, or supplemented by a majority vote of the quorum at any Board Meeting. 1:08 Quorum 1:08:01 Three (3) Executive Board Members and any other Board Members present shall constitute a quorum at any regularly scheduled meeting as defined in 1:06:01. 1:08:02 A majority of current voting members shall constitute a quorum at any additional meeting, provided all members have been duly notified at least 72 hours prior to the meeting. 1:09 Financial Responsibility 1:09:01 SSA shall not assume, nor be liable for, the debts or the financial responsibilities, either implied or incurred, of its members. 1:10 Dissolution 1:10:01 Should SSA dissolve, all assets remaining after payment of all debts shall be turned over on an equal basis to LPSC and GHSC for the express purpose of the development of youth soccer. 2
Sacramento Soccer Alliance By-Laws 2:01 The Board of Directors (Board) 2:01:01 The Executive Officers shall be annually elected at the first meeting of each calendar year by a majority of the current Board of Directors. Any individual desiring to serve in an Executive Officer position shall submit their name to current acting Vice President prior to first meeting of calendar year; this stipulation is applicable to all, including Executive Officers serving on current Board of Directors. 2:01:02 The Board of Directors elected Executive Officers (and primary duties) are as follows: President: Schedule and conduct all meetings of the Board. Create and distribute agendas for all meetings of the Board. Shall only cast a vote at meetings of the Board in the event of a tie. Serve as a liaison between GHSC, LPSC, and all other organizations affiliated with SSA. Serve as a public relations liaison for members (players, parents, coaches, referees, etc). Assign duties and/or tasks to Board Members as deemed necessary for SSA operations. Vice President: Assume the responsibilities of President in his/her temporary absence. Seek out and take submissions/nominations of those individuals wishing to serve on the Board. Serve as a liaison between GHSC, LPSC, and all other organizations affiliated with SSA. Serve as a public relations liaison for members (players, parents, coaches, referees, etc). Treasurer Provide a written report of all income and expenses at each regularly scheduled Board meeting. Establish bank account(s) with access for at minimum two Executive Officers (Treasurer and President). Maintain and monitor all bank accounts in the name of SSA at recognized bank institution(s). Pay all bills in a timely manner via bill pay or paper check (paper check requiring 2 signatures). Ensure all tax filings and nonprofit document filings are addressed on time. Maintain financial records on behalf of SSA. Registrar(s) Address player and coach registration with affiliated leagues and playing organizations. Oversee registration database either directly or in conjunction with an SSA Board appointee. Work in conjunction with an Assistant Registrar should SSA Board appoint such. Work with Treasurer to maintain good payment status for all active SSA players. Director of Coaching (DOC) Present all coaching applications to the Board with recommendations for applicant approvals. Establish and oversee educational opportunities and trainings for both coaches and players. Arrange for independent coach assessments and present to SSA Board the results of such. Make recommendations and coordinate training camps/clinics offered outside of SSA authority. Communications Director Oversight of SSA Website Management of SSA email messaging for club members Oversight of SSA social media presence (Facebook page, etc) Recording and Distribution of Board Meeting notes 2:01:03 Those elected shall assume their duties at the next regular meeting. 2:01:04 The other voting members of the Board of Directors are designated as follows: the President of LPSC, the President of GHSC, and three At-Large Members. 2:01:05 The Board of Directors may choose to designate non-voting appointees to serve in roles for SSA operational support including but not limited to: Assistant Registrar, Field Liaison, Events Coordinator, etc. 2:01:06 The President may call an Executive Board meeting, requiring three (3) Executive Officers present to constitute quorum. 3
2:01:07 The Executive Officers may, from time to time, adopt temporary rules or regulations for specific cases or occasions not provided for in the Constitution, By-Laws, or Policies and Operating Rules, but which are deemed necessary to carry out the objectives and purposes of this SSA. In each instance, the Executive Officers must report to the entire Board of Directors all temporary rules or regulation changes. 2:01:08 The Board of Directors shall meet throughout the calendar year for regular Board Meetings as in accordance with Constitution. Regular meetings shall follow the following format: Call to Order Attendance Review and Approval of Minutes Treasurer Report Registrars Report DOC Report GHSC & LPSC Reports Old Business New Business Open Forum Good of Game Adjournment 2:01:09 Any Board Member who misses three (3) consecutive regularly scheduled meetings without notification or sending a report may be replaced. The Board Member shall be notified in writing before this action shall be taken. 2:01:10 In the event any Executive Officer is unable to serve in their position for remainder of the calendar year in which they are serving, be it either voluntarily or involuntarily, the Board of Directors shall hold a Board Meeting within 7 days of any resignation. The Board shall endeavor to name and approve a replacement for the open Executive Officer position at called Meeting. If an individual cannot be named and approved immediately, the Board will cooperatively temporarily assign the duties of the open position until said position is filled. 2:02 Conduct & Responsibilities 2:02:01 Falsification of records shall be grounds for disqualification for future participation and/or membership in SSA. 2:02:02 A plea of ignorance to the Constitution, By-Laws, or Rules and Policies of SSA is not sufficient and violators shall be subject to disciplinary action by the Board of Directors of SSA. 2:02:03 Any person found guilty of violating the Constitution, By-Laws, policies and Operating Rules of SSA, or those of an affiliated organization, may be asked to appear before the SSA Board of Directors to explain their actions. 2:02:04 The SSA Board of Directors shall have the right and authority to suspend, bar completely, or otherwise discipline any player, coach, assistant coach, referee/official, officer/board member, or other individual representing SSA. 2:02:05 The Board of Directors represent the SSA as well as the soccer community in which they serve. They shall uphold a high standard of professionalism at all times, demonstrating respect and cooperation with all members of the SSA program and all its affiliates. Any willful violation or action by any Member of the Board that has appearance of conflict with the policies, rules or purpose of the SSA may lead to review and action in accordance with section 2:02:04 above. 4
2:03 Coach Selection 2:03:01 All coaches shall annually submit an application to coach, and shall be approved by the SSA Board of Directors prior to team formation. 2:03:02 All SSA coaches shall properly register in the SSA database and meet all criteria for background checks required by SSA affiliates. They shall conduct themselves in accordance with the policies and rules of SSA, and as outlined in the SSA Coaches Code of Conduct. They shall at all times abide by and be responsible for knowing the rules and regulations of all Leagues and Associations of which SSA is affiliated with. 2:03:03 Any coach ejected during any game must notify SSA DOC and SSA President within 24 hours of incident, and may be required to appear before the SSA Board of Directors at the next regularly scheduled meeting (coaches will be notified if they must appear). 2:04 Team Formation 2:04:01 Open tryouts shall be held annually for all teams and players. 2:04:02 The Board of Directors shall adopt policies and operating rules which shall further define the process by which tryouts, player offers, and teams formation shall be managed. 2:05 Protests and Appeals 2:05:01 All coaches shall notify the President and DOC as soon as possible, but no later than twenty-four (24) hours, following the completion of their game of any protest condition involving them or their game. If the President or DOC cannot be reached within the fore mentioned time frame, then notification must be made instead to any other Board Member. 2:05:02 The Board of Directors will not consider anonymous complaints in any form nor mere rumors. 2:05:03 Any complaints regarding the conduct or any other matter concerning a coach and/or team must be made in writing or in-person to the DOC, President or Vice President. 2:05:04 Any parent wishing to appeal a decision concerning her/his child may first appeal to the President or Vice- President, then to any other member of the Executive Board if dissatisfied. All appeals must be in writing, and should include sufficient information to assess and research the issue. 2:06 Uniforms 2:06:01 The uniform colors of SSA shall be sky blue and white. The primary uniform worn when representing SSA shall be white or blue shorts and sky blue jerseys. The alternative uniform when representing SSA shall be white shorts and white shirt. 2:06:02 Uniforms shall be chosen by the Board of Directors. Any alternate uniform used by a SSA team must be approved by the Board of Directors or its designee. 2:06:03 Regular or alternate uniforms will have no name or logo other than an approved SSA and/or manufacturer s logo unless approved by the Board of Directors. The Sacramento Soccer Alliance was formed in 2010 with Bylaws Adopted May 6, 2010. These Amended Bylaws are hereby Adopted by Board of Directors on July 24, 2017. 5
