Bylaws of the Southern Boone County R-1 Athletic Booster Club ARTICLE I: Name The name of the organization shall be the Southern Boone Athletic Booster Club (herein referred to as the Booster Club). The organization will be a not-for-profit corporation under the laws of the State of Missouri. It will have a 501(c)(3) tax-exempt status from the Internal Revenue Code and is subject to those regulations ARTICLE II: Mission Statement and Purpose Section 1. The Southern Boone Athletic Booster Club promotes a spirit of sportsmanship, responsibility and athletic excellence. We support our athletes, coaching staff: and athletic department; by raising money and donating personal time for sports equipment, fees, scholarships and maintenance of athletic fields. Section 2. Comply with the rules of the Missouri State High School Activities Association and any other successor interscholastic organization or associations of which Southern Boone County R-1 School district is a member. ARTICLE III: Membership Section 1. Membership shall be open to all supporters of Southern Boone County R-1 athletic parents or guardians of students of Southern Boone R-1 Schools, alumni of Southern Boone R-1 Schools, members of the faculty, administration, and staff of Southern Boone R-1 Schools, and members of the community who desire to support student athletes of Southern Boone R-1 Schools. Membership shall run for the 12 month period beginning July 1st and ending June 30th of the following year. Dues shall be established and collected annually by the Officers, and shall cover the period from July 1st to June 30th of the following year. Dues cannot be pro-rated for less than a year's membership. Section 2. At all general meetings of the Booster Club each member of the Booster Club who is present and has paid the annual dues for the then-current year shall have one vote. No member of the Booster Club may vote by proxy or absentee ballot. Section 3. All general membership meetings shall be open to the public. Meeting minutes and treasurer's report shall be available to all members. Booster meetings will be held at on a monthly or bimonthly basis, as determined by the Officers. Special meetings of the general membership may be called at the discretion of the Officers. At least a five day notice shall be given. ARTICLE IV: Election and Term Club Officers Section 1. The Officers shall be elected from among the membership of the club and they shall consist of a President, Vice-President, Secretary, Treasurer and Past President. The term of the officers will be two (2) years, beginning January 1 and ending on December 31 following the September election of officers. To prevent issues in conflict of interest, Booster Club officers may not be members of the School Board, or Eagle Foundation, or officers of the Southern Boone PTA or Band Boosters. Officers may be elected bi- annually. The high school athletic director shall be invited to be advisor for the club on projects. Section 2. In the event that a vacancy occurs in any office (whether due to resignation, removal or otherwise), the other Officers shall appoint a member of the Booster Club, to fill such vacancy during the remaining portion of the fiscal year in which such vacancy occurs.

Section 3. A nominating committee shall be established by the President to provide nominations for the officer positions at the September meeting. The committee will include one Officer and at least two general members of the Booster Club. The committee will submit a slate of candidates for the Officers at the October meeting to be voted on by the Booster Club at the October meeting. Members may also nominate from the floor. Members may also simply volunteer to run for a position. ARTICLE V: Duties and Description of Club Officers Officers are described as such: The President shall: Be the official representative of the Booster Club, presenting checks and awards at events, present scholarships at award banquet or appoint a delegate as needed; Plan the agenda for meetings Preside at all regular, and special meetings; be an ex-officio member of all committees; appoint special committees; Keep members informed of all matters pertaining to the affairs of the club. The Vice President shall: preside over meetings in the absence of the President, and perform all duties as such; assist President as needed organizes and schedules workers for concession stand organizes (with assigned committee members) to purchase supplies for concession stand perform such duties as delegated by the President The Treasurer shall: be the custodian of all funds of the organization; supervise and accurately record all receipts and disbursements of funds; report to the membership on all receipts, disbursements, and financial statements of the organization at each regular meeting; be responsible for coordinating preparation of state and federal filing forms; be responsible for coordinating all information for tax purposes; assist in the preparation of annual budgets; correspond with Athletic Director and School Accountant The Secretary shall: write and keep minutes of all regular and special meetings; present and/or make available all such minutes at the regular monthly meetings; have full charge of all correspondence of the organization and of filings correspondence for future reference keep a roster of all active members issue notification of all upcoming regular and special meetings Any Officer may, by written letter, resign his/her office. The Officers shall serve in their positions without compensation, except for reimbursement of expenses incurred on behalf of the organization.

ARTICLE VI: Committees Concession Stand Committee vice-president shall be the Concession Stand Coordinator shall consist of Coordinator plus six members from the Booster Club Membership Committee Shall be in charge of all membership drives. The committee chairman will be one of the officers. Budget Committee All current officers are on this committee, plus one Booster Club Member at large No School Board members, Eagle Foundation members, or Officers from PTA or Band Boosters shall be on this committee due to possible conflict of interest Scholarship Committee No parents, grandparents, aunts, uncles or other immediate family members of current seniors shall be on this Guidelines to be established by committee members as to how budgeted funds are awarded and/or allocated Fundraising Committee Shall be in charge of all fund raising projects. The committee chairman will be one of the officers ARTICLE VII: Spending Guidelines Section 1. The Fiscal Year January 1 to December 31 of that year. Budgets shall be established by the end of February for said year. Receipts for all spending/payments shall be required. All spending shall be limited to funds available. The Officers shall establish short and long range plans for spending based upon the needs of the sports teams, in conjunction with the Athletic Director. Section 2. No part of net earnings of the organization shall inure to the benefit of, or be distributable to, its members or officers. The organization shall be authorized and empowered to make payments and distributions in furtherance of the purposes set forth in our mission statement. The treasurer shall deposit all funds of the organization in a bank or banks, or other depository of investment vehicle deemed adequate to meet the needs of the organization. ARTICLE VIII: Liabilityof Directors, Officers, and Members Section 1. No Officer shall be required to furnish bond or surety, or shall be liable or responsible for acts of omission or errors of the Booster Club, or of any predecessors or counsel selected with reasonable care. Section 2. No Officer shall be personally liable to the organization of its members for monetary damages for breach of fiduciary duty as an officer or director, notwithstanding any provision of law imposing such liability: provided, however, that this provision shall not eli1ninate the liability of Officer, to the extent that such liability is imposed by applicable law, (I) for any breach of the Officer's duty of loyalty to the organization or its members (ii) for acts or omissions not in good faith or which involve intentional misconduct or a knowing violation of law, or (iii) for any transaction from which the Officer derived an improper personal benefit. No amendment to or repeal of this provision shall apply to or have any effect on the liability or alleged liability of any Officer for or with respect to any acts or omissions of such Officer occurring prior to such amendment or repeal. Section 3. Neither the Officers, nor any member, shall have power to bind the members or the individual

Officers of the organization, personally. All persons or corporations extending credit to, contracting with, or having claims against the organization, shall look only to the funds and property of the organization for the payment of any debt, damage, judgment, or decree, or of any money that may otherwise become due and payable to them from the Organization, so that neither the members nor the Officers, present or future, shall be personally liable therefore. Section 4. No Officer, or member, shall be personally liable to the organization or its members or guests in any maintenance or recreational activity. Officers, and members, make no claims as to the expertise of any of the members or their family members in such matters. Therefore, the organization bears no liability for any incident, accident or injury that may occur during or as the result of maintenance, recreational, or fundraising activity sponsored by or organized by the organization. ARTICLE IX: Dissolution of the Organization In the event that the southern Boone County R-1 Athletic Boosters Club should dissolve, all existing monies, after the payment of all outstanding bills, shall be donated the Southern Boone County R-1 Athletic Department. ARTICLE X: Amendments These Articles of the Constitution may be amended at any meeting of the membership by a two-thirds (2/3) affirmative vote of the voting adult members present, provided due notice of the proposed amendment(s) has been given in writing to all members at least seven (7) days previous to the meeting. These are the by-laws of the Southern Boone County R-1 Athletic Booster Club, as put forth herein, were ratified and accepted by the office on the day of, 2015.
