KENNETT ATHLETIC BOOSTER CLUB Amended and Restated BYLAWS ARTICLE I NAME Section 1. The Club shall be called The Kennett Athletic Booster Club. ARTICLE II OBJECTIVES Section 2.1 Section 2.2 Section 2.3 To encourage and support all the Kennett High School and Kennett Middle School athletic clubs and teams. To cooperate with school authorities in promoting the best interests of the programs and athletes. To foster a sense of school and community pride through athletic Programs at both Kennett High School and Kennett Middle School. ARTICLE III MEMBERSHIP Section 3.1 Section 3.2 Section 3.3 The Principal of Kennett High School and the Athletic Directors of the Kennett High School and Kennett Middle School are members of the Club by virtue of their positions with the High School. Any person who wishes to support Kennett s athletic programs is eligible for membership. Membership status is conferred on individuals who pay annual dues of seventy-five ($75.00) Dollars, with $25 going to the central KABC organization and $50 going to the Members KHS team of choice (2-$25 grants can be specified if the member prefers to directly support 2 KHS teams ). The amount of dues will be reevaluated every year by the Board of Directors. Dues secure membership for the membership year which coincides with the school year. 1

ARTICLE IV GOVERNMENT Section 4.1 Organization A. The annual organizational meeting shall take place during the month of May. During the organizational meeting, elections are held to elect Officers and Directors of the Club. B. The government of the Booster Club shall be under the supervision of the President and the Board of Directors. C. The Board of Directors consists of the Club s President, the High School Principal, the High School Athletic Director, the Middle School Athletic Director and two (2) members from Kennett High School and one (1) member from Kennett Middle School who have been elected by the Membership during the organizational meeting as well as the past President in an emeritus position. D. Officers of the Booster Club shall consist of a President, Vice President, Secretary and Treasurer. The duties of the officers shall be such as normally appertained to these offices. The Vice President shall assist the President, and when the President is absent serve in the President s place; the Secretary maintains minutes of each meeting; and the Treasurer shall supervise any and all funds and present a written report concerning the financial status of the Club at each meeting. E. Officers are elected at the organizational meeting and may serve a two (2) year term. Officers are elected from the general membership and may be re-elected without limitation. F. Members may serve as both Board Members and Officers if duly elected for each position by the Membership. G. Vacancies which occur during the school year shall be filled by a majority vote of the Board. Section 4.2 Election of Officers and Board Members A. During the April meeting of the President s second term, the President shall appoint a Nominating Committee consisting of the immediate past President, who shall serve as committee chairperson and two (2) members who are not currently serving on the Board or as Officers of the Club. 2

B. The Nominating Committee shall present its slate of nominees for the Board and for Officers during the May organizational meeting. No name may be submitted unless the individual has agreed to accept the position for which they will be nominated. C. Nominations may be made by members from the floor during the May organizational meeting. Individuals so nominated must either be present or have submitted a written statement stipulating their acceptance of the position should they be elected. D. The voting shall come from the representative of each sport (i.e., boys soccer = 1 vote, boys and girls cross country = 1 vote; girls basketball = 1 vote, etc.) The Representatives shall be informed of the nominees by US Mail and/or email before the May meeting. The majority of votes from the sports representative either in person at the May meeting, via proxy by email, and/or U.S. Mail will elect the new Board. Section 4.3 Sports Representatives A. By the first Booster Club meeting of each year, or earlier if possible, each team shall have a Sport s Representative named. B. A Sport s Representative is a member of the Kennett Athletic Booster Club (KABC) who liaisons between the Booster Club and the sport s coach/team. The main purpose of the sport s representative is to support the coach/team in appropriate and reasonable ways. C. The KABC will affirm the selection of the individual as a sport representative. This happens when an individual expresses/shows an interest in a particular sport. There is no term limit on the service of a sport representative. Guidelines/Responsibilities Of A Sport Representative: A member of the Kennett Athletic Booster Club (KABC). Attend monthly KABC meetings. Active with KABC activities. Communicates with the coach, team and team members families regarding the KABC - its mission, its goals, and its values to the Kennett High School Sports Program. Communicates with the coach, team, and team members families and the KABC, i.e., requesting volunteers for KABC activities, membership drive, end of season get-together/party for sport, etc. Attempts to involve parents and friends of the team members to become involved with the KABC activities and sporting events. 3

Provides information regarding the represented sport to the KHS Newsletter. Recognizes senior athletes in their respective sport by coordinating with coach to have end of season get-together/party to recognize seniors with gift, SEE ARTICLE IX, Section 9.4. ARTICLE V DUTIES OF OFFICERS Section 5.1 President The President shall preside at all meetings of the Club and any Board meetings. It is the responsibility of the President to appoint committees for which the President shall serve as Chairperson as stated in ARTICLE VI, Subsection B Number 1, and serve as an ex-officio member of all, except the nominating committee. The President shall prepare the Agenda for each monthly meeting. Section 5.2 Vice-President The Vice-President shall aid the President as necessary. The Vice- President shall perform all duties of the President in the event that the President is unable. Section 5.3 Secretary The Secretary shall record minutes of all membership and Board meetings. In the event that both the President and Vice President are unable to fulfill their duties, the Secretary will assume the responsibilities of the President. The Secretary is also the Officer responsible for assuming the duties of the Treasurer should that individual be unable. Section 5.4 Treasurer The Treasurer is responsible for all monies received and to make disbursements as directed by the President and the Board. The Treasurer must keep accurate records concerning any and all funds received or disbursed. The Treasurer is responsible for preparing a financial report and presenting the report at the monthly general membership meeting. 4

ARTICLE VI MEETINGS Section 6.1 Section 6.2 Section 6.3 Section 6.4 The active Club meetings shall be held on the second Wednesday of each month except June and July. The President may call additional meetings as Club business requires or at any time at the request of three or more members. Board meetings shall be held the Monday before the general monthly membership meetings are held. The President may call additional Board meetings as business necessitates or two Board members may request that the President call a meeting. At the discretion of the President, Robert Rules of Order shall govern all meetings. However, meetings may not always be run according to these rules. ARTICLE VII FINANCES Section 7.1 Section 7.2 Section 7.3 Section 7.4 Section 7.5 The Board of Directors are responsible for making all decisions regarding finances for the Club. See ARTICLE VIII RESOLUTIONS AND EXCEPTION. All financial information shall be kept in a printed/handwritten ledger and/or computer ledger and given to the incoming treasurer after the organizational meeting. The Officers and the Board of Directors of the Club shall decide all matters pertaining to the regular finances of the Club and shall place all income in a common treasury, disbursing the expenditures in an equitable manner. The Treasurer shall place all income in a common treasury. All bank business must be signed by the President and the Treasurer. Internal transfers from the central KABC account to individual KHS teams can be signed by the Treasurer. At the end of the school year, the savings account shall never have a balance of less than $4,000.00. 5

ARTICLE VIII RESOLUTIONS Section 8.1 Section 8.2 Resolutions or motions presented at general membership meetings to commit the Club in any matter shall be considered by the membership only after the Board has reviewed and recommends the matter to the membership. Unless otherwise provided for in the resolution, resolutions considered by the general membership of the Club must be approved by a simple majority of the members entitled to vote on the resolution. Exception: any financial requests for $250.00 or less with at least twelve (12) members present at the monthly general membership meeting to commit the Club in any matter can be voted on and approved at the general monthly meeting. If there are not twelve (12) members at the meeting, the motion shall be taken to the Board of Directors. After this review, the resolution or matter shall be placed in front of the general membership for a vote. Notwithstanding the foregoing, any member of the Board or general membership who will receive a direct financial benefit from any action Taken by the Club shall disclose such financial benefit prior to any vote on the action, contract or transaction that will lead to the financial benefit and shall not be entitled to cast a vote on any resolution considered by the Board of the general membership voting on the transaction. ARTICLE IX AWARDS/GIFTS Section 9.1 League/Divisional/Sectional Championship Award Each player and coach on a team, or as an individual, winning the league, divisional, and/or sectional championship, shall receive up to a maximum of Twenty-Five ($25.00) Dollars towards the cost of an item. (i.e.: $10.00 Sweatshirt, player or coach KABC will pay $10.00. If the item costs $75.00, player or coach will pay $50.00 and KABC will pay $25.00). 6

Section 9.2 District/State Championship Award Each player and coach on a team or as an individual winning a district or state championship, shall receive up to a maximum of One Hundred ($100.00) Dollars towards the cost of an item, (i.e. $125.00 jacket, KABC will pay $100.00, and player or coach will pay $25.00). Section 9.3 The highest achievement will receive the KABC fund award. (If a team/individual wins the league, divisional, sectional, district, and/or state championship, the award will be up to a maximum of $100.00). Section 9.4 Senior Recognition A maximum of $15.00 per senior for each team in recognition of their senior players for a gift of the coach s/sport representative s choice to be handed out at the end of season get-together/party/award ceremony. Section 9.5 Coach s Retirement At the retirement of a coach who has served ten (10) (consecutive or not) school years or more in service as an assistant coach and/or head coach regardless of what sport coached, he/she shall receive a gift of Ten ($10.00) Dollars per year. (i.e.: one season equals one year for any number of sports. Ten (10) years equals $100.00. 7

THE RECIPIENT OF THE FOLLOWING SCHOLARSHIPS/PRIZES ARE CHOSEN BY THE COACHES IF/WHEN A TIE EXISTS, THE SCHOLARSHIPS/PRIZES WILL BE SPLIT EQUALLY Section 9.6 KABC Scholarships/Prizes: 1. KABC Scholarship: The senior male and female athlete recipient of this award shall each receive Three Hundred ($300.00) Dollars.. 2. Prettyman Prize: Is awarded to the senior(s) male athlete who demonstrates good sportsmanship and will receive One Hundred ($100.00) Dollars 3. Scarlet Prize: Is awarded to senior(s) female athlete who demonstrates good sportsmanship and will receive One Hundred ($100.00) Dollars. 4. The Maureen A. Jefferson Scholarship: The Maureen A. Jefferson Scholarship is awarded to one senior girl athlete and one senior boy athlete who are continuing their education and who have exemplified the concept of a "team player". The recipients of this award exhibit a dedication to teamwork and the spirit of cooperation in sports competition. The recipients will receive One Hundred ($100.00) Dollars each. 5. Booster Club Excellence Award: Each senior sport recipient of this award shall receive a medal and have their name engraved on a permanent plaque. If there is a tie, medals are awarded to each person and all names placed on the permanent plaque. Section 9.7 Banners KABC is responsible for purchasing the championship and/or major accomplishment Banners which hang in the gym. 8

ARTICLE XI AMENDMENTS Section 11.1 The Bylaws shall be amended or repealed as necessary by a committee appointed by the President with a two-thirds vote of the Club, either by proxy (either by US mail or email) or in person.
