Proposal Item: 3 Total Percentage: Total Voting: Status: Adopted Failed Amended Withdrawn Referred to Committee World Service Business Conference (WSBC) 2015 Proposed Amendment to the Bylaws of Overeaters Anonymous, Inc. Subpart B Motion Move to amend OA, Inc. Bylaws, Subpart B, Article X Meetings of Delegates, Section 3 Delegates, Part c) 4 by striking and inserting as follows: Current Wording Article X Meetings of Delegates 3) Delegates c) Qualifications/Selection 4) Delegates and alternates should be selected at least one-hundred twenty days before the annual Conference, and the names forwarded immediately upon selection to the World Service Office of Overeaters Anonymous. Proposed Wording Article X Meetings of Delegates 3) Delegates c) Qualifications/Selection 4) Delegates and alternates should be selected at least one-hundred twenty seventy days before the annual Conference, and the names forwarded immediately upon selection to the World Service Office of Overeaters Anonymous. Submitted By Board of Trustees Cyndy L., BOT Bylaws Committee Chair Intent The one-hundred twenty days was necessary when reports and information needed to be mailed to registered delegates. Implementation Update OA, Inc. Bylaws Cost Rationale The extended time was needed when Conference documents were mailed. Now with our quick ability to post documents online, a shorter period of time will suffice. There was also a misconception that a

WSBC 2015 Bylaw Amendment Page 2 Proposal Item: 3 delegate couldn t register after the cut-off date. We must all strive to correct that impression. A delegate can register at Conference, if he/she so chooses. The staff does need some time however, to ensure that meeting space and meal reservations are adequate. Subpart B Motion Move to amend OA, Inc. Bylaws, Subpart B, Article X Meetings of Delegates, Section 3 Delegates, Part b by striking as follows: Current Wording Article X Meetings of Delegates 3) Delegates b) Non-delegates who may address the World Service Business Conference shall consist of officers of the corporation or any parent or subsidiary of the corporation who are not also trustees, the Conference parliamentarian, the managing director and/or the managerial staff of the World Service Office, and the founder of Overeaters Anonymous. Proposed Wording Article X Meetings of Delegates 3) Delegates b) Non-delegates who may address the World Service Business Conference shall consist of officers of the corporation or any parent or subsidiary of the corporation who are not also trustees, the Conference parliamentarian, the managing director and/or the managerial staff of the World Service Office, and the founder of Overeaters Anonymous. Proposal Item: 5 Total Percentage: Total Voting: Status: Adopted Failed Amended Withdrawn Referred to Committee World Service Business Conference (WSBC) 2015 Proposed Amendment to the Bylaws of Overeaters Anonymous, Inc. Subpart B Motion Move to amend OA, Inc. Bylaws, Subpart B, Article X Meetings of Delegates, Section 3 Delegates, Part c) 2 by inserting as follows: Current Wording Article X Meetings of Delegates 3) Delegates c) Qualifications/Selection 2) Each intergroup or service board shall be entitled to have one qualified delegate for up to the first fifteen groups it represents and one for each additional fifteen groups or any fraction thereof, except that the service board shall not represent the same groups as intergroups represent. A group shall be recognized as registered and represented by an intergroup or service board. Proposed Wording Article X Meetings of Delegates 3) Delegates c) Qualifications/Selection 2) Each intergroup or service board shall be entitled to have one qualified delegate for up to the first fifteen groups it represents and one for each additional fifteen groups or any fraction thereof, as per the January Service Body Information Report from WSO, except that the service board shall not represent the same groups as intergroups represent. A group shall be recognized as registered and represented by an intergroup or service board. Submitted By Board of Trustees Cyndy L., BOT Bylaws Committee Chair Intent To establish which Service Body Information Report is used when registering delegates. Implementation Update OA, Inc. Bylaws

WSBC 2015 Bylaw Amendment Page 2 Proposal Item: 5 Cost Rationale It is possible for a service body to decrease the number of groups between the January report and the April report. If this happens, the service body would not be able to seat a delegate that was eligible when they first registered for WSBC. By establishing that the January report is the one used, there will be no possibility of loss of funds for a service body due to the purchase of a plane ticket, etc. in anticipation of the event. History 2011 Article X, Section 3c (paraphrased) Include service board in delegate qualifications. (Adopted) WSBC Motions Review Committee Comments

Submitted By Board of Trustees Vicki W., Region Three Trustee

WSBC 2015 Bylaw Amendment Page 2 Proposal Item: 6 Margie G., Region One Trustee Cyndy L., Region Four Trustee Intent To remove the reference to an intergroup that has closed. Implementation Update OA, Inc. Bylaws Cost Rationale Outstates Intergroup has closed. There is no longer the need to make reference to it in the bylaws. History No history in the past five years. WSBC Motions Review Committee Comments

Proposal Item: 7 Total Percentage: Total Voting: Status: Adopted Failed Amended Withdrawn Referred to Committee World Service Business Conference (WSBC) 2015 Proposed Amendment to the Bylaws of Overeaters Anonymous, Inc. Subpart B Motion Move to amend OA, Inc. Bylaws, Subpart B, Article XIV Bylaw Amendments, Section 1 Procedure, Part e by striking and inserting as follows: Current Wording Article XIV Bylaw Amendments 1) Procedure d) Except as otherwise specified by these bylaws, proposed amendments to Subpart B may be adopted by a two-thirds vote of the delegates present and voting provided a quorum is present. e) Amendments to Article I (Twelve Steps) and Article II (Twelve Traditions) of Subpart B of these bylaws may only be adopted if, in addition to d) above, they are ratified by three-fourths of the registered Overeaters Anonymous groups responding within six months of notification, provided at least fifty-five percent of the registered groups have responded. Proposed Wording Article XIV Bylaw Amendments 1) Procedure d) Except as otherwise specified by these bylaws, proposed amendments to Subpart B may be adopted by a two-thirds vote of the delegates present and voting provided a quorum is present. e) Amendments to Article I (Twelve Steps) and Article II (Twelve Traditions) of Subpart B of these bylaws may only be adopted if, in addition to d) above, they are ratified by three-fourths of the registered Overeaters Anonymous groups responding within six months of notification, provided at least fiftyfive thirty percent of the registered groups have responded. Submitted By Oregon OA IG, Region 1 Pat O. Intent To lower the minimum percentage of groups responding to 30 percent. Implementation Update OA, Inc. Bylaws. This bylaw change would require no new procedures to be implemented. The same methodology currently used to contact OA groups would be employed.

WSBC 2015 Bylaw Amendment Page 2 Proposal Item: 7 Cost Rationale The purpose of the ratification requirement is to ensure that OA as a whole agrees with any amendments made to Subpart B, Articles I or II of the bylaws. The current procedure requires 55 percent of all registered groups to respond in order for a ratification to move forward. We feel that a change this significant ought to involve an active consensus process, not a passive no vote. We indeed hope that close to 100 percent of our registered groups reply. Our understanding is that WSBC has never had a response rate above 35 percent, which makes the 55 percent response rate an unattainable threshold. We propose lowering the threshold to an achievable amount (30 percent). We believe this actually provides an incentive for groups to engage in a dialogue on this issue. We believe the current requirement ensures defeat and that OA as a whole would be better served if the ratification required a yes vote from groups who take to heart the good of all OA and weigh in with their vote. This change will create a call to action to the Fellowship to ensure that their voice is heard in such an important change to our program. This, we believe is the true intention of the ratification process that all groups who wish to be heard have a voice. History No history in the past five years. WSBC Motions Review Committee Comments
