AMENDED CONSTITUTION AND BYLAWS OF ST. PIUS X ATHLETIC ASSOCIATION Approved by Executive Committee: 9/11/12 ARTICLE I NAME: The name of this organization shall be the St. Pius X Athletic Association (hereinafter "Athletic Association"). ARTICLE II MISSION STATEMENT: The mission of the Athletic Association is to develop, administer, and oversee various youth sports programs (hereinafter "Programs" or "Sport") for members of St. Pius X parish and, in some instances, other youth as allowed pursuant to these Bylaws. It is the objective of the Athletic Association to engrain in the participants of its Programs the ideals of good sportsmanship, honesty, loyalty, and respect for authority. Most importantly, the Athletic Association shall always strive to encourage its participants to excel in its Programs while also always acting in a Christian manner. In furtherance of this mission, all participants shall offer a team prayer prior to engaging in any match, game, meet or any other form of competition. ARTICLE III MEMBERSHIP: An active parishioner of St. Pius X shall be considered member of the St. Pius X Athletic Association. ARTICLE IV PARTICIPATION: Participation in the Athletic Association's Programs shall be governed by guidelines established by the Program Director for the particular sport and approved by the Executive Committee of the Athletic Association. Participation shall generally be open to students enrolled in St. Pius X School. Youth members of the St. Pius X Parish, that are not students of St Pius School, shall be eligible to participate in sports that do not play in a school league (i.e. baseball and softball). Other youth shall be eligible for participation in the nonschool league Programs of the Athletic Association subject to the approval of the Program Director of the sport, the Executive Board, and the Principal so long as such eligibility is not inconsistent with these Amended Bylaws or the Guidelines for that Program. Eligibility for participation shall also be governed by and in accordance with all policies and eligibility requirements set forth by any league in which the participant plays. ARTICLE V OFFICERS: (1) The Athletic Association shall be governed by an Executive Committee consisting of a President, Vice President, Secretary, Treasurer, and Parliamentarian. Each member of the Executive Committee shall have equal voting power. A simple majority vote is needed to

determine matters governed by the Executive Committee. The Executive Committee shall have sole responsibility for deciding all matters of policy in the Athletic Association. (2) In the event of resignation or death of a member of the Executive Committee, a replacement for the balance of the term shall be made by a vote of the Electorate, as defined in Article VI(3). ARTICLE VI ELECTIONS: (1) At the Athletic Association s May meeting, the Executive Committee shall be elected by the Electorate. The date of the election should be advertised in the Church Bulletin and the School Newsletter at least the 6 weeks leading up to the meeting. The advertisement should seek candidates, as well as notify the Electorate of the date. Nominees shall notify the President of their interest no later than two weeks before the election date. In the event that there are equal or fewer nominees, in relation to expiring terms, for election to the Executive Committee, then no vote shall be required. Each member of the Electorate in attendance at the Regular May Meeting shall have the right to vote for as many nominees as there are expiring terms. Members of the Electorate shall be permitted to vote for themselves if they are a nominee. The Electorate s ballot may remain anonymous. The nominees, in relation to the number of expiring terms, receiving the most total votes shall be elected to the Executive Committee. (2) In the event of a tie between two or more persons for the last spot(s) on the Executive Committee, there shall be a recasting of votes by all members of the Electorate present at the meeting. In the recast of votes, each member of the Electorate shall cast a vote for the same number of nominees who tied for the last spot open. In the event that there is still a tie vote, then the tie shall be broken by the Pastor of St. Pius X Parish (hereinafter Pastor") or a member of St. Pius X Parish Council designated by the Pastor. (3) Immediately following the election of the Executive Committee at the regular May meeting, the newly elected Executive Committee shall attempt to reach a unanimous agreement on which member shall serve in each office. If no unanimous agreement can be reached, then the Executive Committee shall separately elect each officer by a simple majority vote. (4) Terms of office for all members of the Executive Committee shall be three (3) years. Terms will begin July 1st of their appointed year and cease June 30th of their expiration year. An Executive Committee member may serve consecutive terms, but must go through the election process after his/her initial term expired. An Executive Committee member may serve no longer than six (6) years consecutively. The Executive Committee should strive to stagger terms so that no more than 3 Executive Committee members term expire at the same time. (5) The Electorate shall consist of the members of the Executive Committee, the Program Directors as defined by Article XII (4), and the Assistant Program Directors during the current year. Each Program Director will select only one of his/her assistants to partake in the Electorate. The Program Directors shall provide a list of assistant directors eligible to vote to the President by the March 1 st before the election date.

ARTICLE VII MEETINGS: (1) The Regular Meetings of the Athletic Association shall be conducted once a month when there is no Parish Town Hall meeting for that month. The Regular Meetings shall, whenever possible, be held on the second Monday of the month in question. Special Meetings may be called at any other time, as decided by a simple majority of the Executive Committee. Only the Executive Committee members shall attend the Athletic Association section of the Parish quarterly Town Hall meetings, unless the Executive Committee agrees otherwise on certain occasions to allow a visitor or Program Director. (2) Special meetings may be called and action may be taken by means of electronic mail when necessary due to the availability of the Executive Committee members or where circumstances require immediate action or decision making by the Executive Committee. (3) Agenda The Agenda for all Regular and Special Meetings shall be established by the President. Any member of the Executive Committee shall have the power to require that an item be placed on any meeting Agenda by providing written notice of said item to be discussed and/or decided to the President at least fortyeight hours prior to said meeting. Additional items may be added to a meeting Agenda during the course of a meeting if approved by a simple majority of the Executive Committee. (4) All Regular Meetings shall be open for attendance by any Member of the Athletic Association. ARTICLE VIII QUORUMS: (1) A majority of the Executive Board of the Athletic Association shall constitute a quorum for the Board. A quorum at a Regular Meeting or Special Meeting is necessary for the Executive Committee to take action. (2) A majority of the Electorate shall constitute a quorum for the purpose of electing the Executive Committee at the Regular Meeting in May. ARTICLE IX AMENDMENTS: The Constitution or ByLaws may be amended by the Executive Committee by a twothirds (2/3) majority vote cast at any regular monthly meeting. Proposed amendments must have been presented in writing and read at the previous meeting. ARTICLE X FINANCES: (1) The Executive Committee of the Athletic Association shall designate the financial institution in which all funds of the Athletic Association shall be deposited. The Treasurer shall be responsible for maintenance of all finances of the Athletic Association.

(2) The Athletic Association shall at all times maintain a checking account and may also maintain other accounts, including savings accounts, in the discretion of the Treasurer. The designated financial institution may be changed at any time by a simple majority vote of the Executive Committee. (3) No such funds shall be deposited in any other account either established in the name of the Athletic Association or any of its committees or in the account of any private individual. (4) All expenses of the Athletic Association which are in the ordinary course of business or less than $500.00 for any single transaction shall be paid by the Treasurer without the need for approval by the Executive Committee. Approval by a simple majority of the Executive Committee shall be required prior to an incurrence or payment of any expense over $500.00, unless said payment or expense is in the ordinary course of business. ARTICLE XI DUTIES OF OFFICERS: (1) The President shall: a. Preside at all meetings of the Executive Committee; b. Attend to the day to day activities and business of the Athletic Association; and c. Appoint committee chairpersons for special events and activities. (2) The Vice President shall: a. Perform all duties of the President in his or her absence; b. Maintain the gym schedule. This duty may be delegated to a designee approved by a simple majority of the Executive Committee. (3) The Secretary shall: a. Keep minutes of all meetings of the Executive Committee; b. Maintain records of all actions taken and policies set by the Executive Committee; and c. Serve as the custodian of the Constitution and Bylaws of the Athletic Association.

(4) The Treasurer shall be custodian of all funds. All checks drawn on the organization shall be signed by the Treasurer and the President for disbursement of funds. The Treasurer shall keep accurate records of all financial transactions and shall make quarterly reports. (5) The Parliamentarian shall publish notice of all meeting to be held by the Executive Committee. Publication of notice of meetings may include, but shall not be limited to, notices issued in the weekly bulletin of St. Pius X Parish, the Pawprints or other newsletters issued by St. Pius X School, postings on the St. Pius X Parish website, and electronic mail. ARTICLE XII PROGRAM DIRECTORS: (1) There shall be a Program Director for each individual Program established and administered by the Athletic Association. Program Directors may, in his/her discretion, appoint additional persons to serve as assistants or on committees to assist in the administration of their Program. (2) The Program Director shall establish guidelines. (3) The Program Directors shall be nominated by the President and approved by a simple majority of the Executive Committee. (4) As of the adoption of this Amended Constitution and Bylaws, the Program Directors are as follows: a) Girls Volleyball b) Girls Volleyball3 rd Grade League c) Girls Volleyball5 th Grade League d) Boys Volleyball e) Girls Basketball f) Girls Basketball5 th Grade League g) Boys Basketball h) Basketball Tournament i) Boys Baseball/Instructional j) Girls Softball k) Golf l) Field Coordinator m) Gym Coordinator (5) As specified in Article V (2), each Program Director shall be a member of the Electorate. (6) Program Directors may be added or eliminated only upon amendment of these Bylaws in accordance with Article VIII. (7) No member of the Executive Committee shall serve as a Program Director at the same time that he/she serves as a member of the Executive Committee.

(8) All Program Directors are required to attend 3 Regular Meetings throughout the year: one before the beginning of their season, one after the end of their season, and the May election date. ARTICLE XIII RULES: (1) Waiver cards must be signed by the parents or legal guardian of each child participating in any Program sponsored by the Athletic Association. (2) All the teams sponsored by the Athletic Association will be uniformed in a standardized manner using the School colors whenever possible, and having the words "St. Pius X" or "St. Pius" plainly in sight on their uniforms. (3) Individuals or organizations desiring to purchase equipment or uniforms with their own money must have said equipment or uniforms approved by the Program Director for that particular sport. (4) All coaches, assistant coaches, and managers of teams are under direct supervision of the Program Director for that particular sport. The Executive Committee has ultimate control over all matters governed by any Program Director. ARTICLE XIV CODE OF ETHICS: (1) Any coach, assistant coach, or manager who knowingly plays an ineligible player, or who, by his words, deeds, or actions in any manner, detrimentally affects the St. Pius X Parish or the Athletic Association, shall be reprimanded in a manner determined by the Executive Committee. (2) Coaches shall have the responsibility of informing the participants of the rules and regulations of the St. Pius X Athletic Association. (3) Players and their parents shall be responsible to know, understand, and follow the rules and regulations of the Athletic Association. ARTICLE XV VIRTUS All members of the Executive Committee, Program Directors, coaches, and assistant coaches, and any other member or agent of the Athletic Association who comes into contact with children shall maintain compliance with Virtus/Protecting God's Children and any other such requirements imposed by the Diocese of Covington or St. Pius X Parish.
