Judge Jan Roe called the meeting to order at 1:00pm. 2. Judge Jan Roe led the invocation and the pledges of allegiance. 3. Mr. Tom Wilkinson introduced the guests. 4. Consideration was given for approval of the minutes from the October 13, 2010 Board of Directors Meeting of the Brazos Valley Council of Governments. Commissioner Phillip Grisham made a motion to approve the minutes as presented and Judge Art Henson seconded the motion. The motion carried and the Minutes of the October 13, 2010 BVCOG Board of Directors meeting were approved. 5. Consideration was given for approval of the BVCOG Financial Report for September 2010. John Jackson presented the financial report. Judge Mike Sutherland made a motion to approve the financial report and Mayor Mackie Bobo seconded the motion. The motion carried and the BVCOG Financial Report for September 2010 was approved. 6. Executive Directors Report: 6a. Discussion of Legislative Issues We may still try to get state representatives to come before legislative session starts. 6b. TexHealth multi-share health update We have about six businesses enrolled in the program. We are in a difficult economy and a lot of employers are resisting paying out any more money

Consent Agenda Minutes 11/10/10 Page 3 of 5 for any reason, including a health benefit. We have a great partnership with St. Joseph. 6c. TARC Annual Meeting Report Mr. Wilkinson has submitted a request to Penny Redington to get a copy of the TARC annual work program and budget and also to include in the next Executive Director s meeting a discussion in regard to the future direction of TARC. 6d. Education Committee report The education committee met on Monday and representatives from the Region VI ESC and Barbara Bush Parent Center were present. 6e. Workforce Solutions Center Update and plans We cancelled contract with prior provider for the workforce center. We have an interim independent contractor, and Philip Beard is the new center manager. September unemployment numbers are down a little in all of the counties in our region. 6f. Report and update on regional broadband opportunities There is one last bit of money for broadband Federal Communications Commission has $300 million specifically for rural areas for health care access. Mr. Wilkinson met with A&M this morning and they are part of a network called THINC that has indicated they plan to apply for the same grant. We may be able to apply for this grant either through Brazos 2020 vision, or in a partnership with the THINC network. 7. TRACS Reviews: Regular Agenda 7a. TX-R-20101021-0003-13 Brazos Valley RSVP Steve Miller reported for the TRACS committee and made a motion to recommend approval for Brazos Valley RSVP s grant application for TRAC review and Judge Mike Sutherland seconded the motion. The motion carried and all items for TRACS review were recommended for approval. 8. Consideration was given for approval of a resolution amending Articles IV, V, and XIII in the bylaws of the Regional Solid Waste Advisory Committee Candilyn McLean explained the changes to the bylaws as outlined. Judge Dorothy Morgan made a motion to approve this resolution and Judge Mike Sutherland seconded the motion. The motion carried and a resolution amending Articles IV, V, and XIII in the bylaws of the Regional Solid Waste Advisory Committee was approved.

Consideration was given for approval of a resolution authorizing the adoption of the SEMAP Certification for the Housing Choice Voucher Program Judson Brown explained that the scores of the housing program have been high enough to be considered a high-performing program, which is a great achievement. Commissioner Phillip Grisham made a motion to approve the resolution and Judge Art Henson seconded the motion. The motion carried and a resolution adopting the SEMAP Certification for the Housing Choice Voucher Program was approved. 10. Consideration was given for approval and authorization of a loan of up to $160,000 to Brazos 2020 vision to pursue FCC grant for regional connectivity As discussed in Executive Director s report, there is money available to apply for through the Federal Communications Commission (FCC) for rural health care connectivity. Approval of this loan would enable us to hire consultants to help us in applying for the grant that will be due in July/August 2011. Mayor Nancy Berry made a motion to approve the allocation out of the fund balance for the purpose of hiring a consultant to help us apply for this grant, and Mayor Mackie Bobo seconded the motion. The motion carried and a loan of up to $160,000 to Brazos 2020 was approved. 11. Consideration was given for approval of the BVCOG Regional Homeland Security Strategic Plan for 2011 Linda McGuill presented the BVCOG Regional Homeland Security Strategic Plan for 2011 and passed around copies for review. This plan requires annual updates. Commissioner Dean Player made a motion to approve the BVCOG Regional Homeland Security Strategic Plan for 2011 and Commissioner Pam Finke seconded the motion. The motion carried and the BVCOG Regional Homeland Security Strategic Plan for 2011 was approved. 12. Consideration was given for approval authorizing the Executive Director to execute a contract to complete a regional communications study for BVCOG for an amount in excess of $25,000. Linda McGuill explained that this study will update the Regional Interoperable Communications Plan. The state has suggested that a contractor be hired off of a cooperative purchasing contract to complete the study. The contract will be approximately $100,000 - $110,000 and the funds are provided by the state for this purpose. Judge Art Henson made a motion to authorize the Executive Director to execute a contract in excess of $25,000 to complete a regional communications study and Judge Mike Sutherland seconded the motion. The motion carried and the Executive Director is authorized to execute a contract to complete a regional communications study for BVCOG for an amount in excess of $25,000.

13. Discussion and possible action regarding modification and/or clarification of Method of Distribution for Hurricane Ike funds Minutes 11/10/10 Page 5 of 5 Judge Jan Roe explained that some projects may have come in over or under budget and we need to determine whether or not the funds over can be used to fund the projects that were under budgeted within each county or how the monies should be distributed in the case of leftovers. Mayor Mackie Bobo made a motion to modify the Method of Distribution for Hurricane Ike Funds to allow any excess funds to be applied to an approved, under budgeted project within the same county; and then any amount in excess of that will be sent back to the COG for redistribution to another approved project that may be under budgeted or unfunded. Mayor Milton Tate seconded the motion and the motion carried. 14. Introduction of DSHS new medical director Lisa Cornelius, MD, MPH Dr. Lisa Cornelius has replaced Tom Betz as medical director for DSHS Region VII. 15.
