WALKER HOMESITES ATHLETIC CLUB CONSTITUTION AMENDED OCTOBER 4, 2017 The name of this organization shall be the Walker Homesites Athletic Club, hereafter referred to as the Association or W.H.A.C. AIMS AND OBJECTIVES a) To foster and improve baseball in Windsor and the surrounding area as set out by the O.B.A. & S.P.B.A. when W.H.A.C. was granted Affiliate status with the O.B.A. & S.P.B.A. To teach the participants the proper skills required to play the sport. b) To teach good sportsmanship through the medium of competitive play. c) To develop a positive attitude toward sportsmanship in regard to both winning and losing. d) To help develop the habits and attitudes in youth that are associated with responsible behaviour through counsel and example. e) To protect and promote the mutual interests of the members. f) To institute and regulate competition for determining representatives to the Ontario Baseball Association Playoffs. MEMBERSHIP a) Membership in this Association shall be composed of such, baseball coaches, volunteers and parents who shall agree to abide by and comply with this constitution, by-laws and rules, and shall be known as Members-Non-Voting. b) The Association shall have the power to accept or not accept individual volunteers and or coaches. ELIGIBILITY All players and teams must be eligible according to the rules set down under the Ontario Baseball Association and the S.P.B.A. & W.H.A.C. constitution and Bylaws V. OFFICERS Executive Officers and Director a) The Executive Officers of the W.H.A.C. shall be the President, 1st Vice-president, 2nd Vice-President, Treasurer, Sergeant-of-arms, Registrar and Secretary. b) The Directors of the Association shall be Umpire-in-Chief, Equipment Manager, Uniform Manager, Fund Raising Manager, House league Convenor and a Team Representative from each Team at W.H.A.C. In addition, the President may appoint additional individuals as Directors to head special committees. These appointments are subject to ratification by the Executive of the W.H.A.C. Board. (i.e. Scholarship, Convention, Boundaries or Events are possible areas where a special committee could be needed) c) For 3 meetings prior to the Annual meeting nominations for the Executive positions shall be made for the expiring positions by all members in good standing. d) The elected Executive shall constitute an Executive Committee. e) Any elected Executive who fails to attend three General Meeting in a fiscal year without reasons that in the opinion of the Board of Directors are satisfactory shall have automatically tendered their resignation. The board of Directors shall then take steps to replace the opening.

TERM OF OFFICE The term of office of the Executive Officers shall be as followed 2 year for President, 2nd Vice-president and Treasure, 1 year for 1st Vice-president, Registrar, Secretary and Sergeant-of-arms. With the Annual Meetings being held the First Wednesday of October of each year. The Executive whom term is expired shall be elected at the Annual Meeting. Nominations shall commence 3 weeks prior to annual meeting. EXECUTIVE MEETINGS Executive Meetings shall be called once a month at the discretion of the President and the first meeting shall be called within four weeks after the Annual Meeting. The Executive Committee may have the right to vote and pass all business related items necessary to keep the club running. They must then report their actions at a general meeting. GENERAL MEETINGS General Meetings for all Directors will be called at least once a month commencing the month of November following the Annual Meeting. All Directors must attend at least 2/3 of all general meetings to be eligible to vote on all motions brought forward. AMENDMENTS Amendments to the Constitution shall be made only at the Annual Meeting and shall be completed by two-thirds of majority of votes of eligible members in attendance. The Secretary must receive amendments to the Constitution in writing seven (7) days prior to the Annual Meeting. Amendments to the By-laws shall be made at regularly held meetings, (2/3) two-thirds majority of votes required of eligible members in attendance and each member association shall receive written notice within seven (7) days prior. NOTE: Once a matter has been brought before the general membership and voted on, whether it is defeated or passed it shall not be brought before the general membership again for a period not less than one year from the presentation date. X. GENERAL The Constitution and By-laws of this Association as shown in this book are intended as a general guide and cannot specifically cover each situation that may arise. Therefore, the President in Regular or Special Meetings with a quorum of the Board will have the authority to interpret and decide to the best of their judgment with regard to all these circumstances or any specific case, any matter pertaining to any and all clauses contained herein and that their decision shall be final. BY-LAWS: I. The Annual Meeting shall be held the first Wednesday of October in each year. It shall include: a) Minutes from the last Annual Meeting. b) Reports from all Executive Officers. c) Amendments proposed to the Constitution. d) The election results of the Executive Committee. e) The appointment of representatives to the Ontario Baseball Association and Sun Parlor Baseball Association and WHAC. f) Any other business the Executive Committee feels to be of interest to the membership. II. Executive meetings shall be held at least once a month. The time and place is to be set by the Executive Committee.
Page 3 of 5 III. IV. A Quorum for all Executive Meetings shall be at least 2/3 Of the Executive QUORUM Committee Officers. A Quorum for all General and Annual Meetings shall be those members present which number 2/3 or more. METHOD OF ELECTION a) Election shall be done by Democratic policies. b) The voting shall be done by secret ballot only. c) All officers to be elected must be present or have sent written consent to the Annual Meeting. V. All teams in our Association playing in any organized league shall play under Ontario Baseball Association and S.P.B.A. rules and W.H.A.C. constitution and By-laws, unless the Board grants special permission. NOTE: These requests are considered on an individual team basis. VI. VII. VIII. IX. FINANCIAL OBLIGATIONS a) Entry Fees: Entry fees for S.P.B.A. and O.B.A. as per those Associations and S.P.B.A. to continue to cover the cost to the Associations of any increase above the $100.00 total of S.P.B.A. and O.B.A. as yearly finances permit. b) Fines: Any S.P.B.A. or O.B.A. fines outstanding must be paid immediately to S.P.B.A. c) Insurance: All insurance must be paid to S.P.B.A. on or before the date advised by the S.P.B.A. d) Penalty: Any teams not fulfilling their financial commitment will be suspended until their fees, insurance, or fines are paid in full to S.P.B.A. CLASSIFICATION a) All W.H.A.C Travel coaches or a representative must attend the Sun Parlour Classification Meeting (held at least seven (7) days prior to the O.B.A. Classification Meeting) to give Sun Parlour their team's league and tournament records. Not submitting this information will result in the highest classification allowed. b) The final classification will be determined at the Sun Parlour General Meeting attended by the Directors and Convenors. c) Teams will be classified on merit and ability. CONVENORS. A Convenor will be appointed by the W.H.A.C. Executive Committee for our Rookie Ball, Mosquito, Pee Wee, Bantam and Midget Divisions to settle any matters over canceled or rescheduled games and other concerns of the particular division. Appeals of convenors decisions shall be made to the Executive Committee. One would also be appointed for the Houseleague teams of WHAC. PLAYER ELIGIBIL1TY All rules which govern eligibility, team eligibility and Association eligibility will be those set down by the O.B.A. and S.P.B.A. Constitution and by-laws. X. a) Teams not furnishing a roster of nine players by the approved deadline shall not play unless authorized by the W.H.A.C. Executive. XI. PLAYER AND TEAM CERTIFICATES a) The team rosters and team entry forms must be delivered to the Registrar of the Association prior to June 30th of each year for team and player eligible. All teams must have a minimum roster of 9 players to the Sun Parlour Registrar by May 31st each year.

CHAMPIONSHIP ELIGIBILITY Shall be based on the Official Rules of Baseball and any Special Playing Rules set out by the O.B.A., Sun Parlour Association and the W.H.A.C. (Additional rules that the W.H.A.C. has endorsed for league play). SUSPENSIONS OR EXPULSIONS Any Member of this Association violating the constitution or by-laws on refusing to abide by the decision of a General Meeting may be expelled or suspended until the Annual Meeting. No decision shall be final until passed by two-thirds majority vote of the members attending the Annual Meeting. Officer or Player may be suspended or fined by the Executive for knowingly: i) Permitting betting or improper conduct by players or officers at W.H.A.C. games. ii) Offering, agreeing, conspiring or attempting to lose an Association game, or being interested in any pool or wager within. iii) Playing with a Club or Association that has been suspended or expelled or disapproved by the S.P.B.A. or O.B.A. iv) Permitting the consumption of alcohol or drugs by players, officers or team personnel at Association games. v) Having on their list of signed players a disqualified player. vi) Breaking other rules as set down by the O.B.A. Constitution or by-laws or S.P.B.A. for suspensions and expulsions. vii) Not notifying the S.P.B.A. Secretary by April of each year the name, address, telephone/fax number of that years Affiliate Representative. RULES INTERPRETATION The Executive Committee shall act as a tribunal for the interpretation of playing rules during regular season play. The tribunal shall render a decision or cause a hearing to be called within twenty-four (24) hours of receiving an official notice. The decision of the tribunal shall be final. In the event of playoff games, no game shall be played until a decision of the tribunal has been reached. NOTE: Nothing prevents the tribunal from determining a decision without a hearing should it be in the best interest of Homesites play. Every by-law from this date shall show a by-law number and year. (This by-law shall be now referred to as By-Law XVI-2017 of W.H.A.C.) WALKER HOMESITES SELECT TEAMS b) Team managers for select teams to be decided by May 15th. If there are two teams, the 1st team has to make final cuts by August 15th. c) If any coach disallows his players from trying out for any Homesites Select Team, he/she may face disciplinary actions. WALKER HOMESITES LEAGUE RULES All Walker Homesites games shall be played under the Official Rules of Baseball and any Special Playing Rules set out by the O.B.A., Sun Parlour Association and the W.H.A.C. Additional rules that the W.H.A.C. has endorsed for league play). After Sun Parlour Playoffs, the responsibility for notification of Post Season play is the responsibility of O.B.A. designated convenors. FUNDRAISING a) All fundraising activities must be approved by the Director of Fundraising. b) All necessary Forms (as designated by the Director of Fundraising) must be submitted by the WHAC Team requesting authority to fundraise.

XXIII. c) The request for fundraising must include details of the fundraising method and goal. d) Fundraising or sponsorship by any entity operating as a producer/supplier/ server of alcohol is disallowed. CLINICS Any Association wishing to host an Umpire's and/or Coaches Clinic shall apply through S.P.B.A. and may request from S.P.B.A. to cover the cost of the clinic. Approval will continue to rest with the Executive of S.P.B.A. and/or the O.B.A. WHAC will recognize WHAC Woman s Auxiliary as part of this constitution but as a separate body to this league. SOCIAL MEDIA a) WHAC has a zero tolerance policy for inappropriate* use of social media. Social media is defined as Twitter, Facebook, email, or any similar medium which can be transmitted to a singular or multiple parties. b) Any Executive Member/Manager/Coach/Player violating this policy will be disciplined on a per case basis by the W.H.A.C. Executive (or the Executive less the Executive Member involved). c) Executive/Directors/Coaches/Managers/Players/Umpires are not to make what can be construed as official club or league statements without permission. d) *Inappropriate use of Social Media by W.H.A.C. Members includes but not limited to: a. Discriminatory comments relating to race, sex, religion or any other form of hate language. b. Harassment or threats of violence. c. Sexually explicit material. d. Anything otherwise illegal.
