1. The Club shall be known as the. 2. The Club colours shall be green and gold. 3. The objects of the Club are to provide facilities for and promote participation of the whole community in the sport of cricket. 4. There shall be two categories of membership: (i) Playing (ii) Social 5. Membership of the Club shall be open to all persons irrespective of ethnicity, nationality, sexual orientation, religion or beliefs; or of age, sex or disability except as necessary consequence of the requirements of cricket as a particular sport. Until election no person shall be entitled to any privileges of the Club. 6. Candidates for membership shall be elected by the Committee and admittance shall be on a simple majority. The Committee may refuse membership or expel from membership only for good and sufficient cause, such as conduct or character likely to bring the Club or sport into disrepute. Appeal against such a dispute may be made to the Clubs members. 7. The Selection Committee, comprising of Honorary Match and Fixture Secretary, First and Second XI captains elected at the AGM shall select the cricket teams. Such selection shall be made at a private meeting of the Selection Committee, and no other person shall be entitled to attend unless specifically invited. 8. The management of the shall be carried out by a Management Committee, consisting of the Chairman, Honorary Secretary, Honorary Treasurer, Honorary Match and Fixture Secretary, First and Second XI Captains and sufficient other members to make a minimum of 10 and a maximum of 14 in all. 9. The Management Committee shall be elected annually at an Annual General Meeting. All elected members shall retire annually but will be eligible for re-election. Page 1

a. There shall be a President of the Club who shall be elected at an Annual General Meeting. The President shall hold office until death or resignation or until removed from office by a resolution of the Committee. b. The officers of the Club shall consist of all members of the Management Committee, together with the President and the Honorary Auditor. c. One member of the Management Committee shall also act as the Club Welfare Officer having previously attended the relevant child protection courses in line with regulations laid down by the England and Wales Cricket Board. Contact details of the CWO shall be displayed in the clubhouse and with the County Welfare Officer. 10. The Committee shall have power at any time and from time to time to fill any casual vacancy among the Officers and Committee, they may also co-opt onto the Committee anyone (Member or New Member) who they believe that serving on the Committee would benefit the running of the Club, any Officer or Member of the Committee so appointed shall hold office only until the next following Annual General Meeting. 11. Every Member shall pay on being admitted to the Club an annual subscription which shall be due on the 1 st day of June in each year. Such subscriptions shall be deemed to be a debt due to the Treasurer of the Club for the time being. Also, there shall be a levy payable by each player in official matches; the amount to be determined annually at a general meeting. 12. No person shall at any time be entitled to receive at the expense of the Club or of any member thereof, any commission percentage or similar payment on or with reference to purchase of intoxicating liquor by the Club, nor shall any person directly or indirectly derive any pecuniary benefit from the supply of intoxicating liquor by or on behalf of the Club to members or guests apart from any benefit accruing to the Club as a whole, and apart also from any benefit which a person derives indirectly by reason of the supply giving rise to, or contributing to, a general gain from the carrying on of the Club. 13. The purchase for the Club and the supply by the Club of intoxicating liquor shall be in the absolute discretion of a sub-committee of not less than 5 members being members of the Management Committee and appointed by that Committee for that purpose. In the event of any member for any reason ceasing to be a member of the Management Committee, he shall automatically cease to be a member of the subcommittee and another member of the Management Committee shall be appointed in his place. Such sub-committee shall in no way be restricted in freedom of purchase. 14. A copy of the rules and names of all Officers and Committee members shall be displayed at the Clubhouse. 15. The income and property of the Club shall be applied solely towards promoting the Clubs objects as set forth in this constitution and no portion thereof shall be paid or transferred, directly or indirectly, to the members of the Club. 16. Full accounts of the financial affairs of the Club duly audited by the auditors will be available for perusal by the Club members 14 days prior to the Spring General Meeting. 17. If any member shall fail to pay his subscription within 14 days after it has become due, the Treasurer shall send him a notice in writing to his address as recorded in the books of the Club calling upon him to pay the same within 7 days. If he shall fail to pay his subscription the Committee shall be entitled to terminate his membership without further notice. 18. There shall be not more than 4 Trustees of the Club. The first Trustees shall be appointed by the Committee and the property of the Club (other than cash which shall be under the control of the Treasurer) shall be vested in them to be dealt with by them as the Committee shall from time to time direct by resolutions (of which an entry in the minute book shall be conclusive evidence). The Trustees shall be indemnified against risk and expense out of the Club property. The Trustees shall hold office until death or resignation or until removed from office by a resolution of the Committee who may for any reason which may seem sufficient to a majority of them present and voting at any meetings remove any Trustee or Trustees from the office of Trustees. Whereby reason of any such death, resignation or removal it shall appear necessary to the Committee that a new Trustee or Trustees shall be appointed Page 3

or if the Committee shall deem it expedient to appoint an additional Trustee or additional Trustees the Committee shall by resolution nominate the person or persons to be appointed the new Trustee or Trustees. For the purpose of giving effect to such nomination the President is hereby nominated as the person to appoint new Trustees of the Club within the meaning of Section 36 of the Trustees Act 1925 and he shall by deeds duly appoint the person or persons so nominated by the Committee as the new Trustee or Trustees of the Club and the provisions of the Trustee Act 1925 shall apply to any such appointment. Any statement of fact in any such deed of appointment shall in favour of a person dealing with bona fide and for value with the Club or Committee be conclusive evidence of the fact so stated. 19. If at any time the Club in general meeting shall pass a resolution authorising the Committee to borrow money the Committee shall thereupon be empowered to borrow for the purpose of the Club such amount of money either at one time or from time to time and at such rate of interest and in such form and manner and upon such security as shall be specified in such resolution and thereupon the Trustees shall at the discretion of the Committee make all such dispositions of the Club property or any part thereof and enter into such agreements in relation thereto as the Committee may deem proper for giving security for such loans and interest. All members of the Club whether voting on such resolutions or not and all persons becoming members of the Club after the passing of such resolution shall be deemed to have assented to the same as if they had voted in favour of such resolution. 20. A General Meeting of the Club shall be held in the months of October and March in each year and fifteen months shall not elapse without a General Meeting. At the October General Meeting the following business shall be conducted: (i) The election of the Officers and Committee. (ii) Such other business as shall have been communicated to the Secretary and included in the notice of the meeting sent by him to the members. At the March General Meeting the following business shall be conducted: Page 4

(i) The presentation and (if accepted) the passing of the accounts for the previous financial year ended on the 31 st day of December prior to the meeting which accounts shall first have been audited by the Clubs auditors. (ii) The rate of subscription and match fees as detailed in Rule No. 11. (iii) Such other business as shall have been communicated to the Secretary and included in the notice of the meeting sent by him to the members. 21. An extraordinary meeting may be convened at any time and shall be convened with 21 days notice on the requisition of one fifth of the members of the Club for the time being or 30 members whichever is the fewer. Such requisition must state the purpose for which the meeting is required. 22. The Secretary shall at least 14 days before any general meeting inform every member as recorded in the Clubs books notice of the meeting stating the time and place where it will be held and the business to be conducted. 23. The business at the general meeting shall be limited to that provided by the rules and those further matters set out in the notice of convening of the meeting. The quorum at any general meeting shall be 11. 24. At all meetings of the Club, each member shall be allowed one vote. At the Annual General Meeting elections of Captains and Vice Captains shall be made by cricket playing members only. 25. The Chairman of the Club shall preside at all meetings of the Club but if he shall not be present within 15 minutes after the time appointed for the meeting or has signified his inability to be present at the meeting, the members present shall choose one of their number to be Chairman of the meeting. 26. The Committee shall have the power to expel any member who shall offend against the rules of the Club or whose conduct shall in the opinion of the Committee render him unfit for membership of the Club. Before any such member is expelled the Secretary shall give him 7 days written notice to attend a meeting of the Committee and shall inform him of the complaints made against him. No member shall be expelled without first having an opportunity of appearing before the Committee and answering complaints made against him or unless at least two thirds of the Page 5

Committee then present vote in favour of his expulsion. Any member shall have the right of appeal at the next General Meeting. 27. Any member shall be entitled to introduce two guests to the Club excluding his/her spouse provided that no person whose application for membership has been declined or who has been expelled from the Club shall be introduced as a guest. The member and guest shall sign their names and addresses in a book kept for that purpose at the Clubhouse. No guest shall be permitted to purchase intoxicating liquor in the Club. Members of the Committee are empowered to introduce as honorary members for the day on which a match or other sporting or social activity or function takes place including visiting teams. These honorary members will not be allowed to sign in guests. 28. The Club shall be open between such hours as the Committee may resolve, and the Secretary shall keep posted at the Club a notice setting out such hours. 29. The permitted hours for the supply of intoxicating liquor shall be determined by the Committee from time to time and the Secretary shall keep posted at the Club notice of such hours. In addition, the Secretary will notify the Clerk to the Licensing Justices and the Chief Officer of Police for the area of these hours, and no change in the permitted hours shall come into effect until at least 28 days have expired from the date on which notice is given aforesaid. 30. No alterations or addition or amendment to these rules shall be made except by a resolution carried by a majority of at least two thirds of the members present at a General Meeting the notice of which shall have contained particulars of the proposed alteration or addition. The Secretary shall as soon as possible, and in any event within 28 days of the making of any such alteration or addition or amendment, give written notice to the Chief Officer of Police and to the Clerk of the Local Authority for the district in which the Club is situate. 31. The provisions of the Licensing Act 1964 and in particular the seventh schedule thereto, shall be and the same are hereby incorporated into these rules and in so far as these rules are inconsistent with any provision of the said Act, then the provisions of the said Act shall prevail. (a) No sale or supply of intoxicating liquor will be made to any person under 18 years of age. (b) Sales of intoxicating shall be allowed under Section 49 of the Licensing Act 1964, subject to the conditions as set out in the Registration Certificate. 32. The Honorary Treasurer shall keep the accounts and moneys of the Club and shall be answerable to the General Committee for them. He shall produce a statement of accounts and balance sheet at 31 st December annually. 33. The Honorary Secretary shall keep documents, minutes and correspondence relating to the Club and be answerable to the General Committee for them. 34. The Honorary Match and Fixture Secretary shall arrange fixtures for the forthcoming season, act as Chairman of the Selection Committee and notify players selected for matches. 35. The Fire Prevention Officer or his representatives shall be permitted to inspect the premises at all reasonable times. 36. If, at any meeting, a resolution for the dissolution of the Club shall be passed by a majority of, at least, three quarters of the members present and that at a meeting (general) held not less than 6 weeks thereafter (of which not less than 4 weeks written notice shall have been given to each member, at which no less than 25% of the membership are present) then that resolution shall be confirmed by a resolution passed by a majority of at least three quarters of the members voting thereon, the existing Committee shall thereupon or on such future date as shall be specified in such resolution or as soon as possible thereafter proceed to realise the property of the Club and after discharging all liabilities, the remaining assets shall not be paid to or distributed among the members of the Club, but shall be given or transferred to one or more of the following approved sporting or charitable bodies: (i) A registered charitable organisation (ii) Another Club that is registered as a Community Amateur Sports Club (iii) The England and Wales Cricket Board for use by them for related community sports Page 7

37. All members are bound by these rules, together with the laws of the game of Cricket. 38. Words contained in this Constitution relating to the masculine gender include the feminine gender. 39. To ensure a duty of care to all members of the club by adopting and implementing the ECB Safe Hands Cricket s Policy for Safeguarding Children and any future versions of the Policy. 40. To ensure a duty of care to all members of the club by adopting and implementing the ECB Cricket Equity Policy and any future versions of the Policy. Page 8
