MINUTES REGULAR MEETING OF THE BOARD OF DIRECTORS THE METROPOLITAN WATER DISTRICT OF SOUTHERN CALIFORNIA JANUARY 10, 2017 50683 The Board of Directors of The Metropolitan Water District of Southern California met in Regular Meeting in the Board Room located in the building at 700 North Alameda Street in the City of Los Angeles, State of California, on Tuesday, January 10, 2017. Chairman Record called the Meeting to order at 12:05 p.m. 50684 The Meeting was opened with an invocation by Alicia Escovedo, Administrative Analyst III, Water System Operations Group. 50685 The Pledge of Allegiance to the Flag was given by Director Linda Ackerman. 50686 Board Secretary Blois administered the roll call. Those responding present were: Directors Abdo, Ackerman, Apodaca, Atwater, Barbre, Beard, Blois, Camacho, Cordero, Dake, Dear, De Jesus, Dick, Faessel, Galleano, Gold, Gray, Hogan, Kurtz, Lefevre, Morris, Murray, Paskett, Peterson, Quinonez, Ramos, Record, Saxod, Treviño, and Wunderlich. Those not responding were: Directors Ballin, Lewinger, Martinez, McKenney, Steiner, Vasquez-Wilson (entered 12:30 p.m.), and Zurita. Board Secretary Blois declared a quorum present.

Minutes 2 January 10, 2017 50687 Chairman Record invited members of the public to address the Board on matters within the Board s jurisdiction. Former Metropolitan board member, Laura Friedman, was introduced as Glendale s New Assembly Member. Mark Cowin, former Director of the Department of Water Resources, was presented with a resolution from Metropolitan. Chairman Record announced the induction of new director Charles M. Treviño, from Upper San Gabriel Valley Municipal Water District. 50688 The General Counsel s letter signed January 5, 2017 was presented, transmitting the credentials evidencing the appointment by Upper San Gabriel Valley Municipal Water District of Charles M. Treviño as its representative on Metropolitan s Board for an indefinite term, replacing Michael Touhey. General Counsel Scully reported the credentials had been examined and found legally sufficient; and that Director Treviño was sworn in on Tuesday, January 10, 2017. Chairman Record ordered the credentials, together with the General Counsel s letter, received and filed. 50689 The Minutes of the Meeting of December 13, 2016, had been mailed to each Director. Director Morris moved, seconded by Director Peterson, that the Board approve the foregoing Minutes. Director Saxod requested that the minutes be amended to note for the record the public comment from Dennis Cushman and the letter dated December 11, 2016 on item 8-7. The motion to approve the Minutes of December 13, 2016, as amended, passed by a vote of 240,558.8 ayes, 10,419.2 abstain, 2,948 absent, and 2,830 not represented. 50690 A written report of events attended by Directors at Metropolitan s expense during the month of November was distributed. 50691 Chairman Record announced that he received nominations from three Directors for the two nonofficer

Chairman Record asked if there were any nominations from the floor. Hearing none, Chairman Record described the procedure in which the election would be conducted. Chairman Record announced he would abstain from the voting. Chairman Record called for the vote on Round 1 for seat 1 as a nonofficer member of the Executive Committee. Treviño, 9,307 votes).(37.35%) Chairman Record announced that after the vote on Round 3, Director Hogan received a majority vote (155,071) and has been elected to a nonofficer position on the Executive Committee. 50692 Chairman Record referred to his written monthly report which was distributed to the Board. Director Morris was presented with a resolution as recognition for his years of service as Board Secretary. Chairman Record deferred committee assignments. Committee Chairs and Vice Chairs were acknowledged for their service with a paperweight manufactured by District forces at the La Verne Facility s Manufacturing Services Unit. The staff involved included: Silvia Perez, Unit Manager, Naushad Aurangzeb, Planning Team Manager, Ricardo Aguilar, Shop Team Manager, Adam Woods O&M Tech., and Geraldine Walters, Board Support.

Minutes 7 January 10, 2017 50693 Regarding matters relating to Metropolitan's operations and activities, General Manager Kightlinger referred to the General Manager s activity report for December dated December 31, 2016. General Manager Kightlinger announced the interim assignment of Octavia Tucker as the Board Executive Secretary. General Manager Kightlinger reported that a copy of the 2016 Annual Report has been provided to each of the Directors. General Manager Kightlinger reported that a copy of A Day In the Life has been provided to each of the Directors. External Affairs conducted a contest receiving pictures from employees and compiled this representation of a single day at Metropolitan into a calendar.
