Constitution and By-Laws of Twin Valley Soccer Club Inc. Article I Name The name of this organization shall be the Twin Valley Soccer Club. (Hereafter referred to as TVSC). Article II Purpose The purpose of the TVSC shall be to promote and foster the game of soccer on the youth level in the territory known as Central Pennsylvania. Article III Headquarters The headquarters of this Club shall be within its playing boundaries. Article IV Membership Membership shall consist of players who register with TVSC, coaches, and administrators in good standing with this association. Membership will not be restricted be virtue of race, sex, creed, religion, national origin or ethnic group. Article V Organization The Executive Board shall be elected, by secret ballot at the Annual General Meeting (AGM) All Executive Board Members shall serve a one-year term. Page 1 Revised 1/28/2012
The Executive Board shall consist of President, Vice President, Registrar, Secretary, Treasurer, Insurance Coordinator, Sponsor Coordinator, Field and Equipment Coordinator, and Referee Coordinator. In addition, no more than one member of an immediate family may hold a board position at the same time. The board of Directors shall serve without salary for their services. Any Board of Director member may be reimbursed for expenses approved by the Board of Directors. Expulsion: By a vote of 75% of active or current members of the Board of Twin Valley Soccer Club, the "Club" may remove any club member or board member. Failure of any member to continuously meet the membership requirements of the club shall be sufficient cause for removal. Executive Board Resignation: In the event of an Executive Board member resigning, the President is empowered to appoint a replacement, which is subject to Executive Board approval. The replacement shall fulfill the responsibilities of the replaced Board Member until the following AGM elections. The President, with the approval of the Executive Board, shall be permitted to establish any committees as shall be deemed necessary on an ad hoc basis. Article VI Duties The Executive Board is responsible for administering Club matters and for enforcing the Constitution and By-Laws. The Board may enact any and all reasonable regulations, policies, guidelines, and directives necessary to carry out said responsibilities. Actions by the Board include, but are not limited to, establishing deadlines and fees, establishing and assessing fines and other penalties. The President shall preside at all Board meetings; appoint all committees subject to approval by the Board; enforce the Constitution and By-Laws and such Rules and Regulations which have been enacted by the Board; Supervise the affairs of the Club, sign all warrants for payment of monies with the Treasurer when same have been duly authorized; sign all contracts and documents with the Secretary when same have been duly authorized; and is a ex-officio member of all committees and subcommittees of the Club. The Vice President shall perform all the duties and exercise all the powers of the President during his absence, incapacity or due to a conflict of interest. Page 2 Revised 1/28/2012
The Secretary shall keep a permanent record of all proceedings of the Board; provide a written copy of this record at the following general meeting to attending members; Sign with the President, contracts and other documents of the Club; Prepare the practice and game schedules; Prepare club documents such as Registration forms and Registration letters; Maintain bylaws. The Treasurer and other designated individuals shall deposit all monies in the name of the TVSC at such a place designated by the Board; liquidate all bills against the Club. Report the state of finances at every monthly meeting. Prepare all necessary Tax Forms. Present at club registrations to collect registration fees. The Registrar will maintain all records of player registration and liaise with appropriate bodies to insure this is correctly done. The Registrar may recommend to the Executive Board the appointment of an Assistant Registrar to assist with the registration of players. Present at all club registrations to collect player registration forms. The Insurance Coordinator shall review all insurance policies for the club each year and ensure that the club has proper insurance coverage for all players, coaches and board directors where applicable; shall act as liaison between the club and our insurance provider. The Sponsor Coordinator is responsible for soliciting area businesses and organizations to sponsor TVSC teams during the Spring and Fall seasons; Collect all applicable sponsor forms and fees; Distribute sponsor gifts. The Referee Coordinator shall ensure the club has sufficient referees for all TVSC games; conducts any referee training as needed; is present before all games to ensure referees are prepared and equipped with the necessary referee equipment. Article VII Voting TVSC shall be governed by its Voting Members, each of whom shall be entitled to one vote. The voting members are the players 18 or older, Parents and/or Guardians of players in good standing in the present calendar year, Assistant Coaches, Coaches, and the Board of Directors. No member shall be entitled to more than one vote. Any member will have the right to speak at a general membership meeting. There shall be no vote by proxy. Regular Monthly meeting voting rights: Only TVSC Members in good standing shall have the right to vote at regular monthly meetings. Good standing is defined as having all fees and penalties paid and having attended at least 2 of the last 6 monthly meetings. Page 3 Revised 1/28/2012
Annual General Meeting voting rights: Nominations and elections for the Board shall be held during the Annual General Meeting. All TVSC Voting members shall have the right vote at the AGM regardless of prior meeting attendance. During the Annual Meeting, the following matters shall be voted on: election of the CLUB Board of Directors and Officers; approval of the annual budget; approval of any amendments to the Bylaws that may be proposed; and other issues that may be properly brought before the membership for consideration. Board Member nomination and voting process: Any member in good standing can nominate themselves or another member for a Board position. The process for obtaining nominations and voting for Board positions during the AGM will be conducted as follows. 1. The current President shall conduct the nomination and voting process. 2. Nominations for a board position will be solicited from the members attending the AGM. 3. Once all nominations have been made, a vote for that position will occur if there is more than one nominee. If only one member is nominated that member will be placed in that board position by default or no contest. 4. Board positions will be filled in the following order. a. President b. Vice President c. Secretary d. Treasurer e. Registrar f. Referee Coordinator g. Sponsor Coordinator h. Insurance coordinator Article VIII Meetings Regular Monthly Meetings: The Executive Board and interested TVSC members shall meet once a month, every 2 nd Thursday of the month. For good reason, the Executive Board may change a particular meeting to a different day as long as such change does not cause disruption to the operation of the club. Annual General Meeting: The AGM shall be held during the last quarter of the calendar year, at a time and place to be announced no less than two weeks prior to that meeting. Special Meetings: Special Meetings of the members may be called by the President or by a majority of the current Executive Board. Page 4 Revised 1/28/2012
Quorum: A majority of the Executive Board currently in office shall constitute a quorum for the transaction of business at any meeting of TVSC. Article IX Age Requirements The age requirement for Club play shall be in accordance with those established by the TVSC Executive Board. Article X Awards Awards will be determined by the Executive Board on a seasonal basis. Article XI Game Regulations The TVSC shall abide by the laws of the games as set down by the United States Youth Soccer Association (USYSA) and PIAA unless superseded by the TVSC Playing Guidelines and Code of Conduct. Article XII Travel Teams Travel teams can be established based on club interest and at the discretion of the TVSC Board. Page 5 Revised 1/28/2012
