STANDING RULES OKLAHOMA CONGRESS OF PARENTS AND TEACHERS FORWARD The State Bylaws and Standing Rules determine the authority and the procedures of the Oklahoma PTA. The State Bylaws govern the structure, policies and relationship of the Oklahoma PTA with the National PTA, the local PTAs*, the PTA Councils and Regions. The Standing Rules interpret the Bylaws: THE TWO MUST BE USED TOGETHER. These standing rules have evolved through experience. They have been found effective in the past but are only basic methods from which new and more effective techniques may develop. STATE BYLAWS are amended/revised ONLY by a two-thirds (2/3) vote of the voting body, present and voting, at a state convention, thirty (30) day s notice having been given. The Bylaws may not be suspended by the convention or the Board of Directors. STANDING RULES are procedures adopted by the State Board of Directors to implement the Bylaws and promote the work of the PTA. The Standing Rules, with previous notice, may be amended or rescinded at a meeting of the Board of Directors by a majority vote of those present and voting; without notice, by a two-thirds (2/3) vote of those present and voting. A standing rule may be suspended temporarily for a particular meeting by majority vote. No officer, individual or committee has the authority outlined in this paragraph. POLICIES AND PROCEDURES are practices, which have been adopted by the National PTA and the Oklahoma PTA for the most effective development of the PTA program in the nation and the state. To be effective, the regulations, methods and procedures, which have been adopted by the Oklahoma PTA, must be generally known and observed. The Bylaws should be published and widely distributed to members of the State Board of Directors and other officials who should be guided by them. STANDING RULES OKLAHOMA CONGRESS OF PARENTS AND TEACHERS RULE 1 MEMBERSHIP DUES AND MEMBERSHIP YEAR The amount of the state portion of each member s dues shall be $1.75 annually. The membership year of the Oklahoma PTA shall be April 1 through March 31. Reporting dates shall be October 31, January 31 and March 31. RULE 2 MEMBERSHIP AWARDS Recognition will be given to those local units in good standing which meet the criteria set by the membership growth committee. RULE 3 HONORARY OKLAHOMA LIFE MEMBERSHIPS Honorary Oklahoma Life Memberships may be conferred upon persons for distinguished service to children and youth. A person may be proposed for an Oklahoma Life Membership by the State President, the State Board of Directors, or any Oklahoma PTA local unit or council. Honorary Life Membership in National PTA or Oklahoma PTA shall entitle a person to guest privileges at the annual conventions upon payment of the convention registration fee. An Honorary Life Member may become an active member of National PTA and Oklahoma PTA through annual membership in and payment of dues to a local PTA/PTSA. Proceeds from honorary Oklahoma PTA Life Memberships shall be placed in the Membership budget/account. A Lifetime Achievement Award Membership shall be fifty dollars ($50.00). RULE 4 ELECTION OF OFFICERS A Committee on Elections shall be responsible for conducting the annual election at the state convention for any office having more than one nominee. It may be assisted at the polls by a local committee of PTA members. This special committee shall consist of five (5) members of the Board of Directors. The committee shall elect a chair from within their members. Duties of the Committee on Elections: 1. The committee shall plan and supervise the election when held by ballot. 2. The chairman shall be responsible for having ballots available. 3. At least two (2) members of the State Committee on Elections shall be present at the polls at all times. One observer appointed by each candidate may be present. 4. Counting of ballots shall not start until the final closing of the polls. Only members of the official State Committee on Elections shall count and tally. There shall be three (3) counters present at all times. One observer appointed by each candidate may be present. 5. In the event no candidate receives a majority of the votes cast, a run-off election will be held between the two candidates receiving the most votes. The run-off will follow regular election procedures. Amended July 17, 2014 Page 3

A write-in vote for a particular office shall not be counted and shall be reported as illegal for that office only. The chairman of the Committee on Elections shall present the teller s report to the President, giving the number of votes cast and the number necessary for election. RULE 5 RANKING OF VICE PRESIDENTS In the event of the absence of the President and the President-Elect, the ranking of the Vice Presidents shall be determined by a plurality vote of the six vice presidents. RULE 6 ADDITIONAL DUTIES OF OFFICERS A. THE PRESIDENT, in addition to the duties outlined in the Bylaws shall: 1. Have general charge and supervision of the business and affairs of the organization, subject to the powers vested in the Board of Directors and the Executive Committee and shall perform duties usually expected of the office of the president of a non-profit corporation. 2. Determine the areas of responsibility and duties of the President-Elect and Vice Presidents and coordinate the work of the officers and committees of the organization. 3. Sign the call for Executive Committee meetings, Board of Directors meetings, and the State Convention. The call for the Board and Executive Committee meetings shall give time, place and insofar as possible, the agenda for the meetings. 4. Attend meetings of other organizations where he feels his presence will be beneficial to the Oklahoma PTA. 5. Have authority to appoint a member of the Board of Directors to represent the Oklahoma PTA at any special meeting or as a member of a cooperative committee with other organizations. 6. Appoint, if necessary, a temporary replacement to fill a vacancy of the chairman of a standing committee from the Board of Directors, to assume the duties of that chairman until a replacement is elected by the Executive Committee. 7. In the absence of a qualified member to fill a chairmanship vacancy on the Board of Directors, have authority to select, with approval of the Executive Committee, a non-board member who will serve on a temporary basis with expenses paid. 8. Create and appoint special committees not provided for in the Bylaws and Standing Rules, when necessary. A list of these appointments shall be distributed to the Board of Directors as soon as they have been made. Changes in committee personnel and duties of the committee shall be given the Board when such changes are made. 9. Approve all publications including the official publication of the Oklahoma PTA prior to printing. 10. Have final decision on notices and information to be sent out by the State Office. 11. Have sole authority to speak before the legislature or any legislative committee, or to the press, in the name of Oklahoma PTA. The president may delegate the authority to speak on behalf of the association to his designee. 12. Approve all expense claims before they are paid by the Treasurer. 13. Notify immediately the Nominating Committee of any Board of Directors vacancies. 14. Instruct the office staff, within six (6) months of taking office, to have bound into permanent volumes the State Executive Committee, Board of Directors and convention minutes with any additional pertinent information, and publications of the preceding administration. 15. Make visits at his discretion to local PTA units, schools of information, workshops and other meetings of divisions of Oklahoma PTA. 16. Submit an annual report to the Oklahoma PTA. 17. Present a Certificate of Appreciation to a member going off the Board of Directors after serving one year or more and present a pin of appreciation to those serving six years or more. 18. Prepare a written report to the board of directors on a monthly basis. The report should include information on the president s activities, information on the work of the association, reports and/or information from National PTA and other items the president deems as necessary. All expenses of the State President for activities relating to his office shall be paid from the President s Expense Account. B. THE PRESIDENT-ELECT shall: 1. Act as Parliamentarian in the absence of an appointed parliamentarian and shall have a vote. 2. Serve as the Bylaws Committee Chair 3. Serve as the State & Local Relations Committee Chair 4. Review all publications 5. Oversee the work stated in Matters of Convention. 6. Provide leadership training in coordination with Vice Presidents. 7. Serve as State Extension Chair in accordance with National PTA s Extension Chair Manual. 8. Prepare a compilation of the monthly written reports of the vice presidents for distribution to the board of directors. The compiled report will be distributed at least bi-monthly. 9. Serve as a member of the finance committee. C. THE VICE PRESIDENTS shall: 1. Be designated as: Advocacy, Membership, Unit Development, Leadership Development, Communications, and Programs 2. Coordinate the efforts of the committees. 3. Serve as members of the Awards Committee to select award recipients. 4. Submit a plan of work. 5. Prepare and submit a monthly written report to the president-elect. The report will include information on the vice president s activities, information on committees overseen by the vice president and other items the vice president deems as necessary for reporting to the board. E. THE SECRETARY shall: 1. Attend the annual convention and all meetings of the Board of Directors and of the Executive Committee and shall record all votes and minutes of all proceedings. 2. Distribute a copy of all the business meeting minutes to each Board member within thirty (30) days. 3. Within thirty (30) days of election send notification of election to new Board members. 4. Within thirty (30) days of vacancy of a position send a note of appreciation to those leaving office. Amended July 17, 2014 Page 5

5. Within fifteen (15) days of the annual State Convention send approved Oklahoma PTA resolutions to National PTA. 6. Within fifteen (15) days from the last board meeting prior to convention, prepare a report for the president and president-elect regarding board member eligibility for state convention (see Rule 11) F. THE TREASURER shall: 1. Serve as chairman of the Finance Committee. 2. Disburse funds only upon order of the Oklahoma PTA or the Board of Directors or the Executive Committee, and in accordance with the budget approved by the Board of Directors upon receiving the signed order of the President, 3. Present a printed financial report at the annual convention. 4. Send the national portion of dues to the National Treasurer and shall send all other monies belonging to the National PTA at such times as designated by the National PTA. 5. Invest, with the approval of the Executive Committee, for either short or long terms, surplus funds of the Oklahoma PTA. 6. Allocate claims to the proper account and sign checks for expenditures of Oklahoma PTA. RULE 7 EXECUTIVE COMMITTEE A. THE EXECUTIVE COMMITTEE shall 1. Make recommendations to the Board of Directors on matters of policy and administration. 2. Approve at the first regular meeting after convention, excluding any post-convention meeting the site and dates of the annual convention that will be in two (2) years. 3. Hold its first regular meeting within four (4) months after the convention board meeting. 4. Approve at the first regular meeting after convention, excluding any post-convention meeting, the state convention minutes. 5. Nominate at the first regular meeting after convention, excluding any post-convention meeting, a Finance Committee consisting of the Treasurer and four (4) members from the Board of Directors. This committee shall serve concurrently with the treasurer 6. Approve at the first regular board meeting after convention, after review and suggestions, the plans of work. Supervise and encourage the work of the committees. 7. Approve registration fees for state convention at a board meeting no later than six (6) months prior to a convention 8. Recommend to the Board of Directors additional standing committees as they are needed. 9. Recommend to the Board of Directors all major financial transactions which are not included in the budget. 10. Appoint a Financial Accountability Committee consisting of three (3) members of the Board of Directors at the board meeting prior to the start of the fiscal year, unless an accounting firm is engaged to perform an independent audit. 11. Accept the Annual Financial Report at the pre-convention Executive Committee Meeting. B. The Executive Committee may delegate some duties of the Treasurer to the State Office. C. Annual reports from all Standing Committee Chairmen shall be presented to the Executive Committee by the President at the pre-convention Executive Committee meeting. Amended July 17, 2014 Page 6

D. When the Executive Committee authorizes a vote by mail, mail will be defined as postal and/or electronic mail and/or conference call. The person tallying votes by electronic mail must send an acknowledgement of vote received to the sender. E. Elected officers of Oklahoma PTA may not serve as an elected officer for a council, but may serve as chair or member of a standing or special committee. State board members who serve as part of a council may not serve as a representative of Oklahoma PTA to that council or the council s member units without authorization from the state president. RULE 8 COUNCIL PRESIDENTS COUNCIL PRESIDENTS shall: 1. Attend Board of Directors meetings and leadership training. 2. Make personal contact with their member units/pta presidents on a regular basis. 3. Participate in organization of new units and training of units within their council. 4. Make a report concerning the assigned units to the Council Liaison on a regular basis. 5. Will participate as a member of the council president s committee, chaired by the Council Liaison RULE 9 BOARD OF DIRECTORS A. REGULATIONS GOVERNING BOARD MEMBERS 1. The first regular meeting after convention, excluding any post-convention meeting, shall provide, in addition to the regular business, a mandatory orientation for all Board Members. a. Board Members must notify the president of their inability to attend a board meeting b. Board Members must return housing reservation forms by the designated deadline. c. No reservation will be made for a Board Member who has not returned a housing form by the designated deadline. If a reservation is made and not used, the member will be responsible for payment unless given an excused absence by the President. d. Should an emergency arise after the reservation forms have been returned, and Board Members cannot attend the function, the Board Member must notify the President and the State Office. e. Board Members who fail to provide more than 1 report to their Vice President during a quarter will not be reimbursed for their expense including hotel room for the next Board of Directors meeting. 2. A council president, if willing, may be asked to assume additional duties on the Board of Directors, but shall have only one vote. In case of dual council presidency, only one may be the voting representative at each board meeting. At the beginning of the council president s term, a permanent alternate may be elected/appointed by the council to represent the council president at the Board of Directors meetings when the council president is unable to attend. The alternate s name must be on file with the Oklahoma PTA secretary. 3. A Board Member may accept invitations to attend and assist PTA units, in areas of service outside of the board member s appointed or elected position. Prior approval of the vice president responsible for the type of service requested, or the president is required. 4. When a Board Member is contacted to organize a new unit, he shall notify the Vice President of Unit Development and President immediately. On completion of organization, all appropriate forms shall be sent to the State PTA Office and Vice President within one week of organization. 5. Board Members shall not use their official titles on stationary or publicity material of other organizations except by permission of the Executive Committee. Amended July 17, 2014 Page 7

6. Publicity resulting from or concerned with the Board of Directors or other state PTA committee meetings shall be released only through the President or channels authorized by him. B. THE BOARD OF DIRECTORS SHALL: 1. Receive reports from [a] the Treasurer; [b] the Executive Committee; [c] the Budget Committee; and [d] Special Committees. 2. Elect the Budget Committee at the first regular meeting after convention, excluding any post-convention meeting. 3. Approve the annual budget at its board meeting prior to the start of the fiscal year. 4. Approve the uniform bylaws for local units and councils. C. ATTENDANCE Written request for guests to attend Board of Directors meetings shall be sent to the State Office. Guests shall be seated by vote of the Board of Directors. These persons shall have no vote and no voice. RULE 10 FISCAL AFFAIRS 1. The signatures of the President, President-elect and Treasurer shall be on all bank signature cards authorizing them to sign checks for expenditures of Oklahoma PTA. 2. The signatures of the President, President-elect and Treasurer shall be on all investment signature cards authorizing business transactions 3. The Board of Directors, at the expense of Oklahoma PTA and in conformity with all legal requirements, shall require the President, President-elect, Treasurer, and office staff be bonded for an amount to be determined by the Board of Directors. 4. Two signatures are required on all checks. 5. Any officer with signatory authority cannot be a paid employee of a financial or investment business where an account is held that belongs to the Oklahoma Congress of Parents and Teachers. If an officer is elected that creates the above stated conflict, any and all accounts will have to be removed from that business in no more than sixty (60) days 6. The President, President-elect, Treasurer and office staff shall be authorized to complete transactions related to the works of Oklahoma PTA thru the use of an Oklahoma PTA credit or debit card, receipts are required. All transactions will be reviewed and countersigned by a second person with signatory authority within 30 days of the transaction.. RULE 11 EXPENSES OF BOARD MEMBERS 1. The Oklahoma PTA shall pay the expenses of members of the Board of Directors to board meetings, PTA committee meetings, and to assignments given them by the President, the Executive Committee, or the Board of Directors. In case of a dual council presidency, expenses shall be paid for one person only. In the event the council president s designated representative attends the board meetings, his expenses shall be paid. 2. With the approval of the President and committee chairman expenses of non-board members may be reimbursed. 3. Expenses of State Board Members shall be paid to the state convention by the Oklahoma PTA provided that they (1) have attended, or have been excused from, the two preceding board meetings and (2) remain for the Amended July 17, 2014 Page 8

entire convention, unless excused by the State President. Convention registration will be waived for Board Members. 4. Forty ($.40) cents per mile and turnpike fees shall be paid for use of car. Board Members are encouraged to form car pools with other Board Members whenever possible. 5. Reimbursement for meals can be requested, maximum amount allowable: breakfast - seven dollars ($7.00), lunch - nine dollars ($9.00), and dinner - fourteen dollars ($14.00). Receipts are required. No reimbursement is given when meals are provided; alcoholic beverages are exempt from reimbursement. 6. Reimbursement for hotel rooms at convention and board meetings shall be made on the basis of dual occupancy and reservation must be coordinated with Oklahoma PTA. Members requesting a private room must pay half of the room rate. The president is exempt from the multiple occupancy requirement. 7. Attendees funded by the Oklahoma PTA are required to attend all scheduled events. If unable to attend all scheduled events, an alternate who is available to attend all events should be elected to attend. Attendees will be responsible for paying the cost of any events missed. 8. All expenses shall be itemized upon a form provided for that purpose and shall be accompanied by receipts for meals, transportation, hotel bills, and other miscellaneous items. Board Members may submit a quarterly reimbursement of $5 for home/cell phone usage for OKPTA work. 9. All claims must be submitted for payment within thirty (30) days. Committee members requesting reimbursement for committee works will submit a copy of their reimbursement claim to their Vice President, when a claim is submitted. Reimbursement claims are to be approved and payments finalized within 30 days of receipt. 10. The Oklahoma PTA shall pay the expenses of the President-elect and of the elected delegates from the Board of Directors to the National Convention. Delegates shall receive $30 on travel days, $50.00 on non- travel days, non-travel days per diem may be amended at the discretion of the President. At the discretion of the president, a group meal may be provided by Oklahoma PTA for the elected delegates. Receipts will not be required. Past State Presidents shall not be eligible for election. All expense claims shall be sent directly to the President for approval. Expense for checked luggage is limited to one standard item. 11. The Oklahoma PTA shall pay the expense of elected or appointed delegates/attendees from the Board of Directors to out of state conferences, conventions or other meetings as assigned by the president or directed by the executive committee. Attendees shall receive $30 on travel days, $50.00 on non- travel days, non-travel days per diem may be amended at the discretion of the President. At the discretion of the president, a group meal may be provided by Oklahoma PTA. Receipts will not be required. Past state presidents may be appointed or elected to attend. RULE 12 COMMITTEES Addendum A Committees, contains information regarding the composition and scope of work of the committees of Oklahoma PTA (proviso: to be completed by January 2014) A. The Office and Personnel Committee is comprised of the president, president-elect and treasurer. Disaster Relief Committee RULE 13 DUTIES AND RESPONSIBILITIES OF STANDING COMMITTEE CHAIRMEN 1. Each Chairman shall present a two-year plan of work to their coordinating vice president for presentation to the Executive Committee for approval at the meeting immediately following his selection. 2. Chairmen shall provide information and instruction to the corresponding unit chairmen through bulletin articles, mailings and publications. 3. Chairman will keep their corresponding vice president informed on committee s progress through monthly written reports. Reporting deadlines will be determined by a yearly calendar approved by the executive committee. 4. Annual reports shall be made to the chair s corresponding vice president for presentation to the Oklahoma PTA president. 5. Each chairman shall develop and maintain a procedure book in which details of his activities shall be entered. The chairman shall remit the procedure book to the state office within 30 days of vacating the chairmanship. RULE 14 STATE CONVENTION 1. Annual conventions shall be scheduled at least two (2) years in advance of the convention date. 2. Those units organized after March 31 shall be entitled to voting delegates based upon their initial membership report. Amended July 17, 2014 Page 10

3. The convention theme shall be determined by the convention committee. 4. Those units organized after March 31 shall receive two (2) registration certificates providing for a 2-for-1 registration pricing. 5. Those units receiving assistance from the state/local relations committee shall receive two (2) registration certificates providing for a 2-for-1 registration pricing. 6. The state President at his discretion may award registration certificate(s) providing for a 2-for-1registration pricing to any unit he deems qualifies. 7. The Oklahoma PTA shall underwrite the convention expenses of the nominees put forward by the Nominating Committee if those persons are not currently serving on the Board of Directors. REGISTRATION AND ADMISSIONS 1. The Executive Committee shall determine the registration fee for the convention. 2. Delegate privileges shall extend only to properly credentialed delegates. 3. A voting delegate or a person authorized by the local unit shall, in person, present current membership cards and credentials for those having been pre-registered and those being registered at convention. 4. Members of Oklahoma PTA who are not a part of the voting body and other interested persons shall be entitled to attend the annual convention as observers upon payment of a registration fee in the amount to be determined by the Executive Committee. 5. Upon presentation of credentials, delegates shall be registered. Each delegate shall be issued a delegate card (a different color from the preceding year s card) stamped Oklahoma PTA - Voting Delegate perforated into sections. The voting section of the delegate card shall be surrendered in exchange for a ballot for voting. 6. The delegate shall retain in his possession at all times the section of the card denoting that he is a voting delegate. The delegate must show his voting card to be allowed to vote. 7. Only members of the voting body shall have the privilege to introduce motions, participate in debate and vote at the annual convention. A voting member shall have but one (1) vote. 8. An attendee without a badge shall not be admitted into general sessions, workshops or exhibits, and may not participate in any of the business of the convention. 9. The Oklahoma past presidents will be invited to the Oklahoma PTA state convention and will receive one (1) guest registration and one (1) ticket to meal function. 10. The Oklahoma PTA shall award one (1) state convention meal ticket to a unit or individual who is selected as an award recipient. 11. The Oklahoma PTA President and President-elect may each have up to four (4) tickets for a meal function for his guests. RULE 15 NATIONAL CONVENTION The State Office shall send a form to the local units to be signed by the President and Secretary of the local PTA upon which they shall list their elected nominees for delegates. The delegates to the national convention shall be approved on a first come, first served basis by the President. RULE 16 OFFICIAL PUBLICATION OF OKLAHOMA PTA Oklahoma PTA publishes an official publication; the name of which shall be decided by the Board of Directors. The official publication of the Oklahoma PTA shall be a working tool for officers and chairmen of the councils and units. All official notices shall be published in this bulletin. All issues shall be provided free of charge to the following: the President of each Oklahoma PTA unit, each Council President, all members of the State Board of Directors, all other states' PTA offices, the National PTA President, the National PTA Office, the Oklahoma Education Association, the president of the Oklahoma School Boards Association, the president of the Oklahoma Association of School Administrators, the State Superintendent of Public Instruction, the Secretary of Education and past Oklahoma PTA Presidents. RULE 17 BOARD RELATIONSHIPS 1. In the event of death of an immediate family member* of a board member, a flower arrangement shall be sent on behalf of the Board. (*mother, father, children or spouse) 2. In the event of hospitalization of a board member, a flower arrangement shall be sent on behalf of the Board. 3. The president may extend these provisions to former board members or other officials and collaborative partners as he deems appropriate for the association. RULE 18 DISSOLUTION OF OKLAHOMA PTA In the event of surrender or withdrawal of its charter by National PTA, Oklahoma PTA is obligated: 1. To yield up and surrender all of its books and records and all of its assets and property to National PTA or to such agency as may be designated by National PTA to be held for the benefit of another branch organization established by National PTA for the area of Oklahoma PTA; 2. To yield up all of the books and records and all of the assets and property of any Controlled Organization and surrender them to the National PTA or to such agency as may be designated by National PTA to be held for the benefit of another branch organization established by National PTA for the area of such state PTA. A Controlled Organization shall mean any corporation or other entity, whether nonprofit or for-profit, incorporated or unincorporated, that is controlled by such state PTA. For purposes of this section, control means ownership by vote or value of more than fifty (50) percent of the organization, power to appoint individual to the governing body of the organization representing more than fifty (50) percent of the voting power, or ownership of more than fifty (50) percent of the beneficial interests in the organization. The state PTA shall cause the governing documents of the Controlled Organization to reflect this obligation; 3. To cease and desist from the further use of any name that implies or connotes association or affiliation with National PTA or status as a branch or constituent organization of National PTA; and 4. To carry out promptly, under the supervision and direction of National PTA, all proceedings necessary or desirable for the purpose of dissolving Oklahoma PTA. RULE 19 AMENDMENTS STANDING RULES, POLICIES AND PROCEDURES Standing Rules, Policies and/or Procedures may be amended at a meeting of the Board of Directors by a majority vote, previous notice having been mailed at least fifteen (15) days before the meeting at which the amendment is to be considered; or a two-thirds (2/3) vote, without previous notice.
