1 ARTICLE I: Name Shenandoah Mountain Resue Group B Y LAW S =========== February, 1984 The name of this organization shall be the Shenandoah Mountain Resue Group, hereinafter referred to as the Group. ARTICLE II: Purposes The purposes of the Group shall be: To provide a wilderness searh and resue apability and speial tehnial resue apability to the northern part of the Commonwealth of Virginia, ontiguous areas, and other regions as neessary; To ondut training programs in subjets related to wilderness searh and resue and speial tehnial resue; To ondut and sponsor training programs in subjets related to wilderness safety and survival; and o To support publi safety agenies, outdoors organizations, and eduational institutions with the Group's speial apabilities. ARTICLE III: Members Setion 1: General 1.1 Membership in the Group shall be open to the publi without disrimination by sex, rae, age, religion, or nationality. 1.2 The lasses of membership shall be as follows: 1. Certified Members; 2. Trainee Members; 3. Assoiate Members; 4. Assoiate Members with Voting Rights; 5. Auxiliary Members; and 6. Sustaining Members. The rights, responsibilities, and requirements for the lasses of membership shall be as set forth in the Bylaws of the Appalahian Searh and Resue Conferene. Page 1 of 6

2 1.3 Voting privileges shall be alloated among the members as follows: ~ C, 1. Right to vote in Group eletions and on Group business: Certified Members, Trainee Members, and Assoiate Members with Voting Rights. 2. Right to vote in ASRC eletions and on ASRC business: Certified Members. 1.4 All Group members shall arry equivalent membership status in the Appalahian Searh and Resue Conferene. 1.5 All members with Group voting privileges shall apply for membership in the Potoma Appalahian Trail Club upon beoming members of the Group. 1.6 The Operations Offier shall maintain Group personnel reords, with the following information for eah member: a. name; b. kind of membership, date it was onferred, and by whom;. mailing address; d. telephone numbers; and e. additional pertinent operational information. o At least every 90 days, the Operations Offier shall publish an updated Callout Roster inorporating this information (exept if there are no hanges to be made>. A opy of this Callout Roster shall be forwarded to the Seretary of the Board of Diretors of the Appalahian Searh and Resue Conferene for inlusion in the ASRC Conferene Roster. Setion 2: Appliation for Membership 2.1 Those wishing to beome members of the Group shall seure appliations and guidane from the Training Offier or his designate. 2.2 Appliants must be examined by the Training Offier and found to meet the standards and requirements for a partiular type of membership, as speified by the Training Guide of the Appalahian Searh and Resue Conferene and by Ats of the Group. 2.3 The Training Offier may onfer Auxiliary and Sustaining Memberships without neessity for a vote of the Group; appliants for Trainee or Assoiate membership, and Trainees eligible for Certified Membership, shall be proposed to the Group by the Training Offier, for a vote of the Group in aordane with the Bylaws of the Appalahian Searh and Resue Conferene. 2.4 Upon being aepted into the Group, all Trainees and Voting Assoiates shall be provided an appliation for the Potoma Appalahian Trail Club, signed by the Training Offier as Page 2 of 6

3 sponsor. Setion 3: Dues and Fees C\ 3.1 The Group shall assess no dues over those required by the Potoma Appalahian Trail Club. 3.2 All members with the right to wear the ASRC uniform, as speified by the ASRC Training Guide, shall be assessed a one-time initiation fee to be set by an At of the Group. 3.3 Auxiliary and non-voting Assoiate Members shall pay a yearly Newsletter subsription fee to be set by an At of the Group. This fee may be waived by an At of the Group in individual ases. ARTICLE IV: Offiers Setion 1: Eleted Offiers 1.1 The eleted offiers of the Group shall be a Chairman, a Vie-Chairman~ Treasurer, and two ASRC Delegates. 1.2 The Chairman, Vie Chairman, and Treasurer shall be eleted from among the Trainee, Voting Assoiate, and Certified Members by those Members. 1.3 The two ASRC delegates shall be eleted from among the Certified Members by the Certified Members. Setion 2: Appointed Offiers 2.1 The appointed offiers of the Group shall inlude a Training Offier, an Operations Offier, a Reording Seretary, and a Medial Advisor. 2.2 The Chairman shall appoint members to fill the appointive positions. (More than one appointed offie may be held by a single member.) 2.3 Offiers may delegate speifi duties to members, who will report to the appointing offier. Setion 3: Duties 3.1 The duties of the Chairman shall be: a. to all and ondut meetings of the Board of Diretors in aordane with the provisions of Artile V; b. to all and ondut meetings of the Membership in aordane with the provisions of Artile V;. to oversee the administration of the Group and to ensure that the provisions of these Bylaws, the ASRC Bylaws and training and operational standards of the ASRC, and the Bylaws of the Potoma Appalahian Trail Club are enfored within the Group; Page 3 of 6

IiJ II-"'W~ /' d. to ontrol all Group orrespondene; e. to ontrol all Group publi relations efforts; and f. to supervise Group offiers in the ondut of their administrative duties. 3.2 The responsibilities of the Vie Chairman shall be: a. to serve as Chairman in the absene or inapaitation of the Chairman; and b. to fulfill other duties as designated by the Chairman. 3.3 The responsibilities of the Treasurer shall be: a. to keep the finanial reords and aounts of the Group. b. to serve as Chairman in the absene or inapaitation of both the Chairman and Vie Chairman. ) 3.4 The duties of the Training Offier shall be: a. to enfore the proedures, standards, and requirements of the ASRC Training Guide; b. to evaluate appliants and members for ompliane with the standards and requirements of the ASRC Training Guide, in aordane with proedures speified therein;. to at as e>:eutive agent of the ASRC Board of Diretors in onferring the various types of membership upon Group members and appliants; d. to propose to the Group for a vote all appliants for types of membership requiring a vote by the Group or a part thereof; and e. to ensure the Seretary of the ASRC Board of Diretors is informed of all membership ations taken by the Training Offier within 90 days. 3.5 The responsibilities of the Operations Offier shall be: a. to maintain and evaluate the Group~s operational readiness; b. to supervise the maintenane of Group equipment;. to maintain the Group~s alerting systems; d. to monitor Group ommuniations equipment and poliies; and e. to supervise the Group's stores of equipment and supplies for sale. 3.6 The responsibilities of the Reording Seretary shall be: a. to reord the proeedings of the meetings of the Board of Diretors and of any Membership Meetings; and b. to maintain the reords and orrespondene of the Group. Setion 4: Eletions During February of eah year, nominations for the eleted offiers shall be aepted from the membership. At the annual meeting in Marh. the membership shall elet new offiers. 5 Setion 5: Term of Offie All offiers shall serve until their suessors are eleted or appointed. ARTICLE V: Meetings Setion 1: Meeting Dates The Group shall meet on the first Tuesday of eah month. Setion 2: Annual Meeting The Group meeting the first Tuesday of Marh shall be known as the annual meeting. Setion 3: Speial Meetings 3.1 A Speial Meeting may be alled by the Chairman~ by a majority of the Board of Diretors, or by one-third of the members with Group voting privileges. 3.2 Notie of a speial meeting shall inlude the business to be transated~ whih is the only business that may be transated at that meeting. 3.3 Notie of a speial meeting shall be mailed to all members with Group voting privileges at least one week prior to the meeting. o Setion 4: Quorum A quorum shall onsist of one-third of the total members with voting privileges (i.e. one-third of the Trainees, Voting Assoiates, and Certified Members for Group business, and one-third of Certified Members for ASRC business or eletion of new Certified Members.) ARTICLE VI: Board of Diretors Setion 1: Board Members The Group Board of Diretors shall onsist of the Chairman, the Vie Chairman, the Treasurer, both ASRC delegates, the Training Offier, and the Operations Offier. Setion 2: Board Duties The Board of Diretors shall have general supervision of the affairs of the Group between its business meetings, make reommendations to the Group, and shall perform suh other duties as are speified in these Bylaws. The Board shall be subjet to the orders of the Group, and none of its ats shall onflit with ation taken by the Group. Page 5 of 6

Setion 4: Board Quorum A quorum of the Board of Diretors shall Board members. onsist of three ARTICLE VII: Parliamentary Authority The rules ontained in the urrent edition of Robert~s Rules of Order Newly Revised shall govern the Group in all ases to whih they are appliable and in whih they are not inonsistent with these Bylaws, the Bylaws of the Appalahian Searh and Resue Conferene, the Bylaws of the Potoma Appalahian Trail Club, and any speial rules of order the Group shall adopt. ARTICLE VIII: Amendments These Bylaws may be amended at any regular meeting of the Group by a two-thirds vote, provided that the amendment has been submitted in writing at the previous regular meeting.
