1 Sun City Shadow Hills Women s Golf Club (18 hole) Bylaws Article I General Section 1 The name of the club is Sun City Shadow Hills Women s Golf Club (18 hole) a Sun City Shadow Hills Community Association Chartered Club. Herein after referred to as Shadow Hills Women s Golf Club (SHWGC) Section 2 The purpose of this non profit organization shall be to promote fellowship, supervise, encourage and conduct golf activities for the women members of this Club and Women s Southern California Golf Association, except as modified by local rules of Sun City Shadow Hills. Section 3 These bylaws will fully comply with the Sun City Shadow Hills HOA CC&R s, bylaws, club rules, regulations and procedures. Section 4 Wednesday* is play day. Play day is defined as those times reserved for play by the SHWGC Tournament Committee. November 1 through May 31 is the calendar year. Section 5 SHWGC Standing Rules provide for day to day operations. Standing Rules may be adopted or changed by the Board of Directors. Article II Membership Section 1 Membership shall be open to all women residents in good standing of the Community Association. Members must apply for and maintain membership is WSCGA. The WSCGA fiscal year shall be from June 1 through May 31 of the following year. Memberships are for one year terms. Section 2 Annual dues are established by the Board of Directors, are due and payable by April 1 and delinquent after May 15**. Article III Meetings Section 1 membership meetings will be held monthly during the calendar year. Section 2 A quorum will consist of 20 percent of the paid membership. Meetings will be considered official when such quorum is present. Votes on SHWGC matters may be taken online and a majority shall rule.
2 Section 3 The Board of Directors will meet October through April at a time and place designated by the President. Special meetings will be called as needed at the discretion of the President. A minimum of three Board Members must be present to conduct business of the Club. Section 4 The President will vote only when the vote will affect the results. Refer to Roberts Rules of Order for all other protocol relating to meetings. Section 5 Regular and special meetings of the Board of Directors shall be open to all members of the Club provided, however, that members who are not on the Board may not participate in any deliberation or discussion unless expressly so authorized by the vote of the majority of a quorum of the Board. If a Club member wishes to approach the Board, prior notice must be given and the matter placed on the meeting agenda. Article IV Organization Section 1 The following Club Officers shall be elected by the Club members at the regular meeting in March of each year: President, Vice President, Secretary, Treasurer, Handicap Chair, Membership Chair, Tournament I and II Chairs and Rules Chair. Section 2 The terms of office shall be for one year and no person shall be elected to the same office for more than two consecutive years. Section 3 Should the office of President be vacated, the incumbent Vice President will be President. Vacancies of the other offices shall be appointed by the President with the approval of the Board of Directors. Section 4 The Board of Directors may establish any committee necessary for the operation of the Club. The President shall appoint the Chairs of the standing committees subject to the approval of the Board of Directors. The Chairs shall report to the Board of Directors as necessary. Section 5 To serve on the Board of Directors, a member must be in good standing and be able to attend all meetings. Failure to attend meetings could mean removal from the Board of Directors. Article V Nominations and Elections Section 1 There shall be a three (3) member nominating committee: One (1) member appointed by the President from the Board of Directors and two (2) members at large elected from the floor at the February general meeting. No member may serve on the nominating committee for more than one consecutive year. The Committee shall select a Chair. Section 2 The Nominating Committee shall select one (1) member for each position on the Board of Directors. Permission must be secured from each nominee. Section 3 The slate of officers shall be posted on line by the committee chair
3 two weeks prior to the March regular meeting pursuant to Article IV, Section 1. The slate may also be posted on bulletin boards available to the general membership.
4 Section 4 When the slate of officers has been posted on line, nominations from the membership may be accepted via the internet only until the day of the regular meeting. Permission must have been secured from each person who is nominated. If there are no such nominations, the slate presented by the nominating committee shall be deemed elected. If there are nominations via the internet, nominations for the same office shall be elected by an on line majority vote until the day of the regular meeting. Article VI Duties of Office Section 1 The President shall preside at all meetings of the club and the Board of Directors. She shall have the power to appoint the Chairs of the Standing and Special Committees with the approval of the Board of Directors. She shall be the ex officio member of all committees except the Nominating Committee and be responsible for the proper operation of the Club in all matters. Section 2 The Vice President shall assist the President and assume the duties of the President in her absence and may hold one or more committee chairs. Section 3 The Secretary shall record the minutes of all meetings of the Club and have charge of all reports and perform such other duties that are incidental to this office. Section 4 The Treasurer shall have custody of all funds of the Association, pay all bills and perform duties incidental to this office that are properly required by the Club s financial status. Section 5 The Handicap Chair shall be responsible for keeping accurate records of all members of the Club and their handicaps, in accordance with current handicapping system of the USGA and WSCGA. Section 6 The membership Chair shall welcome and introduce new members and arrange for their participation in golfing events. She shall keep current roster of members and shall be responsible for collecting annual dues. She shall furnish new members with all information pertaining to membership. Section 7 The Tournament Chair I and Tournament Chair II shall be in charge of all competition, except for Team Matches, subject to approval of the Board of Directors. Tournament Chairs I and II and their committee members shall determine the eligibility of players and conduct all competition. They shall keep a record of the events, the winners and payouts. Tournament Chairs I and II shall prepare a schedule of events for the calendar year and present it to the Board of Directors for their approval. They shall select and appoint assistants and committee members.
5 Tournament Chair I will be responsible for regular play and related programs. Tournament Chair II will be responsible for Club Championship, Princess, Member Member, guest days, exchanges, and other special events.
6 Section 8 The Rules Chair will be called upon on a regular basis to relay any decisions pertaining to the Rules of Golf as dictated by either the Decision Book or the formal version of the USGA Rules of Golf. She shall promote the knowledge of and adherence to the Rules of Golf for the benefit of the Club membership. Article VII Finances Section 1 The Club shall open and maintain a bank account in the name of Sun City Shadow Hills Women s Golf Club. Checks drawn on the Club s bank account shall require the signatures of two (2) club officers. All payments, whether for goods or services shall be made by check. Section 2 The Board of Directors shall determine the amount of the annual dues to be paid by the members. Section 3 The fiscal year shall begin July 1 and end June 30. The Board of Directors shall arrange for an annual audit by June 30. The Treasurer s books may be reviewed by the Board of Directors at any time. Article VIII Amendments Section 1 The bylaws may be amended by a majority of the members provided notice is given of such change at least one month prior to the vote. Article VIII Dissolution Section 1 Prior to the dissolution of the Sun City Shadow Hills Women s Golf Club all debts must be satisfied and any remaining assets shall be turned over to the Community Association.
