1 Guidelines of the JCI European Development Council as recommended by JCI EDC board 2010 and 2011, EVP 2010 and 2011, Growth & Development Director for Europe as amended with proposals of the EDC , EDC , EDC , EDC and Growth & Development Director for Europe Chapter 1: Name, Membership & Purpose Article 1-1: Name The name of this committee is JCI European Development Council (hereinafter referred to as the JCI EDC ). Article 1-2: Membership National Organisations from Europe with full, provisional or potential affiliation to JCI are automatically members of the JCI EDC. Article 1-3: Organisation The JCI EDC is a committee serving under the National Presidents of its members as per Article 1-2. Article 1-4: Purpose The JCI EDC can actively seek to establish a JCI presence in European countries without National Organization representation in cooperation with the JCI Membership Growth & Development Director In cooperation with the JCI Executive Vice President assigned to Area Europe or the JCI Membership Growth & Development Director for Europe, the JCI EDC can coordinate with JCI Vice Presidents about necessary support to and actions in National Organizations with potential or provisional affiliation In cooperation with the Executive Vice President assigned to Europe or the Growth & Development Director for Europe, the JCI EDC can assist JCI Vice Presidents active in existing NOMs with growth and development issues In cooperation with the Executive Vice President assigned to Europe or the Growth & Development Director for Europe, the JCI EDC focuses on development programs for National Organizations in Europe. (The descriptions under the aforementioned Articles 1-4-1, 1-4-2, and are together referred to as the Focus Areas ). Chapter 2: The JCI EDC Board Article 2-1: Composition of the JCI EDC Board The JCI EDC Board shall comprise of maximum of six (6) elected officers; who will be the Chairperson, the Treasurer, four (4) EDC Councillors and two ex-officio officers as per Article In case the Immediate Past Council Chairperson is requested by the

2 Council Chairperson to perform the duties of a Councillor, in accordance with Article 2-4-2, this will be seen as an ex-officio councillor. Article 2-2: Chairperson The duties of the Chairperson are to: a) Chair the meetings of the JCI EDC Board (the Board Meetings ). b) Co-ordinate and supervise the actions of the Secretary General and Development Councillors. c) Present written and verbal reports of the JCI EDC s actions and progress to the National Presidents at each National Presidents Meeting and to the JCI Mid-Year Executive Committee Meeting. d) Perform analysis to identify and target countries suitable for the creation of new National Organizations. e) Whenever necessary and possible, carry out the duties of a Development Councillor, as specified in Article 2-4. f) Insure that all four (4) Focus Areas of the JCI EDC are equally focused The Chairperson is Development Council Chairperson as per JCI Policy and shall carry out the duties and responsibilities specified by that Policy. Article 2-3: Secretary General The duties of the Secretary General are to: a) Act as General Legal Counsel to the JCI EDC Board. b) Validate JCI EDC Grant applications in close co-operation with Chairperson and the Treasurer In the event of the Chairperson being unable to fulfil his/her duties for any reason, the Secretary General shall act as Interim Chairperson until the elected Chairperson is able to resume office. The Interim Chairperson shall only perform those duties which are necessary for the continued operations of the JCI EDC Unless elected by the General Assembly, the Area Director shall act as the Secretary General for JCI EDC, as per art Article 2-4: Immediate Past Council Chairperson He/she shall serve as an advisor to the Council Chairperson He/she shall perform the duties of a Councillor if requested by the Council Chairperson. Article 2-5: Treasurer The duties of the Treasurer are to: a) Act as Treasurer of the JCI EDC. b) Validate JCI EDC Grant applications. Article 2-6: Assistant to the Chairperson The duties of the Assistant to the Chairperson are to: a) Act as Secretary to the JCI EDC Board and record, distribute and

3 store minutes and agendas. b) Support the Chairperson in his/her activities The Assistant to the Chairperson is not a member of the JCI EDC Board, but may be called upon by the Chairperson to participate as observer or to report on his/her assigned tasks at Board meetings. Article 2-7: Development Councillors The duties of the Development Councillor responsible for new National Organizations are to: a) actively seek to establish new National Organizations in countries where JCI is not currently present; and b) establish contacts with potential founders of new National Organizations, in assistance of or at the request of the Executive Vice President or Growth & Development Director The duties of the Development Councillor responsible for newly affiliated National Organizations are to: a) coordinate with JCI Vice Presidents about necessary actions and support in National Organizations with potential or provisional affiliation at the request of the Executive Vice President or Growth & Development Director The duties of the Development Councillor responsible for existing National Organizations are to: a) support existing National Organizations experiencing challenges in membership growth and development in assistance of a vice president or at the request of the Executive Vice President or Growth & Development Director All Development Councillors shall serve on the JCI EDC Board Each councillor may be responsible for more than one group of National Organisations. Article 2-8: Ex-Officio Officers The Executive Vice President and Growth & Development Director shall serve as ex-officio members, with full voting rights, of the JCI EDC Board The Executive Vice President and Growth & Development Director organise a meeting between EDC, Executive Vice President and Vice Presidents during JCI European Presidents Meeting and JCI European Conference. If possible, there shall also be a meeting during JCI World Congress The Growth & Development Director, usually the Secretary General of the JCI EDC, and the Treasurer are responsible for the bank account as stated in Article 4-2. Article 2-9: Eligibility for Office The Chairperson shall: a) Be a member of a European Local Organisation. b) Have been a JCI member for no less than three years. c) Have held the office of National President in an European National

4 Organization or has been an elected board member of the international JCI organisation or has been elected JCI EDC councillor d) Have attended at least two Area Conferences or World Congresses The Treasurer and Development Councillors shall: a) Be a Member of an European Local Organisation. b) Have been a JCI member for no less than three years. c) Have held National office in an European National Organization. d) Have attended at least two Area Conferences or World Congresses The Secretary General shall: a) be the JCI Area Director for Growth & Development, appointed by the JCI Secretary General, unless otherwise decided by the General Assembly of National Organisations in Europe, in which cases, the Secretary General shall 1. Be a Member of an European Local Organisation and 2. Have been a JCI member for no less than three years and 3. Have held National office in an European National Organization and 4. Have attended two Area Conferences or World Congresses JCI EDC Board members can not have a conflicting office (at either National Organization or Local Organization level except for the position of Immediate Past President) during their term as JCI EDC Board Members. Article 2-10: JCI EDC Board Meetings The Chairperson shall call monthly (or when necessary) JCI EDC Board meetings. The JCI EDC Board shall deliberate effectively only when half of the Board members are present or represented Each JCI EDC Board member has one vote. The Chairperson has the casting vote in the event of a tie. Decisions shall be made by simple majority. Article 2-11: Vacancies in the JCI EDC Board In the event of a vacancy, the JCI EDC Board may appoint an interim officer to serve the remaining term of office subject to the interim officer being eligible as per Article 2-7. Article 2-12: Special Assistants The Chairperson may appoint Special Assistants to carry out specific tasks and to support the development councillors. The term of appointment of Special Assistants may not exceed the term of office of the Chairperson Special Assistants are not members of the JCI EDC Board, but may be called upon by the Chairperson to participate as observers or to report on their assigned tasks at Board meetings. Article 2-13: Reporting The JCI EDC Board shall no less than three weeks before the JCI European Presidents Meeting, JCI European Conference and JCI World Congress submit written reports to the National Organizations.

5 Interim financial statements shall be included in the reports. Article 2-14: Attendance Area Europe President Meetings JCI EDC Board members should attend the JCI European Presidents Meeting and the JCI European Conference each year. Board members are recommended to attend also JCI World Congress if possible The Chairperson should attend additionally the JCI World Congress each year or if not able to do so send a representative from the JCI EDC board. Chapter 3: JCI EDC Plan of Action Article 3-1: Candidate Plan of Action Candidates for the office of Chairperson shall submit a Candidate Plan of Action to the Growth & Development Director no later than three weeks prior to the European National Presidents Meeting at World Congress. The Growth & Development Director shall distribute the Candidate Plan of Action to the National Organizations no later than two weeks prior to the commencement of European National Presidents Meeting at World Congress. Article 3-2: Draft Plan of Action The Plan of Action submitted by the candidate elected as Chairperson for the upcoming year shall be considered a Draft Plan of Action Following the election of the Chairperson, The Draft Plan of Action with any amendments shall be subject to approval at the General Assembly of European National Presidents Meeting at World Congress Approved Plan of Action Shall be the Final Plan of Action. Article 3-3: Final Plan of Action The Final Plan of Action shall include the JCI EDC s budget for upcoming term. Proposed budget shall be prepared by outgoing JCI EDC Board. The budget shall be subject to separate approval The Chairperson shall submit the approved Plan of Action to JCI Headquarters no later than two weeks prior to the commencement of the January Board Meeting ( JBM ). Chapter 4: Financial Management Article 4-1: Financial Year The financial year of the JCI EDC is from 1st January to 31st December. Article 4-2: Bank Account The JCI EDC shall keep a separate bank account to be signed by the Chairperson, JCI EDC Treasurer and/or the Growth & Development Director Funds in the bank account shall only be used with the approval of the

6 JCI EDC Board and within the limits of the approved JCI EDC budget Transactions on this bank account shall be carried out by the treasurer, but the Chairperson or the Growth & Development Director will have consulting authorisation. Article 4-3: Dues JCI EDC members as defined in Article 1-2 are required to pay annual dues based on the Membership registered with JCI on the 31st October the previous year Dues shall be calculated as a Euro ( ) amount per registered Member. The Euro amount shall be decided at the General Assembly of European National Presidents Meeting at World Congress on recommendation from the Treasurer in consultation with the Growth & Development Director Dues shall be paid no later than commencement of the General Assembly of European Presidents Meeting ( EPM, European Presidents Meeting which takes place in the first quarter of the year) National Organizations that have not paid their dues as per shall have no voting rights in matters relating to the JCI EDC and shall not have the right to present candidacies for the JCI EDC Board or the JCI European Presidents Meeting, until such time that the dues are paid in full. Article 4-4: The JCI EDC Budget The EDC Chairperson and EDC Treasurer shall prepare an annual Budget for approval by the National Organizations at the European National Presidents Meeting at World Congress The draft annual budget shall be sent to the National Organizations no later than three weeks before the commencement of the European National Presidents Meeting at World Congress. Article 4-5: Reimbursement of expenses to JCI EDC Board Members If funds are available, elected JCI EDC Board members may receive reimbursement of expenses incurred in carrying out responsibilities as specified in Articles Reimbursement is subject to the conditions in Sections The Chairperson and the Development Councillors are eligible for reimbursement for economy travel and hotel costs for travel undertaken for the purposes of JCI EDC as set out in Articles Such travel undertaken by the Development Councillors require advance approval from the Chairperson, and such travel undertaken by the Chairperson requires advance approval from the Secretary General or JCI EDC Board Elected JCI EDC Board members are entitled to the amount of the early bird registration fee for attending the JCI European Presidents Meeting and early bird registration fee for attending the JCI European Conference and early bird registration fee for attending the JCI World Congress- expenses for World congress will only be reimbursed in

7 case the EDC Board Member s expenses are incurred due to appointment by the Secretary General of JCI to carry out constitutional visits for affiliation purposes and to report to the admission committee at the World Congress. In addition to this, economy class travel expenses and hotel costs for the JCI EDC Chairperson or his representative from the JCI EDC board at these meetings and the World Congress will be reimbursed Reimbursements under this article will only be given provided that they are properly documented and only upon approval of reports and interim financial reports at National Presidents meeting following proper submission of the documentation for expenses. Article 4-6: The JCI EDC Finance Committee At the European National Presidents Meeting at World Congress, the National Organizations shall appoint JCI EDC Finance Committee to serve for the following year. It is the duty of the JCI EDC Finance Committee to review and report to the National Organizations on the draft JCI EDC budget, interim financial reports and the finalised financial accounts National Organizations shall appoint no less than three and no more than five representatives to serve on the JCI EDC Finance Committee. Representatives shall hold National office in the year of service. Only one representative may be appointed per National Organization. Each representative shall have one vote in the JCI EDC Finance Committee The JCI EDC Finance Committee shall be chaired by the Treasurer, who shall have no voting rights in the JCI EDC Finance Committee. Article 4-7: JCI EDC Grants Part of the JCI EDC budget may be allocated to JCI EDC Grants. The purpose of JCI EDC Grant is to support Local Organizations and National Organizations in achieving Membership growth and development. Projects or activities that are not directly aimed at establishing new Local Organizations/National Organizations or achieve Membership growth are not eligible for JCI EDC Grants and such applications shall be rejected JCI EDC members as specified in Article 1-2 have the right to apply for JCI EDC Grants, if the National Organization has been financial for the last two consecutive years and will be financial during the time the grant awarded project is running Founders of new Local Organizations or National Organization in countries where JCI is not currently present, may apply for funding for Local Organization/National Organization establishment provided that the application is co-signed and recommended by a Development Councillor or the Growth & Development Director or existing and financial (as per above) National Organisation Applications can be submitted to the Chairperson during the whole working year. Applications will only be deemed valid and will be considered by the EDC Board when submitted using the EDC Grant

8 application form. The completed Grant form should be sent to the Chairperson, accompanied by a detailed project budget. The application must be endorsed by the JCI Vice President assigned to the applicant or the Growth & Development Director. No more than 30% of the budget will be financed by the JCI EDC The JCI EDC Board shall have the sole right to decide on the distribution of JCI EDC Grants and the decision shall not be subject to appeal. The JCI EDC Board may approve a lower amount in JCI EDC Grants than that which was applied for. The JCI EDC Board shall notify all applicants of the results of their applications no later than one month after the submission of the application Applicants receiving JCI EDC Grants shall present a verbal final or interim report at the National President Meetings that will take place during the project as well as a written final report to the JCI EDC Board. The written report to the JCI EDC Board shall include financial statements. Upon request from the JCI EDC Board, the applicant shall present invoices or other documentation to verify the financial statements. JCI EDC Grants will not be paid until the final report has been approved by the JCI EDC Board. The completed report and financial statements should be presented within the period of one year after the approval of the Grant JCI EDC Grants shall not be allocated to projects showing a financial surplus. In the event a surplus is made, the JCI EDC Grant shall be reduced by the amount of the surplus The JCI EDC Board may at any time prior to approval of the final report revoke JCI EDC Grant for any of the following reasons: a) The project is aborted. b) The project extends the timeline provided in the application. c) The project deviates from the plan presented in the application. d) Any of the information provided in the application is revealed to be erroneous. e) The project is not finalised before December 31 of the year after the year that the grant was decided upon f) The National Organization shall send a complete written report (action and finances) within 2 months after the finalization of the project to the EDC chair. Article 4-8: JCI EDC Mini Grants Part of the JCI EDC budget may be allocated to JCI EDC Mini Grants. The purpose of an JCI EDC Mini Grant is to support Local Organizations and National Organizations in achieving Membership growth and development. Projects or activities that are not directly aimed at establishing new Local Organizations/National Organizations or achieve Membership growth are not eligible for JCI EDC Mini Grants and such applications shall be rejected. The JCI EDC Mini Grant can be used for e.g. transportation cost to bring a JCI Trainer in a National Organization, production of marketing material for a specific project or activity, booking fee of facilities, etc.

9 4-8-2 JCI EDC members as specified in Article 1-2 have the right to apply for JCI EDC Mini Grants, if the National Organization has been financial for the last two consecutive years and will be financial during the time the grant awarded project is running. Applications can be submitted all over the year Founders of new Local Organizations or National Organizations in countries where JCI is not currently present, may apply for funding for Local Organization/National Organization establishment provided that the application is co-signed and recommended by a Development Councillor or the Growth & Development Director or existing and financial (as per above) National Organisation The JCI EDC Board shall have the sole right to decide on the distribution of JCI EDC Mini Grants and the decision shall not be subject to appeal. The JCI EDC Board shall notify all applicants of the results of their applications no later than one month after submitting the application. The JCI EDC Mini Grant has a maximum Limit of 500,00. After the approval has been given, the JCI EDC Mini Grant is paid out. Original receipts shall be submitted to the EDC treasurer. The JCI EDC Mini Grant can either be paid to the applicant National Organization or directly to e.g. the trainer that s going to visit the applicant National Organization. The JCI EDC Mini Grant can be paid out in the beginning or during the project to be used as working capital Applicants receiving JCI EDC Mini Grants shall send a short 1 page written report to the JCI EDC Board after the project/activity has been conducted. The written report to the JCI EDC Board shall include financial statements. Article 4-9: JCI EDC Participation Grants Part of the JCI EDC budget may be allocated to JCI EDC Participation Grants. The purpose of a JCI EDC Participation Grant is to support JCI members in participating in relevant JCI gatherings. The Grant is to be used to cover the participation cost of such gatherings in case the member, his/her Local Organization or National Organization is not able to fund this participation fee JCI EDC members as specified in Article 1-2 have the right to apply for JCI EDC Participation Grants, if the National Organization has been financial for the last two consecutive years and will be financial during the current year Founders of new Local Organizations or National Organizations in countries where JCI is not currently present, may apply for funding for a JCI EDC Participation form provided that the application is co-signed and recommended by a Development Councillor or the Growth & Development Director or existing and financial (as per above) National Organisation The JCI EDC Board shall have the sole right to decide on the distribution of JCI EDC Participation Grants and the decision shall not be subject to appeal. The JCI EDC Board shall notify the applicants of the results of their applications no later than one month after submitting

10 the application. The JCI EDC Participation Grant has a maximum limit of 500,00. After the approval has been given, the Treasurer shall pay out the participation fee to the organising committee (upon presentation of the relevant invoice) or to the participant (upon presentation of the payment done) Applicants receiving JCI EDC Participation Grant shall do the following: 1. The EDC will provide the applicant with a list of events that the applicant has to visit, reporting what has been learned at the session and how this knowledge will help to grow and develop their National Organization. 2. An EDC Councillor will be appointed to accompany the applicant, including an overall pre-brief and an overall de-brief about the goals of the event and how each of the activities can be used to increase impact in the home community. 3. Applicants will have to send a final report by December 31 of the year of application(s), reporting how the attendance of international events has lead to success in the National Organization. Reported success can be defined as an increase in the impact of projects, the amount of partners or in the increase of membership. Failure to collaborate with the EDC on the above-mentioned points will result in a reimbursement request from the EDC Eligible applicants will not be granted more than two participation grants in one financial year, unless their participation to the relevant JCI activity is a constitutional requirement and their absence will cause disqualification from status and/or candidacy If no success is visible in the final report of December 31, as per the criteria laid out in 4-9-5, the participation grants will be put on hold for one year and no application can be sought in the next 12 months. Chapter 5: Meetings & Elections Article 5-1: Meeting Framework The JCI EDC shall hold no separate General Assembly or other meeting with National Organizations Issues relating to the JCI EDC and which require decision from or reports to National Organizations shall be handled within the framework of the National Presidents Meetings at the JCI European Presidents Meeting, JCI European Conference and JCI World Congress and form part of the agenda for these Meetings. JCI EDC Board Members engaged to such issues will have speaking rights in the meeting No separate roll call shall be made for JCI EDC-related agenda items, but if necessary the quorum shall be adjusted as per Section The JCI EDC Chairperson shall have speaking rights at all National Presidents Meetings. Article 5-2: JCI EDC Agenda Items The items specified in Sections shall be included in the

11 agenda of the respective Meeting. The Executive Vice President may, at his/her own discretion, include additional JCI EDC agenda items European National Presidents Meeting at World Congress General Assembly JCI EDC agenda items: a) Chairperson s final report on JCI EDC actions and results. b) Final reports of the Development Councillors. c) Amendments to the Guidelines of the JCI European Development Council (if any). d) Presentation of candidates for next year s JCI EDC Board. e) Elections to the JCI EDC Board. f) Introduction and vision of next year s JCI EDC Chairperson. g) Approval of next year s JCI EDC Draft Plan of Action. h) Approval of JCI EDC Plan of Action i) Approval of next year s JCI EDC Budget European Presidents Meeting ( EPM ) JCI EDC agenda items: a) Chairperson s report on JCI EDC actions and results. b) Interim JCI EDC financial report. c) Approval of the JCI EDC financial accounts of the previous year and discharge of the previous JCI EDC board. d) Amendments to the Guidelines of the JCI European Development Council (if any) European Presidents Meeting at the European Conference JCI EDC agenda items are: a) Chairperson s report on JCI EDC actions and results. b) Interim JCI EDC financial report. c) Amendments to the Guidelines of the JCI European Development Council (if any). d) Call for candidates for next year s JCI EDC Board. e) Amendments to the Guidelines of the JCI European Development Council (if any). Article 5-3: Elections All elections under Article 5-3 shall be by secret ballot and by simple majority vote Nominations for the position of Chairperson, Secretary General, Treasurer and Development Councillors shall be sent to the Growth & Development Director eight weeks before the commencement of the European National Presidents Meeting at World Congress. The nomination forms require original signatures and shall be sent either by regular mail, fax or courier. nominations will be accepted if the nomination forms are scanned with signatures and the original nomination forms are delivered to the Growth & Development Director before the commencement of the European National Presidents Meeting at World Congress In the event that less than the minimum number of nominations stated below have been received for any office, or in the event that the minimum number of candidates required has not been maintained following the official close of nominations, the EDC Chairperson may

12 extend the time for the filing of nominations for that office for a period to expire no later than 0900 hours of the day of the opening of the JCI World Congress. For the purpose of this section, the minimum number of nominations shall be: a. Two (2) for Chairperson b. Two (2) for Treasurer c. Six (6) for EDC Councillor Any JCI EDC Member National Organization may bid to organise the European Presidents Meeting. Such bidding shall be sent in writing to the Growth & Development Director no later than the 31th of December of the year preceding the year when the Local Organization would be bidding, together with detailed bid book which will include information about the meeting facilities, hotels, logistics and prices. A site inspection by the G&D Director shall be done between receipt of the bidding documents and the election The site and dates for a European Presidents Meeting shall be decided at the European conference held one and a half year prior thereto. Temporary Article: To cover the transition period , the selection of the 2017 European Presidents Meeting will still happen at the 2016 European Presidents Meeting. Article 5-4: Ballot The JCI EDC Board shall have the right to call an ballot on any issue to be decided by the National Organizations. The JCI EDC Board shall, in the event an ballot is called, appoint a JCI Staff officer (other than the Growth & Development Director), the JCI Executive Vice President or a JCI Vice President assigned to Europe to act as election scrutiniser A minimum of ten days from the date of the mailing shall be allowed for receipt of votes A two-thirds majority is necessary for adoption of a proposal submitted by ballot, and a minimum of fifty percent of the JCI EDC Member National Organizations must vote for the ballot to be valid. Chapter 6: Amendment to Guidelines & Dissolution of the JCI EDC Article 6-1: Waiving & Amending the Guidelines Any article of the Guidelines of the JCI European Development Council may be waived by a unanimous vote by the National Organizations, provided that two-thirds of the total quorum registered at the Meeting participates in the vote The Guidelines of the JCI European Development Council may be amended by a two-thirds majority vote by the National Organizations at the JCI European Presidents Meeting, JCI European Conference or JCI World Congress (First National Presidents Meeting) provided that at least half of the JCI EDC Member National Organizations are present.

13 Article 6-2: Dissolving the JCI EDC A decision to dissolve the JCI EDC can be made at any National Presidents Meeting by a two-thirds majority vote by the National Organizations provided that at least half of the JCI EDC Member National Organizations are present and that a motion to dissolve was sent to JCI EDC Member National Organizations no later than three weeks prior to the commencement of the Meeting In the event of the JCI EDC being dissolved, National Presidents Meeting shall decide where remaining funds shall be transferred to. Article 6-3: Validity of the JCI Constitution and Bylaws Any issue not explicitly covered by the Guidelines of the JCI European Development Council shall be governed by the JCI Constitution and Bylaws, when applicable. In case where there is a conflict between JCI EDC Guidelines and JCI Constitution and Bylaws, JCI Constitution and Bylaws shall be applicable. Article 6-4: Validity of the Guidelines The Guidelines of the JCI European Development Council are deemed valid as from and including the First World Congress JCI EDC Meeting in 2001 in Barcelona, Spain.
