1 CONSTITUTION OF THE IOWA FOOTBALL COACHES ASSOCIATION ARTICLE I NAME The name of the organization shall be The Iowa Football Coaches Association, Inc. ARTICLE II PURPOSES The purpose of this association shall be: a. To help maintain the highest possible standards in athletics and the coaching profession, and to work together for the improvement of conditions in Iowa interscholastic football b. To secure a better understanding of the problems of high school football coaching and to supply information to the coaches which hill help solve these problems. c. To endeavor to improve football, in all phases, by aiding the coaches in securing a more thorough understanding of the game of football and the techniques pertaining to it. (Especially the safety of participants) d. To establish a representative group of coaches, to which athletic problems of general interest may be referred, in hope of creating better relationships between coaches and schools. e. To promote good fellowship and social contacts among coaches f. To help in securing information on jobs and opportunities in the coaching field. g. To work with and cooperate in every way with the Iowa High School Athletic Association and their representatives. h. To full realize that the school administrators are the final word on athletic policy and that this organization will never attempt to circumvent their authority. i. To attack the problems which plague the football program in Iowa from a positive standpoint and with the best interest of the student always foremost in mind. j. To work with other organizations to bring about the best well rounded sports programs possible. ARTICLE III MEMBERSHIP There shall be two classes of membership in this association: individual and group.

2 Individual membership shall include any person interested in improving football in the state of Iowa Group membership shall include any school that is associated with Iowa high school or college football at any level, and would represent the association in a beneficial manner. Fiscal year of the association will be from January 1 to December 31. ARTICLE IV MEMBERSHIP FEE The annual membership fee shall be per annum for individual members The group membership fee shall be a special school rate: 4A school A school A school A- A- 8 man school College Youth Individual The membership fee will become due after January 1 of each year ARTICLE V VOTING Only members shall be allowed to vote Voting shall be either by voice or ballot ARTICLE VI OFFICERS A vice- president, who will be president- elect, shall be elected from and by the Board of Directors of the association. The president- elect will serve two years as president- elect and then become president. The president- elect shall be elected at the fall meeting during the IHSAA playoffs.

3 All members of the Board of Directors are eligible unless a member chooses to decline. Voting for president- elect will be done by secret ballot of the Board of Directors. An executive secretary shall be appointed by the Board of Directors. His duties will be that of Secretary- Treasurer of the organization. This person shall be paid an annual fee as determined by the Board of Directors. ARTIUCE VII DUTIES OF OFFICERS It shall be the duty of the President to preside at all meetings and appoint the committees needed to run the organization efficiently. The president- elect shall preside when the president is absent It shall be the duty of the executive secretary to: - Supervise all correspondence - To maintain a membership roster - To send notices of all meetings - Attend to all finances of the association - Prepare a detailed financial report to the board of directors at the end of each fiscal year - He shall be the prime mover of this association ARTICLE VIII THE BOARD OF DIRECTORS The board of directors shall consist of the President, President- Elect, Executive Secretary, Part Presidents, and 18 regional directors. The regions shall be 5 in number: Northeast 3 Northwest 3 Southeast 3 Southwest 3 Central 3 At Large 3 a. Regions shall correspond with those used by the IHSAA in 2000 b. All past presidents act in an advisory capacity and are voting members c. Effort for representation of different classifications on the board will be attempted

4 SECTION 5 SECTION 6 SECTION 7 SECTION 8 The election of the 18 regional directors (3 from each district) shall be made prior to the first day of March. Regional Directors shall serve for three years. Each man will serve his full three years with only 1/3 of the board coming up for re- election in any one year. The chairman of the board of directors shall be the President of the coaches association. The secretary of the board of directors shall be the executive secretary Should a director move into another region he shall continue to be in office until his term expires Should a member of the board leave the coaching profession his term on the board shall be filled by the president naming a qualified member of the association from the region where the vacancy occurred. a. the board of directors shall have complete control and management of the affairs, funds, and property of the association. b. The board of directors shall have the option to hire and set the salary of the executive secretary c. A detailed report of the finance committee should be sent to each board member at the end of the fiscal year. d. The board of directors shall have the option to hire and set the salary of the web site coordinator for the association ARTICLE IX COMMITTEES The president shall have the power to appoint any necessary committees of the running of the organization.

5 ARTICLE X ELECTION OF OFFICERS The president elect of the Iowa Football Coaches shall be elected from the board of directors. All members of the board are eligible unless a board member chooses to decline. Election of the president shall take place by ballot by mail the first of November The candidate who receives the majority of votes cast for president elect shall be declared elected. Election of the Board of Directors shall take place by mail ballot in January. Members who receive the majority of votes cast will be elected. ARTICLE XI MEETINGS Regular meetings of the board of directors shall be held at the following times and places: a. #1: IFCA Clinic - Altoona b. #2: Summer Meeting first Sunday June - Altoona c. #3: Shrine Bowl Game Day July d. #4: IHSAA State Finals Cedar Falls - November Order of Business a. Call to order by president b. Reading and disposal of any unapproved minutes c. Report of committee chairman d. Report of board of directors e. Unfinished business f. New business g. Adjournment A quorum shall consist of the active members present if due notice has been given of the meeting. ARTICLE XII The president may appoint new board members from any district when it is opinion of the majority of the board of directors that the director is not fulfilling his duties as a director. (Poor attendance at meetings should be an indicator)

6 ARTICLE XIII The board of directors will appoint a web site coordinator to update and oversee the IFCA website. The appointee will maintain the domain name, server site, and update the pages of the website at the request of the IFCA board of directors. ARTICLE XIV AMENDMENTS Any proposed amendment shall be submitted in writing to a member of the board of directors. The proposed amendment shall be submitted to the board members at a regular meeting. A ¾ majority of those board members present shall be necessary for the adoption of said amendment. ARTICLE XV ADOPTION OF REVISED CONSTITUTION The revised constitution shall be read at the board of directors meeting of association and adopted by a vote of the members present with the approved changes recommended by the group present.
