4 Article I Name and Emblems Section A. State Name The name of this state organization shall be Nu State, District of Columbia of The Delta Kappa Gamma Society International. Section B. Chapter Name Each chapter of Nu State shall be designated by a Greek letter or a combination of Greek letters. Each Nu State chapter shall be named by the state organization. Section C. Emblem, Anthem and Official Jewelry The Nu State Organization and its chapters shall promote the use of the Society s emblems the key which is the official symbol of membership; the official seal and the coat of arms; the Society s Anthem which is the song composed by Dr. Annie Webb Blanton and Mrs. Cora M. Martin; and, the Society s official jewelry the keypin, the state and chapter president s pin, and founder s pin. Article II Mission and Purposes Nu State of the District of Columbia shall promote the Society s Charter Objective, Mission Statement and Purposes as stated in the Constitution, Article II, Sections A-D. Section A. Charter Objective This corporation is formed for educational and benevolent purposes, particularly for extending aid to women teachers and students by means of founding scholarships for study, for developing loyalty and high ideals in the teaching profession, and for conferring distinction upon women members of the teaching profession. Mission Statement The Delta Kappa Gamma Society International promotes professional and personal growth of women educators and excellence in education. Section C. Vision Statement Leading Women Educators Impacting Education Worldwide Section D. Purposes The Purposes of The Delta Kappa Gamma Society International shall be 1. to unite women educators of the world in a genuine spiritual fellowship; 3

5 2. to honor women who have given or who evidence a potential for distinctive service in any field of education; 3. to advance the professional interest and position of women in education; 4. to initiate, endorse, and support desirable legislation or other suitable endeavors in the interests of education and of women educators; 5. to endow scholarships to aid outstanding women educators in pursuing graduate study and to grant fellowships to non-member women educators; 6. to stimulate the personal and professional growth of members and to encourage their participation in appropriate programs of action; and 7. to inform the members of current economic, social, political, and educational issues so that they may participate effectively in a world society. Section E. Nu State Objectives In addition to promoting the Charter objective, Mission Statement, Vision Statement, and Purposes of The Delta Kappa Gamma Society International, Nu State shall address the following objectives: 1. to act as liaison between chapters and the international organization, other member states and the regions of The Delta Kappa Gamma Society International; 2. to provide leadership training for state and chapter members; to initiate action, when appropriate, in support of local and national legislation relating to education and other relevant issues; and, 3. to organize new Delta Kappa Gamma chapters within the District of Columbia. Article III Membership All matters of Nu State membership shall be in accordance with the Constitution, Article III, Sections A-F. Section A. Membership 1. Membership in Nu State of The Delta Kappa Gamma Society International shall be by invitation only. 2. A member initiated into Nu State becomes a member of a chapter and The Delta Kappa Gamma Society International. A member is initiated only once. 3. Chapter membership shall be determined by members of the chapter. 4. Membership records shall be kept at the chapter level. 5. Nu State Membership Committee shall recommend to the Nu State Executive Board an individual for state honorary membership. 4

6 Section B. Classification The membership of Nu State shall be composed of active, reserved and honorary members. 1. An active member shall be a woman who is employed as a professional educator at the time of her election or has been retired from an educational position. An active member shall participate in the activities of the Society. 2. Reserve membership shall be granted only to a member who is unable to participate fully in the activities of the chapter because of physical disability and/or geographic location. 3. An honorary member shall be a woman not eligible for active membership who has rendered notable service to education or to women, and is elected to honorary membership in recognition of such service. Section C. Election A candidate for honorary membership at the state organization level shall be elected by a four-fifths (4/5) vote of the Nu State Executive Board. Section D. Transfer A member in good standing may transfer from one chapter to another upon notification to Nu State and Society Headquarters. Section E. Termination of Membership 1. Membership in the Society is terminated for non-payment of dues and fees, resignation or death. 2. Chapter treasurers shall notify the Nu State treasurer and membership chair regarding the name of the member whose membership is to be terminated. Section F. Reinstatement A former member shall be reinstated to membership by the chapter receiving the request and payment of annual international, state and chapter dues. Article IV Finances All of Nu State s financial matters shall be in accordance with the Constitution, Article IV, Sections A-F. Section A. Annual Dues Each Nu State active and reserve member shall pay annual dues. 1. International dues shall be an amount recommended by the Executive Board of DKG and approved by the international convention. 5

7 2. Nu State dues shall be an amount recommended by its Executive Board and approved by majority of members present at the state convention. 3. Change in the amount of state annual dues may be made at any annual convention, provided it is made in compliance with the provisions for amending Nu State Standing Rules. Section B. Fees The initiating unit of Nu State shall pay a lifetime fee for each honorary member. Section C. Financial Assessments Financial assessments may be levied only by the chapter. Section D. Other Income The Nu State Organization and its chapters shall receive and utilize income from sources other than dues and fees including but not limited to gifts, bequests, and royalties in accordance with policies in the International Standing Rules and the Nu State Standing Rules. Section E. Funds The Nu State Organization and its chapters shall maintain the following funds: 1. The Available Fund At each level this fund shall be the operating fund and shall require a budget. 2. The Scholarship Fund a. The Nu State organization shall maintain a scholarship fund for the benefit of its members. A chapter may maintain a scholarship fund. b. The scholarship fee paid by a member shall be divided as follows: (1) twenty percent (20%) to the international fund (2) eighty percent (80%) to the state organization fund if the chapter does not maintain a chapter scholarship fund or twenty percent (20%) to the state organization fund if the chapter does maintain a chapter scholarship fund (3) sixty percent (60%) retained by the chapter having a chapter scholarship fund. c. Nu State shall maintain two (2) scholarship funds the Nu State Scholarship Fund and the Carole Sudwarth Scholarship Fund. Rules governing the two scholarship funds shall be recommended by the Nu State Scholarship Committee and approved by the Nu State Executive Board. 3. The Permanent Fund a. The Nu State Organization shall set aside for its Permanent Fund twenty-five percent (25%) of its initiation fees and annual dues until the total of the 6

8 current assets in its Permanent Fund is not less than thirty percent (30%) of its Available Fund annual income, at which time its Executive Board may reduce or discontinue further allocations. b. Interest income from the Nu State Permanent Fund shall be allocated to the Nu State Available Fund when received. Proceeds from the sale of Nu State Permanent Fund assets shall be added to the principal of the Nu State Permanent Fund. c. The principal of the Nu State Permanent Fund shall be used for the following: (1) purchasing initiation paraphernalia; (2) purchasing articles and equipment of a permanent nature; d. On recommendation of the Nu State Finance Committee, interest income from the Nu State Permanent Fund may be retained in the permanent fund by vote of the Nu State Executive Board. e. Expenditures from the Nu State Permanent Fund shall be approved by the Nu State Finance Committee and authorized by the Nu State Executive Board. f. Expenditures from the state organization fund shall be authorized by the state executive board. Section F. Financial Accounting 1. Fiscal Year The fiscal year of Nu State and its chapters shall be July 1 -- June 30 inclusive. 2. Budget a. The Nu State Finance Committee and each Nu State Chapter Finance Committee shall prepare its Available Fund budget annually. Each budget shall enumerate sources of dues and non-dues revenue and shall include expenditure categories. b. At the spring meeting of each executive board, proposed budget shall be reviewed and adopted. c. All proposals for a state project or activity which will require state funding shall be approved by the Nu State Executive Board before the project or activity is initiated. d. All expense vouchers for an approved state project or activity shall be authorized and signed by the Nu State president and submitted to the Nu State treasurer for payment. 3. Audit a. Nu State Organization (1). The financial records of Nu State shall be audited annually by an external certified public accountant and/or reviewed by the state finance committee. 7

9 (a) The audit report shall be reviewed and adopted by the Nu State Executive Board. 4. Reimbursement for participation in official Society activities shall be provided for specified Nu State Officers in accordance with the recommendations of the Finance Committee and the approval of the Nu State Executive Board. Article V Organization Section A. Levels of Organization The business of the Society shall be conducted by the organization on three (3) levels. The three (3) levels of organization shall be chapter, state organization, and international. 1. The term chapter shall designate the local unit. 2. The terms state and state organization shall designate states, territories, provinces, and countries where The Delta Kappa Gamma Society International is organized. 3. The terms International and Society shall designate the overall organization with the total membership. Section B. Chapter Level 1. Chapters shall be organized in accordance with Nu State Bylaws and Standing Rules. Each chapter so organized shall have no fewer than twelve (12) members. The Society shall grant the charter. 2. Charter members shall be those who become members of the chapter at the time of installation of the chapter. Any member who transfers her membership to the new chapter at the time of its installation becomes a charter member of the new chapter. 3. Each chapter shall have rules which are consistent with the Constitution, Nu State Bylaws, and Standing Rules. Chapter rules will be checked by the Nu State Rules Committee. The organization of new chapters shall be in accordance with Nu State Bylaws and Standing Rules. The Membership Committee shall submit to the Nu State Executive Board any recommendations for new chapters. The Executive Board shall approve by four- fifths (4/5) vote the organizing of a new chapter. Section C. State Organization Level 1. Nu State Organization shall consist of chapters within the state and members holding a membership within the state. 2. Nu State shall have members who have accepted the responsibilities inherent to the successful functioning of the Nu State Organization. 8

10 3. Nu State organization shall have no fewer than forty members of whom twelve to sixteen may be founders. 4. Nu State Organization shall have bylaws which are consistent with the Society s Constitution for the governance of the state organization and its chapters. The submission of state bylaws to the DKG Constitution Committee shall be the responsibility of the State President. Article VI Officers and Related Personnel Section A. Officers 1. Elected Nu State Officers, all of whom must be members of the Society, shall be a president, a first vice-president, a second vice-president, recording secretary, a corresponding secretary; and a treasurer who shall be a member the Society, and selected by Nu State Executive Board. 2. Nu State Chapter Officers a. Chapter officers, all of whom must be members of the Society, shall be a president, a vice president, a secretary, plus the option of a second vicepresident and/or corresponding secretary: and b. A treasurer who shall be a member of the Society shall be selected by the chapter executive board. c. The first vice-president at the state level shall succeed to the presidency at the next regular election of state officers and shall have served or be serving as chapter president Section B. Related Personnel 1. Nu State Organization State organization officers all of whom must be members of the Society shall be defined in the Nu State organization bylaws or standing rules. It is desired that the appointed parliamentarian be a member. 2. Nu State Chapters Chapter officers, all of whom must be members of the Society, shall be defined in the chapter rules. It is desired that the appointed parliamentarian be a member. Section C. Duties 1. Presidents: Nu State and Chapters a. The president at each level shall (1) act as presiding officer at regular and called meetings and direct the activities of the organization; (2) act as chair of the respective executive board; 9

11 (3) appoint a parliamentarian; (4) appoint standing and special committees (e.g., ad hoc, task force); (5) serve as member ex officio, with vote, on all committees except nominations; (6) approve for payment all expense claims; (7) approve publications; (8) fill by appointment all vacancies; (9) represent the Society at meetings, conferences, and other events; and; (10) take action, with the advice and approval of the respective Executive Board, on matters that cannot be deferred until the next convention or meeting. b. The Nu Sate Organization President shall (1) serve as a member of the International Executive Board; and (2) oversee development of procedures for the state convention. c. The Nu State Organization and chapter presidents shall (1) serve ex officio, with vote, on the respective levels in the process of budget development and supervision; and (2) execute with their respective treasurer, legal documents pertaining to their level of organization. A legal document may be executed only when it has been authorized by a state organization convention or the respective executive board. d. Chapter presidents shall serve as members of Nu State Organization Executive Board. 2. Vice-presidents: Nu State Organization and Chapters a. First vice-president The first vice-president at each level shall serve as presiding officer in the absence of the president. In the event of the resignation or death of the president, she shall succeed to the presidency and serve until the next regular election of officers. The first vice-president shall perform other duties as the president or the executive board shall assign to her. b. Second vice-president: Nu State Organization and chapters The second vice-president at the state level (chapters optional) shall serve as presiding officer in the absence of both the president and the first vice-president; she shall succeed to the office of first vice-president and serve until the next regular election of officers. The second vice-president shall perform such other duties as the president or the executive board shall assign to her. 3. Secretaries: Nu State Organization and Chapters 10

12 a. The recording secretary shall keep minutes of each meeting and furnish the president with a copy of such minutes. She shall serve as secretary to the respective executive board. b. The corresponding secretary shall carry on such correspondence as may be delegated to her by the president. 4. Treasurer Nu State Organization and Chapters a. The treasurer at each level shall (1) receive and pay out all moneys belonging to the organization; (2) keep an accurate account of receipts and expenditures; (3) maintain a record or receipts, bills, and bank statements; (4) present a report at each regular meeting; (5) file required tax report (6) submit for annual audit/financial review the accounts of the organization; (7) serve as member ex officio of the respective executive board; and (8) serve as a consultant in the process of budget development and supervision of finances. b. Nu State treasurer shall provide information necessary for a fidelity bond, for an amount specified by Nu State Organization bylaws and/or standing rules, the cost to be paid by Nu State. c. The chapter treasurer shall follow appropriate procedures to ensure the safety and proper handling of chapter moneys as established by the chapter finance committee. 5. Parliamentarian appointed The parliamentarian at the state and chapter level shall a. act as advisor to the officers and the members of her organization in matters pertaining to interpretation of the Constitution and to parliamentary usage; and; b. serve as a member ex officio, without vote, on the respective executive board. Section D. Election and Term of Office 1. Nu State Organization a. The state organization officers, except the treasurer and parliamentarian, shall be elected by the state organization convention in odd-number years. b. Election shall be in accordance with state organization bylaws. c. The term of each elected officer shall be two (2) years or until a successor is named. No officer except the treasure may serve in the same office longer than two (2) terms in succession. Officers shall take office on July 1 following their election. d. The treasurer shall be selected by the executive board. 2. Nu State Chapters 11

13 a. The chapter officers, except the treasure, shall be elected in even numbered years. b. The term of each elected officer shall be two (2) years or until successor is named. No officer except the treasure may serve in the same office longer than two (2) terms in succession. Officers shall take office on July 1 following their election. c. The treasurer shall be selected by executive board each biennium. Section E. Vacancies: Nu State Nu State Organization and chapters In the event that a member holding an elective or appointed position at the state organization or chapter level is unable to perform her duties, the position shall be declared vacant by the respective officers, and a successor named by the state organization or chapter president. Section F. Nominations and Elections 1. State Nominations Committee a. At the time of chapter elections, each chapter shall select one of its members to be its representative for the nominations committee. b. The state president shall appoint the chairman of the committee from among the chapter nominations representatives.. Article VII Executive Board and Executive Committee Section A. State Organization Executive Board 1. The members of the Nu State Organization Executive Board shall be the elected officers, the immediate past Nu State president, the chapter presidents and such other voting or non-voting members as shall be determined by the organization. The treasurer and the parliamentarian shall be members ex officio, the parliamentarian without vote and the treasurer also without vote if under remunerative contract for her services. 2. Duties of the Nu State Organization Executive Board The Nu State Organization Board shall a. Recommend policies and procedures for consideration by the state organization convention or the chapters; b. examine, modify if necessary, and adopt the state organization budget; c. select the treasurer, and such other personnel as may be needed, prescribe their duties and determine their terms of office; 12

14 e. establish the procedures for budget development and approval and for the supervision of state organization finances; f. approve dates and sites of state organization meetings; and act in the interim between conventions upon matters requiring immediate decision. Section B. Nu State Executive Committee Nu State may have an executive committee composed of the elected officers (president, 1 st Vice President, 2 nd Vice President, Recording Secretary, and Corresponding Secretary) to act for the Executive Board between Board meetings. Article VIII Committees Section A. Committee Structure 1. Nu State a. Standing Committees (1) Society Business Communications and Publicity By Laws/Rules Finance History and Archives Humanities and Arts Leadership Development Membership Nominations Non Dues Revenue (2) Society Mission and Purposes Educational Excellence Scholarship World Fellowship b. Elected Committees (1) Chairpersons of Nu State Finance and Nominations Committees shall be elected at the state conventions in even-numbered years. (2) The members of each of the elected committees shall consist of one member from each chapter. The nominees shall be elected by a majority vote and shall serve no more than two consecutive terms on the same committee. a. The state organization president is a member ex officio on all committees, except nominations. 13

15 c. Appointed Committees (1) The following committees shall be appointed by the president: Communications and Publicity Bylaws and Rules Educational Excellence History and Archives Humanities and Arts Leadership Development Membership Non Dues Revenue Scholarship World Fellowship. Each appointed committee shall be composed of one (1) member from each chapter, one of whom shall be appointed chair by the state president. A member shall serve no more than two (2) consecutive terms on the same committee. (2) Special committees (e.g., ad hoc, taskforce) may be appointed by the president at any time with the written authorization of the Executive Board. Authorization may be given at any time during the biennium. Members will be appointed on the basis of expertise as determined by the needs of the committee. d. Committee responsibilities Reports of committee work accomplished shall be prepared on forms supplied by Society Headquarters. (l) Overall responsibilities of each committee shall be given in the committee description. (2) Proposed committee projects that require funding shall be submitted to the Finance Committee for consideration in the budget. (3) Statements of expenses incurred in the performance of committee duties shall be submitted to the president for approval. (4) Official committee meetings may be face-to-face or through electronic communications. Section B. Society Business 1. Communications and Publicity Committee - appointed a. The committee shall provide the linkage of member to member, chapter to Nu State and Nu State to international; encourage communication with external groups; and suggest ways to market and promote the Society. 14

16 b. The committee shall coordinate the preparation, editing and dissemination of Nu State publications: 1. The Nu State Organization shall publish Bylaws and Standing Rules, Newsletters, directories and supplements to the directories. a. Amendments to the Nu State Organization Bylaws shall be published and distributed by December of odd-numbered years. b. Amendments to the Nu State Standing Rules shall be published and distributed by December of odd and/or even-numbered years. c. Nu State Organization newsletter shall be published and distributed to each member at least twice a year. d. The Nu State Directory shall be published and distributed during the first years of each state biennium. A supplement to the Nu State organization Directory shall be published and distributed to each member during the second year of the State biennium. 2. Any plan for other Nu State publications (i.e., program booklets, committee reports, workshop materials) shall be approved by the Nu State president and submitted to the Nu State Executive Board for financial approval. 3. Any official material to be published by the Nu State Organization or by a Nu State chapter for distribution outside of the Nu State Organization shall be submitted to the Nu State president for review before publication. 4. The respective presidents at the state and chapter levels shall approve all publications. Section C. Rituals and Ceremonies Examples of initiation and installation ceremonies, provided by the Society, may be adapted to meet the needs of the Nu State Organization and its chapters. Section D. Electronic Communication 1. Nu State Organization and its chapters may use a variety of Communications. 2. Nu State Organization and its chapters may establish and maintain various Types of electronic communications to facilitate meetings and to Communicate with members. 2 By-Laws and Rules - appointed a. The committee shall receive all proposals for amending the Bylaws and standing rules make recommendations for changes to the Executive Board and present approved proposals to the Nu State Convention for vote. b. The committee shall conduct ongoing review of the Nu State Bylaws and Nu State Standing Rules. 15

Finance - appointed The committee shall propose guidelines for approval by the Executive Board with respect to the investment of funds, prepare the Available Fund budget for adoption by the Executive Board, and provide for an annual audit. 4. Leadership Development- appointed a. The committee shall be composed of one (1) member from each chapter plus a chair. b. The committee shall provide Society leadership training for chapter and state leaders. c. The committee shall plan state workshops and seminars to provide education and guidance on contemporary educational issues. 5. Membership - appointed a. The committee shall study and make recommendations related to membership issues and challenges. b The committee shall prepare the necrology for presentation at each Nu State Convention. c. The committee shall receive and evaluate the recommendations of persons proposed for honorary members and submit the names of qualified candidates to the International and Nu State Executive Boards for vote. d. The committee will conduct the initiation of new members at the state convention. 6. Nominations appointed a. The committee shall oversee all Nu State nominations and elections. b. The committee shall prepare a slate of officers, after securing the consistent of the nominee, submitting only one name for each office. c. The committee shall conduct all state elections presenting the slate, preparing the ballots and overseeing the voting procedure. 7. Humanities and Arts appointed The committee shall facilitate the participation of Nu State members in the DKG Fine Arts Gallery by publicizing dates for submissions and keeping membership informed of all arts-related activities involving DKG and Nu State District of Columbia. Section E. Society Mission and Purposes Committees 1. Education Excellence First Vice President serves as Educational Excellence Chairperson a. The committee shall identify long-term and short-term programs and projects that focus upon topics adopted by the Society. b. The committee shall support programs of action that promote the personal wellbeing, intellectual growth, and global awareness of women educators; 16

18 encourage a focus on the arts at Nu State Conventions; and develop strategies that will enable chapters to encourage members to become leaders. c. The committee shall encourage chapters to participate in programs that promote professional growth of women educators. d. The committee shall study and recommend action on professional issues and shall urge the state organizations to initiate, endorse, and support desirable legislation or other suitable endeavors in the interest of education and of women educators. 2. Scholarship Committee appointed a The committee shall select the recipients of Nu State scholarships for graduate study and promote interest in and support for the scholarships. b. according to the International Standing Rules [SR 13.6]. The committee shall follow the basic requirements for scholarships 3. World Fellowship Committee - appointed The committee shall follow guidelines according to the Constitution and International Standing Rules. [SR13.7] Article IX Meetings Section A. Nu State Organization Meetings 1. Nu State Executive Board a. Meetings of the Executive Board shall be held at least twice annually. The spring meeting shall be the state convention. b. Chapter presidents who are unable to attend the executive board meeting may appoint an official designee who shall have full privileges of participation. b. A quorum shall be a majority of voting members of the board. Each voting member shall be entitled to one (1) vote. d. There shall be no proxy voting. e. The executive board may transact business by mail (postal or electronic). 2. Nu State Conventions a. Nu State shall hold its state convention annually in the spring. The date and site shall be determined by the executive board. b. A quorum for the business meeting shall be a majority of the members who have registered at the convention. c. Any member attending the convention may make motions, enter discussions and vote. 17

19 d. A roll call vote shall be taken when sustained by a majority vote of those present. 3. Nu State Business a. The business of Nu State shall be conducted at annual conventions and or meetings including receiving reports, adopting policy, acting on Nu State Standing Rules and other business which may properly come before membership. b. At conventions held in odd-numbered years, the business shall include electing officers, and when needed, amending Nu State Bylaws and approval of state organization budget. Article X Parliamentary Authority The rules contained in Robert s Rules of Order Newly Revised (current edition) shall govern Nu State Organization and its chapter proceedings in all instances in which the authority is not inconsistent with the Constitution, the International Standing Rules, the Nu State Bylaws and the Nu State Standing Rules. Article XI Amendments Section A. Amendments to the Nu State Bylaws 1. Proposals for amending the Nu State Bylaws may be considered every two (2) years. 2. Proposals for amending a. may be submitted to the chair of the Nu State Bylaws/Rules Committee by any member, committee, board or chapter; b. shall be submitted on forms provided by the Bylaws/rules Committee; c. shall be accompanied by a statement of fiscal impact on current and future budgets confirmed by the Finance Committee; and d. shall be studied by the Bylaws Committee and recommendations for changes submitted to the Nu State Executive Board for approval by a two-thirds vote, before the recommendations are submitted to a vote at the Nu State Convention held in odd-numbered years. 3. Notification of proposed amendments to be voted upon at the Nu State Convention shall be presented to the membership at least thirty (30) days before the Nu State Convention held in odd- numbered years. 4. Approval by two-thirds (2/3) of the votes cast, a quorum being present, 18

20 shall be required for the adoption of an amendment to the Bylaws. 5. The adopted amendments take effect immediately upon adoption unless a proviso states otherwise. Section B. Amendments to the Nu State Standing Rules 1. Proposals for amending the Nu State Standing Rules may be considered at any Nu State Convention. 2. Proposals for adopting, amending, or rescinding standing rules may be submitted to the Bylaws/Rules Committee by any Nu State member, committee, board or chapter on forms provided by the Bylaws/Rules Committee. 3. Proposals submitted to the Bylaws/Rules Committee shall be accompanied by a statement of fiscal impact on current and future budgets confirmed by the Finance Committee. 4. Proposals will be studied and edited by the Bylaws/Rules Committee before presentation to the Nu State Executive Board for review. 5. Proposed amendments shall be presented to the Nu State membership in print form at least thirty (3) days before the Nu State Convention (with the recommendation of the Nu State Executive Board to adopt, to not adopt, or no recommendations. 6. Vote for adoption a. A standing rule may be adopted, amended or rescinded by a majority vote, a quorum being present, if the notice of the proposed change was published at least thirty (30) days before the Nu State Convention. b. A standing rule may be adopted, amended, or rescinded by a twothirds (2/3) vote, a quorum being present, if the notice of the proposed change was not published. 7. The adopted amendments will take effect immediately upon adoption unless a proviso states otherwise. Section C. Revision The Nu State Bylaws may be revised upon authorization by the Nu State Convention upon the recommendation from the Nu State Executive Board. 1. Preparing and presenting an authorized revision shall be the duty of the State Bylaws Chairperson and the Bylaws/Rules Committee with representatives from each chapter. 2. The proposed revision shall be distributed to the members no later than thirty (30) days prior to a Nu State Convention. 3. If a revision is authorized, there shall be no other amendments proposed to 19

21 the existing Bylaws. Article XII Dissolution A. In the event of the dissolution of the Society and/or Nu State, the net assets of the corporation shall be distributed as follows: 1. Upon final dissolution or liquidation of the corporation, and after discharge. or satisfaction of all outstanding obligations and liabilities, the remaining assets of the corporation shall be dissolved in accordance with the incorporation statutes of the District of Columbia, the political entity by which Nu State Organization was chartered. 2. In the event of the dissolution of a chapter, the Nu State Organization provides the following a. The approval of the Nu State Organization must be obtained before a chapter is dissolved. b. Careful consideration shall be given to the manner in which those desiring to maintain membership transfer to other chapters. International procedures must be followed. c. Any remaining funds in the chapter account shall be sent to the Nu State Organization treasurer and deposited in the available fund. d. Chapter paraphernalia, Society publications, and chapter records shall be retained in the Nu State archives and made available for use. e. The charter must be returned to Nu State to be forwarded to the Society Headquarters. f. The Nu State Executive Board shall decide whether the chapter name shall be reused. 20
