1 Larkfield Football Club Constitution The Club shall be called Larkfield Football Club, incorporating Larkfield Boys, Juniors, Youth, FC and Girls. The objects of the Club shall be to arrange association football matches and social activities for its members. Status of the rules These rules form a binding agreement between each member of the Club. Rules and regulations The Club shall have the status of an Affiliated Member Club of The Football Association by the virtue of its affiliation to/membership of The Football Association. The Rules and Regulations of the Football Association Limited and parent County Association and any League or Competition to which the Club is affiliated for the time being shall be deemed to be incorporated into the Club Rules. No alteration to the Club Rules shall be effective without prior written Approval by the parent Association. The Club will also abide by The Football Association s Child Protection Policies and Procedures, Codes of Conduct and the Equal Opportunities and Anti-Discrimination Policy Club Membership The members of the Club from time to time shall be those persons listed in the register of members (the Membership Register which shall be maintained by the Club Secretary). All managers & assistant managers, (Team Administrators) of the teams are automatically members if the club. Membership shall consist of players/persons resident in Larkfield or its environs that are accepted by team managers into the teams representing the club and non-playing members shall comprise of the parents and/or guardians of the persons. These members are non-voting members. Any person who wishes to be a member must apply on the Membership Application Form and deliver it to the Club. Election to membership shall be at the discretion of the Team Administrators. Membership shall become effective upon an applicant s name being entered in the Membership Register. (In the event of a member s resignation or expulsion, his or her name shall be removed from the Membership Register. The Football Association and parent County Association shall be given access to the Membership Register on demand. Annual Membership Fee The Executive Committee shall determine an annual fee payable by each player member from time to time. Any fee shall be payable in a successful application for membership and annually by each member. Fees shall not be repayable unless in exceptional circumstances agreed by the Executive. The Executive Committee shall have the authority to levy further subscriptions from the Page 1 of 5

2 7. 8. members as are reasonably necessary to fulfill the objects of the Club. The annual fee for the coming season shall be 15 per player and/or 25 for family membership. Match fees shall be 3 per player per match. An option shall be available for players/parents to pay for League & Cup match fees up front at the start of the season. As teams in different leagues/divisions will play a different number of league games, the fee payable shall be: i. The correct amount to cover all league games to be played in the season in their respective leagues/divisions (as advised by the players manager) PLUS ii. A fee of 6, which will cover the first 2 rounds of cup competitions(either 2 rounds of the Challenge Cup or 1 round of the Challenge Cup & 1 round of the Consolation Cup). If teams progress further than 2 rounds of cup competitions, match fees of 3 per player for every further round played will be required. The team & manager in question shall pay all fines incurred by the team & manager. An appeal can be made to the Fine Committee within 7 days of the charge. The Fine Committee shall rule on the appeal and the Fine Committee s decision shall be final. The fee for entering summer tournaments shall be equal to the cost of entering the respective tournament. The fee is to be paid to the Secretary or Treasurer before the team is entered into the tournament. The training funds collected by any team not yet playing League football shall be reimbursed to the club until the end of May prior to them playing League football in September. Resignation and Expulsion A member shall cease to be a member of the Club if, and from the date on which, he/she gives notice to the Club Committee of the resignation. A member whose annual membership fee or further subscription is more than 2 months in arrears shall be deemed to have resigned. The Club Committee shall have the power to expel a member when, in their opinion, it would not be in the interests of the Club for them to remain a member. There shall be no appeal procedures. (A member who resigns or is expelled shall not be entitled to claim any, or a share of any, of the Club Property. Committees The club will consist of two committees: 1) Executive Committee 2) Sub-Committee established by the Executive for affective & efficient running of the Club. The Executive Committee shall consist of the following Club Officers: Chairperson, Vice Chairperson, Treasurer, Secretary and plus other members to a total of not less than 9, elected at an Annual General Meeting to fulfill positions for Sub-Committees and positions the Club feels necessary. The property and or assets of the club as custodians shall be vested in the executive. The Executive will decide on all matters of finance, social and fund raising, supply and issue of equipment, team kits, equipment and other items for the club. In addition to producing and following a Club Strategy Plan. The Sub-Committee shall consist of the Following Officers: Chairman (who must hold a Page 2 of 5

3 h) j) 9. i ii iv) position on the Executive Committe, Vice Chairman, Minutes Secretary and other members, elected by the Sub-committee at any time to fulfill positions required to complete the role & responsibilities set out by the Executive. Each Executive Officer and Committee Member shall hold office from the date of appointment until the next Annual General Meeting unless otherwise resolved at a Special General Meeting. The Executive Committee shall be responsible for the Management of all the affairs of the club. Decisions of the Executive Committee shall be made by a simple majority of those attending the Executive Committee meeting. The Chairperson of the Executive Committee meeting shall have a casting vote in the event of a tie. Meetings of the Executive Committee shall be chaired by the Chairman or in their absence the Vice Chairman. The Quorum for the transaction of business of the Executive Committee shall be 60 % of the committee. The Sub-Committee s shall be responsible for the management of all the affairs of the Club relating to their specialist role, as designated by the Executive. Decisions of the Sub- Committee s shall be made by a simple majority of those attending the Sub-Committee s meeting. The Chairperson of the Sub-Committee s meeting shall have a casting vote in the event of a tie. Meetings of the Sub-Committee s shall be chaired by the Chairperson or in their absence the Vice Chairman of the Sub-Committees. The quorum for the transaction of business of the Sub-Committee s shall be 60% of the committee. The Secretary of the Executive & Sub-Committee shall send to each member of the relevant committee at their last known address written notice of the date of a meeting together with the agenda of actions and or resolutions to be proposed at least 14 days before the meeting. Decisions of the Club s Committee of meetings shall be entered into the Minute Book of the Club to be maintained by the Club Secretary. Any member of the Any of the Committee s may call a meeting of the Committee by giving not less than 7 days notice to all members of the committee. The Committee shall hold not less than four meetings a year. An outgoing member of any Committee may be re-elected. Any vacancy on any Committee, which arises between Annual General Meetings, shall be filled by a member proposed by one and seconded by another of the remaining Committee members and approved by a single majority of the remaining Committee members. Save as provided for in the Rules and Regulations of The Football Association and the County Association to which the Club is affiliated, the Executive Committee shall have the power to decide all questions and disputes arising in respect of any issue concerning the Club Rules. Annual and Special General Meeting An Annual General Meeting (AGM) shall be held in each year to: Receive a report of the activities of the Club over the previous year. Receive a report of the Club s finances over the previous year. Elect the members of the Club Committee. Consider any other business. Nominations for the election of members as Officers or as members of the Executive Committee and Sub-Committees shall be made in writing by the proposer and seconder, Page 3 of 5

4 both of whom must be existing members of the Club, to the Club Secretary not less than 21 days before the AGM. Notice of any resolution to be proposed at the AGM shall be given in writing to the Club Secretary not less than 21 days before the Meeting. A Special General Meeting (SGM) may be called at any time by the Committee and shall be called within 21 days of the receipt by the Club Secretary of a requisition in writing signed by not less than five members stating the purposes for which the Meeting is required and the resolutions proposed. Business at an SGM may be any business that may be transacted at an AGM. The Secretary shall send to each member at their last known address written notice of the date of a General Meeting together with the resolutions to be proposed at least 14 days before the Meeting. The quorum for a General Meeting shall be three. The Chairman, or in their absence a member selected by the Club Committee, shall take the chair. Each member present shall have one vote and a simple majority shall pass resolutions. In the event of equity of votes the Chairperson of the Meeting shall have a casting vote. The Club Secretary, or in their absence a member of the Club Committee, shall enter Minutes of the General Meetings into the Minute Book of the Club. Club Teams At its first meeting following each AGM the Sub-Committee of Managers shall appoint a Club member to be responsible for each of the Club s football teams. The Committee shall keep, maintain and circulate an up to date listing of all managers to the club. The appointed members shall be responsible for managing the affairs of the team. The appointed members shall present to the Sub-Committee at its last meeting prior to an AGM a written report of the activities of the team. The managers will represent the club at all relevant football league Open Meetings. They will also represent the club at matches, therefore on all occasions present themselves professionally and courteously. At matches, managers are to wear the colours of the club on ALL occasions. Team Colours ALL players, coaches and managers must wear the identified Clothing of the club to provide a regular and professional image. Clothing consists of: Home: Yellow & Black Shirts with Black Socks & Shorts with yellow piping. Away: Red & Black Shirts with Black Socks & Shorts with yellow piping. Managers are to wear club approved clothing as supplied via the kit manager. Player s socks and shorts to be purchased and kept in good condition by the players, parents or guardians. Team Shirts are to be supplied by the Club, and retained by players / managers during the season and kept in good condition by the managers, players, parents or guardians. At the end of the season or upon leaving the club the player must return the shirts to the manager. ALL players to sign a Kit Loan Form detailing responsibility of kit and condition and charges for replacement due to non-return and/or destruction. Page 4 of 5

Club Finances A bank account shall be opened and maintained in the name of the Club (the Club Account) designated account signatories shall be the Executive Chairperson, the Club Secretary, Assistant Secretary and the Treasurer. No sum shall be drawn from the Club Account except by cheque signed by two designated signatories. All monies payable to the Club shall be received by the Treasurer and deposited in the Club Account. All equipment must be purchased by the club, via the Kit Manager, and retained by the team managers. This property remains the property of the club and shall be cared for and used for the club s benefit. The income and assets of the Club (the Club Property) shall be applied only in furtherance of the objects of the Club. The Executive Committee shall have power to authorise payment of remuneration and expenses to any member of the Club and to any other person or persons for services rendered to the Club. The Club Secretary shall receive on a quarterly basis, upon receipt of invoice the sum of 25 towards the cost of telecommunications. The Club shall prepare an Annual Financial Statement in such form as shall be published by The Football Association from time to time. The Club Property, other than the Club Account, shall be vested in not less than two and no more than four custodians, one of whom shall be the Treasurer (the Custodians), who shall deal with and keep record of the Club Property as directed by decisions of the Executive Committee and entry in the Minute Book shall be conclusive evidence of such a decision. The Custodians shall be appointed by the Club in a General Meeting and shall hold office until death or resignation unless removed by a resolution passed at a General Meeting. On their removal or resignation a Custodian shall execute a Conveyance in such form as is published by the Football Association from time to time to a newly elected Custodian or the existing Custodian as directed by the Club Committee. On the death of a Custodian, any Club Property vested in them shall vest automatically in the surviving Custodians. If there is only one surviving Custodian, A Special General Meeting shall be convened as soon as possible to appoint another Custodian. The Custodians shall be entitled to an indemnity out of the Club Property for all expenses and other liabilities reasonably incurred by them carrying out their duties. Dissolution A resolution to dissolve the Club shall only be proposed at a General Meeting and shall be carried by a majority of at least three-quarters of the members present. The dissolution shall take effect from the date of the resolution and the members of the Executive Committee shall be responsible for the winding up of the assets and liabilities of the Club. Any surplus assets remaining after the discharge of the debts and liabilities of the Club shall be transferred to the Parent Association who shall determine how the assets shall be utilised for the benefit of the game. Alternatively, such assets may be disposed of in such other manner as the members of the Club with the consent of the Parent Association shall determine. Page 5 of 5
