5 Interpretation. 1. In these rules Rules of Hastings & St Leonard s Golf Club The Act means the Companies Act 2006, including any statutory modification or re-enactment thereof for the time being in force. The Club means the Hastings & St Leonard s Golf Club. (HSLGC) The Memorandum means the Memorandum of Association of the Club The Articles means the Articles of Association of the Club being these rules as amended from time to time in accordance with the Act. Member means any person whose application for membership of the Club has been accepted by the Club and whose membership has not been terminated in accordance with these rules. Voting Member means any member aged 18 or over with a current playing membership. The Chairman means the Chairman for the time being of the Competitions Committee as nominated and elected under Rule 31. Vice Chairman means the Vice Chairman of the Competitions Committee as nominated and elected under Rule 31. The Management means the Managing Directors of the Club for the time being as constituted under Rule 32 fulfilling the duties and responsibilities of directors under The Act. The Secretary means the secretary of the Competitions Committee or any other person appointed to perform the duties of the secretary of the Competitions Committee including a joint, assistant or deputy secretary. Subscription Year means the year expiring on the 1 st March or on such other date as may from time to time be approved by ordinary resolution at a general meeting of the Club. Accounts Date means the 31 December or such other date as may from time be approved by ordinary resolution at a general meeting of the Club. Month means calendar month. Clear Days in relation to the period of a notice means that period excluding the day when the notice is given or deemed to be given and the day for which it is given or on which it is to take effect. Office means the registered office of the Club. Bye-Laws means the Club regulations and etiquette approved by the Management from time to time not forming part of these rules.
6 Words importing the singular number include the plural number and vice versa and words importing the masculine gender include the feminine. Unless the context otherwise requires, words or expressions contained in these rules bear the same meaning as in the Act but excluding any statutory modification thereof not in force when these rules become binding on the Club. MEMBERSHIP 2 (a) Membership of the Club shall be open to all persons irrespective of ethnicity, nationality, sexual orientation, religion or beliefs; or age, sex or disability except as a necessary consequence of the requirements of golf. (b) An application for membership of the Club shall be completed and sent to the Management. 3. The Management may refuse membership or expel from membership only for good and sufficient cause, such as conduct or character likely to bring the Club or sport into disrepute. Appeal against such a decision may be made to the Club s management and decided by a majority vote. 4. All members shall be bound by the Memorandum and Articles, and copies shall be made available by the Management. NUMBERS AND CATEGORIES OF MEMBERSHIP 5. The management shall decide from time to time the different categories of membership, if required the times for playing the course of such membership categories and the maximum number of members in each category, on a non-discriminatory basis. ENTRANCE FEES AND SUBSCRIPTIONS 6. The Management shall from time to time determine the amounts payable in respect of entrance fees and subscriptions and members joining during the year shall pay a proportion of the annual subscription. 7. Subscriptions shall be paid annually in advance or by such other instalments and on such dates as the Management shall from time to time determine. Any member whose subscription (or permitted instalment thereof) is not paid by its due date or within any days of grace allowed by the Management shall forthwith cease to be a member of the Club unless the Management grants a waiver. 8. No new member shall be entitled to participate in any of the privileges of the Club until his entrance fee and subscription or the first instalments thereof shall have been paid. 9. Members may introduce guests and will be responsible for their conduct and for the payment of their green fees and any other expense incurred by them with the Club. HSLGC is a public course and paying customers have a right to use the course under the terms and conditions of the Club. Members have a responsibility to ensure public users respect the Rules of the Club.
7 RIGHTS OF MEMBERS 10. Subject to any bye-laws, licensing laws and other provisions for the time being in force, every member shall be entitled during opening times to use in common with all other members the premises and property of the Club and to be supplied at such charges as the Management shall determine with such meals, refreshments and other things as are provided by the Club for the use of its members. Member accept that the Management may close the course in full or part due to the following conditions: Maintenance Health and Safety Course condition (Due to weather condition or other) Planned events. All members will be informed of events or competitions taking place during the season. Members accept the decision of the Management and will not be entitled to reimbursement of membership or interests can be claimable due to the above reasons. Duration of closure of parts of the facilities or the course for the above reasons are deemed necessary by the Management cannot be challenged by the members. RESIGNATION OF MEMBERS 11. Any member intending to resign his membership of the Club shall give notice in writing to the Management of his intention to do so before the end of the current subscription year; otherwise he may be liable to pay his subscription for the following subscription year. DISCIPLINARY MEASURES 12. The Management may expel from the Club any member whose conduct is such as shall in its opinion be injurious to or incompatible with the objectives of the club or the interests of the members. As an alternative to expulsion the Management may suspend any privileges normally enjoyed by the member whose conduct has been shown to fall short of the standards required or may take such other disciplinary measures, as the Management deems appropriate. If the Management is minded expelling or suspend a member, an indication of the reasons for the proposed expulsion or suspension shall be given to the member in writing who shall also be given the opportunity to provide an explanation in writing or by attending in person before the Management. The member may be accompanied at such a meeting by one other person who may also address the meeting and the Management shall hear and take into account the evidence of any witnesses called by the member. If a majority of the management remain dissatisfied with any explanation, the Management may suspend the member for such period and upon such terms as the Management may decide or the member may be called upon to resign and if he does not do so, the Management shall expel him. Appeal against such a decision may be made in accordance with Rule No person who has been expelled from the Club shall be introduced as a guest or again be admitted to the grounds of the Club or to any Club meeting on any pretext whatsoever unless he has been re-elected as a member.
8 CESSATION OF MEMBERSHIP 14. Any person who shall by any means cease to be a member shall at once forfeit membership and lose all interest in or claim upon the Club and its property but shall nevertheless not be freed from his liability under the Memorandum, nor shall the Club be deprived of its power to sue him for any subscription or other monies which at the time of his ceasing to be a member may be due from him to the Club. GENERAL MEETINGS 16. All general meetings other than annual general meetings shall be called special general meetings. 17. The members of the Management may call general meetings and, on the requisition of not less than 50 Voting Members, shall forthwith proceed to convene a special general meeting for the date not later than 8 weeks after receipt of the requisition. NOTICE OF GENERAL MEETINGS 18. An annual general meeting and any special general meeting shall be called by at least 14 clear day s notice. The notice shall specify the time and place of the meeting and the general nature of the business to be transacted and in the case of an annual general meeting shall specify the meeting as such. 19. Subject to the provisions of these rules, notice of a general meeting shall be given to all Voting Members and to the auditors. The accidental omission to give notice of a meeting to or the non-receipt of notice of a meeting by any person entitled to receive notice shall not invalidate the proceedings at that meeting. COMPETITION COMMITTEE PROCEEDINGS AT GENERAL MEETINGS 20. No Management business shall be transacted at any meeting. unless at least 50 Voting Members are present in person or by proxy. 21. At all general meetings the chair shall be occupied by the Chairman if present; in his absence, by one of the Vice-Chairman and in the absence of the Chairman and Vice-Chairman by the Captain of the Club, failing which a Chairman shall be elected from among the Voting Members present. 22. At all general meetings, every Voting Member shall have one vote to be exercised in person or by proxy. The Chairman of a general meeting shall, in the case of an equality of votes, have a casting vote in addition to his own vote as a Voting member. 23. No objections shall be raised to the qualification of any voter, except at the meeting or adjournment at which the vote objected to is tendered and every vote not disallowed at the meeting shall be valid. Any objection made in due time shall be referred to the Chairman whose decision shall be final and conclusive. 24. The Chairman may, with the consent of a meeting at which a quorum is present (and shall if so directed by the meeting) adjourn the meeting from time to time and from place to place, but no business shall be transacted at an adjourned meeting other than business which might properly have been transacted at the meeting had the adjournment not taken place. When a meeting is adjourned for 14 days or more at least 7 day s notice shall be given specifying the time and place of the adjourned meeting and the general nature of the business to be transacted. Otherwise it shall not be necessary to give any such notice.
9 25. A resolution put to the vote of a meeting shall be decided on a show of hands unless before, or on the declaration of the result of, the show of hands a poll may be demanded by the Chairman or by at least 5 Voting Members present at the meeting. 26. Unless a poll is duly demanded a declaration by the Chairman that a resolution has been carried or carried unanimously, or by a particular majority, or lost, or not carried by a particular majority an entry to that effect in the minutes of the meeting shall be conclusive evidence of the fact without proof of the number or proportion of the votes recorded in favour of or against the resolution. 27. The demand for a poll may, before the poll is taken, be withdrawn, but only with the consent of the Chairman and a demand so withdrawn shall not be taken to have invalidated the result of a show of hands declared before the demand was made. 28. A poll shall be taken as the Chairman directs and he may appoint scrutineers (who need not be members) and fix a time and place for declaring the result of the poll. The result of the poll shall be deemed to be the resolution of the meeting at which the poll was demanded. 29. (a) Proxies may only validly be appointed by a notice in writing signed by the voting member in a form approved by the Committee. (b) Unless a proxy notice indicates otherwise, the person appointed under such notice will have discretion as to how to vote on any matter including ancillary and procedural resolutions and any adjournment of the general meeting. (c) A proxy notice may be revoked if notice of such revocation is given to the Secretary before the start of the meeting or adjourned meeting to which it relates. 30. (1) An ordinary resolution to be proposed at a general meeting may be amended by ordinary resolution, if (a) notice of the proposed amendment is given to the Secretary by a person entitled to vote at the general meeting at which it is to be proposed not less than 48 hours before the meeting is to take place (or such later time as the chairman of the meeting may determine), and (b) the proposed amendment does not, in the reasonable opinion of the chairman of the meeting, materially alter the scope of the resolution. (2) A special resolution to be proposed at a general meeting may be amended by ordinary resolution, if (a) the chairman of the meeting proposes the amendment at the general meeting at which the resolution is to be proposed, and (b) the amendment does not go beyond what is necessary to correct a grammatical or other nonsubstantive error in the resolution. WINDING UP 68. If, upon the Club being wound up under the Act whether voluntarily or compulsorily, Members will not be able to claim back membership subscription from the Club if Members have held a Membership for six months or more. In this event Members will forfeit their Membership for the remainder of their Membership period, furthermore where the Club is wound up, the Club accepts no responsibility for the incoming honouring Membership previously purchased with the Club. COMPETITION COMMITTEE OFFICERS
10 31. The officers of the Competition Committee shall be the Chairman, Vice-Chairman, Captain, Vice- Captain, Lady Captain, Lady Vice-Captain and Honorary Treasurer. Social Officer, Handicap Officer, Secretary, Press Officer. The Officers shall be nominated by the management but such nomination shall be subject to confirmation by the Voting Members at the annual general meeting and they shall hold office until they retire at the next following annual general meeting. CONSTITUTION OF THE COMPETITION COMMITTEE 32. The Committee/Management shall consist of the Hastings & St Leonard s Golf Club Senior Management team and Voted Members under Rule 31. POWERS OF THE MANAGEMENT & COMPETITIONS COMMITTEE DELEGATION OF MANAGEMENT POWERS 37. Unless and until any of the following powers are revoked by the Management and subject to such limitations and conditions as the Management may impose, the Management may delegate to the Competitions Committee the following powers and responsibilities: (a) Only Golfing activities as follows: competitions, matches, handicaps, sponsorship for Open and Club competitions. (b) The promotion of social activities of the Club, Annual Presentation night (but not the provision) of bar, catering and Clubhouse services. (c) The maintenance of the Bye-Laws as set by the Management. (d) Such other powers or duties of the board as the Management may from time to time determine. 40. The proceedings of the Competitions Committee and any other sub-committee with 2 or more members shall be governed by the rules regulating the proceedings of the Management so far as they are capable of applying. ELECTION AND RETIREMENT OF COMPETITIONS COMMITTEE 41. The Honorary Treasurer shall be elected at the annual general meeting and shall hold office for the term of 1 years and shall be eligible for re-election thereafter. 42. Two Voting Members shall be elected at the annual general meeting and shall hold office for the term of 1 years. 43. The Chairman of the Committee and shall preside at every meeting of the Competitions Committee at which he is present. If the Chairman is absented the other committee members present may appoint one of their number to be the chairman of the meeting. 44. A Committee member who retires by rotation shall be eligible for re-election to the Committee. 45. If any vacancy arises during the term of office of an elected member of the Committee, the Committee may either appoint another Voting Member or invite nominations for election at the next annual general
11 meeting to fill such vacancy and the member so appointed or elected shall hold office for the remainder of the term for which the member whose office has been filled was originally elected. 46. Any 6 Members of the Club may nominate any Voting Member to serve on the Committee having previously received the assent of such member. The name of each member so nominated shall be sent in writing to the Secretary 14 days at least before the annual general meeting. Such nomination must also state (if that be the case) if the member proposed is offering himself for election to the vacant post. A list of the names of members so nominated for the post and for any other vacancy on the Committee in alphabetical order shall be affixed to the official notice board 10 days before the annual general meeting. 47. Should there be more than one candidate for the vacancy or more candidates than vacancies in respect of the other vacancies on the Committee balloting lists shall be provided containing the names of the candidates only and from these lists each Voting Member present shall select the name or names to fill such office or vacancy. The order of ballot shall be first for the election of Chairman and then for any other vacancy. Each completed ballot paper must contain the same number of votes as the number of vacancies being balloted for; otherwise such ballot paper will be invalid. 48. In any case where there is no nomination or an insufficient number of candidates, the Committee shall have power to fill such office or vacancy. DISQUALIFICATION AND REMOVAL 49. The office of a Committee member shall be vacated if he: a) ceases to be a member of the Club. b) resigns his office by notice to the Club c) shall for more than 6 consecutive months have been absent without permission of the Board from meetings of the Board held during that period and the Board resolves that his office be vacated. PROCEEDINGS OF THE COMPETITION COMMITEE 50. Subject to the provisions of these rules, the Committee may regulate their proceedings as they think fit. A committee member may and the Secretary at the request of a Committee member shall call a meeting of the Committee. Questions arising at the committee meetings shall be decided by a majority of votes. In the case of an equality of votes the Chairman shall have a second or casting vote. 51. The quorum for the transaction of the business of the Committee may be fixed by the Committee and unless so fixed at any other number shall be All acts done by a meeting of the Committee or of any sub-committee meeting under powers delegated to them shall, notwithstanding that it be afterwards discovered that there was a defect in the appointment of any Committee member or that any of them was disqualified from holding office or had vacated office be as valid as if every such person had been duly appointed and was qualified and had continued to be a member of the Committee Competitions. 53. Save as otherwise provided by these rules a Committee member shall not vote at a meeting of the Committee or of any sub-committee on any resolution concerning a matter in which he has directly or indirectly a clear, substantial and personal interest or duty which conflicts or may conflict with the interests
12 of the Club. If a question arises at a meeting of the Committee or of a sub-committee as to the right of a Board member to vote, the question may, before the conclusion of the meeting, be referred to the Chairman of the meeting and his ruling in relation to any Committee member other than himself shall be final and conclusive. SECRETARY 54. Subject to the provisions of the Act the Secretary shall be appointed by the Committee for such term at such remuneration and upon such conditions as they may think fit and any Secretary so appointed may be removed by them. MINUTES 55. The Committee shall cause minutes to be made in books, kept for the purpose, of all: (a) appointments made by the Committee, and (b) proceedings at meetings of the Club and of the Committee and of sub-committees including the names of the Committee and sub-committee members present at each such meeting. ACCOUNTS 56. The Committee shall cause true accounts to be kept of the monies received and expended by the Club and of the matters in respect of which such receipts and expenditure take place and of the assets, credits and liabilities of the Club. 57. No member shall (as such) have any right of inspecting any accounting records or other book or document of the club except as conferred by statute or authorised by the Committee or by ordinary resolution of the Club. 58. At the annual general meeting in every year, the Committee shall present the statement of accounts and a balance sheet duly audited showing the financial position of the Committee on the preceding Accounts Date, together with their report on the state and condition of the Committee and copies of the balance sheet duly audited. Copies of the Statement of Accounts and balance sheet will be available from the Club website and the Club office at least two weeks prior to the date of the annual general meeting. NOTICES 59. Subject to any specific provision in the Articles, anything sent or supplied by or to the Club may be sent or supplied in any way in which the Act provides for documents or information which are authorised or required by any provision of that Act to be sent or supplied by or to the Club. 60. Any notice to be given to or by any person pursuant to these rules shall be in writing except that a notice calling a meeting of the Management need not be in writing. 61. A member present at any general meeting of the club shall be deemed to have received notice of the meeting and where requisite of the purposes for which it was called. INDEMNITY
13 62. A Member or former Member may be indemnified out of the Club s assets against any liability incurred by him in connection with any negligence, default, breach of duty or breach of trust in relation to the Club, provided that this provision does not authorise any indemnity which would be prohibited or rendered void by any provision of law. 63. The Management may decide to purchase and maintain insurance, at the expense of the Club, for the benefit of any Member or former Member in respect of any loss or liability which has or may be incurred by him in connection with his duties or powers in relation to the Club. CLUB HOUSE 64. The Club shall be open to members at such hours as the management shall from time to time determine. The permitted hours for the sale of intoxicating liquor shall also be determined by the Management within the limits allowed by the local licensing authority and a notice thereof will be posted in the Clubhouse. PROVISIONS 65. All wines, spirits and other excisable articles shall be under the control of the Management for the benefit of the members and no such article shall be sent away from the premises. COMPLAINTS 66. All complaints shall be made in writing to the Management who if he shall be unable to deal with them himself shall submit them to the Management Board whose decision shall be final and in no instance, shall an employee of the Club be reprimanded directly by a member. MEMBERS LIABILITY 67. In accordance with the Memorandum, every member of the Club is required to hold personal liability Insurance to cover their activities while playing Golf. CAR PARKING 69. All members are to use the parking bays in the car park for the purpose of parking. Members are forbidden to park in the staff parking facility at anytime. ETIQUETTE. All Members and Public will abide by the etiquette rules as publish with the member pack and as per the Notice boards around the course. Appropriate dress code is required in the Club House and Golf Shoes must be worn on the course with Cotton trouser and collared sports shirt or recognised Golfing Clothing. 14 General Tees Club Rules Etiquette The directions of the course officials must be complied with at all times Membership cards must be carried at all times Players must have a minimum of four clubs in their bags Players must not share a bag of clubs Maximum limit is four players per game A player must be accompanied by a person/caddie only No child under the age of 12 may play unless accompanied by an adult who is playing golf Play is prohibited where Ground under repair signs are displayed Avoid undue delay by letting others play through Give right of way to Through players Keep practice swing to a minimum Keep still and silent and within the view of the player teeing off Tee pegs must be used for all tee shots Ply may only commence when players in front are out of range Fairways Replace divots Tractor wheel marks may be treated as ground under repair Let others through when searching for lost balls on the fairway Greens Repair pitch marks and spike marks Take care not to tread on the side of the hole Bags must not be placed on the greens Bunkers Take the shortest route through the sand to the ball Level the sand before leaving with the rakes provided Trolleys Must be kept off all tees, greens, green aprons and bunkers Follow the trolley this way signs Footwear Golf shoes are the only type of footwear allowed Note: A failure to comply with any of these rules will result in you being asked to leave the Golf Course immediately.
