2 I. GENERAL PROVISIONS Article 1: Name, Headquarters, and Legal Form WAFF is a sport regional organization that includes the National Associations in West Asian region. The WAFF statutes have been approved by the 1 st Congress held on 14/5/2001 in Amman The Hashemite Kingdom of Jordan. The Headquarters of WAFF shall be in Amman The Hashemite Kingdom of Jordan. The emblem of WAFF is a red and black rectangular shape. The abbreviation of WAFF in English appears in the upper black area of the emblem. A shape of a player kicking a football appears in the lower red area of the emblem. Article 2: Objectives The abbreviation of West Asian Football Federation is WAFF. The objectives of WAFF are: to improve the game of Football and promote, regulate and control it in the territory of the Zone in the light of fair play and its unifying, educational, cultural and humanitarian values, particularly through youth and development programs; to organize football competitions at Zone level in all its forms; to draw up regulations and provisions and ensure their enforcement; to protect the interests of its Members; to ensure compliance and prevent infringements of the Statutes, Codes, Rules, Regulations, Standing Orders, directives and decisions of FIFA, AFC, WAFF and Laws of the Game; to prevent all methods and practices which might jeopardize the integrity of matches or competitions, or give rise to the abuse of Football; to control and supervise all football Championships organized by WAFF throughout the Zone; to foster sport relationships and encourage mutual cooperation between and amongst Sports Organizations responsible for football worldwide. Article 3: Neutrality and Non-Discrimination WAFF is neutral in matters of politics and religion. Discrimination of any kind against a country, private person or group of people on account of ethnic origin, gender, language, religion, politics or any other reason is strictly prohibited and punishable by suspension or expulsion. Article 4: Promoting Friendly Relations WAFF shall promote friendly relations between its Members, Clubs, Officials and Players and in society for humanitarian objectives. Every person or organization involved in the game of football is obliged to observe the Statutes, the Principles and Regulations of fair play. WAFF shall provide the necessary institutional means to resolve any internal dispute that may arise between Members. 2

3 Article 5: Laws of the Game WAFF and its Members shall organize and/or play football in compliance with the Laws of the Game issued by IFAB. Only IFAB may lay down and alter the Laws of the Game. Article 6: Conduct of Bodies and Officials The bodies and Officials of WAFF must observe the Rules and Regulations, circulars, decisions and the Code of Ethics of FIFA, AFC and of WAFF in their activities. Article 7: Official languages The official languages of WAFF shall be Arabic and English. Official documents and texts shall be published in both languages. If there is any divergence in the wording, the Arabic text is authoritative. The official language at the Congress shall be Arabic. II. MEMBERSHIP Article 8: Admission, Suspension and Expulsion The Congress shall decide whether to admit, suspend or expel any Member. Admission may be granted if the applicant fulfils the requirements of WAFF. Membership is terminated by resignation or expulsion. Loss of membership does not relieve the Member from its financial obligations towards WAFF. Article 9: Admission Any National Association within the Zone and member of AFC and FIFA wishing to become a Member of WAFF shall apply in writing to the General Secretariat of WAFF. In extraordinary circumstances and after obtaining the approval of AFC, an Association, which is a member of AFC, which is situated in another zone, may be admitted to membership of WAFF, provided that it is not a Member of any other Regional Association within AFC. The application must be accompanied by the following mandatory documents: a copy of the applicant s legally valid statutes and regulations; a declaration that it will always comply with the Statutes, Regulations and decisions of WAFF, FIFA and AFC; and ensure that these are also respected by its own Members, Clubs, Officials and Players; a declaration that it will comply with the Laws of the Game in force; a declaration that it recognizes the Arbitration Court of WAFF (if applicable) and the Court of Arbitration for Sport (CAS) in Lausanne, as specified in these Statutes; a declaration that it will participate in all official Championships organized by WAFF; a declaration to the effect that the legal composition of the applicant guarantees that it can make decisions independently of any external entity; a list of Officials, specifying those who are authorized signatories with the right to enter into legally binding agreements with third parties. This article shall not affect the status of existing Member Associations prior to the amendment of these Statutes. 3

4 Article 10: Request and Procedure for Admission: The request for admission shall be reviewed by the Executive Committee. The Executive Committee shall request the Congress either to admit or not to admit an application. The new Member shall acquire membership rights and duties as soon as it has been admitted. New Members are eligible to vote and nominate candidates with immediate effect. Article 11: Rights of Members: The Members of WAFF have the following rights: to take part in the Congress of WAFF, to know its agenda in advance, to be called to the Congress within the prescribed time and to exercise their voting rights; to draw up proposals for inclusion in the agenda of the Congress; to nominate candidates for all committees of WAFF; to be informed of WAFF affairs through the official bodies of WAFF; to take part in any sports activities organized by WAFF; to exercise all other rights arising from these Statutes and other regulations. The exercise of these rights is subject to other provisions in these Statutes and the applicable regulations. Article 12: Members obligations The Members of WAFF have the following obligations: to comply fully with the Statutes, Regulations, directives and decisions of FIFA, AFC, WAFF at any time as well as the decisions of the Court of Arbitration (CAS); to ensure the election of its decision-making bodies; to take part in sports activities organized by WAFF; to pay their membership subscriptions; to respect the Laws of the Game as laid down by IFAB and to ensure that these are also respected by its members through its internal statutory provisions; to adopt a statutory clause specifying that any dispute requiring arbitration involving itself or one of its members and relating to the Statutes, Regulations, circulars and decisions of FIFA, AFC or WAFF shall come solely under the jurisdiction of the appropriate arbitration tribunal of FIFA, AFC or WAFF and that any recourse to ordinary courts is prohibited; to communicate to WAFF any amendment of its Statutes and Regulations as well as the list of its Officials or persons who are authorized signatories, with the right to enter into legally binding agreements with third parties; not to hold or maintain any relations of a sporting nature with entities that are not recognized by FIFA or with Members that have been suspended or expelled; to observe the principles of fair play through its statutory provisions; to administer a register of members which shall regularly be updated; 4

5 to comply fully with all other duties arising from the Statutes and other regulations of FIFA, AFC and WAFF. Violation of the above-mentioned obligations by any Member may lead to sanctions provided for in these Statutes. Article 13: Suspension The Congress is responsible for suspending a Member for a specific period. The Executive Committee may suspend a Member that seriously and/or repeatedly violates its obligations as a Member with immediate effect. The suspension shall last until the next Congress, unless the Executive Committee has lifted it in the meantime. A suspension shall be confirmed at the next Congress by a two-thirds majority of the present member s votes. If it is not confirmed, the suspension is automatically lifted. A suspended Member shall lose its membership rights. Other Members may not entertain sporting contact with a suspended Member. The Disciplinary Committee may impose further sanctions. Members which do not participate in the WAFF Sport Activities for two years shall be suspended from voting at the Congress and their representatives shall not be elected or appointed until they have fulfilled their obligations in this respect. Article 14: Expulsion 14-1 The Congress may expel a Member if: it fails to fulfill its financial obligations towards WAFF; it seriously and/or repeatedly violates the Statutes, Regulations, directives or decisions of FIFA, AFC and WAFF. The presence of an Absolute Majority of Members entitled to vote at the Congress is necessary for an expulsion to be valid, and the motion for expulsion must be adopted by a three-quarter majority of the present votes cast. Article 15: Resignation A Member may resign from WAFF s Congress with effect provided a notice of resignation reaches the General Secretariat no less than one month before the date of resignation. The resignation shall not exempt the Member wishing to resign from its financial obligations towards WAFF. Article 16: Honorary President and Honorary Member The Congress may bestow the title of honorary president or honorary member upon individuals for meritorious service to football, and the Congress shall have the right to drop such titles. The Executive Committee shall make these nominations. The Honorary President or Honorary Member may take part in the Congress. They may join in the debates but may not vote. 5

6 III. ORGANISATION Article 17: Bodies of WAFF The Congress is the supreme and legislative body. The Executive Committee is the executive body. Emergency Committee. Standing and Ad-Hoc Committees shall advise and assist the Executive Committee in fulfilling its duties. Their duties, composition and function are defined in these Statutes and/or special regulations drawn up by the Executive Committee. The General Secretariat is the administrative body. The judicial bodies are the Disciplinary Committee and the Appeal Committee. The bodies of WAFF shall be either elected or appointed by WAFF itself without any external influence and in accordance with the procedures described in these Statutes. A. CONGRESS Article 18: Definition and Composition of the Congress The Congress is the supreme and legislative authority of WAFF, and includes all Members who have paid their subscription fees. A Congress may be an Ordinary or an Extraordinary Congress. The President shall conduct the Congress business in compliance with the Standing Orders of the Congress. The Congress may appoint observers who take part in the Congress without the right to debate or to vote. The Honorary Presidents or Honorary Members may take part in the Congress. They may join in the debates but may not vote. Article 19: Delegates and Votes 19-1 Each Member has one (1) vote in the Congress Each Member is entitled to be represented by a maximum of two (2) delegates to participate in the Congress. One of the two (2) delegates shall exercise the right to vote on behalf of that Member in the Congress. Only the delegates who are present are entitled to vote. Voting by proxy or by letter is not permitted. The Executive Committee Members shall take part in the Congress without voting rights, unless they are delegates of the Members of WAFF. Article 20: Areas of Authority 20-1 The Congress has the following authority: adopting or amending the Statutes, Regulations governing the application of Statutes and the Standing orders of the Congress; 6

7 appointing Members to check the minutes and approving the minutes of the last meeting; appointing the scrutineers; approving the financial statements; approving the budget; approving the Executive Committee activity report; appointing the independent auditors upon the proposal of the Executive Committee; fixing the membership subscriptions and match levies; deciding, upon the nomination of the Executive Committee, whether to bestow or drop the titles of Honorary President or Honorary Member; Electing the President, the Vice-Presidents, and Executive Committee Members; admitting, suspending or expelling a Member; revoking the mandate of one or a number of members of a body of WAFF; changing WAFF Headquarters; dissolving WAFF. Article 21: Quorum of the Congress The quorum of the Congress shall be the Absolute Majority of the Members who are entitled to vote. If a quorum is not achieved, a second Congress shall take place 24 hours after the first, with the same agenda. The presence of 4 Members is required for the second Congress to achieve quorum. The second Congress may not discuss amendments to the Statutes of WAFF, the expulsion of one or a number of members of a body of WAFF, the expulsion of a Member of WAFF, or the dissolution of WAFF. The inclusion of those items on the agenda is conditional to the attendance of the Absolute Majority to the second Congress. Article 22: Decisions of the Congress Unless otherwise stipulated in the Statutes, decisions of Congress shall be passed if supported by an Absolute Majority of the Members present. The Absolute Majority shall be calculated based on the number of valid votes cast. Spoiled or blank voting slips or any other forms of abstentions are disregarded in calculating the majority. A decision that requires a vote shall be reached by a show of hands or by means of an electronic count or any other means deemed appropriate. If a show of hands does not result in a clear majority in favor of a motion, the vote shall be taken by calling the roll of Members present in alphabetical order, and may resort to secret ballot voting should the President suggest it or upon the suggestion of the Absolute Majority, and in a such case, a secret ballot shall be carried out. Article 23: Elections of President, Vice-Presidents, and Members of the Executive Committees The Congress shall elect the President, two Vice-Presidents, and Members of the Executive Committee amongst the candidates proposed by the Members for the period of four years, and all are eligible for re-election. Members of WAFF shall be represented by no more than (1) Member in the Executive Committee including the President and Vice-Presidents. The Member is represented in the Executive Committee by the person holding its nationality. 7

8 WAFF Members shall provide the General Secretariat with the names of its candidates, whether they hold Member s nationality or not, no later than three (3) weeks before the date of the Congress. The candidate for the presidency must be the President of the Member Association. If the number of candidates does not exceed the number of vacant positions, the President shall announce their election by acclamation. Should the number of candidates exceed the number of vacant positions, the election of office bearers shall be carried out by secret ballot. The winner is determined as the candidate receiving the highest number of votes. In the event of candidates receiving equal number of votes, a second ballot is casted amongst them. Should the tie between candidates continue, a draw will take place to determine the winner. Three auditors appointed by the Congress will monitor the election process and counting of votes. Article 24: Ordinary Congress 24-1 The Ordinary Congress shall be held once every year The Executive Committee shall fix the place and date. The Members shall be notified in writing at least four weeks before the scheduled date of the Congress. The official invitation shall be convened in writing at least one week before the scheduled date of the Congress. This invitation shall include the agenda, the Executive Committee activity report, the financial statements, the auditors report, and any other relevant documents. Article 25: Ordinary Congress Agenda The General Secretary shall draw up the agenda based on the proposals from the Executive Committee and the Members. Any proposal that a Member wishes to submit to the Congress shall be sent to the General Secretariat in writing, with a brief explanation, at least three weeks before the date of the Congress. The Congress agenda shall include the following mandatory items: a declaration that the Congress has been convened and composed in compliance with the Statutes of WAFF; approval of the agenda; an address by the President; admission for membership (if applicable); suspension or expulsion of Members (if applicable); appointment of Members to check the official minutes; appointment of scrutineers; approval of the minutes of the preceding Congress; Executive Committee s activity report (containing the activities since the last Congress); presentation of the audited financial statements, trial balance, and the profit and loss statement; approval of the financial statements; approval of the budget; 8

9 votes on proposals for changing the Headquarters, amendments to the Statutes, the Regulations governing the application of the Statutes, and the Standing Orders of the Congress; discussion of proposals submitted by the Members and the Executive Committee; appointment of independent auditors (if applicable) upon the proposal of the Executive Committee; expulsion of a person or a body (if applicable); election of President, Vice-Presidents, and Members of the Executive Committee (if applicable). The agenda of an Ordinary Congress may be amended or altered, provided two-thirds of the Members present at the Congress and eligible to vote agree to such a motion. The Congress may not make a decision on any point that is not included in the agenda after passing thereof. Article 26: Extraordinary Congress An Extraordinary Congress may be convened by the Executive Committee whenever deemed necessary. An Extraordinary Congress may be convened upon a written request by at least one fifth (1/5) of WAFF Members. The request shall specify the items for the agenda. An Extraordinary Congress shall be held within three months of receipt of the request. If an Extraordinary Congress is not convened, the Members who requested it may convene the Congress themselves. As a last resort, the Members may request the assistance from FIFA. The Members shall be notified of the venue, date, and agenda at least 14 days before the Extraordinary Congress. When an Extraordinary Congress is convened on the initiative of the Executive Committee, it must draw up the agenda. When an Extraordinary Congress is convened upon the request of Members, the agenda must contain the points raised by those Members. The agenda of an Extraordinary Congress may not be altered. Article 27: Change of the Headquarters, Amendments to the Statutes and Regulations Governing the Application of the Statutes and the Standing Orders of the Congress The Congress is responsible for approving the change of the Headquarters, amending the Statutes, the Regulations governing the application of the Statutes, and the Standing Orders of the Congress. Any proposals for an amendment to the Statutes must be submitted in writing with a brief explanation to the General Secretariat by a Member or by the Executive Committee. A Proposal submitted by a member is valid, provided it has been supported in writing by at least five (5) other Members For a vote on the decision to change Headquarters to another location and on amendments to the Statutes to be valid, an Absolute Majority of the Members eligible to vote must be present A proposal for a change of Headquarters to another location and for an amendment to the Statutes shall be adopted only if three-quarters (3/4) of the Members present and eligible to vote agree to it. Any proposal to amend the Regulations governing the application of Statutes, and the Standing Orders of the Congress must be submitted in writing with a brief explanation to the General Secretariat by a Member or by the Executive Committee. 9

10 27-6 A proposal for an amendment to the Regulations governing the application of Statutes, and the Standing Orders of the Congress shall be adopted only if an Absolute Majority of Members present and eligible to vote agree to it. Article 28: Minutes The General Secretary shall be responsible for recording the minutes at the Congress. The minutes of the Congress shall be checked by those Members designated and finally approved at the next Congress. Article 29: Effective dates of decisions Decisions passed by the Congress shall come into effect for Members immediately after the close of the Congress, unless the Congress fixes another date for a decision to take effect. B. EXECUTIVE COMMITTEE Article 30: Composition The Executive Committee consists of the number equivalent to the number of Members, as follows: President; First Vice-President; Second Vice-President; And the rest of the Members. Members of the Executive Committee must be no older than 70 years and no younger than 22 years. They must be actively involved in football. A Member of the Executive Committee may not be a Member of any of the judicial bodies of WAFF simultaneously. Article 31: Meetings The Executive Committee shall meet at least two (2) times a year. The President shall convene the Executive Committee meetings. If two-thirds (2/3) of the Executive Committee members request a meeting, the President shall convene it within 30 days. The President shall compile the agenda. Each member of the Executive Committee is entitled to propose items for inclusion in the agenda. The members of the Executive Committee must submit the points they wish to be included in the agenda for the meeting to the General Secretariat at least 7 days before the meeting. The Agenda must be sent out to the members of the Executive Committee at least three (3) days before the meeting. The General Secretary shall take part in the meetings of the Executive Committee in a consultative role. The Executive Committee may invite third parties to attend the meetings. Those third parties shall not have voting rights, and may only express an opinion with the permission of the Executive Committee. 10

11 Article 32: Powers of the Executive Committee 32-1 The duties of the Executive Committee are as follows: is empowered to take decisions on all matters, which are not exclusive to the Congress or are not reserved for other bodies by law or under these Statutes; to prepare and convene the Ordinary and Extraordinary Congress of WAFF; to appoint the Chairmen, Deputy Chairmen and Members of the Standing Committees; to appoint the Chairmen, Deputy Chairmen and Members of the judicial bodies; to set up Ad-Hoc Committees if necessary and at any time; to compile the Regulations and Statutes for the organization of Standing Committees and Ad- Hoc Committees; to propose the independent auditors to Congress; to decide the venue and dates, as well as the number of teams taking part in WAFF Competitions; to approve Regulations stipulating how WAFF shall be organized internally; to ensure that the Statutes are applied and adopt the executive arrangements required for their application; to dismiss a person or body or suspend a Member of WAFF provisionally until the next Congress; Article 33: Decisions to delegate tasks arising out of its area of authority to other bodies of WAFF or third parties. The quorum for a meeting of the Executive Committee shall be an Absolute Majority of its members. The Executive Committee shall reach its decisions by an Absolute Majority of the members present. In the event of a tied vote, the President shall have the casting vote. Voting by proxy or by letter is not permitted. Any member of the Executive Committee must withdraw from the debates and from taking a decision if there is any risk or possibility of a conflict of interests. The decisions taken shall be recorded in the minutes. The decisions taken by the Executive Committee shall come into effect immediately, unless the Executive Committee decides otherwise. Article 34: Dismissal of a Person or Body The Congress may dismiss a person or body. The Executive Committee may place the dismissal of a person or body on the agenda for the Congress. The Executive Committee may also dismiss a person or body provisionally. Any Executive Committee member may submit a proposal to place such a motion for dismissal on the agenda of the Executive Committee or Congress. The motion for dismissal must be justified with reasons. It will be sent to the Members of WAFF along with the agenda. The person or body in question has the right to speak in his or its own defense. The Congress shall reach a decision by means of secret ballot. For the motion to be passed, a majority of two thirds (2/3) of the valid votes in favor of the motion is required. The person or body dismissed (provisionally) must be relieved of his or its functions with immediate effect. 11

12 Article 35: President The President is the legal representative of WAFF. The President is primarily responsible for: implementing the decisions passed by the Congress and the Executive Committee through the General Secretariat; ensuring the effective functioning of the bodies of WAFF in order that they achieve the objectives described in these Statutes; supervising the work of the General Secretariat; relations between WAFF and its Members, FIFA, AFC, and other bodies and organizations. Appointment or dismissal of the General Secretary. The President shall preside over the Congress, the Executive Committee and Emergency Committee meetings and those Committees of which he has been appointed chairman. The President shall have an ordinary vote in the Executive Committee and, whenever votes are equal, shall have a casting vote. If the President is absent or unavailable, the First Vice-President available shall deputise. If the First Vice-President is absent or unavailable, the Second Vice-President available shall deputise. If both Vice-Presidents are absent, the oldest Executive Committee Member shall deputies. Any additional powers of the President shall be contained in the internal organization/ regulations of WAFF. Article 36: Representation and Signature The President is the legal representative of WAFF, and is entitled to sign on behalf of WAFF. The Executive Committee must set up internal regulations regarding the joint signature of officers, in particular, in case of the President s absence and concerning all important business of WAFF. Article 37: Continuous Membership Any of the Executive Committee members, including the President and Vice Presidents, shall have the right to remain as a Member of the Executive Committee for the duration of his term should he loose his position in his National Association. Under such circumstances, it is not mandatory to elect another Executive Committee Member from the National Association to replace him. C. EMERGENCY COMMITTEE Article 38: Emergency Committee The Emergency Committee shall consist of the President of WAFF and 4 members chosen amongst the Executive Committee Members upon the recommendation of the President. The Emergency Committee shall deal with all matters requiring immediate settlement between two meetings of the Executive Committee. The President shall convene the meetings of Emergency Committee. If a meeting cannot be convened within an appropriate period of time, decisions may be passed through other means of communication. Such decisions shall have immediate legal effect. The President shall notify the Executive Committee immediately of the decisions passed by the Emergency Committee. 12

13 All decisions taken by the Emergency Committee shall be ratified by the Executive Committee at its next meeting. If the President is absent, the Vice-President shall deputies the meeting. D. STANDING & AD-HOC COMMITTEES Article 39: Standing Committees The Standing Committees of WAFF are: Finance Committee; Competitions Committee; Media and Marketing Committee. The Chairmen of the Standing Committees shall be Members of the Executive Committee. The Members of each Standing Committee shall be appointed by the Executive Committee on the proposal of the Members of WAFF or the President of WAFF. The Chairmen, Deputy Chairmen and Members of the Standing Committees shall be designated for a term of office of four years. Each Chairman shall represent his committee and conduct business in compliance with the relevant organization regulations drawn up by the Executive Committee. Each Chairman shall fix the dates of meetings in collaboration with the General Secretary, shall ensure that all tasks are carried out and shall submit reports to the Executive Committee. Each committee may propose amendments to its regulations to the Executive Committee. Executive Committee may form other Standing Committees as may be necessary. Article 40: Finance Committee The Finance Committee shall monitor the financial management and advise the Executive Committee on financial matters and assets management. It shall analyze the WAFF budget and the financial statements prepared by the General Secretary and submit them to the Executive Committee for approval. It shall consist of a Chairman, a Deputy Chairman and (1-3) Members. Article41: Competitions Committee The Competitions Committee shall organize the competitions and championships and formulate relevant rules and regulations. It shall consist of a Chairman, a Deputy Chairman and (1-3) Members. Article 42: Media and Marketing Committee The Media and Marketing Committee shall be responsible for media operations at WAFF events and shall maintain relations with media organizations. It shall advise the Executive Committee with regard to drafting and implementing contracts between WAFF and its various marketing/television partners, and analyze the proposed marketing and television strategies. It shall consist of a Chairman, a Deputy Chairman and (1-3) Members. Article 43: Ad-Hoc/Provisional Committees The Executive Committee may, if necessary, create Ad-Hoc Committees for special duties and for limited periods of time. The Executive Committee shall appoint a Chairman, a Deputy Chairman and the Members. The duties and functions are defined in special regulations drawn up by the Executive Committee. The Ad- Hoc Committee shall report directly to the Executive Committee. 13

14 E. GENERAL SECRETARIAT Article 44: General Secretariat The General Secretariat shall carry out all the administrative work of WAFF under the direction of the General Secretary. The members of the General Secretariat are bound by the internal organizational regulations of WAFF and must fulfill the given tasks in the best manner. Article 45: General Secretary The General Secretary is the Chief Executive of the General Secretariat. The General Secretary shall be appointed on the basis of an agreement governed by private law and shall have the necessary professional qualifications. The General Secretary shall be responsible for: implementing decisions passed by the Congress and Executive Committee in compliance with the President s directives; attending the Congress, Executive Committee meetings, Emergency Committee, and the Standing and Ad-Hoc Committees, without having a voting right; organizing the Congress, Executive Committee meetings and other bodies; compiling the minutes for the meetings of the Congress, Executive Committee, Emergency Committee and Standing and Ad-Hoc Committees; managing and keeping the accounts of WAFF properly; the correspondences of WAFF; relations with the Members, Committees, FIFA and AFC; organizing the General Secretariat; the appointment and dismissal of staff working in the General Secretariat; proposing managerial staff appointments to the President. The General Secretary shall not be a Congress delegate or a member of any body of WAFF. F. JUDICIAL BODIES Article 46: Judicial Bodies: The judicial bodies of WAFF are: The Disciplinary Committee; The Appeal Committee. The responsibilities and functions of these bodies shall be stipulated in the Disciplinary Code of WAFF, which shall comply with the FIFA Disciplinary Code. The Members of the judicial bodies may not belong to any other body of WAFF at the same time. 14

15 Article 47: Disciplinary Committee The Disciplinary Committee shall consist of a Chairman, Deputy Chairman and the number of members deemed necessary. The Chairman and the Deputy Chairman shall have legal qualifications. The function of this body shall be governed by the Disciplinary Committee. The Committee shall pass decisions only when at least three (3) members are present. The committee may pronounce the sanctions described in these Statutes and the Disciplinary Code of WAFF on Members. These provisions are subject to the disciplinary powers of the Congress and the Executive Committee with regard to the suspension and expulsion of Members. Article 48: Appeal Committee The Appeal Committee shall consist of a Chairman, Deputy Chairman and the number of members deemed necessary. The Chairman and Deputy Chairman shall have legal qualifications. The function of this body shall be governed by the Disciplinary Code. The Committee shall pass decisions only when at least three (3) members are present. The Appeal Committee is responsible for hearing appeals against decisions from the Disciplinary Committee that are not declared final. Article 49: Disciplinary Measures The Disciplinary Measures shall be described by the Disciplinary Committee or in the Championships regulations. Article 50: Court of Arbitration for Sport 50-1 In accordance with related Articles of the FIFA Statutes, any appeal against a final and binding FIFA decision shall be heard by the Court of Arbitration for Sport (CAS) in Lausanne, Switzerland. CAS shall not, however, hear appeals on violations of the Laws of the Game, suspensions of up to four matches or up to three months, or decisions passed by an independent and duly constituted Arbitration Tribunal of a Regional Association or Confederation WAFF shall ensure its full compliance and that of its Members, Players, Officials, Match and Players Agents with any final decision passed by a FIFA body or CAS. IV. FINANCE Article 51: Financial Period The financial period of WAFF shall be one (1) year and shall commence on 1 January and ends on 31 December. The revenue and expenses of WAFF shall be responsibly managed so that they balance out over the financial period. The General Secretary is responsible for drawing up the annual consolidated accounts of WAFF. 15

16 Article 52: Revenue 52-1 The revenue of WAFF arises specifically from: membership fees and annual subscriptions; receipts generated by the marketing of rights to which WAFF is entitled; fines imposed by the authorized bodies; other subscriptions and receipts in keeping with the objectives pursued by WAFF; financial support from the Olympic Committee in the Host Country or any other source. Article 53: Expenses WAFF bears: the expenses stipulated in the budget; other expenses approved by the Congress and expenses that the Executive Committee is entitled to incur within the scope of its authority; all other expenses in keeping with the objectives pursued by WAFF. Article 54: Independent Auditors The Independent Auditors appointed by the Congress shall audit the accounts approved by the Finance Committee in accordance with the appropriate principles of accounting and present a report to the Congress. The auditors shall be appointed for a period of one (1) year. This mandate may be renewed. Article 55: Membership Subscriptions 55-1 Membership subscriptions are due on 1 January of each year. The annual subscription for new Members for the year in question shall be paid within 30 days of the close of the Congress at which they are admitted The Congress shall fix the amount of the annual subscription every two years on the recommendation of the Executive Committee. It shall be the same for every Member. Article 56: Settlement and Levies WAFF may debit any Member s assets to settle claims. WAFF may demand that a levy be paid by its Members for matches, by passing a decision from the Congress based on recommendation by the Executive Committee. The recommendation of the Executive Committee as well as the decision of the Congress must be taken with the approval of Absolute Majority of the present members. Article 57:Headquarters The Congress shall determine the location of the Headquarters of WAFF based on the following conditions: the Headquarters of WAFF shall be in one of the countries of a Member; 16

17 the country of WAFF Headquarters must provide a permanent location to the General Secretariat, The country of the Headquarters shall cover all the running expenses regarding management and operations which includes: accommodation, transportation, communications, and expenses due to the staff of WAFF in case there were no resources for WAFF to cover those expenses; the country of WAFF Headquarters shall offer adequate facilities and equipment for the communication with all WAFF members; the country of WAFF Headquarters shall ensure the entry of WAFF affiliates and its visitors if necessary without any delay or disruption. V. COMPETITIONS AND RIGHTS IN COMPETITIONS AND EVENTS Article 58: Competitions WAFF organizes and coordinates the official competitions held within its Zone. Article 59: Rights WAFF and its Members are the original owners of all of the rights emanating from competitions and other events coming under their respective jurisdiction, without any restrictions as to content, time, place or law. These rights include, among others, every kind of financial rights, audiovisual and radio recording, reproduction and broadcasting rights, multimedia rights, marketing and promotional rights and incorporeal rights such as emblems and rights arising under copyright law. The Executive Committee shall decide how and to what extent these rights are utilized and draw up special regulations to this end. The Executive Committee shall alone decide whether these rights shall be utilized exclusively, or jointly with others or entirely with a third party. Article 60: Authorization WAFF and its Members are exclusively responsible for authorizing the distribution of image and sound and other data carriers of football matches and events coming under their respective jurisdiction, without any restrictions as to content, time, place or technical and legal aspects. Article 61: Commercial Revenue 61-1 The net revenues of the commercial rights sales of WAFF Championships are distributed as follows: WAFF: one third (1/3) of the revenues; The Championship Organizing Association: two thirds (2/3) of the revenues. VI. FINAL PROVISIONS Article 62: Contacts WAFF shall not participate or make any sporting contacts with Associations that are not Members of FIFA or with Provisional Members of a Confederation or Regional Federation without the approval of FIFA. 17

18 Article 63: Unforeseen Contingencies and Force Majeure The Executive Committee or Emergency Committee, if required, shall have the right to interpret these Statutes and shall have the right to take decisions on any matter not provided for in these Statutes or in cases of force majeure. Article 64: Dissolution 64-1 Any decision relating to the dissolution of WAFF requires the approval of three quarters (3/4) of all the Members of WAFF. This decision must be passed at a Congress specially convened for this purpose If WAFF is dissolved, its assets shall be entrusted to its Members equally. Article 65: Laws and Regulations All matters not provided for in these Statutes shall be referred to the provisions of Laws and Regulations and instructions of FIFA or AFC. Article 66: Enforcement These Statutes were adopted by WAFF Congress in Amman on 30 June 2012, and came into force immediately on 30 June
