3 NACE EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL June 24, 2016 Page 3 NACE INTERNATIONAL EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL 1.0 SCOPE 1.1 The Education Activity Committee (hereinafter called Education ) is an activity committee of the NACE International (hereinafter referred to as NACE or the Association ) Board of Directors (hereinafter referred to as the Board ). Education is responsible for providing education and training that deliver professional development needed by customers and learners. Education will support the mission and goals of the Association as defined by the Association s strategic plan. All of the items listed in 7.1 of this manual, with the exception of functions assigned to NACE staff, are considered to be responsibilities of Education. Education is assisted in fulfilling its responsibilities through its subcommittees. 1.2 Education shall ensure that these activities are carried out with the support of the following subcommittees. In instances where overlap of the responsibilities of two or more subcommittees exists, Education shall clarify the responsibilities of the subcommittees in question. Cathodic Protection Coating Inspection General Coatings General Education Internal Corrosion Pipeline Each subcommittee has jurisdiction over the technical content in the applicable course manuals. Subcommittees will also provide recommendations to Education for consideration pertaining to criteria and requirements for NACE Subcommittees of Education may be established or disbanded by Education as needed to provide support for the operation of the committee. The establishment of any new subcommittees to Education or to the disbandment of an existing subcommittee to Education requires a twothirds (2/3) vote of all voting members of Education Advisory ad-hoc committees and task groups of Education may be appointed or disbanded by the Chair of Education. Member composition is defined under Section Advisory ad-hoc committees and task groups of the subcommittees of Education may be appointed or disbanded by the Chair of the respective subcommittee. Member composition is defined under Section OBJECTIVES The objectives of Education are to ensure that the content of Education courses delivered by the Association are consistent with the aims and objectives of the Association as listed in Article II of the Articles of Incorporation, and to provide technically sound information

4 NACE EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL June 24, 2016 Page 4 and resources to meet the diverse interests of the membership and other persons interested in the science and technology of corrosion and corrosion control. 3.0 EDUCATION ACTIVITY COMMITTEE 3.1 The Education Activity Committee shall consist of Chair, Vice Chair, most recent past Chair willing to serve, the Chairs of its subcommittees, three (3) at large members, and a Director on the NACE Board representing Education (this position is not to be confused with the NACE Staff Education Director). The role of Chair and Director shall be served by two separate officers independent of each other while supporting the mission/vision of NACE. In accordance with the Board s conflict of interest policy, the Education Activity Committee Director shall not hold a contract with NACE. Roles and Responsibilities for all Education members are listed in Appendix B and Section 10 of this manual. 3.2 The Chair and Vice Chair of the Education Activity Committee shall be selected by a majority of the voting members of Education for a term of three (3) years. Eligible candidates shall include the present and past members of the Education Activity Committee or its constituent subcommittees. 3.3 The Education Activity Committee shall nominate a candidate for Director representing Education on the NACE Board of Directors through a majority vote of Education. The nomination shall be made in accordance with the procedures established by the NACE International Nominating Committee. 3.4 Eligible candidates for nomination by the Education Activity Committee shall include the present and past members of the Education Activity Committee or its constituent subcommittees. 3.5 The nomination for the Education Activity Committee Director should be submitted to the NACE International Nominating Committee at least 18 months in advance of the start of his or her term. 3.6 Upon confirmation by the NACE Nominating Committee, the Education Activity Committee Director shall begin an orientation process and shall be invited to participate as a guest in board meetings in advance of his or her term. The orientation process will expose the individual to the current issues the board is addressing and ensure continuity in the transition of members. 3.7 The Education Activity Committee shall have up to 12 voting members: Chair, Vice Chair, past Chair, Chairs of individual subcommittees and three (3) appointed at-large voting members. The most recent past Chair willing to serve shall serve until replaced. With the exception of appointed at large members, the terms of office for all Education members shall commence the day following the close of the Association s annual conference and terminate the last day of the annual conference three (3) years hence. The terms, are not renewable unless elected to serve as an officer of the Education Activity Committee. All Education Activity Committee members must be Association members in good standing. 3.8 The Education Activity Committee Director will serve as a non-voting member.

5 NACE EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL June 24, 2016 Page The Executive Committee of the Education Activity Committee shall be comprised of the current Education officers (Chair, Vice Chair), and immediate past Chair willing to serve each of whom shall have a vote. The Education Activity Committee Director shall serve as a member of the Executive Committee of Education without a vote One at large voting member shall be appointed to the Education Activity Committee each year. The Chair shall make the appointment with the concurrence of the Vice Chair. The term of appointed at large members shall be one (1) year and is renewable up to two (2) times for a maximum of three (3) one-year terms. The Chair shall make every effort to ensure representation from TCC, the NACE Institute, and the Publications Activity Committee The NACE Staff Director of Education shall be the staff liaison to the Education Activity Committee. The Staff Director of Education shall also serve as a nonvoting ex officio member of the Education Activity Committee. The Staff Director of Education shall also appoint staff liaisons to support the respective subcommittees. 4.0 MEMBERSHIP OF EDUCATION AND SUBCOMMITTEES 4.1 Any Association member in good standing may apply to become a voting member of Education or a subcommittee (Appendix A - Candidate for NACE International Education Subcommittee Chair, Vice Chair or member, etc.) and appointment by the respective subcommittee Chair. All new voting members must be approved by the respective subcommittee Chair with concurrence of the Education Executive Committee. 4.2 The Chair and Vice-Chair of Education, along with subcommittee officers, shall be selected through a majority of the voting members of their respective committee and approved by the Executive Committee of Education. All nominations by the subcommittees shall be submitted to the Executive Committee of Education sixty (60) days in advance of the Association s annual conference for confirmation. The terms of Chair and Vice Chair shall be for three (3) years and are not renewable Officer vacancies caused by illness, death, resignation, removal from committee, or any other causes other than the expiration of a term will be appointed by the Education Chair with the Education Executive Committee s approval. 4.3 Voting membership of each subcommittee shall be at least seven (7) and no more than eleven (11) voting members, including officers. Up to five (5) non-voting members may be appointed by the respective subcommittee Chair, or in his or her absence, the Education Chair. 4.4 Term of membership on a subcommittee is three (3) years and is not renewable unless appointed or elected to serve as an officer of the same subcommittee for an additional three (3) year term. 4.5 Members of the respective subcommittees may not serve as a voting or non-voting member on more than one (1) subcommittee of Education concurrently. 4.6 Any voting or non-voting member, who misses two (2) consecutive officially scheduled meetings and/or letter ballots (without cause) will be removed from the committee and must reapply to the committee Chair to be reinstated. Members will

6 NACE EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL June 24, 2016 Page 6 be responsible for communicating a planned absence with cause to the Chair in advance of scheduled meetings. The Chair will be responsible for documenting excused absences in the meeting minutes. The removal of any member must be approved by both the subcommittee Chair, Education Chair and Education Vice Chair prior to any action being taken. Members shall be notified in writing by NACE Headquarters when they are removed from the committee. The Chair of the respective subcommittee shall appoint a member to serve the remainder of the unfulfilled term The voting or non-voting member removed may send a letter within ten (10) days of notice of removal explaining his or her absences and request reappointment to the committee. Reappointment requires approval of Chair and Vice Chair of Education Any member can be removed for cause by vote of at least two-thirds (2/3) of the voting members of Education or the related subcommittee. 4.7 Members wishing to re-join the subcommittee may reapply after a one (1) year time period from the anniversary date of removal. 4.8 Selection of members and officers to fill unexpired terms shall follow the procedures as outlined in 4.2 above for the respective position. 4.9 Each subcommittee Chair shall submit its roster to the Education Executive Committee within thirty (30) days following the Association s Annual Conference. The Education Executive Committee shall review and approve or recommend changes to the roster to each subcommittee Chair within sixty (60) days following the Association s annual conference. Rosters will be attached to the minutes. New member applications shall be attached to the roster Members of the NACE Education Activity Committee and subcommittees (including task groups) shall not: Serve as voting members on the NACE INTERNATIONAL INSTITUTE Certification Commission, Specialty Boards, or subcommittees during their term on any NACE Education Activity Committee Have access to NACE INTERNATIONAL INSTITUTE Certification Exams (unless proctoring an exam at the behest of NACE INTERNATIONAL INSTITUTE certification staff) Members of the NACE Education Activity Committee or its constituent subcommittees and task groups may interact with NACE INTERNATIONAL INSTITUTE certification bodies to 1 : Discuss job task analysis, Serve as liaisons to NACE INTERNATIONAL INSTITUTE certification committees for the purpose of information sharing (Per of the Education Operating Manual liaison positions require approval of both NACE Education and the NACE INTERNATIONAL INSTITUTE Certification Commission).

7 NACE EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL June 24, 2016 Page Jointly participate in strategic discussions regarding the direction of career programs in the corrosion industry. 5.0 CONFLICT OF INTEREST Any member of the Education Activity Committee and its subcommittees may be removed from office for violations of any NACE by-law, policy or procedure in accordance with the NACE Policy Committee Operating Manual, Section 8 on Disciplinary Procedures. NACE members are expected to behave in accordance with all NACE Member Policies, including: NACE Policies and Procedures NACE Bylaws NACE members that violate NACE member Policies and Procedures will be subject to disciplinary actions in accordance with the NACE Policy Committee Operating Manual. 6.0 EDUCATION ACTIVITY COMMITTEE LIAISONS 6.1 The purpose of the liaison activities is to provide an information exchange between committees. 6.2 Additional committee liaison representatives from Education shall be appointed by the Education Activity Committee Chair Requests from other committees for a liaison from Education shall be considered and filled by the Education Activity Committee Chair. Terms are one (1) year and are renewable. Liaisons are not required to be voting members of the committee. 6.3 Responsibilities of each liaison representative are: To identify activities of mutual interest and/or that impact both groups, particularly those activities in the planning stages or early stages of implementation To disseminate information that may affect the affairs of other committees To seek recommendations for Education from other committees To submit brief reports to the committee during its regular meetings. 7.0 ORGANIZATIONAL STRUCTURE AND COMMITTEE RESPONSIBILITIES 7.1 Education is responsible for providing education and training that deliver professional development needed by customers and learners. The Education Activity Committee will support the mission and goals of the Association as defined by the strategic plan. All of the items listed in the following sections of this manual, with the exception of functions assigned to NACE staff, are considered to be responsibilities of the Education Activity Committee. The Education Activity Committee is assisted in fulfilling its responsibilities by specific subcommittees listed in Section 1.2, and shall consult with these subcommittees in carrying out its activities. In instances where overlap of the responsibilities of two or more subcommittees exists, the Education Activity Committee shall clarify the responsibilities of the subcommittees in question.

8 NACE EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL June 24, 2016 Page The Education Activity Committee Director shall advise the NACE Board of activities within its assigned areas of responsibility. The Education Activity Committee will implement reporting requests made by the Board to Education and will forward all reports and requests to the Board through the Education Activity Committee Director Through input from its subcommittees, the Education Activity Committee will advise and make nonbinding recommendations to NACE Education staff such as the criteria for attaining and maintaining NACE instructor status and selection of new course development (Appendix E). NACE Education staff will manage the NACE instructor application, approval, and advancement processes and procedures, and will seek consultation from the Education Activity Committee when necessary. The Education Activity Committee s recommendations on the Instructor application and advancement process are found in Appendix F The Education Activity Committee shall work to support the mission and goals of the Association as defined by the strategic plan, and shall provide reports to the Board in regard to its progress toward meeting those goals and objectives As required, advisory or task groups of the Education Activity Committee may be appointed or disbanded by its Chair All advisory or task groups shall be appointed by the Chair of Education. Membership of the task groups shall be a minimum of three (3) and maximum of five (5) members not including the task group Chair Any Association member in good standing may serve as a member of a task group The task group should be chaired by a voting member of the Education Activity Committee, but not by the Chair of the Education Activity Committee. In the event that a committee member is unwilling or unable to Chair the task group, the task group may be chaired by an Association member in good standing providing that at least one at-large member of the task group is currently serving as a voting member on Education Specific responsibilities of each subcommittee are described in the following section. 7.2 Subcommittee Responsibilities The primary function of each subcommittee is to ensure the quality of the technical content required for all courses as assigned by Education. Specific subcommittee responsibilities are outlined in Appendix B RACI Chart, (Roles and Responsibilities Matrix). Technical changes in the course content shall be recommended by a task group appointed by the subcommittee Chair. The subcommittee shall review any changes recommended by the task group and determine (by majority vote) the changes to be approved. The recommended changes shall be provided to Staff and Education for awareness prior to approval See Appendix G Motion to Education. Changes to the style, formatting or grammar that do

9 NACE EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL June 24, 2016 Page 9 not affect the content, may be made at the discretion of NACE staff. The following changes in course content shall require approval of the Education Activity Committee: Any changes to a course that alters the duration of a course. (e.g., beyond the number of days over or shorter which the course is currently given). Any modifications that change the cost of delivering the course (e.g., addition or change of course equipment, addition of books or references to the course, etc.) as determined by NACE staff. Any changes or addition to course content that is corresponding (e.g., coatings, cathodic protection, integrity, etc.) to another course strand and subcommittee. Removal of course content that supports the criteria used by the NACE International Institute as a basis for certifications Identify technical areas where new training is needed. Develop and solicit ideas for new Education courses, including identifying potential titles and authors for recommendation to Staff. See Appendix B RACI Chart Contribute to the Education Activity Committee s recommendations to staff on the requirements for attaining and maintaining NACE instructor status. See Appendix F Instructor Criteria Review existing course content regularly (minimum every five (5) years) and recommend technical changes to Education or formally reaffirm the continuation of the content as-is Review existing NACE Education course material and recommend to Education whether to continue to offer, revise, or withdraw from training offerings Assign a technical liaison to work with the Education liaison and the appropriate NACE Institute committee to make recommendations to the exam process and provide input on the NACE Institute certification programs related to training offerings. Certifications and exams are managed by the NACE Institute Each subcommittee shall have at least one (1) task group assigned to each course for on-going quality updates of course content Not including the task group Chair, membership shall be a minimum of three (3) and maximum of five (5). The task group should be chaired by a member of its parent committee. In the event that a committee member is unwilling or unable to Chair the task group, the task group may be chaired by an Association member in good standing providing at least one member of the task group is currently serving as a voting or non-voting member on the respective subcommittee. The task group must be comprised of NACE members in good standing of the Association The subcommittee Chair shall not serve as Chair on a course task group. The subcommittee Chair may participate as a voting member of a course task group.

10 NACE EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL June 24, 2016 Page Ad Hoc Committees Ad hoc (non-voting) committees may be appointed by the Chair of the Education Activity Committee or respective subcommittees to carry out specific tasks An ad hoc committee should be chaired by a member of its parent committee. All ad hoc committee members must be members in good standing of the Association but need not be members of the parent committee By definition, ad hoc committees have a finite life and shall be disbanded when the assignment is completed. 8.0 MEETINGS 8.1 The Education Activity Committee and associated subcommittees shall each meet at least quarterly (four [4] times per year including at the annual conference). These meetings may also be conducted by telephone, electronic media or online balloting when necessary. Additional meetings may be called, as necessary, to conduct committee business. Meetings at annual conference will be coordinated by the Education Activity Committee and shall be scheduled prior to the final program deadline for the Association s annual conference as defined by staff The Education Executive Committee will evaluate the activity of each subcommittee annually and recommend to the Education Activity Committee dissolution of any subcommittee that is inactive or no longer supports the goals of the Education Activity Committee New business may be introduced at any meeting, but must wait until the next official meeting of the committee or subcommittee before it can be acted upon. 8.2 The Education or related subcommittee Chair and Vice Chairs, with input from their respective committee members, shall develop an agenda that must be submitted to NACE headquarters for distribution to the members of the respective committee, subcommittee and liaisons. The agenda shall be distributed at least ten (10) days prior to any regularly scheduled meeting. An emergency meeting of the Education Activity Committee or its subcommittees may be called by the Education or respective subcommittee Chair as needed to discuss emerging issues with at least three (3) days notice. 8.3 Subcommittees shall report on the status of subcommittee activities and on any recommendations for action to Education at Education meetings. 8.4 Subcommittee meeting minutes shall be recorded by the staff liaison and distributed to all Chairs, appropriate subcommittee members, and liaisons after review by the respective subcommittee Chair. Minutes of the committee or respective subcommittee shall be approved by a majority vote of the respective committee or subcommittee members. Committee and subcommittee minutes or reports, once approved, shall be filed as a part of subcommittee or the Education Activity Committee minutes and placed online for record. 8.5 The most current edition of sections of Robert s Rules of Order shall be followed unless otherwise defined in this operating manual.

11 NACE EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL June 24, 2016 Page An executive session of the Education Activity Committee or of the respective subcommittees may be called by the Chairs of the respective committees. Executive sessions shall consist of voting and non-voting members of the committee and invited guests only. Examples of topics for executive session may include but are not limited to member personnel issues such as establishing just cause for member or officer dismissals, or discussions of an individual s qualifications for an appointment, or for award nomination. 9.0 VOTING PROCEDURE FOR THE EDUCATION ACTIVITY COMMITTEE AND SUBCOMMITTEES 9.1 A quorum is defined as a majority of the voting members with at least one (1) officer of the respective committee present. All fractions are rounded off to the next higher whole number when determining the requirements for a quorum. Quorums are required for valid votes at Education and subcommittee meetings. 9.2 Unless specifically stated otherwise in this manual, issues shall be decided by a simple majority vote of the voting members present. 9.3 With the exceptions listed in 9.4, proxies for the Education Activity Committee and respective subcommittees are not allowed. 9.4 Subcommittee chairs unable to attend an Education Activity Committee meeting may be represented by their Vice Chairs as voting members of Education for that meeting. 9.5 Official committee voting is allowed via or online balloting. Ballots received after the deadline will not be counted The Chair of Education or the pertinent subcommittee, or his/her designate, shall begin the discussion. The Chair (or designate) should explain the need for the discussion and call for a two (2) -week discussion period. In cases where completed discussion and voting is desired more quickly, the discussion period can be less than two (2) weeks with the approval of a majority of voting members At the end of the discussion period, the Chair (or designate) shall solicit a motion via . If there is a motion and second, the Chair shall call for a vote. Votes should be recorded online in the appropriate committee portal by the staff liaison. The voting period shall be a minimum of five (5) business days. If a majority of the voting members approve the motion, it is considered passed, with the exception of issues that require two-thirds (2/3) majority of all voting members. The staff liaison shall notify the Chair (or designate) of the ballot results, and then the staff liaison or the Chair (or designate) shall announce the result to the voting committee The voting results of all successful ballots are documented in the agenda of the next official meeting of the committee RESPONSIBILITIES BY POSITION 10.1 The Director of the Education Activity Committee serves as a Director on the NACE Board of Directors representing Education.

12 NACE EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL June 24, 2016 Page The Education Activity Committee Director serves as a voting member of the NACE International Board of Directors and shall attend all meetings of the board The Director shall be responsible for keeping the Board informed of the activities and strategic direction of the Committee The Director shall be responsible for keeping the Education Activity Committee apprised of decisions made by the Board of Directors, which impact Education, and ensuring that the activities of Education are congruent with the Board s strategic plan The Director serves as a non-voting member on the Education Activity Committee and Education Executive Committee The Chair of Education presides over the Education Activity Committee and Education Executive Committee The Chair is responsible for conducting the affairs of the committee, and between meetings, for scheduling meetings, developing agendas, and reviewing prior meeting minutes before soliciting approval by committee The Chair shall comply with strategic and tactical planning practices of the Association The Chair shall engage with subcommittee Chair(s) to bring resolution to any instructor submitted course critiques which exceed the 90 day threshold for course critiques The Chair of the Education Activity Committee shall appoint a special task group to bring resolution to any course critiques which exceed the 120 day threshold The Chair of the Education Activity Committee shall be responsible for seeking input for new training courses from each subcommittee at least 75 days in advance of the Fall Board of Directors (BoD) Meeting The Chair of the Education Activity Committee shall be responsible to provide input for annual OPEX and CAPEX budget considerations to staff at least 45 days in advance of the Fall BoD Meeting The Chair of the Education Activity Committee shall serve as a liaison with NACE INTERNATIONAL INSTITUTE Certification Commission Chair to ensure interaction between respective committees and specialty boards The Chair of the Education Activity Committee shall conduct an annual orientation of the Education Operating Manual for all committee and subcommittee Chairs and Vice Chairs in the first forty-five (45) days following Conference.

13 NACE EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL June 24, 2016 Page The Chair of the Education Activity Committee shall facilitate a monthly meeting with NACE staff Education Director and the Education Executive Committee to address current affairs The Chair of the Education Activity Committee shall interface with NACE Education staff in support of administrative activities The Chair of the Education Activity Committee shall ensure an Education Action Tracking list managed by the staff liaison and reviewed at Education Executive Committee meetings The Vice Chair of Education shall assume the duties of the Chair of Education in the event of the absence of the Chair s or their inability to serve The Vice-Chair of Education shall serve as a voting member of the Education Executive Committee The Vice Chair of Education shall serve as a liaison with NACE councils (i.e., Coatings, Water and Oil & Gas) on their recommendations for training Subcommittee Chairs are responsible for conducting the affairs of their subcommittees at and between meetings, for scheduling meetings, for contributing to the meeting agenda, for preparing quarterly reports for the Education Activity Committee, for managing rosters for their subcommittees and submitting for Education Executive Committee approval Subcommittee Chairs shall comply with and participate in strategic and tactical planning practices of the Education Activity Committee. The subcommittee Vice Chairs shall serve as alternates to the subcommittee Chairs. See Appendix B RACI Chart Subcommittees Chairs shall ensure course material content is properly managed and instructor submitted course critiques are resolved within sixty (60) days of initial receipt The Vice Chair shall assume the duties of the Chair of their respective subcommittee in the inability of the Chair to serve Committee members have the following general responsibilities: Provide general oversight, review and approve technical content contained in the course consistent with the activities and responsibilities contained in the operating manual, form and implement strategies to support the committee s objectives, provide input to organizational policy decisions as they directly relate to NACE s mission with respect to Education, provide advice to enhance education quality, and provide ethical accountability. See Appendix B RACI Chart NACE staff is responsible for the following functions: See Appendix B RACI Chart. Operations and resource management; management of the NACE Instructor application, approval, and advancement program in consultation with

14 NACE EDUCATION ACTIVITY COMMITTEE OPERATING MANUAL June 24, 2016 Page 14 Education; instructor contracting, quality, training, and disciplinary issues (including termination); selection, hiring, and oversight of course development contractors, including subject matter experts (SMEs); tactical support; business and financial procedure management; operational policy decisions as they relate to the organization s internal functioning; internal communications; implementation plans and education program budgets; marketing and pricing of courses; agenda and administrative support; advice and counsel to committees; developing and executing a plan for new course development with the endorsement of the Education Activity Committee (See Appendix D - Procedural Recommendation: New Course Development and implementation of program improvements) Committee and staff member shared responsibilities: Committee members and staff work together on such functions as prioritizing and vetting ideas, interpreting policy within guidelines, planning and implementing the plans, developing agendas, and providing committee management. See Appendix B RACI Chart Conflict resolution: Where conflict in responsibility arises between committee and staff members and the guidance and intent of responsibility is not adequately provided in this operation manual: The Chair and/or Vice Chair of the Education Activity Committee shall first work with staff to resolve or clarify the issue using the requirements of this operating manual and the guidance and intent it conveys Where unresolved or conflicts of interest exist, the Chair and/or Vice Chair of the Education Activity Committee will appoint a task group made up of committee and staff members in order to provide a recommendation to resolve the conflict In the absence of a successful resolution, the committee shall forward the conflict to the NACE Chief Executive Officer for appropriate action (pertaining to staff) or to the parent committee and/or the Education Executive Committee (pertaining to committees) BOARD REPORTING 11.1 Prior to the Board meeting, the Education Activity Committee Director shall submit any Education recommendations for action by the Board The Education Chair shall provide a written report to the Education Activity Committee Director and the Board concerning activities within its assigned areas of responsibility at each Board meeting or as requested by the NACE president for presentation at Board meetings. These reports shall be forwarded to the Chief Executive Officer for attachment to the Board meeting minutes OPERATING MANUAL REVIEW 12.1 This manual is to be reviewed in its entirety by Education at least once every five (5) years for revision or reaffirmation Revisions may be made to the manual at any time Education deems it necessary Revision or reaffirmation of this manual shall require two-thirds (2/3) affirmative vote of all voting members of the committee.

The Policy Committee shall submit the manual to the Board for ratification The latest date of Board ratification will be placed on the cover of the manual. The latest manual ratified will govern. If revisions are made to the manual within the five (5) year period, the date of ratification as well as the date of the latest revision shall be shown on the cover All committee members shall be required annually to acknowledge having read the operating manual with agreement to fulfill all requirements as stated PROCEDURAL RECOMMENDATIONS OF THE COMMITTEE 13.1 As a means of communicating technical and strategic guidance, Education may develop non-binding procedural recommendations in areas related to Education under Section 10.8 for which NACE Education staff has responsibility NACE Education staff shall work in partnership with Education in developing the procedural recommendations and work in good faith to implement the recommendations to the best of their ability Procedural recommendations of Education will be developed as a job product of the committee and do not require review or approval of the NACE Policy Committee or Board. Procedural recommendations of the committee will be included as appendices to the Education Activity Committee Operating Manual Creation or revision of procedural recommendations shall require a two-thirds (2/3) vote of all voting members of Education BOARD POLICIES Education subcommittees shall contribute to the development of the procedural recommendations through the Chair of the respective subcommittees Education subcommittees shall not create or revise procedural recommendations separate from Education. The committees shall operate in accordance with the Association s Articles of Incorporation, Bylaws, and Policies.

28 Appendix D Procedural Recommendation: New Course Development Procedural Recommendation: New Course Development 1. In order to ensure continued development of NACE offerings, considerations of requests for new course development and existing course maintenance/revisions will be made separately from one another. 2. The NACE staff Director of Education shall present a plan for new course development to the Education Activity Committee for endorsement annually. Endorsement shall be at least a majority of the Education Activity Committee quorum The plan for new course development shall be presented to the Education Activity Committee at least 75 days in advance of the NACE Board of Directors Fall Planning Meeting The plan shall demonstrate alignment to the NACE International Strategic Plan and the Education Activity Committee Strategic Plan, financial viability of each course planned based on market trends, as well as controls for vetting the technical soundness of each course The plan shall also include a progress report on courses currently in development. 3. The Education Activity Committee shall vote to endorse the development plan at least 45 days in advance of the NACE Board of Directors Fall Planning Meeting Should the Education Activity Committee fail to endorse the plan at least 45 days in advance of NACE Board of Directors Fall Planning Meeting, the Education Executive Committee shall meet at least 30 days in advance of NACE Board of Directors Fall Planning Meeting to consider the plan for endorsement The Education Activity Committee Director shall submit a written report to the NACE Board of Directors regarding the development plan, including the status of the Committee s endorsement, at least 30 days in advance of NACE Board of Directors Fall Planning Meeting. 4.
