Resignation of Carolyn Seibert-Drager, PABE President, July 27, 2012 b. Appointment of new officers (K Sabol ascended to Presidency per bylaws): Wendy Hoffman appointed to serve as PABE Vice-President (formerly Secretary), Jessica Engel appointed to serve as Secretary (formerly Treasurer), Fran O Rourke appointed to Treasurer c. Proposed PABE Bylaws Amendment: Section 3. Resignation An officer may resign with or without a stated reason at any time by giving written notice thereof to the Executive Committee or the President. Such resignation shall take effect at the time specified therein, or, if no time be specified, then on delivery. A vacancy in any office, othcr than the office of the President, shall be filled by vote of the Executive Committee to fill the unexpired term. In the event of a vacancy in the office of the President, the Vice PreGident shall fill the unexpired term of the President. The Executive Committee will then fill the vacancy in the office of Vice President. In the event of a vacancy, all remainin officers will move forward in the order of succession servin in their new sitions for the remainder f the calendar ear in which the vacanc occurred and then each servin a full tw - ar term in that new office. 2 Pennsylvania Association of Bar Executives ll 2h ID) L~ Pennsylvania Association of Bar Executives Special Meeting Saturday, September 15, 2012 Bedford Springs Resort A special meeting of the Pennsylvania Association of Bar Executives was called to order on Saturday, September 15, 2012 by President Kathy Sabol with eight members present. The reading of the Minutes of the previous meeting and the report of the Treasurer were deferred until the November PABE business meeting. A program ad from PABE for the Al Azen retirement dinner was agreed upon by consensus of those present. A thank you gift for the Bedford Springs Resort staff member responsible for coordinating the Familiarization Tour for PABE was discussed and approved in the amount of $200. Procedures were discussed regarding the appointment of new officers in the wake of the unexpected and mid-term resignation of PABE President Carolyn Siebert-Drager. Officers for the remainder of 2012 will be as follows: President, Kathy Sabol; Vice-President Wendy Hoffman; Secretary Jessica Engel; Treasurer Fran O Rourke. To ensure a smooth transition of officers in the future, a bylaws amendment will be proposed at the November meeting as follows: In the event of a vacancy, all remaining officers will move forward in the order of succession serving in their new positions for the remainder of the calendar year in which the vacancy occurred and then each serving a full two-year term in that new office. A vacancy in the office of the Treasurer will be filled by vote of the Executive Committee, with the appointee to serve only the remainder of the calendar year in which the vacancy occurred; the appointed Treasurer would be fully eligible to serve a subsequent full two-year term if so elected. Review and Acceptance of Minutes of : No minutes were provided. Review and Acceptance of Financial Statements and Treasurer s Report: The Financial Statements were reviewed and the Treasurer made a short report. Evelyn Albert moved to approve the Financial Statements and the Treasurer s Report; Becky Morgenthal seconded the Motion. The Motion carried unanimously. PBA President Matt Crème presented short remarks on the end of his PBA presidency and thanked the members of PABE for their cooperation over the past year. Summer Retreat: Remarks from PABE President Carolyn Seibert-Drager as to the location. The Hotel Warner (West Chester), $119 night +tax, is a third option, after Bedford Springs and Nemacolin. Original dates of August 16, 17 & 18 are available at Hotel Warner. Kathy Sabol made a Motion that The Hotel Warner be selected as the site for the PABE Retreat on August 16-18, with an alternate backup plan evaluated somewhere else in the event the hotel is not finished. Diane Krivoniak seconded the Motion, and the Motion carried unanimously. Retreat Programming: Wendy Hoffman and Deanna Mindler volunteered to take responsibility for planning facilities, and Denise Burdge and Diane Krivoniak volunteered to take responsibility for educational programming. They will solicit additional help as needed from the membership. Website: New PABE Website is up and running, thanks to Jennifer Pulice. Address is All members are asked to review the Resource Guide and Survival Guide and suggest changes,
4 modifications, additions, etc., by the end of May, Responses should go to Carolyn Seibert-Drager, PABE President. Other Reports: Al Azen from IOLTA reported on a new IRS Section that affects law offices that accept credit card payments, even if the payments go to IOLTA/ or Trust accounts. In 2013, if the Tax ID does not match law firm s there s a risk of a 28% penalty. Currently all IOLTA accounts have IOLTA S tax ID number not the law firm s CONFUSING? Law firms should be aware. Al provided an article for circulation to Bar Associations memberships. PBA Reports: Dues increase of $10 for 2013 going to HOD tomorrow (Fran & Barry) although $20 was initially asked for. It is expected that there will be a budget shortfall (Barry), and that the issue will be raised again for Carolyn reported on PBA Board Meeting: Voted to continue discount for legal services attorneys for 3 more years Looked at grant requests; grants committee will meet in 2 weeks, results will be reported by mid-june. Discussion on whether to give substantive law sections voting rights Carolyn reported that CLE people couldn t be present, but not to forget about PACLE Provider s Conference in June. Open Discussion Don Smith: attended legal services for public meeting re: voter id photo issue. Berks County has started an outreach program, and Don has offered his info to all bar associations and will circulate on Iistserv. Kathy Sabol questioned Nancy Paul on the dissolution of their PAC for candidates. Nancy s response was that it was simply not beneficial, as donations were not being made.
