1 Draft Special Resolution 1: To change the composition and responsibilities of the Board of Management from the current structure of four (4) Standing Boards with four (4) Directors and four (4) Vice Presidents, to a structure of six (6) Standing Boards with six (6) Directors and two (2) Vice Presidents, where: a. The Board of Finance and Administration be replaced with two entities, being: i. the Board of Finance, and ii. the Board of Administration b. The position of Director of Finance and Administration be replaced with two positions, being: i. The Director of Finance, and ii. The Director of Administration c. The Board of Life Saving and Education be replaced with two entities, being: i. the Board of Lifesaving, and ii. the Board of Education d. The position of Director of Lifesaving and Education be replaced with two positions, being: i. The Director of Lifesaving, and ii. The Director of Education e. The Board of Youth and Membership Development is retained f. The position of Director of Youth and Membership Development is retained g. The Board of Surf Sports is retained h. The position of Director of Surf Sports is retained i. Two (2) Vice President positions be made redundant, leaving two (2) remaining Vice Presidents. j. The total number of Officers remains at nine (9), consisting of the President, six (6) Directors and two (2) Vice Presidents April 2014 Page 1

2 Draft Special Resolution 2: That the Constitution be amended as follows: (note that unless otherwise specified, numbering of points is for clarity of reading and does not form part of the Special Resolution) a. Delete the existing definition of Board of Management from Clause 4, and replace it with the following definition: Board of Management means the elected officers of President, two Vice Presidents and six Directors. b. Delete the existing definition of Board of Management Meeting from Clause 4, and replace it with the following definition: Board of Management Meeting means a meeting of the President, two Vice Presidents and six Directors which form the membership of the Board of Management. c. Delete the existing definition of Director of Finance and Administration from Clause 4, and replace it with the following two definitions: 1. Director of Finance means the person elected/appointed to that role by the Members in accordance with this Constitution. 2. Director of Administration means the person elected/appointed to that role by the d. Delete the existing definition of Director of Lifesaving and Education from Clause 4, and replace it with the following two definitions: 1. 3 Director of Surf Sports Director of Youth and Membership Development f. Delete the existing Clause 27(b) in its entirety, and replace it with the following text: (b) Vice Presidents 1. There shall be two Vice Presidents of NBSLSC. 2. One of the two Vice Presidents serving at any one time must have been an active patrolling member for at least three years. 3. Each Vice President must have been a member of NBSLSC for five consecutive seasons prior to the season in which they will serve and be a member of NBSLSC at the time they seek election. 4. Each Vice President shall support the President and act on behalf of the President when required. 5. Each Vice President shall support the activities of any of the six Standing Boards of NBSLSC as and when required. g. Delete the existing Clause 27(d) in its entirety, and insert two new clauses Clause 27(d) and Clause 27(e) using the following numbered points: (d) The Director of Lifesaving 1. The Director of Lifesaving must be a current, proficient holder of the Bronze Medallion. 2. The Director of Lifesaving must have been a member of NBSLSC for three 3. The Director of Lifesaving must have served as an active patrol member for at least two years. 4. The Director of Lifesaving shall be responsible for lifesaving, patrols, and rescue equipment at NBSLSC. 5. The Director of Lifesaving shall be assisted by the Board of Lifesaving in the conduct of lifesaving at NBSLSC. 6. The Director of Lifesaving or his/her delegate shall represent NBSLSC at SLSSNB in all lifesaving matters. (e) The Director of Education 1. The Director of Education must be a current, proficient holder of the Bronze Medallion. 2. The Director of Education must have been a member of NBSLSC for three 3. The Director of Education must have served as an active patrol member for at least two years. 4. The Director of Education shall be responsible for education and training at NBSLSC. 4 5. The Director of Education shall be assisted by the Board of Education in the conduct of education and instruction at NBSLSC. 6. The Director of Education or his/her delegate shall represent NBSLSC at SLSSNB in all education matters. h. Delete the existing Clause 27(e), and insert two new clauses Clause 27(f) and Clause 27(g) using the following numbered points: (f) The Director of Finance 1. The Director of Finance must have been a member of NBSLSC for three 2. The Director of Finance shall be responsible for all financial matters at NBSLSC. 3. The Director of Finance shall be assisted by the Board of Finance in the conduct of lifesaving at NBSLSC. (g) The Director of Administration 4. The Director of Administration must have been a member of NBSLSC for three 5. The Director of Administration shall be responsible for all administrative, secretarial and legal matters at NBSLSC. 6. The Director of Administration shall be assisted by the Board of Administration in the conduct of administrative matters at NBSLSC. i. Re-number the existing Clause 27(f) as Clause 27(h). j. Delete the existing Clauses 39(a)(i) to Clauses 39(a)(iv) inclusive in their entirety, and replace them with the following numbered points: (i) Board of Lifesaving, which shall be made up of the Director of Lifesaving, and up to four board members. The Director of Lifesaving shall be the Chairperson at all meetings of this Board. (ii) Board of Education, which shall be made up of the Director of Education, and up to four board members. The Director of Education shall be the chairperson at all meetings of this Board. (iii) Board of Surf Sports, which shall be made up of the Director of Surf Sports, and up to four board members. The Director of Surf Sports shall be the chairperson at all meetings of this Board. (iv) Board of Youth and Membership Development, which shall be made up of the Director of Youth and Membership Development, and up to four board April 2014 Page 4

5 members. The Director of Youth and Membership Development shall be the chairperson at all meetings of this Board. (v) Board of Administration, which shall be made up of the Director of Administration, and up to four board members. The Director of Administration shall be the chairperson at all meetings of this Board. (v) Board of Finance, which shall be made up of the Director of Finance, and up to four board members. The Director of Finance shall be the chairperson at all meetings of this Board. k. Delete the existing Clause 41 in its entirety, and replace it with the following numbered text: 41. PUBLIC OFFICER For the purpose of the Law, the Director of Finance shall be appointed as the Public Officer. l. Delete the existing Clause 43 in its entirety, and replace it with the following numbered text: 43. Workplace Health and Safety Officer For the purpose of the Law, the Director of Lifesaving shall be appointed as the Workplace Health and Safety Officer. April 2014 Page 5
